SECTION B -- NOTES

Note 1: The Government’s Not-to-Exceed Ceiling amount for the Lot I and Lot II five (5) year ordering period and three (3) year option period is $486,952,035.00. This Not-to-Exceed Ceiling amount will be the shared ceiling on each awardee’s Indefinite Delivery/Indefinite Quantity (IDIQ) Contract. The pricing contained within Section B is to establish the shared ceiling per Contract Line Item Number (CLIN) at the basic MAC.

Note 2: Applicable to CPFF CLINs. The maximum fee to be proposed is 10%, offerors can propose less than 10%.

Each order thereafter will be capped at the basic MAC fee, or less if proposed. Subcontractor fee is capped at the same rate as the prime. Subcontractor pass-through is capped at 10%. Maximum Fee: Contractor compliance with the maximum fee rate is applicable at the time of task order award and is based on the ratio of fixed fee to the estimated cost. A proposed fee that is higher than the maximum fee rate shall render the contractor's proposal unacceptable.

Fee becomes a fixed dollar amount at the time of task order award and is subject to the provisions of the Level of

Effort clause of the contract (if applicable).

Pass-through: For purposes of calculating the pass-through rate, the pass-through rate is defined as the cumulative amount of the two elements listed below divided by the price paid to the subcontractor or the vendor:

1) Any and all indirect costs including, but not limited to, program management, subcontract management, invoice processing, Quality Assurance, overhead, material handling charges, G&A, burdens and mark-ups;

and

2) Any and all prime contractor profit or fee.

The Prime Contractor shall not apply any additional fees or burdens on the elements of pass-through.

Other than the elements of pass-through, no additional costs, charges, indirect rates or fees shall be proposed or applied to subcontracts costs.

For purposes of the maximum pass-through, any effort provided by a division, subsidiary or any other entity of the prime contractor shall not be considered subcontracted effort and all fee/profit must be provided at the prime level subject to the limitations specified in this contract.

Other Direct Costs: Unless otherwise authorized at the order level, no fee is allowed on Other Direct Costs. Indirect cost elements such as G&A and material handling may be applied but shall not include fee.

PERFORMANCE BASED STATEMENT OF WORK (PBSOW)

1.0 BACKGROUND

The Naval Air Warfare Center Aircraft Division (NAWC-AD) Aircraft Prototype Systems Division (APSD, AIR

5.2.8), an AIRWorks aligned organization, has a requirement for Contractor support inclusive of supplies and services.

The primary mission of APSD is to support warfighter needs through the use of innovative prototyping engineering systems solutions with a main focus on avionics and mission systems upgrades. The primary products of APSD are prototype air vehicle modification, mission systems, aircraft stores and support equipment designs, build to print technical data packages, kits and installed systems for test and evaluation of new systems and capabilities as well as fleet introduction. APSD also provides reverse engineering of aircraft structures, analysis and technical data package updates. As a member of the AIRWorks team, the complexity of requirements will vary from non-complex build to print fabrication efforts to highly complex complete systems of systems integration or mission systems development programs requiring many specialized capabilities, facilities and testing requirements. APSD classifies these programs as follows: Tier II Integrations Programs inclusive of systems of systems, highly complex systems engineering, very large diverse team requirements, high capacity or specialized facilities, developmental ground and flight test capabilities and potentially multiple year schedules. Tier III Integration programs may include integration of a single system capability, reduced complexity, a minimally diverse team requirement, and small scale facilities may be appropriate. Projects classified below Tier III are reserved for fabrication or non-complex requirements with minimal or no integration requirements. Additionally, the timeline for these programs may include requirements that span from rapid response with immediate full capability upon award to multi-year programs. Tier I programs are reserved for full air or ground vehicle development programs and are not anticipated to be supported by this vehicle.

This contract contains two Lots, as defined in Section 3.0, with Lot I consisting primarily of Tier II requirements and Lot II consisting of Tier III requirements and below.

APSD supports these programs through the following resources: civilian Government engineers and artisans, Contractors operating under the Air Vehicle Modification & Instrumentation (AVMI) services contract, on-site in

Government spaces and Contractors through the APSD Prototyping and Limited Production Contract.

APSD operates in accordance with AS9100C and the Naval Aviation Maintenance program (NAMP).

Due to frequent changes to Documents and Directives, it is expected and required that the most current version will be used. The exception to this is the NAVAIRINST 3710.1G which will be the version at contract award. Links to frequently used directives are: http://quicksearch.dla.mil/; https://directives.navair.navy.mil/.

3.0 SCOPE

APSD supports numerous US Navy, Marine Corps, Coast Guard, other DoD and Other Government Agency (OGA) projects, requiring security protection beginning at GENSER Secret and ranging upward to Top Secret. Platforms supported may include aircraft in the Department of Navy and Marine Corps inventory as well as other DoD services and possibly civilian aviation platforms.

Projects expected to be supported by APSD will require collection and delivery of required material and resources, flexibility in approach to projects, and partnering with other National and private sector operations. As a member of the NAVAIR AIRWorks organization, these projects may originate in any NAWC-AD competency, Program

Office, or outside agency. The priority of projects may range from traditional acquisition timelines to urgent operational response programs with National priority and immediate operational deployment requirements. The scale of these projects will range from non-complex build to print fabrication or installations efforts lasting several weeks to highly complex complete systems of systems integration and mission systems development efforts lasting several years.

http://quicksearch.dla.mil/ https://directives.navair.navy.mil/

The concept of operations for APSD is as follows: Upon receipt of initial requirements, APSD will evaluate priority, scope, current workload, projected workload, material and skills required. APSD will make a determination as to the staffing approach as one of three approaches: (1) Full organic, (2) Collaborative joint Government and

Contractor team, or (3) Contractor team, working from a Government developed specification, with Government oversight, inspection and support. APSD will also take the availability of or special requirements for facilities into account in this decision process.

The scope of this PBSOW of this contract is to cover all phases of these projects from feasibility studies and concept development through prototype development, systems integration laboratory standup and testing concluding with production in limited quantities to meet test and evaluation, fleet evaluation or urgent fielding requirements. The typical deliverable product will be a prototype, validation and verification system(s) or unit(s) and a set of engineering drawings and data with rights sufficient to perform large quantity replication, sustainment and future upgrade/modification of the system or unit. The Contractor may be required, at its facilities, to produce a limited number of production units while larger production contracts (outside of the scope of this contract) are put into place.

DESCRIPTION OF LOT I AND LOT II

The requirements supported by this contract will be assigned either a Lot I or Lot II designation.

LOT I – The unrestricted portion consists of requirements which are of greater complexity. These are representative of Tier II requirements.

LOT II – The small business set-aside portion consists of requirements which are of lesser complexity. These are representative of Tier III and below requirements.

Assignment of materialized requirements to LOT I or II is at the discretion of the Delivery Order/Task Order

(DO/TO) Contracting Officer. In making this determination, the Government will consider a combination of, but not limited to, the following elements for assignment to LOT I and LOT II:

a. Degree of system complexity
