About this file
This document contains a pre-proposal information form and questions and answers related to solicitation N00024-21-R-4490 issued by the Naval Sea Systems Command for docking selected restricted availability on USS Mitscher and USS Iwo Jima. The solicitation seeks maintenance, modernization, and repair services for the two ships starting in January 2022. Offerors must register in SAM and monitor beta.SAM.gov for solicitation documents and amendments. The availability is not set aside for small businesses due to its complexity, magnitude, and duration. The document provides clarification on growth management requests, changes, new work definitions, and scheduling of growth work identified in notes to the solicitation. Two separate awards are expected to be made by October 2021 for work to be performed at contractor facilities on the East Coast.

| Contracting Officer: Elizabeth Feliciano | (202)781-1049 | |||||||
| Contract Specialist: Danielle Bences | (202)781-3732 | |||||||
| Contract Specialist: Katie Daniels | TBD | |||||||
| Master # | Date of Request: | Section | Work Items/CSWT # | Para. # | Page #: | Attach. # | Contractor Question | Government Response |
| 7 | 7/1/21 | Soliciation | Please explain the Government's intent with respect to the statement on pg 129 of the Solicitation STANDARD FORM 33, “LOE to Completion labor hours and material are within scope and pricing of this contract and are not subject to an equitable adjustment under FAR 52.243-1 ‘Changes – Fixed Price’. The utilization of LOE to Completion is at the discretion of the Contracting Officer and subject to the schedule phasing identified in Note F.”, and identify under the FAR how the Contracting Officer is able to pre-determine that 75,847 hours and $2,078,980 materials to be in scope when the government is unable to define the scope and schedule for that work. Additionally, please identify the Contracting Officer’s basis for pre-determining that the changes clause is not applicable to this undefined scope. Please correct the hours and material to match the latest pricing workbook. | |||||
| --The LOE to Completion CLIN authorizes NAVSEA to order a specified number of man-hours and associated material for growth work related to the work items identified in the corresponding FFP CLIN and necessary for completion of the specific ship availability. This does not encompass growth provided for under the Changes clause. |
--The material and number of hours is based on an estimate that is derived from relevant, comprehensive, and detailed historical data regarding prior, similar ship-repair efforts from the last several years.
--LOE to Completion labor hours and material are within the scope of the work stated in the contract. Therefore, they may not be used to (1) direct a change as defined in FAR 52.243-1 Changes – Fixed Price or (2) change any of the terms or conditions of the contract. The LOE to Completion CLIN is designed to address the practical challenges of ship repair.
--Hours and material in the solicitation match the latest pricing workbook.
| 8 | 7/1/21 | Soliciation | Please identify if a bidder will be excluded from award on the sole basis of taking an exception to any portion of the following clause on pg 129 of the Solicitation STANDARD FORM 33, “LOE to Completion labor hours and material are within scope and pricing of this contract and are not subject to an equitable adjustment under FAR 52.243-1 ‘Changes – Fixed Price’. The utilization of LOE to Completion is at the discretion of the Contracting Officer and subject to the schedule phasing identified in Note F.” If yes, please identify the portion(s) that a bidder is required to accept as a condition of award. | In accordance with Section L. III.C, Alteration of Solicitation, “1. Offerors shall respond to the solicitation as posted. Offerors who alter the solicitation (except for completing appropriate “fill-in” blocks and certifications) may be considered non-responsive and thus ineligible for award.” An offeror is required to accept what is stated in the solicitation and sign the SF 33 with all amendments acknowledged. |
| 9 | 7/1/21 | Soliciation | Please explain the Government's intent with respect to the statement "the mix of labor hours and material may be adjusted" in paragraph 2 of NOTE A on pg 129 of the Solicitation STANDARD FORM 33. | The mix of labor hours and material may be adjusted based on Growth Management Requests, but adjustments may not result in the dollar value of each CLIN listed on Note A, 1.a and 1.b being exceeded. |
| 10 | 7/1/21 | Soliciation | Please confirm that the Government concurs that the Labor Hours and material values in paragraph 1.a of Note A on pg 129 of the Solicitation STANDARD FORM 33 will be changed only by mutual agreement of the Parties. | Do not concur. Section B, Note A, paragraph 2, states, “Adjustments to the labor hour and material mix will be documented via weekly Technical Direction Letter (TDL) and subsequently unilaterally adjusted via contract modification. The Government reserves the right to reconcile the weekly TDLs via unilateral modification at the Administrative Contracting Officer’s (ACO) discretion.” |
| 11 | 7/1/21 | Soliciation | Note B on the Solicitation STANDARD FORM 33 pg 130 refers to "New Work." The Solicitation STANDARD FORM 33 does not define the term "New Work." Please explain what the Government considers to be "New Work" and also confirm that "New Work" does not include Change pursuant to FAR 52.243-1 or DFARS 252-217-7003. | Solicitation Section C, C-217-H005 GROWTH AND NEW WORK (NAVSEA) (JAN 2019), provides: “New work is distinguished from [growth work or] over and above work and is outside the scope of the competitively procured requirement. New work will be approved in accordance with FAR Part 6 and associated policies and procedures.” New work does not include Change pursuant to FAR 52.243-1 or DFARS 252.217-7003. |
| 12 | 7/1/21 | Soliciation | NOTE E of the Solicitation STANDARD FORM 33 at pg 135 refers only to growth items. Please confirm that the Government intends Note E to apply to growth items and change. Will the Government revise this Note to identify that it applies to both growth and change. | Do not concur. Note E applies only to growth with a price of $25,000 or less. |
| 13 | 7/1/21 | Soliciation | NOTE F of the Solicitation STANDARD FORM 33 at pg 136 states that "The Contractor shall schedule the performance of all Base and Option items in the work package, so as to permit a contract scope increase up to the: |
• Total contract wide number of labor hours and material dollars to complete growth work as described in NOTE A: LEVEL OF EFFORT TO COMPLETION –SHIP REPAIR, paragraph 1.
• Total contract wide number of Small Value Dollar Growth occurrences as described in NOTE E: SPECIAL AGREEMENT FOR GROWTH WITH A PRICE OF $25,000 OR LESS, paragraph 2.
Please confirm that the requirement in NOTE F of the Solicitation STANDARD FORM 33 pg 136 to allow scheduling all Base and Option items to include a scope increase plus the amount of LOETC identified in NOTE A applies only to the amount of labor hours and materials dollars specifically stated in NOTE A.
| First, the language from Note F is misquoted in the question. The language of Note F applies only to the amount of labor hours and material dollars to complete growth work described in Section B, Note A (as may be adjusted pursuant to paragraph 2 of Note A) and the hours and material dollars required to complete the Small Dollar Value Growth occurrences of Note E. Note F does not apply to changes as contemplated by the Changes clause. | ||||
| 14 | 7/1/21 | Soliciation | Paragraph 2 of NOTE F of the Solicitation STANDARD FORM 33 pg 136 states that it applies to LOETC in NOTE A and SDVG in NOTE E and references only growth work. Please confirm that the Government intends NOTE F to apply to small dollar value change in addition to small dollar value growth. Will the Government revise to NOTE F to clarify what that NOTE applies to? | Do not concur. Note F applies only to growth work. |
| 15 | 7/1/21 | Soliciation | Please confirm that NOTE F of the Solicitation STANDARD FORM 33 pg 136 will apply to and incorporate any additional CLINs the Government adds to fund completion of LOETC work. | Note F applies to CLINs listed on Note A, 1.a and 1.b; and Note E, 2.a and 2.b. |
| 16 | 7/1/21 | Soliciation | Please confirm that the limits to ordering of growth work set in paragraph 3 of NOTE F of the Solicitation STANDARD FORM 33 pg 136 shall include all LOETC growth work and all SDVG growth and change work performed under the contract. | Note F, paragraph 3, applies to LOETC growth work and small dollar value growth performed under the contract. Note F does not apply to changes as contemplated under the Changes clause. |
| 17 | 7/1/21 | Soliciation | Paragraph 1.13 of the Solicitation STANDARD FORM 33 pg 142 of the Scope of Work states that "In the event a growth requirement is validated and fully scoped, the Government may generate a RCC or GMR (in support of an LOE to Completion Request)". Please confirm that the Government will issue a GMR for LOETC Growth and Requests for Contract Change (RCCs) will be issued only for Change under FAR 52.243-1 or DFARS 252-217-7003. | Concur. |
| 18 | 7/1/21 | Soliciation | The contract invokes C-217-H005 of the Solicitation STANDARD FORM 33 pg 159. That clause references "growth and new work" and defines growth work as being the same as "over and above work" as defined by DFARS 252.217-7028. However, the clause does not define what is meant by the term "new work." For the purposes of this clause and the contract in general, please define the term "new work." | C-217-H005(c) states "New work is distinguished from over and above work and is outside the scope of the competitively procured requirement. New work will be approved in accordance with FAR Part 6 and associated policies and procedures." |
| 19 | 7/1/21 | Soliciation | Paragraph 6.9 of the Solicitation STANDARD FORM 33 pg 149 of the Scope states that C-217-H005 does not apply to CLINs: 0046 – 0111 and 0228 - 0254. If that clause does not apply to these CLINs, then the definition of growth work provided in that clause do not apply to the identified CLINs. Please identify the definition of "growth work" to be used for CLINs: 0046 – 0111 and 0228 - 0254. | The definition of growth is the same for the CLINs identified in the question. “Growth” is work discovered during the course of performing overhaul, maintenance, and repair efforts that is (1) within the general scope of the contract; (2) not covered by the line item(s) for the basic work under the contract; and (3) necessary in order to satisfactorily complete the contract. |
| 20 | 7/1/21 | Soliciation | Regarding the government’s blanket statement, on page 136 “that the growth work identified in Section B, Note F, Paragraph 1, above, if tasked, shall be performed, purchased and installed concurrently with the work items, without impacting, accelerating, or causing delay or disruption to the work required by the base and option work items, to any other Government contract, or to any other work in progress for the Government.”, please identify the specific schedule of definitization for the approximately 75,000 hrs during period of performance, to include labor category. | The general schedule for definitization is included in Note F paragraph 3. There is no predetermined schedule or labor breakdown beyond that contained in paragraph 3, as the growth work is not definitized to that level granularity. Offerors should use business judgement considering the specific work items included in the solicitation. |
| 21 | 7/1/21 | Soliciation | In response to the COPA requirements identified in Section C Paragraph 1.13 and the requirements of CDRL A002, please identify the time |
(In Calendar Days), the Government will adjudicate a Request for Contract Change (RCC) or Growth Management Request (in support of a LOE to Completion request). This finite information is required to determine feasibility of schedule adherence of the base package and large undefined work requirements identified at Note A (1).
It depends on the complexity of the GMR or RCC, as well as the completeness, quality and reasonableness of the COPA received.
