SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

The following have been added by full text:

L-209-H009 NOTIFICATION OF POTENTIAL ORGANIZATIONAL OR PERSONAL CONFLICT(S) OF

INTEREST (NAVSEA) (APR 2022)

(a) Offerors are reminded that certain existing contractual arrangements may preclude, restrict or limit participation, in whole or in part, either as a subcontractor or as a prime contractor under this competitive procurement. Of primary concern are those contractual arrangements in which the Offeror provides support to SEA21I, or related laboratories (if applicable), in support of operation of the office or any of its programs. General guidance may be found in FAR 9.505; however, this guidance is not all-inclusive. The Offeror's attention is directed to the "Organizational Conflict of Interest" (OCI) or similar requirement which may be contained in current or completed contract(s) which prohibits the prime or subcontractor from providing certain supplies or services to the Government as described above during the period of the current "support" contract(s) or for a period after completion of the "support" contract(s). Notwithstanding the existence or non-existence of an OCI or similar requirement in current or completed contract(s), the Offeror shall comply with FAR subpart 9.5 and identify whether an OCI exists and not rely solely on the presence of an OCI or similar requirement.

(b) Offerors also are reminded that certain potential conflicts of interest may arise where an Offeror has unequal access to nonpublic information about a competitor that may provide the Offeror with an unfair competitive advantage and preclude, restrict or limit participation, in whole or in part, either of the individual, subcontractor or prime contractor under this competitive procurement. For example, a potential conflict may arise if former Department of Navy employee(s), subcontractors, or teaming partners of the Offeror may have gained access to nonpublic information about a competitor through participation in previous or ongoing performance or during the solicitation development/source selection process associated with this competitive procurement, and then participates in the formation of the Offeror’s proposal. Other potential conflicts of interest may arise where either the former Department of Navy employee(s), subcontractors, or teaming partners of the Offeror under this competitive procurement set the ground rules for competition; for example, by drafting specifications or assisting in the drafting of the statement of work. General guidance may be found in FAR 3.101 and 9.505; however, this guidance is not all-inclusive.

(c) If an Offeror identifies a potential conflict of interest that exists at any tier, that Offeror is requested to notify the Contracting Officer within 14 days of the date of this solicitation. The Offeror shall provide: (1) the contract or previous source selection’s solicitation number and name and phone number of the Contracting Officer for the contract which gives rise to a potential conflict of interest; (2) a copy of the requirement; (3) the statement of work and technical instruction from the existing contract, as applicable; (4) a brief description of the type of work to be performed by each subcontractor under the competitive procurement; (5) a brief description of the individual’s, subcontractor’s, or teaming partner’s unequal access to nonpublic information about a competitor, which may lead to a conflict of interest in the formation of the Offeror’s proposal, or establishment of ground rules for this competitive procurement, as applicable; (6) an OCI mitigation plan, as applicable; and (7) any additional information the Contracting Officer should consider in making a determination of whether a conflict of interest exists. The Government may independently verify the information received from the Offeror. The requirement to identify potential conflicts of interest as outlined herein continues until contract award. Notwithstanding the above, the Government reserves the right to determine whether a conflict of interest exists based on any information received from any source.

(d) The Government will notify an Offeror of any conflict of interest within 14 days of receipt of all required information. Those Offerors deemed to have a conflict of interest may be ineligible for award. Failure to provide the information in a timely manner does not waive the Government's rights to make a conflict of interest determination. The Offeror is notified that if it expends time and money on proposal preparation, such expenditure is at its own risk regardless of whether the Government determines a personal or organizational conflict of interest does or does not exist.

(e) Any potential prime contractor which proposes an individual, subcontractor, or teaming partner later determined to have a conflict of interest and deemed ineligible to participate in the current competition, may not be granted the opportunity to revise its proposal to remove the ineligible individual, subcontractor or teaming partner. The Government reserves the right to determine which Offerors remain in the competitive range through the normal source selection process.

(f) If the Offeror determines that a potential organizational and/or personal conflict of interest does not exist at any tier, the Offeror shall include a statement to that effect in its response to this solicitation.

(End of provision)

The following have been modified:

Section L – Instructions, Conditions and Notices to Bidders

SECTION L

1.0. General

The solicitation will be made available only through the internet at:

https://SAM.gov

Offerors are hereby notified that from time to time, the Government may post additional information to https://SAM.gov relating to this solicitation (e.g. responses to questions, amendments, etc.). It is the Offeror’s responsibility to check the web site for any such information.

The Offeror shall submit all information required by this solicitation and must demonstrate an understanding of and ability to meet all of the requirements set forth in Section C, the Statement of Work (SOW), referenced herein.

Throughout the proposal, the Offeror shall provide sufficient detail to substantiate the validity of all statements.

Failure to comply with the terms and conditions of the solicitation may result in the Offeror being removed from consideration for award. Offerors are required to submit a proposal encompassing all items listed in Section B herein. The Offeror’s proposal must consist of Volumes I and II, as noted in the Table below. Volume I shall contain proposal information addressing the technical and past performance factors described below. Volume II shall contain the Offeror’s proposed cost and supporting cost data, as well as the solicitation documents, including the completed and signed SF33, as described below. Volumes I and II shall follow the instructions for content and format as described in Section L and shall fully address the requirements described in Section C, Statement of Work. Only one https://sam.gov/ https://sam.gov/ offer will be accepted from each Offeror. No alternative proposals will be accepted by the Government. Each Offeror shall submit only one proposal that represents its best approach to meeting the requirements of the solicitation.

Proposals that only provide general statements that the Offeror can or will comply with the requirements, that standard procedures will be used, that well known techniques will be used, or paraphrasing the solicitation’s requirements in whole or in part, will NOT constitute compliance.

Offerors are advised to submit Proposals that are complete and clear in all respects without the need for additional explanation or information. Offerors are cautioned that, in accordance with the “Instruction to Offerors— Competitive Acquisitions” clause (FAR 52.215-1), the Government intends to award a contract on the basis of initial proposals received, without discussions. Therefore, each proposal shall contain the Offeror’s best terms from a cost/price and technical standpoint. The Government, however, reserves the right to conduct discussions and request proposal revisions, if necessary. Each factor will be evaluated on how well the response meets the requirements of the solicitation. The proposal that thoroughly addresses all of the solicitation requirements may be evaluated superior to the proposal that minimally addresses solicitation requirements under evaluation factors.

Data previously submitted, or presumed to be known, e.g., previous projects performed for the Government, will not be considered in the evaluation unless that information is physically contained in the proposal. Offerors are advised that the Government may selectively verify any information provided in the proposal.

e) Level of security clearance (if held)

In the event the Offeror has not identified a firm candidate for a proposed non-key personnel labor category, Offeror shall include the word “pending” in lieu of an individual’s name. Offerors shall propose firm candidates for key personnel labor categories (consistent with the resumes provided, as required in Section L-3.2.1 above.). Offerors who minimize the number of non-key personnel labor categories for which candidates have not been identified may be evaluated more favorably. Information provided in the Staffing Plan will not be used to evaluate the qualifications of personnel. It will be used for the limited purpose of evaluating the degree to which the Staffing Plan is consistent with the Offeror’s proposal, and demonstrates the Offeror’s understanding of and ability to execute the requirements of Section C. Additionally, it will propose firm candidates that clearly maps to the labor categories and hours designated in the solicitation and is consistent with the personnel, labor categories and hours listed in the Offeror’s Cost Proposal.

3.3 Factor 3 – Past Performance

Offerors should provide information (see Exhibit (B) Past Performance Data) on at least three (3) previous Government contracts whose effort is recent and relevant to the effort required by this solicitation. Recent is defined as a contract (or subcontract) in-progress or completed within the last five (5) years from the date of this RFP. If the Offeror has not had three (3) Government contracts within the last five (5) years, information on relevant subcontracts and/or commercial contracts may be submitted instead. The information must clearly show that the work by the Offeror was done as a Prime Contractor or Subcontractor. Relevant is defined as a contract that is of similar scope, magnitude, and complexity to the requirements set forth in this solicitation. The Government considers the following to be relevant: receipt, inspection, survey, maintenance and disposal of vessels; structural, mechanical, and electrical modifications to vessels. Failure to submit any past performance information shall be considered certification (by signature on the proposal) that the Offeror has no past performance for like or similar items for the Government to evaluate. Offerors are urged to verify accuracy of all data provided.

In addition to the information requested above, Offerors shall contact their past performance references indicated in Exhibit (B) and request that each reference complete Exhibit (C) (Past Performance Questionnaire) and e-mail the completed survey form directly to Government POCs listed in Section 1.1 FOR RECEIPT BEFORE THE CLOSING DATE OF THIS SOLICITATION. These questionnaires, when filled out by the selected references, shall be sent by the reference directly to the POCs, and SHALL NOT be sent via the Offeror or any other party. Any questionnaires received directly from the Offeror are NOT ACCEPTABLE, and will not be considered. It is the Offeror’s responsibility to ensure that its selected references submit the completed questionnaires to the POCs for receipt on or before the required proposal due date. Any questionnaire received after the proposal due date will be late and may not be considered in the Offeror’s past performance evaluation. The Government, in its discretion, will determine whether to consider questionnaires received after the due date of the solicitation.

Offerors are advised that (1) the Government may contact any or all references listed in the proposal and other third parties, unreferenced customers, agencies, Offerors, consumer protection organizations, etc. for performance information; (2) the Government reserves the right to use any such information received as part of its evaluation of the Offeror’s past performance; and (3) if the Offeror omits projects of which the Government evaluation team is aware or becomes aware, customer assessments may be sought from the relevant organizations. Since the Government may not necessarily interview all of the sources provided by the Offeror, it is incumbent upon the Offeror to explain the relevance of the data provided. The Government shall make the determination as to the relevance of an Offeror’s past performance. The burden of providing thorough and complete past performance information remains with the Offerors.

For each listed contract, for the Prime and significant subcontractors, the Offeror shall prepare a self-assessment narrative about its performance on the contract and specific details describing why the contract was or was not successful. Offerors who describe similar contracts and subcontracts should provide a detailed explanation demonstrating the similarity of the contracts, and the work that they performed on those contracts, to the requirements of this solicitation and Section C. Each narrative shall be in the following format:

(a) Contract number.

(b) Customer’s name, address, telephone number, and a point of contact (whether Government or Commercial), and whether the Offeror was the prime Contractor or a Subcontractor. Examples of POCs are a DCMA Administrative Contracting Officer or Program Integrator (PI), a Government Contracting Officer’s Representative (COR) or Government Program Manager (PM).

(c) Contract type.

Control of cost type contracts, including any cost growth and the reason for the cost growth, any problems encountered and the Offeror’s corrective actions, CPI data at contract completion; the timeliness of performance, including initial contractual delivery dates and actual delivery dates, and SPI data at the temporal midpoint of the program schedule.

(2) For Fixed Price Type Contracts: Initial award price, and the final price at contract completion, or if still active, the anticipated contract value; separately identify the initial and final prices of contract changes awarded during performance of the contract.

(e) Period of Performance.

Identify items delivered or to be delivered, the required delivery dates stated at contract award, the latest modified delivery date as stated in the contract, and the actual or anticipated delivery dates. If any item was delivered later than the contractually required delivery dates or if the contractually required delivery dates were re-negotiated or restated for any reason, explain the circumstances causing the late delivery or the restatement. If any item was delivered that was incomplete or with known/identified fixes or updates post-delivery, please explain the circumstances and period of time required to receive the fixes/updates.

(f) Product Description

Brief product description, including quantities, hours, and stage of acquisition (i.e., development or production).

(g) Quality Assurance:

The Offeror shall address (i) the quality of the products and/or services, (ii) experience introducing innovations and overcoming obstacles to introducing new technologies, (iii) cost growth, material problems, manufacturing problems, quality problems, labor problems, facility problems, and delivery delays should be disclosed and fully explained. The Offeror shall describe the extent to which it has achieved its small/small disadvantaged business utilization and other applicable goals (see Small Business Participation section) during its prior contracts. SF 294s for relevant completed and ongoing contracts for the past 3 years must be included in the information provided. If the goals were not achieved, the Offeror shall explain why these goals were not achieved. SF 294s shall be excluded in the page limitation for this volume.

The Government will also use Contractor Performance Assessment Reporting System (CPARS) and Past Performance Information Retrieval System (PPIRS) as a sources of past performance information. If Offerors are aware of any negative information in CPARS, they may address any extenuating or mitigating circumstances in this section. The Government may also use sources such as Federal Awardee Performance and Integrity Information System (FAPIIS) Electronic Subcontract Reporting System (eSRS), or other databases; and may be obtained from other sources available to the Government, such as the Defense Contract Management Agency; and interviews with Program Managers, Contracting Officers, Fee Determining Officials.

4.0 Volume II – Cost Proposal/Factor 4

4.1 General Cost Information

NO COST INFORMATION SHALL BE SUBMITTED IN ANY VOLUME OTHER THAN THIS COST

VOLUME II AND CONTRACTS DOCUMENTS VOLUME III. Electronic copies of the cost volume shall be submitted as a separate file. All MS Excel files must have formulas clearly evident, editable, and functioning. MS Excel spreadsheets must be linked to other cells within the same workbook or worksheet (e.g., direct labor = hours x direct labor rate). Cells may not be linked to cells in other workbooks (i.e., separate files). The cost volume shall consist of the following:

A. Release of Cost Information: All cost information submitted is for the exclusive use of authorized representatives and will be treated as business confidential and will not be publicly disclosed. Where a request for disclosure of such cost information is submitted to the Government pursuant to the Freedom of Information Act (5 U.S.C. 552a), the Government will not disclose Offeror’s cost information if public disclosure of such information would substantially harm the Offeror in its competitive position. In order to help ensure non-disclosure, the title page of the cost proposal and other sheets of proposal data should be marked with restrictive legends and the cost proposal shall be enclosed and marked “COST

INFORMATION – NOT TO BE PUBLICLY DISCLOSED”.

B. Offeror’s shall include in their cost proposals 1) the source of approval and the latest date of approval for the Offeror’s Accounting System, 2) the source of approval and the latest date of approval of the Offeror’s Purchasing System, and 3) the source of approval and latest date of determination of adequacy approval for the Offeror’s Disclosure Statement pursuant to FAR 30.201-3 and FAR 52.230-1. Offeror’s are cautioned that this contract contains cost reimbursement provisions and a cost reimbursable contract may only be awarded to an Offeror that meets the qualifications set forth in FAR 16.301-1.

C. Costs for all priced CLIN(s) shall be based on the level of effort provided with this solicitation. The cost proposal is the Offeror’s estimate of the cost and fee to perform the work described in this solicitation’s Statement of Work, utilizing the directed level of effort. The Navy will use the cost proposal to determine each Offeror’s projected cost to the Government, so it is important that the cost proposal be accurate and complete. The projected cost to the Government will be based upon an analysis of the completeness, realism, and reasonableness of the cost proposal (per FAR 15.404-1). Based upon such analysis, a projected cost to the Government for the Offeror will be calculated to reflect the Navy’s estimate of the Offeror’s probable costs. Therefore, any inconsistency, whether real or apparent, between promised performance and cost or price should be explained in the cost volume. The Government may request a full audit of Offerors rates. All labor and burden rates proposed will be compared to any available DCAA recommended rates. Any deviation from the DCAA recommended rates must be fully substantiated for the proposed rates to be accepted by the Navy in calculating the projected cost to the Government. The burden of proof for cost credibility rests with the Offeror.

D. Unrealistically low-cost estimates, initially or subsequently, may be grounds for eliminating a proposal from competition either on the grounds that the Offeror does not understand the requirement or that it has made an unrealistic proposal. If the Government determines an Offeror’s estimates to be inexplicably low, that Offeror may be eliminated from the competition without further discussion.

E. Consistency between the technical and cost proposals will be evaluated as part of the projected cost to the Government. An Offeror whose cost proposal is inconsistent with its technical proposal may be eliminated from the competition.

F. Government Fiscal Year (GFY) as used herein is defined as 01 October through 30 September. All Offerors shall clearly state their accounting-system defined Contractor Fiscal Year (CFY) (e.g., starts on DD-MM and concludes on DD-MM) and apportionment method used to generate GFY rates using CFY-based rates (for example, if an Offeror’s CFY 2021 runs from September 1, 2020 through August 31, 2021, in order to convert rates from CFY 2021 to GFY 2021, the Offeror would apportion 11/12 from CFY 2021 and 1/12 from CFY 2022).

G. Failure of the Offeror and its subcontractors to provide the required cost information may render the proposal non-responsive and the Offeror may be removed from competition. The Offeror shall modify the Cost Element Summary Spreadsheets (Attachment J-2) as needed to reflect the Offeror’s proposed costs in accordance with their accounting system; however, all information required within each cost exhibit must be included. The Offeror must submit these cost exhibits in unprotected Excel format, with clearly visible formulas, links, and tracking information for each cell. All fields must be editable. Spreadsheets submitted in Adobe Portable Document Format (PDF) will not be accepted.

H. Offerors are required to propose pricing for each CLIN listed in TABLE L-1 below, except for CLIN 0X03 which is not separately priced. The Government will not evaluate any pricing for CLINs not listed in

TABLE L-1.

TABLE L-1 Priced CLINs

CLIN EFFORT

0X01 Base Services – Hawaii 0X02 Base ODC’s - Hawaii 0X03 Data (Not Separately Priced)

NOTE: The above description and effort for each CLIN is applicable to the base and all option years. The first two digits denote the year of the contract, while the last two digits denote the CLIN. For example, 0X01 would utilize CLINs 0001, 0101, 0201, 0301. CLIN 0001 covers base services for the base year, CLIN 0101 covers base services for option year 1, and so on.

I. The following issues should be addressed, as necessary, in the Cost Proposal: (1) Any inconsistency between the Offeror’s established estimating and accounting practices and procedures and FAR Part 31 Cost Principles. (2) Whether the Offeror is, or may be, in noncompliance with its Disclosure Statement; or whether any aspect of this proposal is inconsistent with the Offeror’s disclosed practices.

4.2. Cost Proposal Instructions

The following sections set forth instructions concerning information to be included in each Offeror’s cost proposal:

1. CLIN PRICING

The Offeror’s proposed estimated cost for the CLINs in Section B shall be based upon the directed level of effort and the corresponding Statement of Work in Section C. Offerors shall propose labor rates that reflect the types of work and labor trades required to perform the efforts in the Statement of Work in Section C.

The Offeror shall provide their independent cost analysis and fully explain any factors necessary to explain proposed direct and indirect rates applied to labor, travel and material.

2. COST DATA REQUIREMENTS

Two general categories of cost data are required to be submitted with the proposal. The first category explains the estimating rationale and assumptions used in developing the proposal. The second category is the detailed cost estimating sheets supporting the Offeror’s estimates, provided herein as Attachment J-2.

This category also traces proposed costs for the directed level of effort by CLIN.

3. ESTIMATING RATIONALE

Each Offeror shall fully explain the estimating rationale on which its proposal is based, including full supporting rationale for proposed prime and significant subcontractor direct labor and indirect rates. Full supporting rationale includes both numeric projections and complete, clearly written explanation. The Offeror shall include as a minimum:

As detailed in Section L-3.1, NOTE: Subcontractors are deemed “significant” if the subcontractors consist of the lesser of either of the following thresholds:

1. $13.5M or more worth of effort on the contract, or

2. They contribute more than the pertinent cost or certified pricing data threshold and more than 10% of the prime contractor’s proposed price.

Subcontractor proposals are not required for those subcontractors that do not meet one of those thresholds.

a. Detailed estimating documentation for all CLINs labor skill mix, which at a minimum will be captured in Key Personnel labor categories (i.e. Project Manager, Safety Manager).

b. Direct labor rates and indirect rates for the proposed labor categories and other proposed costs, including escalation. Rationale for indirect rates shall include formulas and the basis of estimates (BOE). Indirect rates Copies of Forward Pricing Rate Recommendations (FPRR), Forward Pricing Rate Agreements (FPRAs), approved provisional billing rates (PBRs), and Forward Pricing Rate Proposals (FPRP) as applicable. If the Offeror’s proposed rates are different from the most current FPRR, FPRA, FPRP, or PBR the Offeror must provide supporting back-up documentation, which fully supports the rates the Offeror is proposing. Offerors shall provide full supporting detail (i.e.

the actual data used to derive the proposed rates, such that an evaluator can clearly duplicate the proposed rate using the methodology used to derive the proposed rate) for workload assumptions in their rate submissions. The Offeror SHALL NOT merely provide an estimating rationale without providing the data and methodology used to derive the proposed rate.

c. Any estimated material, anticipated to be a direct cost under this contract, shall be provided by all Offerors for any CLIN awarded…
