CLAUSES INCORPORATED BY FULL TEXT

HQ C-2-0013 CONTRACTOR PROBLEM IDENTIFICATION REPORTS (NAVSEA) (MAY 1993)

(a) Contract Problem Identification Reports (CPIRs) shall be used by the Contractor for the purpose of alerting the Government to actual or potential contract problems and of establishing an early dialogue between the Contractor and the Government with regard thereto.

(b) A "contract problem" is a fact or circumstance of which the Contractor is aware that does, will or reasonably is anticipated to (1) have a significant or substantial impact on the delivery schedule or completion of contract performance or the cost of performance of the contract (increase or decrease) or (2) requires modification to the contract or specification(s). The terms "significant" and "substantial" shall be interpreted in the same manner as they would be interpreted by a reasonably prudent business person under the relevant circumstances.

(c) The Contractor shall report each contract problem promptly and in no event later than ten (10) calendar days, after the Contractor identifies such contract problem. A written CPIR shall be transmitted via the Administrating Contracting Officer (ACO) to the Procuring Contracting Officer and to the cognizant technical code. Each CPIR shall be entitled "Contract Problem Identification Report", shall be dated, numbered sequentially and shall set forth the following based on the best and most complete information then known or available to the Contractor:

(1) The nature of the contract problem;

(2) The date on which the contract problem arose and the date on which the contract problem was identified as such;

(3) The anticipated direct and consequential effects of the contract problem upon the delivery schedule or completion of contract performance or the cost of performance of the contract;

(4) Identification of the supplies and/or services which are or may be affected; and

(5) The Contractor's recommended solution to the reported contract problem.

(d) Follow up status reports of each contract problem, identified by the original CPIR number, shall be furnished monthly or more frequently as required by the Contracting Officer. A final follow up report shall be furnished immediately following resolution of each contract problem.

(e) CPIRs shall not be submitted when notice of the same contract problem is required to be furnished to the Government pursuant to any other requirement of this contract. The submission of a CPIR, however, does not relieve the Contractor of its obligations to provide notice required under any other requirement of this contract.

52.246-19 WARRANTY OF SYSTEMS AND EQUIPMENT UNDER PERFORMANCE SPECIFICATIONS

OR DESIGN CRITERIA (MAY 2001). APPLICABLE TO CLINS 1005, AND IF OPTIONS ARE EXERCISED, 2001, 3001, 4001, AND 5001.

(b) Contractor's obligations. (1) The Contractor's warranties under this clause shall apply only to those defects discovered by either the Government or the Contractor for a minimum of one (1) year, and three (3) years on the hull from the date the boat enters service with the Navy's end user. Notification of official in-service date will be provided to the builder by the U.S. Navy Boat Inventory Manager and will be no longer than one (1) year after acceptance at the delivery location by the Navy.

(2) If the Contractor becomes aware at any time before acceptance by the Government (whether before or after tender to the Government) that a defect exists in any supplies or services, the Contractor shall (i) promptly correct the defect, or (ii) promptly notify the Contracting Officer, in writing, of the defect, using the same procedures prescribed in paragraph (b)(3) of this clause.

(3) If the Contracting Officer determines that a defect exists in any of the supplies or services accepted by the Government under this contract, the Contracting Officer shall promptly notify the Contractor of the defect, in writing, within 90 days after discovery of the defect. Upon timely notification of the existence of a defect, or if the Contractor independently discovers a defect in accepted supplies or services, the Contractor shall submit to the Contracting Officer, in writing, within 21 days after notification/discovery a recommendation for corrective actions, together with supporting information in sufficient detail for the Contracting Officer to determine what corrective action, if any, shall be undertaken.

(4) The Contractor shall promptly comply with any timely written direction from the Contracting Officer to correct or partially correct a defect, at no increase in the contract price.

(5) The Contractor shall also prepare and furnish to the Contracting Officer data and reports applicable to any correction required under this clause (including revision and updating of all other affected data called for under this contract) at no increase in the contract price.

(6) In the event of timely notice of a decision not to correct or only to partially correct, the Contractor shall submit a technical and cost proposal within 60 days after discovery of the defect. to amend the contract to permit acceptance of the affected supplies or services in accordance with the revised requirement, and an equitable reduction in the contract price shall promptly be negotiated by the parties and be reflected in a supplemental agreement to this contract.

(8) The Contractor shall not be responsible under this clause for the correction of defects in Government-furnished property, except for defects in installation, unless the Contractor performs, or is obligated to perform, any modifications or other work on such property. In that event, the Contractor shall be responsible for correction of defects that result from the modifications or other work.

(9) If the Government returns supplies to the Contractor for correction or replacement under this clause, the Contractor shall be liable for transportation charges up to an amount equal to the cost of transportation by the usual commercial method of shipment from the place of delivery specified in this contract (irrespective of the f.o.b. point or the point of acceptance) to the Contractor's plant and return to the place of delivery specified in this contract. The Contractor shall also bear the responsibility for the supplies while in transit.

(10) All implied warranties of merchantability and "fitness for a particular purpose" are excluded from any obligation under this contract.

(c) Remedies available to the Government. (1) The rights and remedies of the Government provided in this clause--

(i) Shall not be affected in any way by any terms or conditions of this contract concerning the conclusiveness of inspection and acceptance; and

(ii) Are in addition to, and do not limit, any rights afforded to the Government by any other clause of this contract.

(2) Within 21 days after discovery of the defect after receipt of the Contractor's recommendations for corrective action and adequate supporting information, the Contracting Officer, using sole discretion, shall give the Contractor written notice not to correct any defect, or to correct or partially correct any defect within a reasonable time at Navy custodian's facility.

(3) In no event shall the Government be responsible for any extension or delays in the scheduled deliveries or periods of performance under this contract as a result of the Contractor's obligations to correct defects, nor shall there be any adjustment of the delivery schedule or period of performance as a result of the correction of defects unless provided by a supplemental agreement with adequate consideration.

(4) This clause shall not be construed as obligating the Government to increase the contract price.

(5)(i) The Contracting Officer shall give the Contractor a written notice specifying any failure or refusal of the Contractor to--

(A) Present a detailed recommendation for corrective action as required by paragraph (b)(3) of this clause;

(B) Correct defects as directed under paragraph (b)(4) of this clause; or

(C) Prepare and furnish data and reports as required by paragraph (b)(5) of this clause.

(ii) The notice shall specify a period of time following receipt of the notice by the Contractor in which the Contractor must remedy the failure or refusal specified in the notice.

(6) If the Contractor does not comply with the Contracting Officer's written notice in paragraph (c)(5)(i) of this clause, the Contracting Officer may by contract or otherwise--

(i) Obtain detailed recommendations for corrective action and either--

(A) Correct the supplies or services; or

(B) Replace the supplies or services, and if the Contractor fails to furnish timely disposition instructions, the Contracting Officer may dispose of the nonconforming supplies for the Contractor's account in a reasonable manner, in which case the Government is entitled to reimbursement from the Contractor, or from the proceeds, for the reasonable expenses of care and disposition, as well as for excess costs incurred or to be incurred;

(ii) Obtain applicable data and reports; and

(iii) Charge the Contractor for the costs incurred by the Government.

PART 3 – STATEMENT OF WORK, DESIGN, PRODUCTION AND DOCUMENTATION

PART 1 - GENERAL STATEMENT OF WORK

This Statement of Work (SOW) defines the effort required for the design, construction, testing, configuration and program management for the acquisition of up to fifty (50) Patrol Boat X (PB-X), and the effort required for the program management, installation, testing, and documentation.

Only the Procuring Contracting Officer (PCO) and Administrative Contracting Officer (ACO) have the authority for the U.S. Navy to authorize or change work and sign contract documents. No other personnel are authorized by their formal communications or by their course of conduct to commit the U.S. Navy to price changes, schedule changes, or to perform different or additional work. The Contractor shall only execute tasking or requests for support under this contract when such direction comes from, or is agreed to by, the PCO or the ACO.

The award of the contract does not indicate that the Government has approved or certified the design provided with the proposal. The Contractor shall remain fully responsible for delivering the ship which meets the requirements of this Contract.

Background

The Navy is recapitalizing the Navy Expeditionary Combat Command’s (NECC) 25 feet and 34 feet Patrol Boats (Force Protection boats) that are currently in use with the NECC Coastal Riverine Force (CRF). Subject to annual appropriations, the Navy intends to replace approximately 100-160 of these boats over the next 15 years with a larger craft with a nominal length of 40 feet. Current boats OCONUS operate approximately 3,000 hours per year and boats located CONUS operate approximately 1,000 hours per year. Given the high annual number of operational hours on the water and number of craft, a simple, reliable and easy to maintain design is highly desired.

The high number of boats in inventory and annual operating hours elevate the importance of Total Ownership Cost in this program. The Government is highly interested in design approaches that: 1) minimize fuel consumption; 2) minimize systems and components; 3) maximize scheduled maintenance intervals; 4) have lower scheduled maintenance costs (labor and materials); 5) leverage the Navy’s 3M program; 6) provides commonality with other fielded systems; and 7) minimize maintenance training for the end user.

Intent of the Statement of Work

The following is intended to describe the Government’s planned implementation of the SOW. Award of this contract does not guarantee all of these efforts will be conducted. The Contractor will only conduct efforts upon award of specific delivery order invoking the CLIN’s in Section B in accordance with the detailed description in Parts 2 and 3 of the SOW and the contract. The following high level description provides an overview of the detailed requirements in the subsequent sections of the SOW and the remainder of the contract.

Quantities

The initial 5-year Indefinite Delivery, Indefinite Quantity (IDIQ) contract is for a planned eighteen (18) boats.

There is a potential for additional funding over the course of the contract to: 1) procure additional boats for reserve forces, other Government agencies and foreign military sales and 2) accelerate procurement of boats intended for active duty forces, therefore the maximum IDIQ limit has been established at fifty (50). In accordance with FAR Clause 52.216-19, the minimum guarantee is three (3) boats.

Design, Management and Production

The Contractor will be responsible for managing all activities (design, engineering, logistics, testing and production) under this contract for successful execution. After award the Government will conduct a series of Design Reviews and a Production Readiness Review(s) with the Contractor that will occur prior to the start of Initial Production.

Initial Production will result in two (2) boats that will be delivered to the Government for initial testing and training.

Any configuration modifications resulting from testing will be incorporated into the baseline design via a contract modification before proceeding to Follow-on Production.

Data

The Program will pay for Design development (PDR/CDR) and a Design Data package in the initial phase of the contract. The Technical Data Package will be delivered with each boat sufficient to support operation, training, maintenance, repair and upgrade through the service life of the boat.

In addition, to support follow-on competitive contract awards of additional boats of the same configuration, the Government desires a Production Level Data Package including all data necessary sufficient for a competent boat builder to manufacture the boat without any help beyond the provided Data Package.

Government Furnished Equipment

The Government is working with other Government agencies to procure various components of the Government tactical electronics package which will be provided as Government Furnished Equipment (GFE) to the Contractor for integration to each boat during its production phase. The Contractor will be responsible for receipt and safe storage of Government Furnished Equipment (GFE), and then installation, testing and proper operation onboard the boat.

Data Rights

In order to support follow-on competitive contract awards of additional boats of the same configuration, the Government desires Government Purpose rights to all drawings, designs, specifications, production engineering data and work packages per DFARS clause 252.227-7013 (Rights in Technical Data –Non-Commercial Items) that would permit another qualified contractor to produce the same configuration.

Preservation, Delivery and Spares

Boats will be delivered to east and west coast stock points and fielded to units in ‘lots’ that replace existing boats.

Due to anticipated staggered delivery from the Contractor, when ordered, some boats will be preserved for long term storage (up to twelve (12) months) in accordance with FAR 52.246-19. Early boats will be delivered with an interim spares package via the PIO CLIN that supports the boats until the Navy supply system is populated.

Training

The Contractor will develop and provide initial crew familiarization to the training elements of various units within the command structure. Currently, approximately ten (10) familiarization classes are planned with one (1) in FY19 in conjunction with Initial Production boats and the remainder spread out over FY19, FY20 and FY21.

Additionally, the Contractor will provide OEM engine and waterjet training aids delivered to east and west coast locations and OEM conducted classes at Navy provided facilities using those training aids. Currently, approximately four (4) of each OEM (engine/jet) training classes are planned with one (1) each (engine/jet) in FY19 in conjunction with Initial Production boats and the remainder spread out over FY19, FY20 and FY21.

Miscellaneous Technical and Production Support

A PIO CLIN has been included in order to facilitate ordering support or materials not originally envisioned at the time of award but that become evident over the conduct of the contract. If a part breaks during Government testing that is not covered under warranty, the Government may order, via the PIO CLIN, a replacement part and installation services at the Governments test location as a corrective action.
