SUMMARY OF CHANGES

SECTION H - SPECIAL CONTRACT REQUIREMENTS

The following have been modified:

SECTION H

H-1 Task Order Pricing Procedures for Firm Fixed Price (FFP) Line Items (CLINs 0X01 and 0X02)

The following procedures shall be utilized for issuance of task orders for FFP CLINs referenced in Section B. The

CLIN Unit Prices shall be established in each task order and will utilize the Unit Prices listed in Attachment 7, Unit

Price Matrix (FFP).

(a)

(1) Each Task Order (T/O) will be established for a single aircraft Bureau Number (BUNO):

i. Once a task order has been established, it shall be modified for all subsequent requirements for that aircraft BUNO.

ii. For pricing all subsequent T/O modifications, the task unit price chosen from Attachment 7, Unit

Price Matrix, shall correspond with the fiscal year in which the modification is issued.

(2) Each individual T/O will identify the specific FFP tasks required, based on the CLINs chosen (0X01 and/or

0X02) and the task quantities procured under each CLIN.

(3) The process for deriving the CLIN Unit Price applies to all FFP CLIN 0X01 and 0X02 line items.

(4) The CLINs may consist of one or more chosen tasks, dependent upon the requirements per aircraft BUNO.

(b)

(1) From the list of tasks identified in Attachment 7, Unit Price Matrix (FFP), select the required task(s) per aircraft BUNO and the corresponding unit price(s). Unit prices for each task will be selected from

Attachment (7) based on the ordering period in which the T/O or modification to the T/O is issued:

i. For CLINs 0001, 0002 utilize Base Year Ordering Period unit prices

ii. For CLINs 0101, 0102 utilize Option 1 Ordering Period unit prices

iii. For CLINs 0201, 0202 utilize Option 2 Ordering Period unit prices

(2) Sum total the unit prices of the chosen tasks, to derive the unit price for each CLIN.

(3) Each T/O shall document in Attachment 9, Task Order Summary, a list of the specific tasks chosen including the task unit prices.

H-2 Task Order Pricing Procedure for authorizing Labor Hour (LH) Line Items (CLINs 0X03, 0X04, 0012, Option Items 0110 and 0210)

The following procedures shall be utilized for issuance of task orders or task order modifications for LH CLINs referenced in Section B.

(a)

(1) Labor hour line items may be procured concurrently or individually, as required.

(2) The “Maximum amount” listed per Labor Hour CLIN in Section B equals the total estimated ceiling (in dollars).

(b)

(1) As detailed in clause H-3, upon approval of the OAWR by the ACO, the corresponding hourly rate as identified in Section B shall be multiplied by the approved quantity of hours required for the Over and

Above, deriving a total amount. The hourly rate utilized will be based on the ordering period in which the

T/O or the T/O modification is issued:

i. For CLINs 0003, 0004, 0012 utilize Base Year Ordering Period hourly rates

ii. For CLINs 0103, 0104, 0110 utilize Option 1 Ordering Period hourly rates

iii. For CLINs 0203, 0204, 0210 utilize Option 2 Ordering Period hourly rates

(2) Should the Contractor not expend the amount of hours by which the task order was awarded, the excess amount may be reduced to recover excess funds.

(3) Invoicing shall be based on actual labor hours utilized.

H-3 OVER AND ABOVE WORK REQUEST PROCEDURES (Applicable to CLINs 0X03, 0X04, 0X05, 0X07, 0012, 0110 and 0210)

When the contractor identifies additional Engineering, Artisan labor and/or parts/material needed in support of inspections, repairs and modifications, that are over and above the requirements of the contract and recommends corrective action during contract performance, in accordance with DFARS 252.217-7028, "Over and Above Work, herein, and subject to funding limitations under the Over and Above CLINs (0X03, 0X04, 0X05, 0X07, 0012, 0110 and 0210) established in Section B, the following procedures apply:

(1) The contractor shall prepare and submit the applicable Over and Above Work Request (OAWR) Form including similar information as required by CDRL A009, OAWR, to the DCMA Representative listed in

Supplement 1 to the Exhibits, for authorization to proceed. The contractor shall certify in the OAWR that the work is not covered by the fixed price maintenance effort. The Contractor shall also provide in their basis of estimate any pricing adjustments due to crossing of periods of performance. The Contractor shall compile a list of all nonconformances (O&A) by BUNO and submit to DCMA for review and authorization. The Contractor shall initiate and continuously update this list during the course of performing the T/O.

(2) The contractor shall use the OAWR to describe the over and above work that needs to be performed, to include at a minimum the following:

(a) Date of the initiation

(b) T/O

(c) Assigned O&A Work Request Number

(d) Initiator of the document

(e) Aircraft BUNO or SE Serial Number

(f) Component Serial Number

(g) Work Unit Code

(h) Malfunction Code

(i) When Discovered Code

(j) Part number

(k) Nomenclature

Quality control personnel are those persons who apply standards to finished work or products to determine that finished production work is serviceable in all respects.

(4) The DCMA Representative will review the OAWR submitted by the contractor, and then forward the form to the ACO with a recommendation of approval or disapproval.

(5) The ACO will take one of the following actions after submittal of recommendation:

(a) Disapprove the OAWR.

(b) Authorize the OAWR via a task order modification in accordance with the procedures set forth in clause H-2.

Authorized direct parts or material required to perform the OAWR shall be reimbursed at cost under the

"O&A Parts and Materials" Line Item. Written notification from the ACO shall constitute authorization to proceed performance of the repair or replacement IAW authorized OAWR. A copy will also be provided to the QAR and the F/A-18 A-D COR.

(i) A contract modification (Standard Form 30) will be issued to the task order.

(1) The “Maximum amount” listed in Section B for CLIN 0X06 equals the total estimated ceiling (in dollars).

a. For CLINs 0X06, the estimated cost amount is derived from the total anticipated maximum number of hours, in accordance with NAVAIR clause 5252.216-9506, Minimum and Maximum

Quantities multiplied by the corresponding hourly rate, established for each labor category as identified in Attachment 16, Labor Hour Matrix.

b. The hourly rate by labor category will be selected from Attachment 16, Labor Hour Matrix will be based on the ordering period in which the T/O or T/O modification is issued:

i. For CLIN 0106 utilize Option 1 Ordering Period hourly rates

ii. For CLIN 0206 utilize Option 2 Ordering Period hourly rates

H-5 Pricing of Technical Directives not currently released prior to award

The

Contractor hereby agrees that the Contractor shall not subcontract any portion of this effort to The Boeing Company or any of its subsidiaries.

H-8 Rights for Technical Data Preservation of Rights for Technical Data, Computer Software, and Computer

Software Documentation Accessed, Delivered, or Provided Electronically

Information, whether delivered pursuant to the Contract Data Requirements List (CDRL) or provided in response to any other requirement contained in this contract, which would be deemed "technical data" under DFARS 252.227-

7013, Rights in Technical Data-Noncommercial Items (FEB 2014), or "computer software" and "computer software documentation" under DFARS 252.227-7014, Rights in Noncommercial Computer Software and Noncommercial

Computer Software Documentation (FEB 2014), if it were delivered in written form, shall not lose its status as technical data, computer software, or computer software documentation solely because access by the Government, delivery by the Contractor, or provision by the Contractor is by electronic means. The rights of the parties shall be as specified in DFARS 252.227-7013 and DFARS 252.227-7014.

SECTION I - CONTRACT CLAUSES

52.216-19 ORDER LIMITATIONS (OCT 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than the value of the minimum requirement as defined in NAVAIR Clause 5252.216-9506, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor--

(1) Any order for a single item in excess of the value of the maximum requirement as defined in NAVAIR

Clause 5252.216-9506 ;

(2) Any order for a combination of items in excess of the value of the maximum requirement as defined in

NAVAIR Clause 5252.216-9506 ; or

(3) A series of orders from the same ordering office within N/A days that together call for quantities exceeding the limitation in subparagraph (1) or (2) above.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal

Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the

Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) above.

(d) Notwithstanding paragraphs (b) and (c) above, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 7 days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

52.243-7 NOTIFICATION OF CHANGES (APR 1984)

(a) Definitions. "Contracting Officer," as used in this clause, does not include any representative of the

Contracting Officer. "Specifically authorized representative (SAR)," as used in this clause, means any person the

Contracting Officer has so designated by written notice (a copy of which shall be provided to the Contractor) which shall refer to this subparagraph and shall be issued to the designated representative before the SAR exercises such authority.

(b) Notice. The primary purpose of this clause is to obtain prompt reporting of Government conduct that the

Contractor considers to constitute a change to this contract. Except for changes identified as such in writing and signed by the Contracting Officer, the Contractor shall notify the Administrative Contracting Officer in writing, within 7 calendar days from the date that the Contractor identifies any Government conduct (including actions, inactions, and written or oral communications) that the Contractor regards as a change to the contract terms and conditions. On the basis of the most accurate information available to the Contractor, the notice shall state--

(1) The date, nature, and circumstances of the conduct regarded as a change;

(2) The name, function, and activity of each Government individual and Contractor official or employee involved in or knowledgeable about such conduct;

(3) The identification of any documents and the substance of any oral communication involved in such conduct;

(4) In the instance of alleged acceleration of scheduled performance or delivery, the basis upon which it arose;

(5) The particular elements of contract performance for which the Contractor may seek an equitable adjustment under this clause, including--

(i) What contract line items have been or may be affected by the alleged change;

(ii) What labor or materials or both have been or may be added, deleted, or wasted by the alleged change;

(iii) To the extent practicable, what delay and disruption in the manner and sequence of performance and effect on continued performance have been or may be caused by the alleged change;

(iv) What adjustments to contract price, delivery schedule, and other provisions affected by the alleged change are estimated; and

(6) The Contractor's estimate of the time by which the Government must respond to the Contractor's notice to minimize cost, delay or disruption of performance.

(c) Continued performance. Following submission of the notice required by (b) above, the Contractor shall diligently continue performance of this contract to the maximum extent possible in accordance with its terms and conditions as construed by the Contractor, unless the notice reports a direction of the Contracting Officer or a communication from a SAR of the Contracting Officer, in either of which events the Contractor shall continue performance; provided, however, that if the Contractor regards the direction or communication as a change as described in (b) above, notice shall be given in the manner provided. All directions, communications, interpretations, orders and similar actions of the SAR shall be reduced to writing and copies furnished to the

Contractor and to the Contracting Officer. The Contracting Officer shall countermand any action which exceeds the authority of the SAR.

(d) Government response. The Contracting Officer shall promptly, within 7 calendar days after receipt of notice, respond to the notice in writing. In responding, the Contracting Officer shall either--

(1) Confirm that the conduct of which the Contractor gave notice constitutes a change and when necessary direct the mode of further performance;

(2) Countermand any communication regarded as a change;

(3) Deny that the conduct of which the Contractor gave notice constitutes a change and when necessary direct the mode of further performance; or

(4) In the event the Contractor's notice information is inadequate to make a decision under (1), (2), or (3) above, advise the Contractor what additional information is required, and establish the date by which it should be furnished and the date thereafter by which the Government will respond.

(e) Equitable adjustments.

(1) If the Contracting Officer confirms that Government conduct effected a change as alleged by the Contractor, and the conduct causes an increase or decrease in the Contractor's cost of, or the time required for, performance of any part of the work under this contract, whether changed or not changed by such conduct, an equitable adjustment shall be made--

(i) In the contract price or delivery schedule or both; and

(ii) In such other provisions of the contract as may be affected.

(2) The contract shall be modified in writing accordingly. In the case of drawings, designs or specifications which are defective and for which the Government is responsible, the equitable adjustment shall include the cost and time extension for delay reasonably incurred by the Contractor in attempting to comply with the defective drawings, designs or specifications before the Contractor identified, or reasonably should have identified, such defect. When the cost of property made obsolete or excess as a result of a change confirmed by the Contracting Officer under this clause is included in the equitable adjustment, the Contracting Officer shall have the right to prescribe the manner of disposition of the property. The equitable adjustment shall not include increased costs or time extensions for delay resulting from the Contractor's failure to provide notice or to continue performance as provided, respectively, in (b) and (c) above.

NOTE: The phrases "contract price" and "cost" wherever they appear in the clause, may be appropriately modified to apply to cost- reimbursement or incentive contracts, or to combinations thereof.

All proposals must clearly and convincingly demonstrate that the Offeror has a thorough understanding of all requirements and associated risks; is able, willing, and competent to devote the resources necessary to meet all requirements; and has valid and practical solutions for all requirements and potential risk areas. The Offeror shall not alter or rearrange the solicitation. The burden of proof for all substantiation within the proposal rests with the Offeror. Offerors are advised that the US Government may incorporate any part of the Offeror’s proposal deemed beneficial to the US Government, into the final contract.

With the exception of Annex B (Small Business Subcontracting Plan); Volume 4 Price; and Volume 5 Contract

Administration, no price should appear in any other volume. Alternate proposals will not be accepted.

In presenting material in the proposal, the Offeror is advised that quality of information is more important than quantity. Clarity, brevity, and logical organization should be emphasized during proposal preparation. It is the responsibility of the Offeror to present enough information to allow the various work efforts, support, and management approaches, as well as price, to be meaningfully evaluated. Unsubstantiated statements that the Offeror understands, can or will comply with the specifications, or paraphrasing the requirements or parts thereof are considered inadequate and may render a rating of unacceptable.

The Offeror shall include any data necessary to illustrate the adequacy of the various assumptions, approaches, and solutions to problems. There is no need to repeat information in more than one volume. The detailed information must be included in the most logical place and summarized and referenced in other areas if an overlap exists.

Unnecessarily elaborate brochures or other presentation materials beyond that sufficient to present a complete and effective proposal is neither necessary nor desired.

Throughout these instructions, Offeror is defined as the prime contractor with its CAGE/NCAGE code identified in

Block 15A on Standard Form (SF) 33, Solicitation, Offer, and Award. A “Joint Venture” (JV) is a partnership or teaming arrangement that is formed for the purpose of responding to this solicitation when the prime contractor consists of more than one legal entity. A “JV Team Member” is defined as one of the entities that make up a JV or any other partnership or teaming arrangement formed for the purpose of responding to this solicitation. The term

“entity” is used to mean any or all of the following: prime contractor, JV, critical team members, JV team members, any subcontractor, and corporate parent, division, subsidiary, or affiliate (e.g. any contractor with a different

CAGE/NCAGE code/DUNS than the Offeror). A “principal subcontractor” is defined as a subcontractor who provides at least 10% of the proposed total price (excluding the Offeror’s profit/fee) for the contract. “Critical team member” is defined as one of the entities of the Offeror that perform a critical technical function (i.e.

Security/Safeguarding, MAUS inspections and aircraft X-Rays) in the performance of the resulting contract.

Only the following entities will be used in the past performance evaluation: (a) the prime contractor; and (b) critical team members (c) JV Team Members and (d) principal subcontractors (excluding the Offeror’s profit/fee). These entities are considered relevant entities and only relevant entities will be used in the past performance evaluation.

All other entities will be considered non-relevant. The Offeror must demonstrate through the price proposal and/or other proposal information that these entities meet the definition of a relevant entity, or the US Government may deem the entity to be not relevant and thereby not include them in the past performance evaluation.

2.0 PROPOSAL FORMAT AND SUBMISSION

Proposals must be formatted using a Times New Roman 12 point normal font (no reduction permitted), single-spaced with 1-inch margins all around, and formatted for/printed on standard 8.5 x 11 inch paper. All pages should be numbered with volume, paragraph, and page numbers. When fold-out pages are used, they must not exceed 11 x

17 inches and will be counted as 1 page. Drawings/Diagrams may be provided separately and may be any size but should be folded to approximately 8.5 x 11 inch standard size and will count as 1 page. If the Offeror uses graphs to convey information the graphs must show enough detail to easily discern the information described. Graphs and tables shall be presented in no smaller than a 10 pt font. Graphs should contain a grid, which allows values to be read directly from the graph to the same detail that a 10 x 10 to the ½ inch grid provides. Graphic resolution should be consistent with the purpose of the data presented. Text utilized in charts, figures, and graphics shall also be no smaller than a 10pt font and may use a font type selected by the Offeror. Each volume, book, or annex shall be provided separately in a 3-ring binder. The binders should be of an appropriate thickness for the number of pages it contains (e.g., a 30-page book should not be placed in a 2-inch binder).

2.1 Electronic Submission of Proposal

This section is intended to provide information to the Offeror on the electronic format and application software to be used for submitting proposals. Use of the software and procedures described in this section will reduce the amount of time and effort needed to receive and install proposals onto the electronic evaluation system, and will ensure that the proposals received are suitable for reading electronically.

2.1.1 Electronic Proposal Media

The Offeror should submit all volumes of its proposal electronically on CD-ROM(s) compatible with the operating system and applications defined in Section 2.1.2 below. The Offeror should put as much proposal material as possible on each CD-ROM, keeping the portions of the proposal that contain pricing information on separate CD-

ROM(s) from the portions of the proposal that do not contain pricing information. For this solicitation, Annex B

(Small Business Subcontracting Plan)); Volume 4 Price; and Volume 5 Contract Administration contain price information and should be delivered on separate CD-ROM(s) from the remainder of the proposal. Gen Inst Table 2

(Proposal Structure) identifies the number of sets of CD-ROMs that contain its proposal the Offeror should submit.

The first set of CD-ROM disks should be marked "Original." Subsequent sets of CD-ROM disks should be marked

"Copy 1, Copy 2, etc.” The sets of CD-ROM disks should be clearly marked with the Offeror's name and address, the point of contact's name and phone number, date of submittal and proposal volumes contained therein. The

Offeror is responsible for ensuring electronic proposals are virus free in accordance with Section 2.1.4. If a discrepancy exists between the original paper copy of the proposal and the disk copy, the disk copy shall take precedence.

2.1.2 Operating System and Applications

The proposals will be accessed utilizing the Microsoft Windows 7 Professional Operating System. The Offeror shall submit two identical proposals in separate, electronic versions: one version in Portable Document Format (.pdf) and one version in Microsoft Office 2010 Applications (Microsoft Word, Microsoft Excel, Microsoft PowerPoint, and

Microsoft Project). The .pdf document must be fully searchable. The Offeror is responsible for ensuring that the

.pdf and the appropriate Microsoft Office 2010 applications versions contain identical information. The US

Government shall have the discretion to use the information in either version, and shall not be responsible for any differences in content between the two proposal formats submitted by the Offeror. Use of other application software for submission of proposals is prohibited except where specific instructions for non- PDF or Office 2010 applications are provided.

2.1.3 Hyperlinks

Offerors may use hyperlinks within and among proposal Volumes 1 through 3.There shall be no links from Volumes

1 through 3 into Volume 4. However, in Volume 4, links to other Volumes may be used.

2.1.4 Virus Free Electronic Submission

Offerors are responsible for ensuring that its electronic proposal is virus free. The Offeror shall certify, in its proposal cover letter, that all electronic proposal information has been checked and is virus free, and specify the software, version, and virus definition used to check the data. With each subsequent submission of proposal information (e.g., responses to Evaluation Notices, Final Proposal Revisions, etc.), the Offeror shall ensure and certify that its files are virus free.

2.1.5 Multimedia

The Offeror should not embed sound or video (e.g., MPEG) files within the proposal submission.

2.1.6 Graphics

Large files require greater computer system resources and are discouraged. The Offeror is encouraged to:

a. Simplify the color palette used in creating figures;

b. Minimize size of graphics files; and

c. Avoid scanned images.

2.1.7 Evaluation Hardware

The source selection facility uses the following type workstation computer systems and printers.

ITEM EQUIPMENT

Workstations Intel® Core ™ Duo CPU or better

2.94 GB RAM

CD-ROM Drive

Windows 7 Operating System

Network Printers Xerox Phaser 6350DP PS

2.1.8 File Naming Conventions

There is no limit to the number of files that may be submitted. However, unless otherwise stated, it is preferable that each volume, book, or annex not be broken up into multiple electronic files. Valid extensions for files using their associated applications follow:

Type of Application/Files Valid Extensions

Portable Document Files .pdf

Microsoft Word documents .docx

Microsoft Excel documents .xlsx

Microsoft Power Point .pptx

Microsoft Project .mpp

Files should have the following naming convention ("#" represents the sequential numbering of files and the suffix is for illustration, and may be .pdf, .docx, .xlsx, .pptx, or .mpp). For electronic file submissions (e.g. proposal volumes, annexes, appendices, enclosures) the Offeror should follow the basic structure of the file naming convention suggested in Table Gen Inst 1 (Offeror Electronic File Naming Convention). Offeror’s shall keep the file name as short as possible (under 40 characters) so that it is accessible on US Government share drives. The

Offeror shall ensure that the electronically submitted file names are directly traceable to hard copy submittals. In general, the Offeror should provide each binder (e.g. volume, book, or annex) as one separate file (i.e. do not provide each section/paragraph as separate files).

PART B SPECIFIC INSTRUCTIONS

1.0 VOLUME 1 –EXECUTIVE SUMMARY

Note: This volume shall not contain any reference to price aspects of the offer.

The following is a list of Attachments that the Offeror shall utilize to provide information for this volume:

L-1 Executive Summary Tables (ES-1 (Offeror Summary) and ES-2 (Relevant Contract Summary))

The purpose of the Executive Summary is to provide the US Government with an overview of the Offeror’s entire proposal, excluding price. Each section within the Executive Summary shall contain the salient points contained in each of the proposal volumes. In addition, this volume should be used by the Offeror to identify and highlight significant features of its proposal. The Executive Summary volume should be divided into the areas outlined below:

a. Offeror Summary Table

(1) The Offeror shall complete Table ES-1 (Offeror Summary), provided in L-1 (Executive Summary Tables), according to the instructions within the attachment, and submit it within this section and as a separate electronic file. This table summarizes the Offeror and its entities’ (the prime contractor, JV, JV Team

Members, any principal subcontractor, critical team members and any corporate parent, division, subsidiary, or affiliate) proposed type and level of work, indicating a commitment to that effort during contract performance. Offerors are advised that in order to demonstrate work commitment, each entity identified in Table ES-1 (Offeror Summary) must be identified in the Price Volume and associated with a dollar value commensurate with the Percent of Total Proposed Price identified in Table ES-1 (Offeror

Summary). Therefore, this table must be a reflection of what is proposed in the Price Volume.

http://iase.disa.mil/pki/eca/index.html https://pma265.navair.navy.mil/

(2) The Offeror shall provide a written explanation if multiple CAGE/NCAGE codes/DUNS for the same physical location are provided in Table ES-1 (Offeror Summary). The written explanation shall detail the distinct roles and responsibilities for entities with different CAGE/NCAGE codes/DUNs at the same physical location for where the work is being performed or from where the work is being directed. The description shall include all changes in the organization as a result of a corporate acquisition, reorganization, merger, or other administrative reason.
