SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS
The following have been modified:
1.0 INSTRUCTIONS FOR THE SUBMISSION OF PROPOSALS
1.1 INTRODUCTION
a. A single, concise and comprehensive proposal is required. Organization, clarity, accuracy of information, relevance, and completeness are of prime importance. The proposal shall be complete and clear in all respects without the need for additional explanation or information. The proposal shall be in sufficient detail and scope to permit the Government to evaluate it with respect to the evaluation factors specified in Section M of the solicitation.
b. Unnecessarily elaborate submissions beyond that sufficient to present a complete and effective proposal are not desired. Offerors shall confine their submission to essential matters, sufficient to define their offer, and provide an adequate basis for evaluation. Likewise, offerors are cautioned against general, vague, or unsubstantiated statements, which prevent or render difficult the Government’s evaluation of the proposal. Statements such as "will comply," or "noted and understood" without supporting narrative to define how compliance will be achieved may be deemed insufficient and cause an offeror to be evaluated as unacceptable. Moreover, the Government may not assume that an offeror possesses any capability, understanding, and/or commitment that is not specifically delineated and supported in its respective proposal.
c. As prescribed by 52.215-1, the Government may award on the basis of initial offers received, without discussions. Therefore, each initial offer should contain the offeror’s best terms from a price and technical standpoint.
d. Proposals submitted for consideration for award must address the full scope of the solicitation. Proposals which address only part of the solicitation will be considered unacceptable. Multiple proposals from an offeror will not be accepted.
e. Sealed proposals shall be hand delivered to the location listed below by 2:00 PM EST on 18 February 2021. Any proposal received after such time and date will be considered a late submission. Late submissions will be treated in accordance with FAR 52.215-1(c)(3). Facsimile or e-mail submissions are not acceptable and will not be considered for award. Proposals shall be valid for a period of at least 6 months from the closing date listed above.
Offerors shall prominently mark all containers used for delivery of proposals with the following:
“SOLICITATION M67854-21-R-2053”
Proposals shall be hand delivered to the address listed below. Hand carried proposals shall not be delivered to the MCSC security desk.
Commander Marine Corps Systems Command 105 Tech Pkwy Stafford, VA 22556
NOTE: The building is secure, so offerors are instructed to contact either the Contracting Officer, at 703-432-8726, or Contract Specialist, at 703-432-8728, when arriving at the building so the individual delivering the proposal can be met in the lobby.
1.2 QUESTIONS
Questions regarding the solicitation documents are due by 10:00 AM local time on 15 January 2021 and must be submitted via email to lisa.burns@usmc.mil and catherine.opsahl@usmc.mil in the format listed in the following table. Please do not bundle multiple questions into one. Questions received after the above time and date may not be answered. Questions (particularly multiple, duplicate or similar questions) may be edited and, as deemed appropriate by the Contracting Officer, posted on beta.Sam.gov along with Government responses.

1.3 CONTRACTOR SUPPORT
The following vendor assisted in the development of the requirements for this solicitation and are excluded from competing for, or subcontracting on, this effort: Skylla Engineering.
2.0 PREPARATION OF PROPOSALS
Proposals shall be prepared using “Times New Roman” 12 point font style on 8½ x 11 inch white paper, with each side counting as one page. Tables and illustrations may use a reduced font style not less than 8 point. Foldouts are allowed for schematics and schedules only and shall be treated as 2 pages, impacting the pagination. Margins shall be 1 inch on all sides. All material submitted must be no less than single-spaced. Offerors shall ensure that each page provides identification of the submitting offeror in the header or footer, which may be within the 1 inch margin. Number all pages sequentially. A limit on the number of pages in the proposal has been imposed, as indicated in the sections below. In the event an offeror exceeds the maximum page limit, the Government will only evaluate the pages that comply with the maximum page number prescribed for the respective volume. All pages, or any other material in excess of the maximum number of pages stated will not be evaluated. Any proposal that is prepared inconsistently with the intent of these instructions, that appears to be designed to avoid or circumvent the page limits, or that in any way frustrates or renders more difficult the Government’s ability to evaluate offers on an equal basis may result in portions of the proposal being ignored, or the entire proposal being rejected as non-conforming.
Offeror shall submit one electronic “soft” copy (one copy of the business volume and one copy of the technical volume, on separate discs) of the full proposal using the Microsoft Office for Windows suite of applications, submitted on CD-ROM, formatted for a personal computer. Schedules shall be in MS Project or compatible format. An original and one copy of the Technical Volume in “hard’ (paper), as well as “hard” original and copy of the Business Volume, shall also be submitted.
In the event that there is a conflict between the written “hard” copy of the proposal and the electronic “soft” copy of the proposal, the soft copy will take precedence. Such conflicts may be considered as a weakness during the evaluation of the Offeror’s proposal or, depending upon the conflict’s significance, may be deemed a basis to reject the proposal.
2.1 ORGANIZATION OF THE PROPOSAL
Each Offeror shall submit their hard proposal materials in three-ring binders. Individual sections shall be removable and replaceable within the volumes. Each volume shall contain a title page, table of contents, acronym list, and list of tables and figures for that volume. Use tab separators to divide required sections within a volume. The title page, table of contents, acronym list, list of tables and figures, and tab separators do not count against the page count. Only material allocated to a specific section shall be in that section. Business and Technical Volumes shall be submitted in separate binders and, for the soft copy, on separate CDs.
The Technical Volume shall include the completed RTM showing the proposal paragraph number where an evaluator will find the narrative for any P-Spec or SOW requirement requiring discussion. The RTM will not be included as part of the page count. Appendix B shall contain any specification sheets for the proposed system as well as any empirical data including safety and testing documentation available. Appendix B shall not be used to avoid page limits by putting information there that should be provided in a different part of the proposal. The Government reserves the right to ignore portions of Appendix B that it deems excessive, beyond the desired information, or inconsistent with other portions of the proposal or the proposal instructions. The following instructions apply to the format:
| Business Volume |
| Page Limit |
| Executive Summary |

*In the event an offeror provides a proposal that is printed or copied double-sided on paper pursuant to FAR clause 52.204-4, each side of the paper shall be numbered and will represent one page.
2.2 CONTENT OF THE PROPOSAL
The following instructions are provided for the relevant portions of the proposal:
Business Volume:
Executive Summary: This section shall include a brief summary of the Offeror’s capability to accomplish the requirements of the contract. Any exceptions, deviations, conditions, understandings and/or waivers taken to any aspect of the RFP shall be identified in the Executive Summary. Keep in mind that exceptions, deviations, conditions, understandings may make a proposal unacceptable and that a waiver may not be granted. The Executive Summary shall list the offeror’s cognizant DCMA, DCAA, and DFAS payment office.
Part I. Price.
This part shall include the model contract with all proposed pricing, including a completed copy of the Standard Form 33, acknowledging any solicitation amendments, signed by a person authorized to enter into the proposed contract on behalf of the Offeror. Pricing shall be submitted in the same format as the CLIN structure in Section B and the Pricing Worksheet (Attachment 4).
For bundled costs, the phrase “Not Separately Priced” (NSP) shall be indicated for the corresponding CLIN/SLIN. The term “N/A” or Not Applicable shall only be used when the described items in the applicable CLIN/SLIN are NOT being provided.
Part II. Subcontracting/Small Business Participation.
This part shall also include the offeror’s Subcontracting Plan in accordance with FAR 52.219-9. The plan should detail how the offeror intends to meet the subcontracting goal of 30% for this contract. Furthermore, 5% of the small business subcontracting should go to small disadvantaged business(es). If the plan does not meet the small business goal of 30% or 5%, respectively, the offeror shall provide a detailed explanation as to why the goals cannot be reached. Small businesses submitting a proposal are not required to submit a subcontracting plan.
Technical Volume:
Part III. Past Performance.
The offeror shall document its most relevant past performance by identifying a maximum of three contracts for itself, or its major subcontractors (meaning one who will perform work representing at least 25% of the proposed price), with 12 months of performance occurring during the 36 months preceding proposal submission. Offerors shall provide a detailed explanation of the relevance of the listed contracts to the requirements of the solicitation. Relevance is defined as the degree of similarity between the contracts, generally with respect to—at a minimum—size, scope, and complexity.
The proposal shall contain accurate and concise information for each prior contract cited, including:
| • | Title of Contract, Contract Number, and Sponsoring Organization; |
| • | Name, mailing address, telephone and email address for the Technical POC or COR, and the Contracting Officer; |
| • | Type of Contract, Value, Award and Completion Dates; |
| • | Brief description of the supplies delivered and services performed, problems identified and corrective action taken, awards/recognition received; and |
| • | Cure/Show Cause notices received, and reasons. |
Offerors are advised that notwithstanding what is discussed above, the Government may use and evaluate independently obtained past performance data, including CPARs and other sources, as appropriate.
Part IV.
Operational Effectiveness and Supportability.
Offerors shall describe their ability to meet or exceed each of the technical requirements set forth in the P-Spec (using the RTM) and the SOW. The offeror must complete the “Met/Not Met” column for each specification to indicate whether its proposed product meets the specification, and the “Proposed Value” column to indicate the value proposed (e.g., 12 ounces, for a weight requirement). Additionally, the offeror must complete the “Proposal Reference” column of the RTM, indicating the paragraph of the proposal where an evaluator will find the detailed discussion of each PSPEC requirement requiring additional information, explanation, or discussion. Lastly, the offeror must complete the “Additional Info” column to reference any documentation or substantiation (such as analysis or test data) of its ability to meet the specification, whether included in that column or in Appendix B, Test Data. Additionally, offerors shall provide a schedule to demonstrate their ability to produce and deliver the WID MATT quantities within the required 180 day time frames. The schedule shall address production readiness and lead time for delivery. Because this is a non-developmental item, offerors should address any activities required to establish an open production line.
The technical volume shall not include any cost/pricing data.
3.0 INTENT TO INCORPORATE CONTRACTOR’S PROPOSAL
All or part of the successful offeror’s proposal may be incorporated in any contract resulting from this solicitation, including any proposed capability that exceeds a P-SPEC requirement. Nothing contained in the successful offeror’s proposal shall constitute a waiver to any threshold requirement in the PSPEC of the resulting contract. In the event of any conflict between the successful offeror’s proposal and other requirements of the resulting contract, the conflict shall be resolved in favor of the threshold requirement in the PSPEC.
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.
(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--
(1) The solicitation number;
(2) The time specified in the solicitation for receipt of offers;
(3) The name, address, and telephone number of the offeror;
(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;
(5) Terms of any express warranty;
(6) Price and any discount terms;
(7) "Remit to" address, if different than mailing address;
(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);
(9) Acknowledgment of Solicitation Amendments;
(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and
(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.
(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions, including alternative line items (provided that the alternative line items are consistent with subpart 4.10 of the Federal Acquisition Regulation), or alternative commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.
(f) Late submissions, modifications, revisions, and withdrawals of offers:
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.
(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for proposals, it was the only proposal received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers. Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.
(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.
(i) Availability of requirements documents cited in the solicitation. (1)(i) The GSA Index of Federal Specifications, Standards and Commercial Item Descriptions, FPMR Part 101-29, and copies of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained for a fee by submitting a request to--GSA Federal Supply Service Specifications Section, Suite 8100, 470 East L'Enfant Plaza, SW, Washington, DC 20407, Telephone (202) 619-8925, Facsimile (202) 619-8978.
(ii) If the General Services Administration, Department of Agriculture, or Department of Veterans Affairs issued this solicitation, a single copy of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained free of charge by submitting a request to the addressee in paragraph (i)(1)(i) of this provision. Additional copies will be issued for a fee.
(2) Most unclassified Defense specifications and standards may be downloaded from the following ASSIST websites:
(i) ASSIST (https://assist.dla.mil/online/start/).
(ii) Quick Search (http://quicksearch.dla.mil/).
(iii) ASSISTdocs.com (http://assistdocs.com).
(3) Documents not available from ASSIST may be ordered from the Department of Defense Single Stock Point (DoDSSP) by--
(i) Using the ASSIST Shopping Wizard (https://assist.dla.mil/wizard/index.cfm);
(ii) Phoning the DoDSSP Customer Service Desk (215) 697-2179, Mon-Fri, 0730 to 1600 EST; or
(iii) Ordering from DoDSSP, Building 4, Section D, 700 Robbins Avenue, Philadelphia, PA 19111-5094, Telephone (215) 697-2667/2179, Facsimile (215) 697-1462.
(4) Nongovernment (voluntary) standards must be obtained from the organization responsible for their preparation, publication, or maintenance.
(j) Unique entity identifier. (Applies to all offers exceeding the micro-purchase threshold and offers at any dollar value if the solicitation requires the Contractor to be registered in the System for Award Management (SAM).) The Offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation ``Unique Entity Identifier'' followed by the unique entity identifier that identifies the Offeror's name and address. The Offeror also shall enter its Electronic Funds Transfer (EFT) indicator, if applicable. The EFT indicator is a four-character suffix to the unique entity identifier. The suffix is assigned at the discretion of the Offeror to establish additional SAM records for identifying alternative EFT accounts (see subpart 32.11) for the same entity. If the Offeror does not have a unique entity identifier, it should contact the entity designated at www.sam.gov for unique entity identifier establishment directly to obtain one. The Offeror should indicate that it is an offeror for a Government contract when contacting the entity designated at www.sam.gov for establishing the unique entity identifier.
(k) Reserved.
(l) Debriefing. If a post-award debriefing is given to requesting offerors, the Government shall disclose the following information, if applicable:
(1) The agency's evaluation of the significant weak or deficient factors in the debriefed offeror's offer.
(2) The overall evaluated cost or price and technical rating of the successful and the debriefed offeror and past performance information on the debriefed offeror.
(3) The overall ranking of all offerors, when any ranking was developed by the agency during source selection.
(4) A summary of the rationale for award;
(5) For acquisitions of commercial items, the make and model of the item to be delivered by the successful offeror.
(6) Reasonable responses to relevant questions posed by the debriefed offeror as to whether source-selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities were followed by the agency.
