NONDISCLOSURE AGREEMENT FOR GOVERNMENT FURNISHED INFORMATION (GFI)
M67004-18-R-0014, Marine Corps Prepositioning Program Logistics Services
This Nondisclosure Agreement is in reference to the release of the Technical Library (Attachment 1) between the USMC Blount Island Command (Government) and XYZ Company (DBA: ABC Inc.). For the purpose of preventing the unauthorized disclosure of Unclassified Information (UCI) as defined below. The following is in full effect and will remain in full effect until otherwise stated and agreed to by the Government.
No data, materials, information or other items (hereinafter singularly or collectively "Items") created or provided expressly for this requirement shall be used by the Contractor for any purpose other than those that are in support of, or for performance under, this requirement without the prior written permission of the Contracting Officer. The Contractor is obligated to protect from unauthorized use or disclosure all Government Unclassified Information (UCI) and/or Government-owned proprietary, and/or Personally Identifiable Information (PII) or information related to personal privacy, and any items obtained in the course of performance under this Government contract, as long as such items remain proprietary, confidential, sensitive, or classified. Any information obtained in the course of duties, or the performance of services, under this contract including, but not limited to, information that may be made available for use that relates to the technical data, trade secrets, processes, operations, style of work, or apparatus, or to the technical data, statistical data, amount or source of any income, profits, losses, or expenditures of any person, firm, partnership, corporation, or association is included in this agreement. Contract personnel shall not publish, divulge, disclose, or make known items or information in any manner, or to any extent not authorized by the Contract without first receiving the written permission of the Contracting Officer. However, the obligation not to discuss, disclose, release, reproduce or otherwise provide or make available such items, or any portion thereof, shall continue, even after completion of this contract/order. Contractor will also ensure that any subcontractor or other companies or individuals to whom any information pursuant to this contract is released have agreed to and signed a non-disclosure agreement similar to this agreement in nature and scope. Unauthorized use also includes any future use of the information provided to obtain future government contracts or to create or make anything by which the contractor can engage in profitable activity outside this contract. Any actual or suspected unauthorized use, disclosure, release, or reproduction of any Items or violation of this agreement, of which the company or any employee is or may become aware, will be reported promptly (within one business day) to the Contractor's program manager, who will inform the Contracting Officer within 5 business days of receiving such report.
I hereby acknowledge that I have received a security indoctrination concerning the nature and protection of information to which I have been provided conditional access, including the procedures to be followed in ascertaining whether other persons to whom I contemplate disclosing this information have been approved for access to it, and that I understand these procedures.
By being granted conditional access to the information indicated above, the United States Government has placed special confidence and trust in me and I am obligated to protect this information from unauthorized disclosure, in accordance with the terms of this Agreement and the laws, regulations, and directives applicable to the specific categories of information to which I am granted access.
I attest that I understand my responsibilities and that I am familiar with and will comply with the standards for protecting such information that I may have access to in accordance with the terms of this Agreement and the laws, regulations, and/or directives applicable to the specific categories of information to which I am granted access. I understand that the United States Government may conduct inspections, at any time or place, for the purpose of ensuring compliance with the conditions for access, dissemination, handling and safeguarding information under this Agreement.
I hereby agree that material which I have in my possession and containing For Official Use Only (FOUO) information covered by this Agreement, will be handled and safeguarded in a manner that affords sufficient protection to prevent unauthorized disclosure of or inadventant access to such information, consistent with the laws, regulations, or directives applicable to the specific categories of information. I agree that I shall return all information to which I have had access or which is in my possession upon submission of a proposal, or the Request for Proposals submission date, whichever is first.
I acknowledge that the unauthorized release of acquisition information may result in the default termination of my company’s participation in this contract. Furthermore, I am aware that the unauthorized release of such information may subject me to criminal and civil penalties.
