The project requires substantial completion within 360 days and final completion within 390 days of the Notice to Proceed. The contract is awarded on a lump-sum basis for general conditions and mobilization costs (not to exceed 10 percent of total bid) and a unit price basis for approximately 295 acres of clearing and grubbing work. Bidders must submit one electronic copy, one original, and one copy of the complete bid package. Evaluation criteria include responsiveness, responsibility, technical proposal quality, and price, with final award approval by the City Council.
Bidders must submit pricing for all materials, equipment, labor, and applicable sales taxes, with the City exempt from sales tax obligations. Bid evaluation includes assessment of at least three project references demonstrating similar scope and successful completion. Bidders must provide a 5 percent bid bond at submission and 100 percent performance and payment bonds upon award. Required insurance includes Commercial General Liability ($1,000,000 general aggregate), Automobile Liability ($1,000,000 per accident), statutory Workers' Compensation, and builder's risk coverage. Potential funding sources include the State Revolving Fund Loan Program, RESTORE Act Grant Program, Florida Department of Environmental Protection Resiliency Grant Program, and other state and federal funds. The project is subject to prevailing wage requirements under the Davis-Bacon Act, American Iron and Steel provisions, equal employment opportunity requirements with minority and women business enterprise participation goals, and federal Build America, Buy America compliance. Environmental compliance includes gopher tortoise burrow protection with a 25-foot radius buffer and eastern indigo snake protection procedures with U.S. Fish and Wildlife Service notification requirements. Liquidated damages are assessed at $500 per day for delays beyond contractual completion milestones, with potential extensions up to 30 calendar days for inclement weather based on Milton Wastewater Treatment Facility records. The City reserves the right to utilize value engineering and owner-direct-purchased materials, though material purchases are not anticipated.

Effluent Sprayfields and Pipeline Route Clearing and Grubbing Project. The documents contain the necessary information for preparing and submitting your bid for this effort.

The bidder/proposer understands, agrees, and warrants:
1. These items apply to and become a part of the terms and conditions of the bid/proposal submitted. Any exceptions must be in writing.

The City of Milton specifically reserves the right to accept or reject any or all bids, to waive any technicalities and formalities in the bid process, and to award the bid in part or in any manner deemed to be in the best interest of the City.

TERMS AND CONDITIONS
Please review these Terms and Conditions carefully.
A. LICENSES/QUALIFICATIONS:
1. All Contractors, together with any Sub-Contractors, must be qualified and licensed under the applicable regulations to perform the work required herein. Contractor’s qualifications including equipment to be used for this project will be subject to review and approval by the City prior to award of bid. Contractor must be prepared to demonstrate, through previous experience and references, the ability to safely and successfully perform the work herein described.
B. INSURANCE:
1. Contractor shall obtain and maintain the minimum insurance coverage set forth below. By requiring such minimum insurance, the City of Milton shall not be deemed or construed to have assessed the risk that may be applicable to the Contractor. Contractor shall assess its own risks and if it deems appropriate and/or prudent, maintain higher limits and/or broader coverage.
Contractor is not relieved of any liability or other obligations assumed or pursuant to the Contract by reason of its failure to obtain or maintain insurance in sufficient amounts, duration, or types.

2026.01 ITB Effluent Sprayfields and Pipeline Route Clearing and Grubbing Project
PURPOSE and SCOPE OF WORK
The Work is generally described as follows: EFFLUENT SPRAYFIELDS AND PIPELINE ROUTE CLEARING AND
GRUBBING for the installation of an irrigation system for sod farming in accordance with plans and specifications that are included with this solicitation 2025.12 ITB Effluent Sprayfields and Pipeline Route Clearing and Grubbing
Project. The City of Milton's (City) Effluent Sprayfields and Pipeline Route Clearing and Grubbing (Project) potentially may utilize funding from the State Revolving Fund Loan Program, RESTORE Grant Program, Florida
Department of Environment Protection Resiliency Grant Program, and other State/Federal Funds.
A. PROJECT DESCRIPTION:
The City of Milton is seeking a qualified firm or team to clear and grub approximately 350 wooded acres in preparation for the installation of an effluent disposal system.
The Project consists of the following:
Clearing and grubbing and disposal of trees, snags, logs, brush, stumps, and rubbish from the designated areas.
The CONTRACTOR’S bid shall include the purchase of all materials and equipment, including all applicable sales taxes, required to complete the project in its entirety.
The CITY reserves the right to use Value Engineering which may be negotiated after award of the bid.
The CITY reserves the right to use Owner direct-purchased materials (ODP) which may be negotiated after award of the bid, though it is not expected that the project will require any material purchase.
• The CONTRACTOR shall prepare bills of materials for all materials and equipment required for purchase with the
CONTRACTOR’S normal suppliers in lieu of issuing a purchase order.
• The bills for materials shall be prepared as if the CONTRACTOR was issuing the purchase order himself and in accordance with the plans and specifications.
• The CONTRACTOR’S bills of materials should address the payment conditions, delivery location and all other pertinent information normally included on a CONTRACTOR’S purchase order.
• The CONTRACTOR will be responsible for proper storage in accordance with the manufacturers’ recommendations until they are incorporated into the project.

SUBCONTRACTORS:
3. Contractor may not subcontract work under this Agreement without the express written permission of the City of Milton. If Contractor has received authorization to subcontract work, it is agreed that all subcontractors performing work under the Agreement must comply with its provisions. Further, all agreements between Contractor and its subcontractors must provide that the terms and conditions of this Agreement be incorporated therein.
C. CONTINUATION DURING DISPUTES:
1. Contractor agrees that during any dispute between the parties, Contractor will continue to perform its obligations until the dispute is settled, instructed to cease performance by the City, enjoined or prohibited by judicial action, or otherwise required or obligated to cease performance by other provisions in this Agreement.
D. TERMINATION FOR CONVENIENCE:
1. The City reserves the right to terminate this Agreement in part or in whole upon thirty
(30) calendar days’ written notice.
E. LIQUIDATED DAMAGES:
1. In the event the bidder is awarded the contract and fails to complete the work within the time limit or extended time limit agreed upon, liquated damages will be paid to the City as defined in
Article 4.03 of the Agreement.
F. BID BOND
1. Each bid must be accompanied by a bid bond payable to the City for five percent (5%) of the total amount of the bid. As soon as the bid prices have been checked and compared, the City will return the bonds of all except the three lowest bidders. When the contract is executed, and the payment and performance bonds have been executed and approved, the bid bonds of the remaining bidders will be returned. A certified check may be used in lieu of the bid bond. Each bidder shall guarantee that they will not withdraw his/her bid for a period of 90 days after the bids have been opened.
G. PERFORMANCE AND PAYMENT BOND
1. A performance bond and payment bond each in the amount of 100 percent of the contract price, with a corporate surety approved by the City, will be required for the faithful performance of the contract, when executed. The Contractor whom the contract is being awarded must obtain the performance bond and payment bond on or before ten (10) calendar days following delivery of the Notice of Award. Attorneys-in-fact who sign the payment and performance bonds must file with each bond a current certified copy of their power of attorney.
H. INDEMNIFICATION/LIABILITY:
1. To the fullest extent permitted by law, Contractor agrees to defend, indemnify, and hold the City, its officers, agents, and employees harmless from and against any and all liabilities, demands, claims, suits, losses, damages, causes of action, fines or judgments, including costs, attorneys’, witnesses’, and expert witnesses’ fees, and expenses incident thereto, relating to, arising out of, or resulting from: (i) the services provided by Contractor personnel under this Agreement;
(ii) any negligent acts, errors, mistakes or omissions by Contractor or Contractor personnel; and
(iii) Contractor or Contractor personnel’s failure to comply with or fulfill the obligations established by this Agreement.
2. Contractor will update the City during the course of the litigation to timely notify the City of any issues that may involve the independent negligence of the City that is not covered by this indemnification.
3. The City assumes no liability for actions of Contractor and will not indemnify or hold Contractor or any third party harmless for claims based on this Agreement or use of Contractor-provided supplies or services.
4. Extreme care shall be taken to safeguard all existing facilities, site amenities, irrigation systems, vehicles, etc. on or around the job site. Damage to public and/or private property shall be the responsibility of the Contractor and shall be repaired and/or replaced at no additional cost to the City.
I. SPECIAL CONDITIONS:
1. Extended time may be allowed for the completion of this project due to inclement weather.
2. Decisions to allow days added to the contract due to inclement weather will be based upon weather records as recorded with the Milton WWTF located in Milton, Florida. Calculation for determining lost days is included in the Special Conditions in the Contract Documents.
3. In the event additional days are awarded the contractor must notify City of Milton at the beginning of work stoppage and each succeeding day until work can be safely resumed.
J. FORCE MAJEURE:
1. Failure by either party to perform its duties and obligations will be excused by unforeseeable circumstances beyond its reasonable control, including acts of nature, acts of the public enemy, riots, fire, explosion, legislation, and government regulation. The party whose performance is so affected will within five (5) calendar days of the unforeseeable circumstance notify the other party of all pertinent facts and identify the force majeure event. The party whose performance is so affected must also take all reasonable steps, promptly and diligently, to prevent such causes if it is feasible to do so, or to minimize or eliminate the effect thereof. The delivery or performance date will be extended for a period equal to the time lost by reason of delay, plus such additional time as may be reasonably necessary to overcome the effect of the delay, provided however, under no circumstances will delays caused by a force majeure extend beyond thirty (30) calendar days from the scheduled delivery or completion date of a task unless agreed upon by the parties.
K. CONTRACT:
1. The successful Contractor must execute and return the contract within ten (10) calendar days of issuance of Notice of Award.
L. SCHEDULE:
1. Upon receipt of all required documents a Notice to Proceed will be issued.
2. The successful Contractor must commence work within five (5) calendar days of Notice to
Proceed.
3. Contractor to propose construction schedule as part of the bid response.
M. PAYMENT:
1. Contractor to propose payment schedule as part of bid response.
N. EXPERIENCE/REFERENCES:
1. Bidder must include information on similar projects.
2. Bidders must provide with their proposal material for evaluating the ability of the potential
Bidder to execute a project of this type. Therefore, the Bidder is required to provide a minimum of (3) three references which will be verified. The list of references must be attached with the bid proposal on the form provided within these specifications. All reference materials provided become the property of the City and also become public record.
O. CHANGE ORDERS:
1. Notify the City of Milton of any conditions in the project area that are not addressed within the specifications which may require a change order.
2. Change orders to the scope of work or additional work requested by City of Milton must be in written form and initiated by the Contractor.
3. All changes or additions will be approved by City of Milton prior to work being initiated.

P. ADDENDUM:
1. It will be the sole responsibility of the bidder to contact City of Milton prior to submitting a bid to determine if any addenda have been issued, to obtain such addenda, and to acknowledge addenda with their bid.
Q. REQUIRED DOCUMENTS:
1. The enclosed documents must be executed and returned with the bid proposal or the proposal may be considered non-responsive. (Public Entity Crime Statement, Drug-Free Workplace

Compliance, Certificate Regarding Debarment, References)
R. AWARD OF BID:
1. The City reserves the right to award the bid to one (1) or multiple contractors on a per item basis or to not award the bid to any of the bidders.
2. Four categories of information will be evaluated: responsiveness, responsibility, the technical proposal and price. All proposals must meet the following responsiveness and responsibility criteria:
• Responsiveness. Bids will be evaluated to determine whether the proposal complies with the instructions for submitting proposals including completeness of proposal which encompasses the inclusion of all required attachments and submissions. Any proposals that are submitted late will be rejected. Failure to meet other requirements may result in rejection.
• Responsibility. Bids will be evaluated to determine whether the proposer is one with whom the City can or should do business. Factors that may be evaluated to determine
"responsibility" include, but are not limited to: excessively high or low priced proposals, past performance, references (including those found outside the proposal), compliance with applicable laws, proposer's record of performance and integrity. A proposer must at all times have financial resources sufficient to ensure performance of the contract and must provide proof upon request. FGU and the City reserve the right to inspect and review proposer’s facilities, equipment and personnel and those of any identified subcontractors. Any failure to supply information, or the quality of the information, may result in rejection.
• Technical Proposal. Bids will be evaluated to determine how well proposals meet its requirements in terms of the response to the specifications and how well the offer addresses the needs of the project.
• Price. Each proposal’s pricing will be evaluated.
3. The City’s City Council will have final approval to award the bid.

S. EMPLOYMENT ELIGIBILITY VERIFICATION (E-VERIFY):
1. In accordance with State of Florida, Office of the Governor, Executive Order 11-116
(superseding Executive Order 11-02; Verification of Employment Status), in the event performance of this Agreement is or will be funded using state or federal funds, the

Preference to businesses with drug-free workplace programs.—Whenever two or more bids, proposals, or replies that are equal with respect to price, quality, and service are received by the state or by any political subdivision for the procurement of commodities or contractual services, a bid, proposal, or reply received from a business that certifies that it has implemented a drug-free workplace program shall be given preference in the award process.

ARTICLE 1 – DEFINED TERMS
1.01 Terms used in these Instructions to Bidders have the meanings indicated in the General
Conditions and Supplementary Conditions. Additional terms used in these Instructions to
Bidders have the meanings indicated below:
A. Issuing Office – The office from which the Bidding Documents are to be issued.
ARTICLE 2 – COPIES OF BIDDING DOCUMENTS
2.01 Complete sets of the Bidding Documents may be obtained from the Issuing Office in the number and format stated in the invitation to bid.
2.02 Complete sets of Bidding Documents shall be used in preparing Bids; neither Owner nor
Engineer assumes any responsibility for errors or misinterpretations resulting from the use of incomplete sets of Bidding Documents or bidding documents obtained from sources other than the issuing office.
2.03 Owner and Engineer, in making copies of Bidding Documents available on the above terms, do so only for the purpose of obtaining Bids for the Work and do not authorize or confer a license for any other use.
ARTICLE 3 – QUALIFICATIONS OF BIDDERS
3.01 To demonstrate Bidder’s qualifications to perform the Work, after submitting its Bid and within five (5) days of Owner’s request, Bidder shall submit, in addition to evidence received with the bid proposal, additional written evidence establishing its qualifications such as financial data, previous experience, and present commitments.
3.02 A Bidder’s failure to submit required qualification information within the times indicated may disqualify Bidder from receiving an award of the Contract.
3.03 No requirement in this Article 3 to submit information will prejudice the right of Owner to seek additional pertinent information regarding Bidder’s qualifications.
3.04 Bidder is advised to carefully review those portions of the Bid Form requiring Bidder’s representations and certifications.
ARTICLE 4 – SITE AND OTHER AREAS; EXISTING SITE CONDITIONS; EXAMINATION OF SITE; OWNER’S
SAFETY PROGRAM; OTHER WORK AT THE SITE
4.01 Site and Other Areas
A. The Site is identified in the Bidding Documents. By definition, the Site includes rights-of-way, easements, and other lands furnished by Owner for the use of the Contractor. Any additional lands required for temporary construction facilities, construction equipment, or storage of materials and equipment, and any access needed for such additional lands, are to be obtained and paid for by Contractor.
4.02 Existing Site Conditions
A. Subsurface and Physical Conditions; Hazardous Environmental Conditions
1. The Supplementary Conditions identify:
a. those reports known to Owner of explorations and tests of subsurface conditions at or adjacent to the Site.

b. those drawings known to Owner of physical conditions relating to existing surface or subsurface structures at the Site (except Underground Facilities).
c. reports and drawings known to Owner relating to Hazardous Environmental
Conditions that have been identified at or adjacent to the Site.
d. Technical Data contained in such reports and drawings.
2. Owner will make copies of reports and drawings referenced above available to any
Bidder on request. These reports and drawings are not part of the Contract
Documents, but the Technical Data contained therein upon whose accuracy Bidder is entitled to rely, as provided in the General Conditions, has been identified and established in the Supplementary Conditions. Bidder is responsible for any interpretation or conclusion Bidder draws from any Technical Data or any other data, interpretations, opinions, or information contained in such reports or shown or indicated in such drawings.
3. If the Supplementary Conditions do not identify Technical Data, the default definition of Technical Data set forth in Article 1 of the General Conditions will apply.
4. Geotechnical Baseline Report: The Bidding Documents contain a Geotechnical Baseline
Report (GBR). The GBR describes certain select subsurface conditions that are anticipated to be encountered by Contractor during construction in specified locations
(“Baseline Conditions”). The GBR is a Contract Document.
The Baseline Conditions in the GBR are intended to reduce uncertainty and the degree of contingency in submitted Bids. However, Bidders cannot rely solely on the Baseline
Conditions. Bids should be based on a comprehensive approach that includes an independent review and analysis of the GBR, all other Contract Documents, Technical
Data, other available information, and observable surface conditions. Not all potential subsurface conditions are baselined.
Nothing in the GBR is intended to relieve Bidders of the responsibility to make their own determinations regarding construction costs, bidding strategies, and Bid prices, nor of the responsibility to select and be responsible for the means, methods,…
