L-4 PROPOSAL PREPARATION INSTRUCTIONS

GENERAL INSTRUCTIONS

(1) Guidelines

(a) This section provides general guidance for preparing proposals, as well as specific instructions on the format and content of proposals. Offerors’ proposals must include all data and information requested by this solicitation and must be submitted and conducted in strict accordance with these instructions. Non-conformance with the specific organization, content, and page limitations may result in misinterpretation of proposals; or depending on the magnitude of the non-conformance, the proposals may be eliminated from further consideration. Alternate proposals will not be considered.

(b) The offeror’s response to this solicitation shall include a proposal (offer). The proposal (offer) as defined and used in Federal Acquisition Regulation (FAR) 2.101 shall consist of RFP sections A through

K, including all documents, exhibits, and other attachments that are incorporated herein for the purposes of being made a part of the contract. The proposal shall consist of Parts I-VII as detailed below.

(c) The proposal shall be clear, concise, and include sufficient detail for effective evaluation. The proposal should not simply rephrase or restate the Government’s requirements, but rather shall provide convincing rationale to address how the offeror intends to meet the requirements of the solicitation. The proposal shall contain sufficient information to enable the Government to fully evaluate and determine the offeror’s capability to comply with (i.e., meet or exceed) all requirements identified in this solicitation.

(d) The proposal due date is identified in Block 9 of the SF33. The offeror’s proposal shall be valid for

365 days after the proposal due date , therefore, offerors shall complete Block 12 of the SF33 stating

“365”.

(2) Organization/Number of Copies/Page Limits/Markings

(a) Organization – The proposals shall consist of a business proposal, individual technical proposals for each aircraft category offered (medium, heavy, & super heavy), past performance information, preference documentation, pricing proposal (Section B), and pre-deployment plans for each aircraft category offered (medium, heavy, & super heavy) as detailed in Sections I-VII below. Each Part shall be written on a stand-alone basis to the greatest extent possible so that its contents may be evaluated with a minimum amount of cross referencing.

Offerors are required to submit one original and two copies as identified below, as well as, a CD ROM including all parts of the proposal by the due date specified.

(i) Part I. 1 original and 2 copies of the Business Proposal.

(ii) Part II. 1 original and 2 copies of the Technical Proposal(s).

(iii) Part III. 1 original and 2 copies of the Past Performance.

(iv) Part IV. 1 original and 2 copies of the Fly America Act and Civil Reserve Air Fleet (CRAF) Preferences.

(v) Part V. 1 original and 2 copies of the Operational Date Spreadsheet(s)

(vi) Part VI. 1 original and 2 copies of the Pre-Deployment Plan(s)

(vii) Part VII. 1 original and 2 copies of the Pricing Proposal

(b) Pages, Typing, and Page Numbering - The contents of the above sections shall be typed single-spaced, on 8-1/2 by 11 inch white paper, with one inch margins on all sides. Twelve point type shall be used except for figures and diagrams, where smaller size is acceptable as long as it is readable. Pages shall be printed head-to-head if both sides are used. All page numbers shall be sequential for each volume and centered at the bottom of each page. If additional pages must be added after page numbers are applied, offeror shall use a numeric/alpha designation to number the added pages. Example: Designate a single insert page added after page 10 as 10A, and two added insert pages as 10A and 10B. Each page shall identify the offeror and the date of submission in the upper right hand corner. Charts, attachments, etc., should be page numbered and may have additional identification such as a chart or attachment number. Blank pages shall contain the phrase "This Page Intentionally Left Blank." Blank page backs will not be included in the maximum page count.

(c) Proposal Markings. Each hard copy proposal shall be separately bound in a three-ring loose leaf binder with allowances made for space to facilitate potential changes. Within each binder, tabs should be placed to separate each individual “Part” of the proposal. Staples shall not be used. A cover sheet shall be applied to each binder, clearly marked as original, copy number 1 or 2, RFP number, and offeror's name. The same identifying data shall be placed on the spine of each binder to facilitate rapid accountability when placed on a shelf in a vertical position.

(3) Requests for Information

The Government will make the final determination as to whether a proposal is acceptable or unacceptable, and may accept a proposal as initially submitted without requesting further information from any offeror. However, should the Government request additional information via Evaluation Notices (EN), the offeror shall provide a written response. If any response to Government initiated correspondence generates a change to the offeror's proposal, offerors shall annotate such changes and submit page changes to their proposal along with their response.

The Government may request additional information from any offeror at any stage of the acquisition for the purpose of clarification and for determining whether further discussions should be conducted with the offeror. The determination to request such additional information from any offeror, or to conduct further negotiations with any offeror, shall be at the sole discretion of the Government.

(4) Proposal Content

The offeror's proposal shall respond to all requirements of this solicitation clearly and completely. The proposal shall be prepared simply and economically, providing a straight forward and concise delineation of the offeror's promise to comply with RFP terms and conditions, and satisfactorily perform the contract. Information supplied in the proposal must be free from ambiguities and statements with dual meanings. Offerors who fail to respond adequately, or fail to clarify or correct their proposals after having been notified or questioned by the

Government, may be eliminated from the source selection process without further discussions. The proposal (offer) submitted in response to this solicitation shall consist of the following:

PART I – Business Proposal: Offerors are required to comply with the following format and content requirements for Part I of their proposal.

(1) Solicitation/Contract Form. Offerors shall complete blocks 13, 14, 15a, b, and c, 16, 17 and 18 of the SF 33. Signature by the offeror on the SF 33 constitutes an offer, which the Government may accept.

(2) Block 15c. If remittance address is different, put such address in the Central Contractor

Registration (CCR) database. Contractor must comply with FAR 52.204-7 (APR 2008) Central

Contractor Registration located in Section I.

(3) Acknowledgement of Solicitation Amendments (if any).

(4) Company/Division Address, Identifying Codes, and Applicable Designations. Provide company/division’s street address, county and facility code; CAGE code; DUNS code; and size of business (large or small).

(5) List of individuals who are authorized to negotiate and sign on behalf of the company.

(6) Online Representations and Certifications Application (ORCA). The ORCA can be found at http://orca.bpn.gov OR submit written representations and certifications IAW Section K of this

RFP.

(7) Financial Responsibility Documentation. The Government intends to conduct financial surveys of each offeror to ensure each offeror has the necessary financial capability to successfully perform the contract requirements. Submission of financial information for the offeror must be received by the POC’s identified in para L-1(a) on 24 May 2010 @ 4:00 CST. Electronic submissions are acceptable. This will ensure adequate time for completion of the financial capability assessment by the cognizant Defense Contract Audit Agency (DCAA) or Defense Contract Management

Agency (DCMA) to support the Government’s responsibility determination for each apparent http://orca.bpn.gov/ successful winning offeror. In order to expedite the Government’s assessment of responsibility, the offeror is required to provide financial information sufficient to allow the Government to make a determination as to the company’s financial condition. The following list is to be used as a guideline; however deviation from the format specified below will not be considered grounds for disqualification from the competition so long as the information provided constitutes a reasonable substitute:

i. The most recent three years of financial statements (preferable audited) or a completed

SF 1407, Preaward Survey of Prospective Contractor – Financial Capability, completed by the Government less than one year ago after completing a survey. (Note the submission of unaudited financial statements will delay the evaluation process. The

Government reserves the right to audit all unaudited financial statements). Financial statements should include, at a minimum, the following for each company:

Balance sheet

Income Statement

Statement of Cash Flows

Footnotes to the Financial Statements

Copy of Certified Public Accountants (CPA) Opinion Regarding the Financial Statements

Submitted

A copy of the current annual report if available

Discussion of contingent liabilities or other financial risks known to the offeror

ii. Any additional information provided in the offerors submission package will be considered. Examples of other information include: current part year financial statements, current open credit lines, and pro forma financial statements for future years.

The information will be used to evaluate your firm’s financial capabilities.

iii. Financial statements should pertain to the business unit(s) that will actually be performing the work. If the company to be performing the work is a division of a parent company where the parent company is financially responsible for the operations of the division, audited financial statements for the parent company will suffice. In this case, the company should provide legal documentation to support the existence of such a relationship.

iv. If the company to be performing the work is a subsidiary of a parent company where the parent company is not financially responsible for the operations of the subsidiary, audited financial statements of a parent company are generally not a sufficient substitute unless one of two conditions exists:

1. The company obtains, and furnishes to the Contracting Officer, a written supplement to the CPA firms existing statement regarding the parent company’s financial statements. This supplement should state clearly that the independent auditor has reviewed the subsidiaries or divisions financial statements as submitted in response to this RFP, and has found them to be an accurate representation of that business unit’s financial condition as of the date of those statements.

2. If the company to be performing the work is a limited liability company, or similar type of entity, the company should submit the financial statements of all the participating firms. This includes any financial statements, pro forma or otherwise that exist for the performing entity. The company should also submit legal documentation clearly disclosing the conditions of the business arrangement and the attendant financial terms.

v. Offerors must have sufficient financial resources that demonstrate an acceptable financial capability to perform the contract. A Pre-Award Survey will be accomplished and the

Contracting Officer will make a determination of responsibility prior to award of any resultant contract in accordance with standards set forth in FAR and DFARs Part 9.

Contract award will be made only to responsible prospective contractors.

PART II – Technical Proposal: Offerors are required to comply with the following format and content requirements for Part II of their proposal.

Technical Proposal Medium, Heavy and Super Heavy Lift Aircraft. Offerors shall submit separate technical proposals for each aircraft category (medium, heavy, and super heavy). Technical proposal information should be provided for all aircraft proposed in Part VI, Pre-Deployment Plan. The technical proposal will be used to make an evaluation and arrive at a determination as to whether the contractor’s proposed approach is capable of meeting the minimum requirements as stated in the RFP. Each individual proposal (medium, heavy, and super heavy) shall be segregated into three subparts (1) Technical Approach

(2) Aircraft Technical Capability, and (3) FAA Certification Documentation to support the Government’s evaluation of the corresponding factors.

Offeror’s may propose any number and combination of aircraft up to 4 medium, 7 heavy, and 7 super heavy to be considered for an initial IDIQ contract award. However, an offeror may only bid a specific aircraft (i.e. by tail number) one time in one of the three aircraft class categories. For example, if an offeror bids aircraft A in the super-heavy category, aircraft A may not also be bid in a heavy or medium proposal.

If no offeror proposes aircraft that can meet the Government’s requirement based on the evaluation criteria set forth in this solicitation for one or multiple aircraft classes, the Government reserves the right to make additional contract awards necessary to fill the Government’s requirement. For example, if no offeror offers super-heavy lift aircraft, the Government may choose to modify its requirement to increase the number of heavy lift aircraft required under the RFP to meet the overall lift requirement. However, because the requirement for super-heavy lift aircraft is so critical to current operational demands, ramp space limitations in Afghanistan, and force protection constraints, the Government will consider foreign flagged carriers to fill the super-heavy requirement before increasing the number of heavy aircraft that might be filled by US Flagged carriers.

a. Technical Approach: Describe your techniques, procedures and program for achieving the objectives of the specifications/performance work statement. Proposals that merely paraphrase the requirements of the Government’s specifications/Performance Work Statement, or use such phrases as “will comply” or “standard techniques will be employed” may be considered unacceptable and may not be considered further.

b. Aircraft Technical Capability: Provide the following information for each proposed aircraft:

Make, Model and Variant and Aircraft Registration Number. If the aircraft has been modified, provide the description of the Supplemental Type Certificate approved by the FAA or CAA and what if any, additional capabilities are achieved with the modification. Provide any other relative supporting documentation or explanation clearly demonstrating how the capabilities of the proposed aircraft can meet or exceed the minimum requirements of the PWS. Offerors shall also submit information regarding proposed aircraft Hovering Out of Ground Effect (Attachment L-1) in accordance with the PWS for each of the proposed aircraft.

c. FAA Certification Documentation: Submit copies of the following: (1) Current 14 CFR Part 133

Operating Certificate and current FAA letter of authority for each aircraft or similar type aircraft designated to operate under the 14 CFR Part 133 Operating Certificate (2) 14 CFR Part 135

Operating Certificate and current 14 CFR Part 135 Operations specifications (Sections A and D).

Each aircraft offered or a similar type aircraft should be listed in Section D of the Operations

Specification (as applicable). If you are operating under a foreign flag, provide the equivalent

CAA certifications. (3) For US Flag carriers, provide Flight Standards District Office (FSDO) location, as well as, the point of contact to include phone number and E-Mail address for the

FSDO Manager, Aviation Safety Inspector, Principal Maintenance Inspector (PMI) and Principal

Operations Inspector (POI).

d. Proof of aircraft ownership, signed lease agreement or purchase agreement, or other agreement between the parties expressing an intent to lease or purchase/sell aircraft that is binding upon both parties if a contract is awarded to the offeror. Examples of this might include a letter of intent to sell or purchase aircraft, or an option to lease or purchase. Options to lease or purchase shall include a right of first refusal exercisable by the offeror. The submitted documentation must provide adequate assurance to the Government that the proposed aircraft will be available for the entire term of the contract period of performance, including base and option years, should the

Government make an award to the offeror.

PART III - Past Performance: Offerors are required to comply with the following format and content requirements for Part III of their proposal.

Past performance. Offerors shall submit a maximum of five (5) Past Performance Information (PPI) references from different contracts to support the Government’s evaluation of each offeror’s past performance. Offerors shall ensure the past performance references are as relevant as possible to the requirements of this RFP. PPI references under requirements type or indefinite-delivery, indefinite-quantity (IDIQ) contracts shall reference the specific task order number. Offerors shall include the following past performance information:

(i) Company/division name

(ii) Product/service

(iii) Contracting agency

(iv) Current Government or other points of contact to include name, address, telephone number, fax number and e-mail address for each contract listed

(v) Contract number

(vi) Contract type

(vii) Contract award date, period of performance

(viii) Basic contract award amount/current value

(ix) Past Performance log including the name, address, telephone number, fax number and e-mail address for each point of contact listed.

Offerors shall determine the mix of contracts that best represent their depth and breadth of past performance under relevant contracts. Include a brief summary of the scope of the contract or task order submitted as it relates to the services to be provided under this solicitation. This includes work for commercial customers, DoD and other

Federal agencies, and subcontracts that are similar to the Government requirements.

Offerors shall describe rationale supporting their assertion of relevance of the submitted contract or task order to this acquisition.

Offerors shall provide references for each contract. For Government contracts, provide current information for the

Government Program Manager, Project/Task Manager, Contracting Officer, and Administrative Contracting Office, as applicable. For commercial contracts or task orders, provide points of contact fulfilling these same roles. Any additional customers with in-depth knowledge of the contract or task order may be added. Email addresses are required for each point of contact. The offeror should verify the email addresses just prior to submittal of a PPI sheet.

Each offeror shall submit the past performance information NLT the proposal due date specified in the solicitation.

Past Performance Questionnaires (PPQs) (Attachment L-2) are required to support the Government’s receipt and evaluation of past performance information. The offeror is responsible for sending questionnaires to respondents of their choice (maximum of 5 to be submitted to the Government). The respondents shall forward the completed questionnaires directly to the Contracting Officer NLT the proposal due date specified in the solicitation.

Even though the assessment of Past Performance is separate and distinct from the Determination of Responsibility required by FAR 9, past performance information contained herein may be used to support the Determination of

Responsibility for a successful awardee(s).

Part IV – Fly America Act and Civil Reserve Air Fleet (CRAF) Preferences: Offerors are required to comply with the following format and content requirements for Part IV of their proposal.

Offerors shall submit information which documents: (1) the air carrier is US or Foreign Flagged; and (2) the offeror does or does not have aircraft dedicated to the CRAF program.

Part V – Operational Date: Offerors are required to comply with the following format and content requirements for Part V of their proposal.

Offerors shall submit an operational date for each aircraft proposed in Part VI – Pre-Deployment Plan. Offerors shall identify each aircraft in a unique way (i.e. tail number). Offerors shall submit a list of each aircraft by its identifier and its corresponding operational date. Operational date shall be identified as award date plus a specific number of days.

Operational date as defined in the PWS is “aircraft, crews, and support personnel and supplies are in Afghanistan and aircraft are available to receive and perform missions for/from the US Government.”

Part VI – Pre-Deployment Plan: Offerors are required to comply with the following format and content requirements for Part VI of their proposal.

Pre-deployment Plan – Medium, Heavy and Super Heavy Lift Aircraft. There must be individual proposal sections for each category (medium, heavy and super heavy). Offeror’s may propose any number and combination of aircraft up to 4 medium, 7 heavy, and 7 super heavy and shall use the same identifiers for aircraft as defined in Part V of its proposal when discussing the approach in its pre-deployment plan. The offeror’s Pre-deployment Plan must include detailed descriptions in paragraph format, and reasonable milestones in chronological order identifying all major actions and timelines required in the following areas: obtain aircraft (i.e. purchase/lease/own), obtain the necessary regulatory certifications (DOD approval – if the offeror is not a DOD approved carrier, add 5 months into the milestones to obtain this required approval), hire and train personnel (including CRC training), obtain and deploy initial required supplies, equipment and spare parts and deploy the proposed aircraft. If a GANTT chart, diagram and/or graph is included it should not exceed 2 pages. Offerors must state all operational, financial, and regulatory assumptions made in this plan. Entire pre-deployment plan shall not exceed 8 pages.

Offerors shall prepare their Pre-Deployment Plan(s) based on an estimated contract award date of 1 September 10.

CENTCOM will have ramp space available on 15 November 10 for all aircraft.

Part VII – Pricing Proposal: Offerors are required to comply with the following format and content requirements for Part VII of their proposal.

Section B, The Schedule, Supplies or Services – Cost/Price - Offerors shall insert its proposed pricing for each

Contract Line Item Number (CLIN) in the spaces provided in Section B. The number of lines (AA, AB, AC, etc) under the positioning and depositioning CLINs for each aircraft category represent the Government’s maximum estimated number of aircraft to be ordered in that category in any single task order.

Offerors shall complete all blocks in yellow for medium lift aircraft using the spreadsheet at Attachment L-3, for heavy lift aircraft using the spreadsheet at Attachment L-4, and for super-heavy lift aircraft using the spreadsheet at

Attachment L-5. Additional CLIN instructions are as follows:

CLINs 0001 & 1001Post Award Conference Attendance: At the time of contract award, the Government will include a not-to-exceed (NTE) amount of $2500 in the Schedule for this cost-reimbursement CLIN.

CLINs 1002, 2002, 3002, 4002 and 5002 Positioning Medium Lift Aircraft, CLINs 1003, 2003, 3003, 4003 and

5003 Positioning Heavy Lift Aircraft, CLINs 1004, 2004, 3004, 4004 and 5004 Positioning Super-Heavy Lift

Aircraft: Offerors shall provide positioning prices for the number of aircraft proposed in each category (medium, heavy, & super heavy) on the lines (labeled AA, AB, AC, etc) within each CLIN. Offerors shall propose fixed prices for each of the lines for all option years. This fixed price is the price to position medium, heavy, and/or super heavy lift aircraft into Afghanistan. Offerors shall complete the lines under each positioning CLIN for the maximum number of aircraft in each category it intends to propose, per task order, over the life of this contract. For example, if the offeror intends to propose 4 medium aircraft under any single task order over the life of this contract, lines AA – AD shall be completed. UNIT PRICE at the top of each positioning CLIN shall reflect the number of aircraft offered. For example, if the offeror intends to propose 4 medium aircraft under any single task order over the life of this contract, the MAX QUANTITY shall be changed to 4 and the UNIT PRICE shall be the amount from line AD. MAX AMOUNT is the MAX QUANTITY multiplied by the UNIT PRICE.

CLINs 1005, 2005, 3005, 4005 and 5005 Medium Lift Aircraft Monthly Service, CLINs 1007, 2007, 3007, 4007 and 5007 Heavy Helicopter Monthly Services, CLINs 1009, 2009, 3009, 4009 and 5009 Super-Heavy Helicopter

Monthly Services: Offerors shall provide a composite fixed monthly price to provide medium, heavy, and/or super heavy lift aircraft services for one aircraft in Afghanistan. The unit price (monthly price) for monthly CLINs shall be a composite price for any aircraft to be proposed in each respective category.
