b.

The Government requests all questions be received no later than 15 calendar days prior to the closing date for receipt of offers to allow adequate time to prepare and issue responses/amendments. Questions received after that date may not be addressed as determined solely by the Government. Communications deemed necessary or important to understand or respond to the solicitation shall be posted along with any and all solicitation amendments at http://www.fedbizopps.gov.

c.

A complete proposal in response to this solicitation includes BOTH a written submission/proposal and an oral submission/proposal submitted in accordance with the solicitation requirements and the below submission instructions. As defined further in these instructions, the written and oral proposal should address the requirements for the Basic Contract award(s) and the anticipated awards for Task Order 1 and Task Order 2.

L.2 Instructions for Written Proposal Submission a.

Proposal Due Date –Written proposals must be received no later than the date/time specified on page 1 (block 9) of the solicitation (NOTE: Arlington, VA is on Eastern Standard Time). Incomplete proposals and/or proposals NOT received by the due date and time specified will be considered late and will not be considered for award.

b.

L.3 General Information Required to Prepare Proposals

***Proposals shall consist of a written proposal AND oral proposal presentation. NOTE: THE RFP SPECIFIES IF A FACTOR IS TO BE ADDRESSED IN THE WRITTEN PROPOSAL, ORAL PROPOSAL PRESENTATION, OR BOTH. IT IS INCUMBENT UPON THE OFFEROR TO ADDRESS EACH FACTOR AND / OR SUBFACTOR AS SET FORTH IN THE RFP.*** a.

Estimated Task Order Performance Commence Date- For evaluation purposes the anticipated date of task order performance commencement for Task Order 1 and Task Order 2 is 01 DEC 2010. Any Government caused delays to the Task Order start date will be accommodated with day-for-day slips in schedule.

b.

Offer Acceptance Period- The Offeror shall complete Block 12 of each SF 33 submitted with full cognizance of the minimum acceptance period established herein. "Acceptance period," as used in this provision, means the number of calendar days available to the Government for awarding a Contract from the date specified in this solicitation for receipt of offers. The Government requires a minimum acceptance period of not less than 180 calendar days after the proposal due date. Offerors may specify a longer acceptance period than the Government's minimum requirement.

c.

Proposal Preparation Costs- The Government will not reimburse Offerors for any costs incurred for the preparation and submission of a proposal in response to this solicitation.

d.

Proprietary and Confidential Data

(1) Proprietary and Confidential Data contained in the proposal shall be handled as identified in

DFARS 252.227-7013. The Proposal submissions will be protected from unauthorized disclosure in accordance with applicable laws and DoD/DFARS regulations. Offerors are expected to appropriately mark each page of their submission that contains proprietary information.

(2) Offerors submitting proprietary data will mark them as follows in accordance with the requirements of FAR 52.215-1(e), which is incorporated by reference. FAR 52.215-1(e) states: Offerors or quoters who include in their proposals or quotations data that they do not want disclosed to the public for any purpose or used by the Government except for evaluation purposes, Offers shall mark the title page with the following legend:

“This proposal includes data that shall not be disclosed outside the Government and shall not be duplicated, used or disclosed in whole or in part for any purpose other than to evaluate this proposal. If, however, a Contract is awarded to this Offeror as a result of or in connection with the submission of this data, the Government shall have the right to duplicate, use, or disclose the data to the extent provided in the resulting Contract. This restriction does not limit the Government's right to use information contained in this data if it is obtained from another source without restriction. The data subject to the restriction is contained in sheets (insert numbers or other identification of sheets).”

Notes:

· The title page is not included in the page count and will not be evaluated.

· Mark each sheet of data it wishes to restrict with the following legend: “Use or disclosure of data contained on this sheet is subject to the restriction on the title page of this proposal.”

e.

Timely Resubmissions- An Offeror choosing to withdraw an earlier timely submitted offer and replace it with a new timely submitted offer must resubmit the entire offer. The new offer shall clearly indicate its standing relative to any existing offer on the first page of the offer. The lack of proper identification will result in a finding of material nonconformity with all offers being summarily rejected. The replacement proposal must be timely under the terms of this solicitation.

f.

Rejection of Multiple or Alternate Offers- Only one offer will be accepted from a single prime or JV contractor. Multiple or alternate offers from the same prime contractor constitutes a material nonconformity and will result in all of its offers being rejected.

g.

Proposal Revisions Requested by the Government- Any proposal revision requested by the Government will be made by revising proposal pages. Each submission shall:

· indicate changes from the original page by right and left marginal vertical lines adjacent to the change.

· include the revision number and the date of the revision at the bottom of the respective page.

h.

Responsiveness- The proposal shall adequately address specific solicitation requirements and be responsive to the terms and conditions of the solicitation. Offerors must respond to all requirements of the solicitation with no additions or deletions. All required fill-ins must be completed, and all information must be provided in the format and content requested. Non-conformance with the solicitation requirements shall render the offer non-responsive, and the offeror may be ineligible for award. Statements such as “the offeror understands” and “the offeror has a long history of outstanding support” along with responses that paraphrase the solicitation are considered inadequate. Phrases such as “standard procedures shall be employed” or “well known techniques shall be used” without a specific Government or industry reference shall be considered inadequate and unsatisfactory.

i.

Terms and Conditions- The completion and submission to the Government of an offer shall indicate the offeror’s unconditional agreement to the terms and conditions in this solicitation. Offerors are reminded that offers containing exceptions to the solicitation shall not be evaluated and shall render the offer non-responsive, and the offeror may be ineligible for award.

j.

Central Contractor Registration (CCR)- The offering entity shall register in the CCR system prior to award of the Basic Contract. The offering entity’s EFT information is entered into the system at that time. The CCR web site is: http://www.ccr.gov/.

k.

News Releases: The Contractor shall not make any news or other public or promotional releases pertaining to this procurement without prior Government approval and then only in coordination with the Contracting Officer.

l.

Discussions:

(1) As permitted by FAR Clause 52.215-1, the Government intends to evaluate proposals and award without conducting discussions; however, the Government reserves the right to hold discussions if later determined to be necessary by the Contracting Officer. If the Contracting Officer determines that the number of proposals exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals to the greatest number that will permit an efficient competition among the most highly rated proposals. Therefore, the offeror's initial proposal should contain the offeror's best terms from a price and technical standpoint. An offeror’s proposal is presumed to represent best efforts to respond to the solicitation. The Government reserves the right to reject any and all proposals and award to other than the lowest priced offerors. The Government also reserves the right to change any of the terms and conditions of this solicitation by amendment at any time prior to contract award and to allow offerors to revise their offers accordingly, as authorized by FAR 15.206.

(2) All past performance information that the offeror intends to be evaluated by the Government must be submitted with the proposal. The offeror must not assume that the Government will consider past performance information known to the Government but not submitted with the proposal. The Government, however, reserves the right and may consider past performance information known to the Government about the offeror or the offeror’s team that is not submitted by the offeror in the proposal.

m.

Classified Material- Offerors shall not include CLASSIFIED material in the proposal.

n.

As described below, the offeror’s proposal will consist of a written submission and an oral submission. The written submission and oral submission will cover requirements for the Basic Contract and Task Order 1 and Task Order 2. The requirements for the written submission may not cover all evaluation factors or subfactors. Evaluation factors and subfactors not addressed in the written submission will be covered in the oral submission/proposal.

o.

The Government intends to evaluate proposals for award of the Basic Contract(s) and for awards of Task Orders 1 and 2 concurrently. Thus, the Government has asked for information pertinent to evaluating the Basic Contract(s) and Task Order 1 and 2.

L.4 Written Proposal Format a.

In order to maximize efficiency and minimize the time for proposal evaluation, offerors shall submit their proposals in accordance with the format and content specified. Offerors must respond to all requirements of the solicitation. Offerors shall not alter the solicitation (other than completing the appropriate "fill-in" blocks and certifications).

b.
