About this file
This document is a Questions and Answers (Q&A) matrix for the Targeted Requirement Execution (TREX) 3 Multiple Award Contract (MAC) solicitation. The Q&A addresses administrative questions primarily focused on three key areas: Organizational Conflict of Interest (OCI), Original Equipment Manufacturers (OEM) Prohibition, and "Off Ramp" contract procedures. Specifically, contractors inquired about potential restrictions on prime and subcontractor participation in USSOCOM support contracts, clarifications on OEM affiliate relationships, and the government's process for replacing contractors who are removed from the contract for performance issues.
The government provided nuanced responses to these questions, including that the TREX contract does not universally limit contractor participation, and that OCI determinations will be made on a case-by-case basis. For the OEM prohibition, the government clarified definitions of "affiliates" and "partner affiliations". Regarding the "Off Ramp" procedure, the government indicated they will not automatically replace a removed contractor with additional contractors to maintain competition. The Q&A document appears to be part of the final RFP process for a multiple award IDIQ contract with a total maximum ceiling value of $2,390,000,000, which will be awarded through full and open competition with a potential set-aside for a small business prime contractor.

Questions below this line were received after draft RFP cutoff. QNA was posted on 14 Feb 22.
(answered with Final RFP post on 14 March 25)
42 H Special Contract Requirements Administrative No H.2 Organizational Conflict Of Interest: Is it the government's desire to limit TREX Prime and subcontractor participation to only those companies that are currently not suporting USSOCOM under any other USSOCOM support contract?
No as outlined in RFP Section H.2
43 H Special Contract Requirements Administrative No H.2 Organizational Conflict Of Interest: Can the government clarify the OCI that would exsist in any USSOCOM SCSS or USSOCOM SOF GSD staff augmentation contract and the TREX contract?
See response to item #44 below.
44 H Special Contract Requirements Administrative No
H.2 Organizational Conflict Of Interest: The government provides a list of legacy contracts in subparagraph (b) as "do not award". Can the government please provide a list of current contract's they have determined will contain an OCI and which they have also concluded who's prime and subcontractor's are permitted in supporting the TREX IDIQ. Additionally, will the government determine OCIs exsist with the EDAT Contract Prime and subcontractors? Has the government determined there is an OCI for any Prime and subcontract company currently supporting PEO SDA under similar contract support activities?
The final RFP includes an updated H.2 clause.
Paragraph (a) outlines the only contract that is automatically excluded from being a TREX prime. Paragraph (b) highlights examples of other HQ SOCOM contracts that may also exclude a company depending on the nature of the work being performed. While the Government has done an extensive OCI assessment, we do not intend on making separate determinations for purposes of the RFP and H.2 for every SOCOM contract, especially for those that do not directly support PEO-TIS who is the primary user of this contract. Please note, as outlined in H.2, the restrictions in H.2 are IN ADDITION to the OCI requirements outlined with FAR 9.5. Therefore, potential offerors are required to perform thier own assessment as outlined in RFP Section L1 to ensure compliance with FAR part 9.5 and RFP clause H.2.
45 H Special Contract Requirements Administrative No
H.3 Original Equipment Manufacturers (OEM) Prohibition: Can the government please clarify that the provisions of H.3 does not apply to those company's that currently hold reseller status or partner affiliation with the listed OEM companys?
Both H.2 and H.3 provide definitions of "affiliates" and what would constitute a conflict.
Authorized resellers are not OEMs as defined in H.3 unless they meet the definition outlined in H.3 (a) 2. It is unclear what "partner affiliation" is referring to as stated. However, please refer to the definitions of affiliates, and third party affiliates in both RFP clauses H.2 and H.3 to determine if there is a conflict.
46 H Special Contract Requirements Administrative No
H.8 Exercise of “Off Ramp” Procedures: In the event the government "Off Ramps" a contractor for failure to perform or unsatisfactory performance, does the government intent to replace that contractor by "on ramping" additional contractors to maintain the fair and maximum competition they claim to uphold for this contract? If so, how would that be handled?
No. The Government will not replace any vendors who are "off ramped".
47 REMOVED Yes
