Except as specified herein, no order, statement, or conduct of Government personnel who visit the contractor’s facilities or in any other manner communicates with Contractor personnel during the performance of this contract shall constitute a change under the Changes clause in Section I. In the event the Contractor effects any change at the direction of any person other the Contracting Officer, the change will be considered to have been made without authority and no adjustment will be made in the contract price to cover any increase in cost incurred as a result thereof. The address and telephone number of the Contracting Officer identified on page 1 of this document.

5652.204-9003 Disclosure of Unclassified Information and Notification Requirements for Cyber Security Breaches (2013) Section H (JUN 2013) As prescribed in 5604.403(b), insert the following clause,

(a) On September 21, 2001, the Department of Defense designated Headquarters US Special Operations Command (USSOCOM) a sensitive unit, as defined by Title 10 United States Code (USC) Section 130b (10 USC 130b). In keeping with this designation, unclassified information related to USSOCOM military technology acquisitions managed by USSOCOM or any of its component commands, will be designated Controlled Unclassified Information (CUI). As such, the contractor hereby unequivocally agrees that it shall not release to anyone outside the Contractor’s organization any unclassified information, regardless of medium (e.g., film, tape, document, contractor’s external website, newspaper, magazine, journal, corporate annual report, etc.), pertaining to any part of this contract or any program related to this contract, unless the Contracting Officer has given prior written approval. Furthermore, any release of information which associates USSOCOM, Special Operation Forces (SOF), or any component command with an acquisition program, contractor, or this contract is prohibited unless specifically authorized by USSOCOM.

(b) Request for approval shall identify the specific information to be released, the medium to be used, and the purpose for the release. The contractor shall submit the request to the Contracting Officer at least 45 days before the propose date for release for approval. No release of any restricted information shall be made without specific written authorization by the Contracting Office.

(c) The protection of sensitive but unclassified data reflecting Special Operations technologies, personnel, plans, and business associations requires due diligence on the part of those in possession of such information. The application of appropriate security measures to ensure the safekeeping of USSOCOM and company proprietary data, intellectual property, and personnel data is the responsibility of all parties who have access to such information. All contractors supporting USSOCOM are required to inform the Contracting Officer within three business days of when there has been a breach or successful penetration of the contractor’s network(s) or information system(s). Breaches include unauthorized intrusions of the contractor’s server(s) from external parties whether through introduction of malware, hacking, the compromise of access passwords, or any other unauthorized access or compromise. Breaches also include the physical loss of storage media such and disks, hard drives, thumb drives, laptops or other devices which contain duplicates of information contained on the contractor’s data systems, or the willful or accidental transmission, copying or posting of contract information which has not been specifically authorized by the Contracting Officer. Estimates of damage and mitigation strategies will be submitted to the Contracting Officer within a period following the breach specified and agreed upon by the Contractor and the Contracting Officer.

(d) The Contractor shall include a similar requirement to this clause in each subcontract under this contract. Subcontractors shall submit request for authorization to release and notifications related to cyber security breaches through the prime contractor to the Contracting Officer.

(e) The Contractor further understands that Title 18 USC Section 701 specifically prohibits the use of the USSOCOM emblem or logo in any medium (e.g., corporate website, marketing brochure, news paper, magazine, etc.) unless authorized in writing by USSOCOM. Forward any request to use the USSOCOM emblem or logo through the Contracting Officer.

The Government's liability is limited to an equitable adjustment of cost for such changes or corrections, unless the ineffectiveness of existing safeguards is due to the fault of the contractor in which case the Government is not liable for any equitable adjustment.

(d) The Government shall not be liable for claims of loss of business, damage to reputation, or damages of any other kind arising from the discovery of new or unanticipated threats or hazards, or any public or private disclosure thereof.

(ii) Within 60 to 120 days prior to the date specified in the contract for exercising any option thereafter.

(c) The Contractor shall rerepresent its size status in accordance with the size standard in effect at the time of this rerepresentation that corresponds to the North American Industry Classification System (NAICS) code assigned to this contract. The small business size standard corresponding to this NAICS code can be found at http://www.sba.gov/content/table-small-business-size-standards.

(d) The small business size standard for a Contractor providing a product which it does not manufacture itself, for a contract other than a construction or service contract, is 500 employees.

(e) Except as provided in paragraph (g) of this clause, the Contractor shall make the representation required by paragraph (b) of this clause by validating or updating all its representations in the Representations and Certifications section of the System for Award Management (SAM) and its other data in SAM, as necessary, to ensure that they reflect the Contractor's current status. The

Contractor shall notify the contracting office in writing within the timeframes specified in paragraph (b) of this clause that the data have been validated or updated, and provide the date of the validation or update.

(f) If the Contractor represented that it was other than a small business concern prior to award of this contract, the Contractor may, but is not required to, take the actions required by paragraphs (e) or (g) of this clause.

(g) If the Contractor does not have representations and certifications in SAM, or does not have a representation in SAM for the NAICS code applicable to this contract, the Contractor is required to complete the following rerepresentation and submit it to the contracting office, along with the contract number and the date on which the rerepresentation was completed:

SECTION M - EVALUATION FACTORS FOR AWARD

The following have been modified:

EVALUATION

The Government intends to issue a single award non-commercial Indefinite Delivery/Indefinite Quantity type contract with Firm Fixed-Price pricing provisions to the responsible offeror whose proposal represents the best value in accordance with the factors in the solicitation.

Technical, Past Performance and Price are the factors that will be evaluated. The Technical Evaluation factor is more important than the Past Performance evaluation factor, and the Past Performance is more important than Price. All non-priced factors when combined together are more important than Price.

If the Offeror’s proposal is determined unacceptable in any of the technical evaluation sub-factors, the proposal may not be considered for award, unless the Contracting Officer determines that discussions are in the best interest of the Government. The Government reserves the right to award the contract to other than the lowest priced Offeror.

1. Volume I - Technical Evaluation:

The Government shall evaluate the technical proposal on its feasibility, its comprehensiveness, and the degree to which the offeror demonstrates how the requirements identified in the Performance Work Statement (PWS) will be successfully accomplished.

The Technical Evaluation criteria include the following sub-factors, which are of equal importance:

Sub-Factor I: Technical Capability – The offeror will be evaluated on how well its Technical Capability submission demonstrates an understanding of and capability to perform and comply with all requirements covered in the solicitation.

Sub-Factor II: Management Plan – The offeror will be evaluated on how well its management plan clearly describes its management techniques and procedures and indicates to the government that the offeror has capable resources to ensure the requirements identified in the PWS will be performed in a timely, responsive and efficient manner.

The government will also evaluate the offerors key personnel (Instructors & Riggers), as defined in 5652.237-9001 Key Personnel Requirements on the quality of their experience and demonstrated capabilities of performing the requirements of the PWS in an efficient, reliable and professional manner.

The Quality Assurance Plan will be evaluated based on the offerors demonstrated ability to comply with the PWS.

Sub-Factor III: Mobilization Plan – The government will evaluate the offeor’s mobilization plan on the quality of its organization and detail, and its demonstrated ability to execute the planned course(s) of instruction.

The evaluation of risk is related to the assessment of the offeror’s proposed technical approach. Risk assesses the degree to which the offeror’s proposed technical approach for the requirements of the solicitation may cause disruption of schedule, degradation of performance, the need for increased Government oversight and the likelihood of unsuccessful contract performance. Risk will be considered in the evaluation of the respective sub-factors.

A combined Technical/Risk Rating will be utilized in the evaluation of the Technical Evaluation and the combined technical/risk rating includes consideration of risk in conjunction with the strengths, weaknesses, and deficiencies in determining technical rating. Combined technical/risk evaluations will utilize the combined technical/risk ratings listed below.

Note: An offer which receives a “Marginal” rating is not eligible for award if award is made on initial submissions. However, offerors that receive a “Marginal” rating will be considered to be susceptible to correction if discussions are determined to be in the best interest of the Government.

A rating of “Unacceptable” for the Technical Evaluation Factor or any Sub-Factors means that the offeror’s submission is not awardable unless the Contracting Officer determines that discussion are in the best interest of the Government.

2. Volume II - Past Performance Evaluation:

The Government may verify past performance information. The Government may contact some or all of the references provided, as appropriate, and may collect information through telephone interviews and existing data sources to include but not limited to the Past Performance Information Retrieval System (PPIRS). The Government reserves the right to obtain information for use in the evaluation of past performance from any and all sources including sources outside of the Government to be used for evaluation purposes.

The Government reserves the right to consider questionnaires received after the due date of the solicitation and to contact references for verification of additional information.

Past performance will be evaluated based on the relevance and quality of submitted contracts.

Relevance will be determined by a contract's/task order's similarity to the current requirement, based on scope and magnitude. For the purposes of the evaluation, scope and magnitude will be measured by the following:

Scope: Experience in the areas defined in the Performance Work Statement (PWS).

Magnitude: The measure of similarity of the dollar value and quantity of work actually performed, that exists between the PWS and the offeror's contracts.

In terms of relevancy the offeror's past performance submission will be rated in accordance with the below levels of relevancy:

Past Performance Relevancy Ratings

Rating
Description
Very Relevant
Present/past performance effort involved essentially the

same scope and magnitude of effort as this solicitation requires.

Relevant
Present/past performance effort involved similar scope and

magnitude of effort as this solicitation requires.

Somewhat Relevant
Present/past performance effort involved some of the

same scope and magnitude of effort as this solicitation requires.

Not Relevant
Present/past performance effort involved little or none of

the scope and magnitude of effort as this solicitation requires.

Neutral
The offeror has no past performance history OR the KO has determined that the past performance information provided is not directly related or similar to the requirements in the RFP.

Offerors lacking relevant past performance history will receive a Neutral rating.

Each past performance reference under an offeror's Past Performance submission that is determined to be at a minimum "Somewhat Relevant", will be evaluated to determine the quality of the offeror's performance under that reference.

The quality evaluation will be based on the following sub factors: Quality, Timeliness, and Contractor Responsiveness which are of equal importance. The KO’s past performance quality evaluation will be in accordance with the following table:

Past Performance Quality Ratings

Rating

Description

Good
Superior accomplishment of contract requirements and very high customer satisfaction.
Acceptable
Fully compliant accomplishment of contract requirements and positive customer satisfaction.
Marginal
Accomplishes most, but not all, of the desired contract requirements and customer is marginally satisfied.
Unacceptable
Failure to properly accomplish contract requirements and failure to satisfy customer.
Neutral
The offeror has no past performance history OR the Contracting Officer has determined that the past performance information provided is not directly related or similar to the requirements in the RFP.

Following the quality evaluation, the KO will assign an overall confidence rating to each past performance reference, considering both the relevance and quality of the provided reference. The KO will then assign a composite past performance confidence rating for the offeror's overall past performance, considering the confidence rating assigned to each individual reference. The KO's confidence evaluation will be in accordance with the following table:

Past Performance Confidence Assessment Ratings:

Description
Substantial Confidence
Based on the offeror's recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.
Satisfactory Confidence

3. Volume III - Price Evaluation: Offerors price proposals will be evaluated by taking the unit priced proposed in revised Attachment 3 – ELIN(s) Pricing Spreadsheet and multiplying it by the estimated quantity provided by the Government for the base and all option years; to include the possibility of executing the 6 month option in accordance with 52.217-8. The basis of price reasonableness is in accordance with FAR 15.404-1.

Offerors responding to this solicitation are advised that, prior to award, the government may request additional information/data to support price reasonableness such as copies of paid invoices for the same or similar services, sales history for the same or similar items, price list with effective date and/or copies of catalog pages along with any applicable discounts. Failure to submit the requested information may result in disqualification of the submitted proposal.

The Government may evaluate any and all information submitted by the offeror to support the reasonableness of prices proposed.

Options. The Government will evaluate offerors for award purposes by adding the total price for all options, to include the possibility of executing the 6 month option in accordance with 52.217-8, to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
