Section H - Special Contract Requirements
H.1 - ORDERING PROCEDURES
| (a) | All delivery orders issued are subject to the terms and conditions of the contract. The contract shall control in the event of conflict with any delivery order. |
| (b) | When issuing a delivery order, the government will identify the number and type of courseware training hours required for each rating/path/course in SOW Appendix A for each delivery order. CLINs 1010 through 1016 in the IDIQ provide the unit pricing for those hours of rating/path/course training, by immersion level. The aggregate of that unit pricing is captured in the delivery order as a single CLIN for the courseware of that rating/path/course. |
(c) NAWCTSD Procuring Contracting Officers are designated as the Ordering Officer(s) for this contract.
| (d) | At time of delivery order award or modification, the Government will provide the RRL FY24 Content Conversion contractor with a delivery order Statement of Work to include the quantity of hours of Interactive Media Instruction (IMIs), by level/type in Attachment (1) Appendix A that will be provided at the DO level for the rating/path/course. The Appendix A will also specify the quantity of VSIM media by type (A through D) when ordering VSIM media. An estimated travel cost in support of IMI development will also be provided, which will be invoiced at Cost via CLIN 1019 during performance (no fee). Applicable CDRLs for the delivery order will also be provided. |
| (e) | The total price for the Content Conversion CLINs (1010-1016) will be based upon the established unit pricing found in Section B. |
| (f) | The Government will award delivery orders based on the data that is available for a particular rating/path/course. If additional data becomes available for an already awarded rating, the delivery order will be modified accordingly to capture any changes in the quantity of IMI hours required at the established unit pricing found in Section B. Different paths for the same rating may have different delivery dates within the same delivery order. The unit pricing for IMI levels/types is fixed at the IDIQ level and will not be negotiated at the delivery order level. As outlined in Attachment (1) RRL FY24 Content Conversion IDIQ Statement of Work, paragraph 1.2 Course, Module and Lesson Structure, if a course is to be re-used across paths within a rating or across ratings, the Government will order the course once to be reused as described in the Delivery Order. In the instance a course is to be reused across paths within a rating or across ratings, the inclusion of the course in the other ratings/paths/courses shall be at no additional cost. |
| (g) | The Contracting Officer may request a FFP proposal for In-scope Production Support, to include Train the Trainer via CLIN 1017 and Pilot via CLIN 1018, approximately six months prior to the delivery of the Content Conversion/IMI development CLINs. Those deliverables will be negotiated and added to each delivery order via a modification to the delivery order for the applicable rating/path. |
H.2 - USE & DISCLOSURE RIGHTS
USE AND DISCLOSURE RIGHTS IN SPECIAL WORKS
(a) This IDIQ contract contains DFARS clause 252.227-7020, “Rights in Special Works.” In accordance with DFARS clause 252.227-7020, the Government shall have unlimited rights and the contractor shall assign copyright to the Government for all works produced, created, or generated under the DOs issued under this contract. Accordingly, the contractor shall not use or disclose works produced, created, or generated in the performance of DOs issued under this contract without first obtaining written approval from the contracting officer.
(b) The Contractor shall submit requests for approval to disclose works identifying the specific work to be used or disclosed, the medium to be used, and the purpose for the use or disclosure. The Contractor shall submit its request to the Contracting Officer at least thirty (30) days before the proposed date for use or disclosure.
(c) The Contractor shall include a similar requirement in each subcontract for DOs issued under this contract. Subcontractors shall submit requests for authorization to use or disclose works through the prime contractor to the Contracting Officer.
H.3- ORG. CONFLICT OF INTEREST
ORGANIZATIONAL CONFLICT OF INTEREST
If the offeror does not propose an entity involved with contract N6134023D0001:
The contractor shall ensure that no entity that performed any tasking (at any tier, e.g. prime contractor, subcontractor, consultant) of contract N6134023D0001 performs any tasking of this contract (at any tier, e.g. prime contractor, subcontractor, consultant).
If the offeror proposes an entity involved with contract N6134023D0001, or otherwise involved with the Navy Ratings identified in this contract (see Attachment 1 SOW):
The contractor shall ensure that no entity that performed any tasking (at any tier, e.g. prime contractor, subcontractor, consultant) of contract N6134023D0001 or that was/is otherwise involved with the Navy Ratings identified in this contract, performs any tasking of this contract (at any tier, e.g. prime contractor, subcontractor, consultant) unless its performance is specifically addressed in the Attachment ## OCI Mitigation Plan. The contractor shall comply with the Attachment ## OCI Mitigation Plan.
H.4 - INCENTIVE FOR EARLY CC
H.4 – Incentive for Early Content Conversion CLIN Deliveries
**THIS H-CLAUSE SHALL BE INCLUDED IN THE BASIC RRL FY24 CONTENT CONVERSION IDIQ CONTRACT, AND INCLUDED WITH APPLICABLE FILL-IN INFORMATION PROVIDED IN EACH AWARDED DELIVERY ORDER**
(a) In order to meet Fleet needs, the Government requires delivery of each Content Conversion CLIN no later than the stated delivery date for each CLIN in Section F of awarded delivery orders under this Indefinite Delivery/Indefinite Quantity (IDIQ) contract. Early delivery of each CLIN is authorized and highly encouraged.
(b) The Government will pay an incentive fee for each applicable Content Conversion CLIN that is delivered early in accordance with all contract requirements and in accordance with the following table:
| CLIN |
| CLIN Description |
| Early Delivery Goal |
| % of CLIN value to be paid for incentive |
| 000X |
| Example Courseware Rating (ECR) Content Conversion Course |
| At least 60 calendar days prior to CLIN delivery date in Section F of delivery order |
| 10% |
| 000X |
| Example Courseware Rating (ECR) Content Conversion Course |
| At least 30 calendar days prior to CLIN delivery date in Section F of delivery order |
| 5% |
For example, CLIN 000X (Example Courseware Rating (ECR) Content Conversion) is priced at $1,000,000 with a required delivery date in Section F of the delivery order that is 365 days after award of the delivery order. In accordance with the above table, if the contractor delivers the CLIN-level end-item courseware in accordance with all contract requirements 335 days after award of the delivery order (stated Early Delivery Goal for CLIN 000X), then the contractor will be eligible to collect an incentive in the amount of 5% of the value of CLIN 000X, which is $50,000.
(c) The incentive for each applicable Content Conversion CLIN will be funded on separate Firm-Fixed Price CLINs. Each CLIN can only be invoiced by the contractor upon Government concurrence that the contractor has met the Early Delivery Goal stated for each applicable CLIN in the above table. Delivery means the date submitted to the government, not the date accepted by the government.
(d) Meeting the Early Delivery Goal includes achieving all contract requirements for the applicable CLIN. Unconditional acceptance indicates that all contract requirements (other than perhaps the delivery date) are met. Conditional acceptance indicates that some requirement(s) is not met. The contractor is not owed an incentive fee for CLINs accepted conditionally.
(e) If the Government rejects the delivery due to failing to meet requirements and then the contractor resubmits after the Early Delivery Date, then that delivery does not meet the Early Delivery Goal and the contractor is not eligible for the incentive fee.
(f) The contractor may be eligible for either the 10% incentive fee or the 5% incentive fee, not both.
(g) The incentive for meeting the Early Delivery Goal for each applicable CLIN shall only be considered per applicable CLIN. If the contractor meets the Early Delivery Goal for one applicable Content Conversion CLIN but not another applicable Content Conversion CLIN, then the contractor will be eligible for the incentive for the CLIN that is delivered by the Early Delivery Goal. The contractor will not be eligible for the incentive for the CLIN that is not delivered by the Early Delivery Goal.
(h) If the early delivery date is a weekend day or Federal holiday, as defined at 5 USC 6103(a), then the contractor will be eligible for the incentive fee so long as it delivers the relevant CLIN-level end-item courseware by the next non-weekend and non-Federal holiday day.
(i) Meeting the Early Delivery Goal for each applicable CLIN-level end-item courseware is solely the responsibility of the contractor. The Government will not sacrifice Government review time periods of interim Contract Data Requirement List (CDRL) deliverables or agree to lesser contract requirements in order for the contractor to meet the Early Delivery Goal and be eligible for the incentive. It is the contractor’s responsibility to meet all requirements of the contract, including submitting acceptable interim CDRL deliverables and CLIN-level end-item courseware that meet contract requirements. It is not the Government’s responsibility to accept deficient deliverables so the contractor can meet the Early Delivery Goal and be eligible for the incentive fee.
(j) If the Government causes a delay of work, then the delivery date listed in Section F of the delivery order will be revised in accordance with the terms of FAR 52.242-17 Government Delay of Work.
(k) Upon early delivery of the CLIN-level end-item courseware, the Contractor shall provide the Procuring Contracting Officer (PCO) a request for incentive payment identifying the amount earned and shall include copies of the DD Form 250 acceptance documentation and evidence of the date the contractor delivered the CLIN-level end-item courseware to the government. Within 15 days of the receipt of the contractor’s request, the PCO will provide confirmation of the incentive amount earned and, if earned, authorize the processing of the funded amount on the respective CLIN.
(l) In the event the Contractor does not meet the Early Delivery Goal, then the PCO may unilaterally de-obligate the unachieved value of the incentive CLIN via a contract modification. The contractor will not incur penalties or consideration obligations for failing to meet the Early Delivery Goals.
| 5252.204-9505 | SYSTEM AUTHORIZATION ACCESS REQUEST NAVY (SAAR-N) REQUIREMENTS FOR INFORMATION TECHNOLOGY(IT) (NAVAIR)(NOV 2017) |
| (a) Contractor personnel assigned to perform work under this contract may require access to Navy Information Technology (IT) resources (e.g., computers, laptops, personal electronic devices/personal digital assistants (PEDs/PDAs), NMCI, RDT&E networks, websites such as MyNAVAIR, and Navy Web servers requiring Common Access Card (CAC) Public Key Infrastructure (PKI)). Contractor personnel (prime, subcontractor, consultants, and temporary employees) requiring access to Navy IT resources (including those personnel who previously signed SAAR DD Form 2875) shall submit a completed System Authorization Access Request Navy (SAAR-N), OPNAV 5239/14 (Jul 2008) form or latest version thereof, and have initiated the requisite background investigation (or provide proof of a current background investigation) prior to accessing any Navy IT resources. The form and instructions for processing the SAAR-N form are available at: https://www.public.navy.mil/fltfor/nctsnaples/Documents/Forms%20and%20Instructions/form01.pdf. Instruction Note: SAAR-N forms are required to be downloaded and then completed. The "E-MAIL SUBMIT" button on the SAAR-N form is not to be used. | |
| (b) SAAR-N forms will be submitted to the Government Sponsor or Technical Point of Contact (TPOC) via the contractor's Facility Security Officer (FSO). The designated SAAR-N Government Sponsor or TPOC for contractor employees requiring IT access, TO BE SPECIFIED AT IDIQ CONTRACT AWARD shall be responsible for signing and processing the SAAR-N forms. For those contractors that do not have a FSO, SAAR-N forms shall be submitted directly to the designated SAAR-N Government Sponsor or TPOC. Copies of the approved SAAR-N forms may be obtained through the designated SAAR-N Government Sponsor or TPOC. Requests for access should be routed through the NAVAIR_SAAR.fct@navy.mil mailbox. |
