text: ITEM 10a. Communications Security (COMSEC) Information: NSA Policy Manual #3-16 applies to collateral COMSEC. The NRO Communications Directorate, Information Assurance Office, will provide security requirements for the contractor to support secure SCI communications.

ITEM 10e. National Intelligence Information: All contractor SCI work and access will be at a designated Government or contractor approved SCI Facility (SCIF). The contractor will follow the requirements of ICD 710, Classification and Control Markings System.

ITEM 10j. Controlled Unclassified Information (CUI): Guidance for CUI may be found in NRO Directive 100-2, Handling Sensitive Unclassified NRO Information. Guidance for CUI on corporate information systems may be found in NRO Directive 100-37.

ITEM 11c. Receive, Store, and Generate Classified Information or Material:

a. Contractor requires access to classified source data up to and including "TOP SECRET//SI/TK" in support of the work effort. Any classified information or extracts generated in the performance of this contract requires the contractor to apply derivative classifications and markings consistent with the source documents. Use of "Multiple Sources" on the "DRV FROM" line necessitates the inclusion of a listing of the specific source classification guides.

b. In accordance with NAM clause N52.204-001, the contractor is required to submit within 30 days of contract award a Standard Operating Procedure (SOP) to the OSL detailing how security will be administered for this contract. The SOP will be prepared in accordance with the OSL generated SOP outline, the NRO Security Manual, and the requirements specified in this DD Form 254.

c. The contractor will be required to prepare a System Security Plan (SSP) and any other applicable documents depending on the established security Categorization and resulting impact levels for confidentiality, integrity, and availability for their Information Systems (IS). The contractor will be required to adhere to the requirements applicable to Information Technology (IT) outlined in NAM Clause N52.204-010, Information System Access; N52.204-011, Information Technology-Information Assurance-Information Management Requirements; and N52.204-012, Industry Partner Access.

d. Additionally, in accordance with N52.204-010, Information System Access, the SOP delivered to OSL will include information regarding the contractor's unclassified corporate networks and any other network or system that processes unclassified NRO information. This should include details on the contractor's safeguards against threats and hazards to the availability, integrity, and confidentiality of NRO information to include Controlled Unclassified Information (CUI).

ITEM 11h. Require a COMSEC Account: The Program Security Officer (PSO) will coordinate with the Communications Directorate, Information Assurance Office, to provide a COMSEC account for the contractor to support secure communications.

ITEM 11i. Have TEMPEST Requirements: NAM Clause N52.204-005 applies.

ITEM 11j. Have Operation Security (OPSEC) Requirements: OPSEC requirements apply. The contractor will comply with special OPSEC security requirements contained in the contract or addendum thereto.

ITEM 11m. Other: The contractor is authorized to use the NRO Courier Service. The use of other U.S. Government couriers will be coordinated with the PSO.

ITEM 12. Public Release: NAM Clause N52.204-009, Release of Contract Information, or N52.204-009 Alt 1 applies. The contractor shall not use or allow to be used any aspect of this contract for publicity, advertisement, or any other public relations purpose. The contractor must obtain the written approval of the Contracting Officer (COTR) before releasing any information related to this contract.

1. For programs that require the contractor to have access to national security information, up to and including SCI, the contractor shall maintain a comprehensive security program in accordance with the requirements of:

a. NRO Security Manual (NSM)

b. National Industrial Security Program Operating Manual (NISPOM)

c. NRO Personnel Security Instruction (PSI)

d. Intelligence Community Directive (ICD) 704, Personnel Security

e. ICD 705, Sensitive Compartmented Information Facilities. This directive requires all Intelligence Community (IC) Sensitive Compartmented Information Facilities (SCIF) to comply with uniform IC physical and technical security requirements to ensure the protection of Sensitive Compartmented Information (SCI) and foster efficient, consistent, and reciprocal use of SCIFs throughout the IC. When re-accrediting a SCIF, the NRO will apply an increase in the sensitivity of the program or the threat.

f. Committee for National Security Systems (CNSS) Directive 504, Directive on Protection of National Systems from Insider Threat

g. For contracts requiring SCI access, NISPOM Supplement 1 (NISPOMSUP); ICD 705, Sensitive Compartmented Information Facilities; ICD 710, Classification and Control Markings System; and the Integrated NRO Classification Guide (INCG) apply.

h. Intelligence Community and NRO directives, instructions, policy guidance, standards and special access program classification and program security guides listed below.

i. The latest revision to each document listed above, notice of which has been furnished to the contractor by the Government.

1) The contractor shall maintain an overall security program in accordance with the requirements of the most recent approved version of the NRO Security Manual, which are herein incorporated by reference and made a part hereof. Any and all security policy changes to or revisions of the documents outlined in this specification will be distributed to the contractor by the COTR and will become requirements to this contract.

2) Contractor personnel may require access to SCI or entry to Government resources where special controls have been established to protect SCO or mission-critical resources. Contractor personnel requiring access to SCI shall be required to meet ICD 704 personnel security standards. Requests for SCI access will be submitted in accordance with the NRO Security Manual and NRO Security Personnel Security Instruction (PSI). Requests for security clearances for Contractor personnel that do not require access to SCI may be submitted in accordance with the NISPOM.

3) Security requirements are a material condition of this contract. Failure of the contractor to maintain and administer a security program, fully compliant with the security requirements of this contract, constitutes grounds for termination for default.

4) If, subsequent to the date of this contract, the security requirements under this contract are changed by the Government, as provided in this clause, and the security costs or time required for delivery under this contract are thereby increased or decreased, the contract price, delivery schedule, or both, and any other provision of this contract which may be affected shall be subject to an equitable adjustment. Any equitable adjustment required by virtue of this clause shall be accomplished in the same manner as equitable adjustment negotiated under the "Changes" clause of this contract.

c. Security Classification Guidance (SCG):

The most recent approved version of the following Classification Guides will be used as classification guidance in performance of this contract: NRO Classification Guide, NRO Directorate SCGs, NRO Program SCGs, and NRO Launch Information Protection Guide (IPG). These, and any classification guidance, will be provided as needed. The contractor is permitted to make immediate distribution of the applicable classification guidance and revisions as directed by the Contracting Officer's Security Representative (COSR).

d. Cognizant Security Office:

1) The NRO Office of Security is the cognizant office for all NRO acquisitions. OSL Security is the COSR for this contract and is the responsible security office for the day-to-day operations of this contract.

2) The NRO has exclusive security oversight responsibility for all classified NRO material released or developed under this contract.

3) The on-base Security Servicing Activity for Air Force locations identified in Section 8, above, is hereby relieved of security review and oversight responsibility for the contractor working in on-base NRO areas. See AFI 31-106, Section 10.2.

e. Assessments:

1) The NRO is the cognizant security office for all classified information on this contract. All security infractions and violations in support of this contract shall be reported to the COSR. All SCIF areas supporting this contract remain under the cognizance of the NRO. Inspection of NRO SCIF areas will be the responsibility of the NRO.

2) As part of the contract inspection requirements, the NSM requires each contractor to conduct an annual security self-inspection as part of the Integral Security Assessment Program (ISAP). Contractor-led self-assessments are critical in identifying and addressing security vulnerabilities at contract performance locations and are required for all NRO contracts.

f. Conflicts:

1) Non-withstanding the requirements of any of the clauses of the contract to the contrary, whenever the Contractor, in performance of the work under this contract, shall find that the requirements of any of the clauses of the contract are in conflict with security instructions issued to the contractor by the COTR or by a duly authorized representative for security matters, the contractor shall call the attentions of the COTR to such conflict and the COTR or his/her duly authorized representative for security matters shall: a) Modify or rescind such security requirements, or b) the COTR shall issue to the contractor written instructions concerning compliance with the requirements of the clauses or provisions conflicting with such security requirements. Any waiver of compliance with the clauses or provisions of this contract issued by the COTR shall be in writing.

2) In the event a conflict occurs between the various security manuals, the contractor will utilize the most restrictive guidance and immediately refer the matter to the cognizant PSO for resolution. In the event that the development of information on material is not clearly covered by the contract or regulations, the contractor is required to seek Government guidance regarding its handling.

g. Technology:

Technology related to this contract and funded by the NRO must be submitted to the COTR for evaluation and determination of appropriate security classification and control by the COSR. This determination must be completed prior to any dissemination of information on this contract to persons not identified by the NRO as having a need-to-know.

h. Privacy or Security Safeguards:

1) The details of any safeguards the contractor may design of develop under this contract are the property of the Government and shall not be published or disclosed in any manner without the COTR's express written consent.

2) The details of any safeguards that may be revealed to the contractor by the Government in the course of performance under this contract shall not be published or disclosed in any manner without the COTR's express written consent.

3) The Government shall be afforded full, free, and uninhibited access to all facilities, installations, technical capabilities, operations, documentation, records, and databases for the purpose of carrying out a program of inspection to ensure continued efficacy and efficiency of safeguards against threats and hazards to data security, integrity, and confidentiality.

4) If either the Government of the contractor discovers new or unanticipated threats or hazards, or if existing safeguards have ceased to function, the discoverer shall immediately bring the situation to the attention of the other party. Mutual agreement shall then be reached on changes or corrections to existing safeguards or institution of new safeguards, with final determination of appropriateness being made by the Government. The Government's liability is limited to an equitable adjustment of cost for such changes or corrections, and the Government shall not be liable for claims of loss of business, damage to reputation, of damages of any other kind arising from discovery of new or unanticipated threats or hazards, or any public or private disclosure thereof.

i. Subcontractor Relationships:

1) The Prime Contractor is responsible for providing security oversight and ensuring an effective security program for any and all subcontractor relationships that are formed as a result of this contract.

2) The contractor shall obtain pre-contract approval from the COTR of any subcontractor relationship where the disclosure of classified information to that subcontractor is necessary in order to accomplish the purposes of the contract.

3) If it becomes necessary to disclose classified information in a subcontractor relationship not previously approved in accordance with the above, the contractor shall request permission of the COTR prior to such disclosures. The request shall be in writing and shall identify the specific subcontractor and the nature and extend of classified information that needs to be disclosed.

4) The contractor is expressly prohibited from representing a subcontractor's employees as prime contractor employees for the purposes of obtaining access to classified materials for these individuals. Requests for such access shall specifically identify the company for whom each employee works.

5) The contractor agrees to include in all such subcontracts provisions which shall conform substantially to the language of this specification and as the COTR may direct.

j. Associate Contractor Relationships:

The contractor is authorized to disclose classified information between itself and all associate contractors involved with activities associated with performance of this contract, provided that clearance and need-to-know requirements are met. The disclosure extends to all Contractor Assistance and Advisory Services (CAAS), Systems Engineering and Technical Advisor (SETA), and Federally Funded Research & Development Contractor (FFRDC) organizations supporting OSL.
