SECTION H
SPECIAL CONTRACT REQUIREMENTS
9952.900-H900 ORDERING PROCEDURES
Further guidance is in the DO-CAT User’s Guide. The contractor may accept task orders (TO) and modifications to TOs only from contracting officers working for OO-ALC/PKXE or an administrative contracting officer working in the contract administrative office identified on the contract.
The minimum quantity of services that shall be ordered by the government and furnished by the contractor (minimum guaranteed order) is the attendance and participation of the contractor at the post-award conference.
Unless a TO requirement meets one of the exceptions to fair opportunity listed in FAR 16.505(b)(2), it will be considered a competitive requirement. Before a task order proposal is requested for a competitive requirement, it will be reviewed for the suitability of establishing a small business set-aside for the requirement. The contracting officer will consider FAR 19.502-2(b)(1) and (2) and FAR 52.219-14 Limitations on Subcontracting as contained in this contract in determining whether or not to set the requirement aside for competition among the small business prime contractors.
Unless otherwise noted in the letter order request for proposal (ORFP) the offerors shall submit their proposals in:
Requirements estimated by the government to be less than $1,000,000 – 5 working days.
Requirements estimated by the government at $1,000,000 or more – 7 working days.
Past performance under the contract will be considered in selection of contractors for task orders, with the exception of performance on the task orders awarded to satisfy the contract minimum. Possible past performance ratings in selection of a contractor for an order are: excellent, acceptable, no order past performance, or unacceptable. See User’s Guide for detail.
The cost of preparing any quotation or proposal in advance of receiving a TO will be considered a bid and proposal (B&P) cost. This cost, therefore, is only chargeable to the appropriate indirect cost account. Under no circumstances are such B&P costs to be considered direct costs chargeable or reimbursable under the contract or a TO that may be issued.
The government reserves the right to not award an order after requesting an order proposal. Regardless of whether an order is placed or not, the Government shall not be responsible for the contractor’s B&P costs.
The government will select whether a task order shall be primarily hourly or firm fixed price.
TOs will be issued via DD Form 1155. Standard Form 30 will be used to modify TOs.
In any labor hour TO, labor identified in Attachments 4 and 5 of the contract shall be priced at or below the fully burdened rates to include all indirect costs and profit, not-to-exceed (NTE) rates contained in the contract; whether the worker performing the labor is an employee of the prime contractor or a subcontractor.
In any firm fixed price task order, unless specified otherwise in the ORFP, labor identified in Attachments 4 and 5 of the contract shall be priced in accordance with the fully burdened rates to include all indirect costs and profit, not-to-exceed (NTE) rates contained in the contract; whether the worker performing the labor is an employee of the prime contractor or a subcontractor.
Since the rates in the contract are NTE, prices in non-competitive orders must be furnished with sufficient data to justify cost/price in accordance with FAR.
9952.901-H901 TRAVEL/PER DIEM COSTS
Contractor furnished travel during performance of individual task orders (TOs) will be reimbursed only when the estimated amount of the travel has been funded on the task order in advance. The estimate shall be made in accordance with joint travel regulation (JTR) rates unless an exception to that is approved by the contracting officer.
In accordance with FAR 31.205-46(a)(2), costs incurred by the contractor for authorized travel, lodging, and meals for travel in direct support of a specific TO issued under CLIN 0017 shall be reimbursed to the extent that they do not exceed on a daily basis per diem rates set forth in the Joint Travel Regulations.
Travel and per diem costs will only be paid under the contract for sending employees of the contractor temporarily to other locations in performance of the TO. Travel and per diem costs will not be paid for permanent relocation or hiring of workers.
9952.902-H902 PROJECTED TEAM COMPLEMENT
The projected team complement (PTC) is the estimated number and skill classification of personnel expected to be required to accomplish a task. The PTC is determined solely by the Contractor based on the number of personnel the Contractor believes to be necessary to accomplish the required task(s). Regardless of the contract type utilized for order selection, the contractor shall provide a breakout of the PTC on which their proposal is based.
9952.903-H903 DEFINITIONS OF SKILL CLASSIFICATION
The skill classifications contained in this solicitation and resulting contract(s) are consistent with the Department of Labor’s Register of Wage Determinations issued under the Service Contact Act. Job descriptions for each classification are listed in the Service Contract Act Directory of Occupations, Fifth Edition, August 2006; this publication may be obtained from the Superintendent of Documents, at 202-783-3238 or by writing to the Superintendent of Documents, U.S. Government Printing Office, Washington D.C., 20402.
9952.904-H904 ADDITIONAL JOB CLASSIFICATIONS
If a requirement arises for those skill classifications which are currently listed on the applicable Wage Determination, which are not NTE priced in Section B and are specifically called forth in the order, the appropriate billing rate will be negotiated between the contractor and the Procuring or Administrative Contracting Officer using those base rates contained in the wage determination.
Should additional skill classifications not listed on the applicable Wage Determination be required for performance under the contract, those conformance procedures specified in the wage determinations shall be used.
Such conforming process shall be initiated by the contractor prior to the performance of contract work by such unlisted class(es) of employees. The conformed classification, wage rate, and/or fringe benefits shall be retroactive to the commencement date of the contract.
9952.905-H905 SUPERVISORS AND SUPPORT
A separate billing rate will not be established in the contract for supervisors or for secretarial/clerical personnel in support of the site supervisors. The cost of the supervisors and support personnel will be an indirect component in the rates of the workers.
Manning for this support of site supervisors shall not be determined by the Government or be part of the team complement. Manning levels for site supervision will be contractor determined at each work site but must be sufficient in number, skill and experience to accomplish the tasks of supervision without intervention by or reliance on Government supervisors to direct the contractor’s employees. The contractor will determine the structure of supervision, which may include working leads.
9952.906-H906 USE OF INDIVIDUAL OR PERSONAL NONDISCLOSURE AGREEMENTS (NDAs)
NDAs will be used as appropriate for DO-CAT task orders (TOs). These NDAs serve to protect confidential, proprietary and/or sensitive information to which contractors may be given access as a result of their performance under DO-CATs TOs. These NDAs provide assurance to the Government that the contractor employees will conform to the conditions and responsibilities in regards to the confidential, proprietary and/or sensitive information to which they are given access.
If it has been determined that an NDA is appropriate for a TO and included in the TO solicitation, the Contractor shall agree to furnish signed NDAs for each employee once the employees have been identified. The signed NDAs must be in place before the employees are given access to the restricted or proprietary information. Furthermore, the Contractor on such a TO shall have signed NDAs for employees assigned to the effort for the duration of the TO.

The small business size standard corresponding to this NAICS code can be found at http://www.sba.gov/services/contractingopportunities/sizestandardstopics/
(d) The small business size standard for a Contractor providing a product which it does not manufacture itself, for a contract other than a construction or service contract, is 500 employees.
(e) Except as provided in paragraph (g) of this clause, the Contractor shall make the re-representation required by paragraph (b) of this clause by validating or updating all its representations in the Online Representations and Certifications Application and its data in the Central Contractor Registration, as necessary, to ensure they reflect current status. The Contractor shall notify the contracting office by e-mail, or otherwise in writing, that the data have been validated or updated, and provide the date of the validation or update.
(f) If the Contractor represented that it was other than a small business concern prior to award of this contract, the Contractor may, but is not required to, take the actions required by paragraphs (e) or (g) of this clause.
(g) If the Contractor does not have representations and certifications in ORCA, or does not have a representation in ORCA for the NAICS code applicable to this contract, the Contractor is required to complete the following re-representation and submit it to the contracting office, along with the contract number and the date on which the re-representation was completed:

5352.209-9002 ORGANIZATIONAL CONFLICT OF INTEREST (AFMC) (AUG 2002)
(IAW AFMCFARS 5309.507-2(a))
(a) The following restrictions and definitions apply to prevent conflicting roles which may bias the Contractor's judgment or objectivity, or to preclude the Contractor from obtaining an unfair competitive advantage in concurrent or future acquisitions.
(1) Descriptions or definitions:
"Contractor" means the business entity receiving the award of this contract, its parents, affiliates, divisions and subsidiaries.
"Development" means all efforts towards solution of broadly-defined problems. This may encompass research, evaluating technical feasibility, proof of design and test, or engineering of programs not yet approved for acquisition or operation.
"Proprietary Information" means all information designated as proprietary in accordance with law and regulation, and held in confidence or disclosed under restriction to prevent uncontrolled distribution. Examples include limited or restricted data, trade secrets, sensitive financial information, and computer software; and may appear in cost and pricing data or involve classified information.
"System" means the system that is the subject of this contract.
"System Life" means all phases of the system's development, production or support.
"Systems Engineering" means preparing specifications, identifying and resolving interface problems, developing test requirements, evaluating test data, and supervising design.
"Technical Direction" means developing work statements, determining parameters, directing other Contractors' operations, or resolving technical controversies.
(2) Restrictions: The Contractor shall perform systems engineering and/or technical direction, but will not have overall contractual responsibility for the system's development, integration, assembly and checkout, or production. The parties recognize that the Contractor shall occupy a highly influential and responsible position in determining the system's basic concepts and supervising their execution by other Contractors. The Contractor's judgment and recommendations must be objective, impartial, and independent. To avoid the prospect of the Contractor's judgment or recommendations being influenced by its own products or capabilities, it is agreed that the Contractor is precluded for the life of the system from award of a DoD contract to supply the system or any of its major components, and from acting as a subcontractor or consultant to a DoD supplier for the system or any of its major components.
(Applicable when the contractor will be providing systems engineering and/or technical direction)
5352.209-9002 ORGANIZATIONAL CONFLICT OF INTEREST -- ALTERNATE II (AFMC) (AUG 2002) (IAW AFMCFARS 5309.507-2(a)(3)) As prescribed in 5309.507-2(a)(3), either substitute paragraph (a)(2) of the basic clause with the following paragraph, or add the following in addition to the basic restriction. Renumber the paragraphs as needed if more than one restriction applies. Use this paragraph, substantially as written.
(a)(2) The Contractor shall participate in the technical evaluation of other Contractors' proposals or products. To ensure objectivity, the Contractor is precluded from award of any supply or service contract or subcontract for the system or its major components. This restriction shall be effective for N/A. This does not apply to other technical evaluations concerning the system.
5352.209-9002 ORGANIZATIONAL CONFLICT OF INTEREST -- ALTERNATE III (AFMC) (AUG 2002) (IAW AFMCFARS 5309.507-2(a)(4)) As prescribed in 5309.507-90(a)(4), add the following paragraph (b) to the basic clause substantially as written:
(b) The Contractor may gain access to proprietary information of other companies during contract performance. The Contractor agrees to enter into company-to-company agreements to (1) protect other company's information from unauthorized use or disclosure for as long as it is considered proprietary by the other company and (2) to refrain from using the information for any purpose other than that for which it was furnished. For information purposes, the Contractor shall furnish copies of these agreements to the Contracting Officer. These agreements are not intended to protect information which is available to the Government or to the Contractor from other sources and furnished voluntarily without restriction.
(Applicable when the contractor will be obtaining access to proprietary information)
