INSTRUCTIONS, CONDITIONS, AND NOTICES TO OFFERORS

SECTION L

1. PROGRAM STRUCTURE AND OBJECTIVES

The Roofing Repair, Replacement and Maintenance (R3M) Firm-Fixed-Price (FFP) contract is a single base 5-year ordering period, Indefinite Delivery Indefinite Quantity (IDIQ) contract.

1.1 The purpose of this solicitation is to acquire commercial roof replacement, preventative maintenance, corrective repair, and inspection/testing services for United States Air Force (USAF) U.S. Army (USA) and U.S. Navy (USN) Active, Guard and Reserve installations and other federal agencies within the Contiguous United States (CONUS) including Alaska (CONUS+AK) (only areas reachable by ground transportation). The program will acquire such construction and services for existing USAF facilities on a recurring basis (mandatory use). The program will acquire such construction and services for USA and USN on an as-requested basis only (not mandatory-use). Requirements execution will be divided into six geographic regions:

West, Midwest, Northeast, Southwest, Southeast and Alaska [see Request for Proposal (RFP) Section J, Attachment 1 - Region Map].

1.2 The scope of this effort is to perform roof replacement, repair and maintenance (thermal and moisture protection) for low-slope (weatherproof membrane types of roof systems installed on slopes at or less than 3:12 or 14 degrees), steep slope (water-shedding types of roof coverings installed on slopes greater than 3:12 or 14 degrees), and metal (hydrostatic and hydrokinetic systems) roofing projects. Roof assemblies include all items of work included in the elemental classification of the American Society for Testing and Materials (ASTM) UNIFORMAT II B30. The thermal insulation, vapor retarder, membrane, drainage components, flashings, and details (roof edges, scuppers, parapets, curbs, drains, coping systems, shingles and roofing tiles, etc.) are included in the scope of this effort. The features of work that are part of the structural roof assembly [framing (steel, wood, etc.), structural diaphragm, decking, purlins, parapets, roof joists, beams, associated hardware and fixtures, etc.] regardless of material are in scope of this effort. All roof types, systems, membranes, and services listed in UFC 3-110-03 are included. Roof types not listed must be approved by AFCEC Subject Matter Expert (SME). The Government may elect to replace a roof with a different in-scope roof type (for example: Asphalt Built-Up Roof to Metal (Hydrostatic) Membrane, etc.).

1.3 A single request for proposal (RFP) will be issued to solicit proposals for all six (6) regions. Six (6) separate competitions will be accomplished under this single solicitation, one (1) in each region. Source selections will result in awards of IDIQ contracts to multiple Offerors in each region.

1.4 IDIQ awardees in each region will compete for R3M task orders as they are solicited by each installation in the geographic region during the ordering period of the IDIQ contract.

1.5 This source selection will be conducted and awarded using a new approach, Exclusion of Price In Competition (EPIC) in accordance with the authority at Class Deviation 2018-O0006, Evaluation Factors for Certain Multiple Award Task or Delivery Order Contracts, dated December 13, 2017. The EPIC method authorizes Contracting Officers (COs), “when issuing a solicitation that will result in multiple-award contracts issued for the same or similar services, may exclude price or cost as an evaluation factor for the contract awards, if the solicitation states that the Government intends to make an award to each and all qualifying Offerors.”

2. GENERAL INSTRUCTIONS

This section provides general guidance for preparing proposals as well as specific instructions on the format and content of the Offeror’s proposal. An Offeror is defined as a prime contractor. The Offeror’s proposal must include all data and information requested and must be submitted in accordance with these instructions. The proposal shall be compliant with the requirements as stated in the Statement of Work (SOW), Model Contract, including all Exhibits and Attachments thereto, and all appendices to this RFP including supplemental instructions contained herein. Non-conformance with these RFP instructions and/or submittal of an incomplete package may result in an Proposal being considered non-compliant and/or unfavorably evaluated. Cost will not be evaluated at the IDIQ level, but will be evaluated on individual task orders (TOs).

2.1 The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements, but rather shall provide convincing rationale to address how the Offeror intends to meet these requirements where applicable in these instructions. The Offeror shall assume that the Government has no prior knowledge of the Offeror’s facilities and experience, and will base its evaluation on the information presented in the Offeror’s proposal.

2.2 Elaborate brochures or documentation, binding, detailed artwork, or other embellishments are unnecessary and are not desired.

2.3 If the Offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the Offeror shall notify the CO (listed in Section 2.4) in writing with supporting rationale within the question and answer period of the solicitation. The CO intends to close the Q&A period not later than ten days from the proposal due date (i.e. closing date of the RFP).as soon as possible and prior to solicitation closing date.

2.4 Contracting Officer. The CO listed below is the primary point of contact for this acquisition. Address all questions and/or concerns to the CO. Written requests for clarification must be sent to the team email at AFICA.R3M.Roofing_Program@us.af.mil AND the CO. Email is the preferred method of communication. The CO for this acquisition is as follows:

Primary: Captain Kyle J. Gagnon 1940 Allbrook Drive, Bldg 1 Room 300 Wright-Patterson AFB, OH 45433 Phone: (937) 257-3364 Email: kyle.gagnon.1@us.af.mil

2.5 To ensure timely and equitable evaluation of proposals, Offerors must follow these instructions and are required to submit all documentation/information detailed herein.

Failure to submit all required documentation/information may result in a proposal being ineligible for award. In submitting proposals, Offerors are agreeing to the terms and conditions as written in this solicitation.

2.6 The CO will promptly notify Offerors of any decision to exclude them from the competition IAW FAR 15.503. Upon notification of exclusion, an Offeror may request and receive a debriefing IAW the requirements at FAR 15.503 or 15.506 as applicable.

Debriefings will be conducted IAW FAR 15.506.

2.7 The Government plans to use the Government-owned software, EZSource, for the evaluation. The software administration for EZSource is provided by Array Information Technologies. Representatives from Array Information Technologies may have exposure to the Offerors' proposals, but will not be providing advice on the merits of any proposal. Employees from Array Information Technologies who may have exposure to proposals have executed non-disclosure agreements.

These non-disclosure agreements are available for review upon request. The exclusive responsibility for source selection will reside with the Government. Any objection shall be provided in writing prior to the date set for receipt of proposals and shall include a detailed statement of the basis for the objection. Proprietary information submitted in response to this solicitation will be protected from unauthorized disclosure as required by Subsection 27 of the Office of Procurement Policy Act as amended (41 U.S.C.423) and implemented in the FAR. Representatives from Array Information Technologies are bound contractually by organizational conflict of interest and disclosure clauses with respect to proprietary information.

2.8 The Government intends to evaluate proposals and award contracts without discussions (except clarifications as described in FAR 15.306(a)). Therefore, the Offeror’s initial proposal should contain the Offeror’s best terms and conditions from a technical standpoint. The Government reserves the right to conduct discussions if the CO later determines them to be in the Government’s best interest.

3. PROPOSAL INSTRUCTIONS

3.1 An Offeror may propose on and be awarded IDIQ Contracts in a maximum of two

(2) regions, and must be capable of performing roofing work at all bases in both regions. Aggregate bonding capacity requirements will be greater for firms proposing on two (2) regions compared to the requirements bidding for one (1) region. If Offerors propose on two (2) regions, the Offeror must submit two separate, complete proposals. Offerors shall NOT provide proposals for more than two (2) regions.

3.2 An Offeror must clearly identify in its proposal which region the proposal covers.

Offerors proposing in two (2) regions, must submit two (2) separate proposals, one

(1) for each region.

Region 1: West; Covers Air Force facilities in California, Colorado, Idaho, Montana, Nevada, Utah, Washington, and Wyoming.

Region 2: Midwest; Covers Air Force facilities in Illinois, Kansas, Nebraska North Dakota, Missouri, and South Dakota.

Region 3: Northeast; Covers Air Force facilities in Delaware, Maryland, Massachusetts, New Hampshire, New Jersey, New York, Ohio, and Virginia.

4. ORGANIZATION

4.1 The Offeror shall prepare the proposal as set forth in the Proposal Organization Table 1 below. The titles and contents of the volumes shall be as defined in this table, all of which shall be within the required page limits and with the number of copies as specified. The attachments for volumes shall be properly marked and included within its respective volume.

4.2 The Offeror shall provide one (1) hardcopy of the original proposal clearly identified as “original” proposal. In addition to that paper copy, the Offeror shall submit all proposal information in identical format and content in electronic version via AMRDEC SAFE https://safe.amrdec.army.mil/safe. In the event there is a difference in content or page size between hard and electronic copies, the Government will base its evaluation on the hard copies.

4.2.1 Paper Copy Proposal Submission: The paper copy proposal submission shall be submitted in one (1) three-ring binder that includes Volumes I and II. The volumes should be separated by tabs, and the content of each volume should be separated by tabs/subtabs or otherwise allow for easy distinction.

4.3 The content and page size of electronic copies must be identical to the paper copies.

In the event there is a discrepancy between the paper and electronic copy, the paper copy will supersede all other copies. Indicate in each file name the volume number and title, and use separate files to permit rapid location of all portions, including subfactors, required plans, exhibits, appendices, and attachments, if any. The electronic copies shall be submitted in a format readable by Microsoft (MS) Word 2013 or 2016, MS Excel 2013 or 2016, MS Project 2013 or 2016, or MS PowerPoint 2013 or 2016.

When creating Adobe portable documentation format (PDF) files the Offeror shall create the file to enable textual search and copy functions. Macros or other embedded objects or features will be disabled as part of regular security precautions.

4.5 Page limitations shall be treated as maximums. If exceeded, the excess pages will not be read or considered in the evaluation of the proposal and (for paper copies) will be destroyed. Page limitations may be placed on responses to Evaluation Notices (ENs). The specified page limits for EN responses will be identified therein. EN responses shall include proposal page revisions as applicable. For all Volumes and Attachments thereto, each page shall be counted except the following:

Cover pages Tables of contents Tabs Lists of tables and drawings Glossaries

Acronym Lists Contractual Documentation

4.6 A page is defined as each face of a sheet of paper containing information. When both sides of a sheet display printed material, it shall be counted as two pages. Page size shall be 8.5 x 11 inches. Pages shall be single-spaced. Except for the reproduced sections of the solicitation document, the text size shall be no less than 12 point. Tracking, kerning, and leading values shall not be changed from the default values of the word processing or page layout software. Use at least 1-inch margins on the top and bottom and 3/4 inch side margins. Pages shall be numbered sequentially by volume. These page format restrictions shall also apply to responses to ENs. These limitations shall apply to both electronic and hard copy proposals.

4.7 Each proposal shall be accompanied by a complete and signed Cover Letter (template located at Appendix 1 – Cover Letter Template) to be included in Volume I (see section 5). The Cover Letter Template meets the requirements at FAR 52.215- 1, paragraph (c)(2) and also requires the Offeror to identify the geographic region covered by the proposal.

4.8 The table of contents shall contain sufficient information to delineate the subparagraphs within each volume. Tab indexing shall be used to identify sections.

4.9 The proposal shall contain a glossary of all abbreviations and acronyms used therein. The glossary shall be used only to spell out abbreviations and acronyms, not to provide an expanded definition of terms. Glossaries do not count against the page limitations for their respective volumes.

4.10 The contents of each proposal volume are described in the RFP paragraphs as noted in the table below.

5. VOLUME I – COMPLIANCE

Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as factors to be eligible for award. Failure to comply with the terms and conditions of the solicitation may result in the Offeror being removed from consideration for award. Price will not be evaluated at the IDIQ level, but will be evaluated on individual TOs/DOs. Any exceptions to the solicitation’s terms and conditions must be fully explained and justified.

5.1 Cover Letter. Offerors shall provide the Cover Letter Template, (see Appendix 1

– Cover Letter Template), as the first page of this volume and discussed in section 4.2.

5.1.1 Offerors shall provide the name, title, email address, and telephone number of the company/division point of contact regarding decisions made with respect to the Offeror’s proposal and who can obligate the company contractually. Also, Offerors shall identify those individuals authorized to negotiate with the Government.

5.1.2 Offerors shall provide company/division’s street address, county and facility code, commercial and government entity (CAGE) code, data universal numbering system (DUNS) number, and Tax Identification Number (TIN).

5.1.3 The Offeror shall provide a statement that the proposal provided will remain in effect for 240 calendar days after the solicitation closing date.

5.1.4 If applicable, Offerors contemplating a Joint Venture on this project must advise their assigned Small Business Administration (SBA) Business Opportunity Specialist (BOS) and submit evidence of the submitted application with their proposal. It is recommended that the agreement be submitted to your BOS as soon as practicable to ensure compliance with established SBA regulations. Corrections and/or changes required can be made only when your BOS has had adequate time for a thorough review.

The written joint venture agreement must be received by the Contracting Office and is recommended as an attachment to your cover letter. If the Offeror is selected for award, the Offeror must complete the written joint venture approval by the SBA, within a reasonable time, before the award of any resulting contract.

5.2 Model Contract. Offerors shall complete and submit this RFP in its entirety, including Sections A through K and any RFP amendments. The original shall be clearly marked and should be provided. Fill in all blanks in Sections A through K with either specific information or with “N/A” where applicable. The following sections constitute the model contract:

5.2.1 Section A - Solicitation/Contract Form: Offerors shall complete the

Proposal Section of the SF 1442, Solicitation/Proposal/Award. By completing Blocks 17, 20a, 20b, and 20c, the Offeror accepts the contract terms and conditions as written in the RFP. The Signature by the Offeror on the SF 1442 constitutes a proposal, which the Government may accept. The "original" copy should be clearly marked.

5.2.2 Section B - Supplies or Services and Costs/Prices: Offerors shall not enter prices into Section B of the RFP as section B WILL NOT be evaluated.

Price evaluation will be accomplished at the Task Order (TO) level only.

5.2.3 Section F - Deliveries or Performance: The ordering period is specified for the IDIQ contract. Individual project period of performance will be identified at the TO level.

5.2.4 Section G - Contract Administrative Data: Contract administrative data will be identified via Contract Data Requirements Lists (CDRLs) (Exhibit A).

5.2.5 Section H – Special Contract Requirements: The Offeror shall take note of all Special Contract Requirements identified that an Offeror must demonstrate its ability to meet in order to be eligible for award.

5.2.6 Section I – Contract Clauses: Clauses from the R3M IDIQ contract automatically carry over to subsequent TOs issued. They have the same applicability and effect despite not being listed again on the TOs issued.

The Offeror shall complete all TO requirements in accordance with all sections of the R3M contract.

5.2.7 Section J – List of Attachments:

Exhibit A – Contract Data Requirements Lists. An exhibit list of CDRLs for each of the efforts is provided by the Government (RFP, Section J). Modifications to these exhibits are not allowed.

Attachment 1 – Statement of Work and Region Map. A SOW is provided by the Government (RFP, Section J). Modifications to this document are not allowed.

5.2.8 Section K – Representations, Certifications, and other Statements of

Offerors: FAR 52.204-7, System for Award Management (Oct 2018), is incorporated by reference in Part II, Section L. The offeror shall follow the instructions cited in this Section K, FAR 52.204-8, Annual Representations and Certifications (Oct 2018), and complete all representations, certifications, acknowledgments and statements in the System for Award Management (SAM) as part of responding to this RFP.

If a representation, certification, acknowledgement or statement cited in this Section K cannot be found in SAM, then the offeror shall submit that Section K representation, certification, acknowledgement or statement.

Failure to adhere to these instructions shall render an offeror as being ineligible for award. All provisions will be removed before contract award while clauses from the R3M IDIQ contract automatically carry over to the subsequent TOs issued. They have the same applicability and effect despite not being listed again on the TOs issued. The Offeror shall complete all TO requirements in accordance with all sections of the R3M contract.

5.2.9 Section L – Instructions for Proposal Preparation.

Appendix 1 – Cover Letter Template Appendix 2 – Design Build Capability Worksheet Appendix 3 – Roof Material/Membrane Worksheet

Appendix 4 – Corporate Experience of Offeror Worksheet Appendix 5 – AMRDEC SAFE Screenshot Instructions

5.2.10 Section M – Evaluation Factors for Award.

5.3 Experience Modification Rate (EMR). Offerors shall provide their current demonstrated EMR on their insurance company’s letterhead.

5.4 Bonding Capacity. Offerors shall provide performance and payment bond capacity in letter format from an approved surety listed with the Department of Treasury that identifies the current per project and aggregate performance and payment bonding capacity of the Offeror.

This letter must indicate that the Offeror is capable of obtaining performance and payment bonds for projects located in each state in the geographic region covered by the proposal. Offerors proposing in two (2) regions must submit separate letters for respective regions.

Project performance and payment bonding capacity, as identified in this letter, must equal or exceed the largest anticipated project in the region. The largest anticipated project is $5,000,000. Aggregate bonding capacity as identified in this letter must equal or exceed $10,000,000.

If an Offeror proposes on any two (2) regions, aggregate bonding capacity must equal or exceed $15,000,000.

6. VOLUME II – TECHNICAL

The Technical Volume should be specific and complete. Legibility, clarity and coherence are very important. Your responses will be evaluated against the Technical Factor in Section M, Evaluation Factors for Award. Using the instructions provided below fill out the respective technical subfactor worksheets to accomplish/satisfy the Technical Volume requirements. Your proposed technical approach for accomplishing/satisfying all technical requirements and objectives shall be presented in these worksheets.

6.1 Subfactor 1: Design-Build Capability. Submit a completed Design Build Capability Worksheet (see Appendix 2 – Design Build Capability Worksheet), design-build credentials documentation, and documentation of subcontractor agreements.

To be considered complete, the Offeror must provide: (1) the Design-Build Capability Worksheet used to identify design-build capabilities; (2) documentation of any and all persons named in the worksheet and (3) documentation of subcontractor agreements which must be on subcontractors’ company letterhead.

In addition to the instruction herein, make sure to reference instructions in the worksheet.

6.1.1 Design Build Capability Worksheet:

6.1.1.1 “Region” Column – use the drop-down filter menu to first uncheck the “select all” check-box, then select the proposed region to display the corresponding states.

6.1.1.2 “Professional Credential” Column – use the drop-down menu to select the applicable credential for the proposed design-build professional (Professional Engineer (PE), Registered Architect (RA), or Registered Roofing Consultant (RRC)). All states in the region must have an identified person(s).

6.1.1.3 Complete remaining columns.

6.1.2 Credentials Documentation: For each person named in the worksheet, the

Offeror must provide documentation of professional seal (or equivalent) authorizing the employee/subcontractor to practice as a PE, RA or RRC.

6.1.2.1 At least one (1) employee/subcontractor who holds a qualifying credential must be provided for each of the states within the region in which the Offeror is bidding in order to be deemed acceptable.

Qualifying credentials are as follows: PE, RA or RRC.

6.1.3 Documentation of Subcontractor Agreement: If PE, RA or RRC is not an employee of the Offeror, then provide documentation of agreement/consent signed by Offeror and PE, RA or RRC subcontractor showing intent to perform potential design-build work. Documentation is needed for each state in the region where Offeror intends to subcontract design-build work.

6.2 Subfactor 2: Roof Material Installer/Applicator Agreements. Submit a completed Roof Material Worksheet (see Appendix 3 – Roof Material/Membrane Worksheet), roofing manufacturer’s installer/applicator agreements, and letters of commitment.

To be considered complete, the Offeror must provide (1) the Roof Material/Membrane Worksheet used to identify whether it will self-perform or subcontract the installation/application of the listed roof materials/membranes at each base in the proposed region, any proposed subcontractors, and roofing material/membrane manufacturers whose materials the Offeror or stated subcontractor is authorized to install/apply; (2) documentation from roofing materials/membranes manufacturers authorizing installation/application capabilities; and (3) letters of commitment. In addition to the instruction herein, make sure to reference instructions in the worksheet.

6.2.1 Roof Material/Membrane Worksheet: For those tasks that the Offeror may potentially subcontract, the Offeror must also identify the potential subcontractors (by name) that it intends to use to complete those tasks.

Work actually performed or subcontractors actually used during performance of the contract may differ without permission from the Government as long as the Offeror is in compliance with FAR 52.219-14, Limitations on Subcontracting (Jan 2019) (DEVIATION 2019-O0003). At the time of Task Order award but before work commences, all required certifications or other technical requirements for the Contractor or subcontractors must be met. The definition of “self-perform” is work under the scope of this effort conducted by the Offeror’s own labor force (employees on the Offeror’s payroll). In the case of a Joint Venture, the labor force can be from any of the companies that comprise the Joint Venture. The definition of “subcontract” is work under the scope of this effort conducted by an entity other than the Offeror to satisfy the Offeror’s contractual responsibilities with the Government. Make sure to reference instructions in the worksheet.

6.2.1.1 “Self-Perform” column – for the proposed region(s), select either

“Yes” or “No” for each roofing material at each base. Bases where the Offeror intends to self-perform: select “Yes” and continue.

Bases where the Offeror intends to subcontract: select “No”, provide the intended subcontractor’s name, and continue.

6.2.1.2 “Roofing Material/Membrane Manufacturer’s Name” column – name the manufacturer whose installer/applicator certification the Offeror or stated subcontractor is authorized to install/apply.
