4Solicitation +-+ FA702221R0002Section I - Contract Clauses. Page 28 of 78 Solicitation. FAR Clause 52.222-41 Service Contract Act and FAR 52.222-43 Fair labor Standards Act and Service Contract labor Standards-Price Adjustment (Multiple Year and Option Contracts). The Service Contract Act applies to workers performing within the United States, as defined in FAR 22.1001 - “United States” means the 50 States, the District of Columbia, Puerto Rico, the Northern Mariana Islands, American Samoa, Guam, the U.S. Virgin Islands, Johnston Island, Wake Island, and the outer Continental Shelf as defined in the Outer Continental Shelf Lands Act (43 U.S.C. 1331, et seq.), but does not include any other place subject to U.S. jurisdiction or any U.S. base or possession within a foreign country (29 CFR 4.112).

The Collective Bargaining Agreement applies to all non-exempt workers under this program, including those employees working on board the GRAY STAR and COBRA KING Ships, both of which are considered “forward deployed” and are not home ported in the U.S. PWS Paragraph 1.2.2 states “They are forward deployed assets that do not have traditional “homeports” and do not visit, nor return to, US ports.”

The employees are covered by the Collective Bargaining Agreement but, when they are not working within the United States, are not covered by the Service Contract Act (52.222-41). FAR 52.222-43 requires the Contractor to warrant that prices proposed “do not include any allowance for any contingency to cover increased costs for which adjustment is provided under this clause”. The adjustments provided for in 52.222-43(d) do not apply to workers not subject to the Service Contract Act, such as the forward deployed employees. As a result, 52.222-43 does not prohibit direct labor escalation for such CBA covered, forward deployed employees.

Will the Government confirm (1) that the CBA employees are not home ported in the US are not subject to 52.222-43, (2) that offerors should include direct labor escalation for the CBA covered, forward deployed employees, and (3) that adjustments to afloat personnel will not be made after award IAW 52.222-43.The RFP and resultant contract will contain 52.222-41 and accompanying clauses and wage determinations should work occur that is covered by SCA. Offerors should be aware that 52.222-43 applies only when 52.222-41 does. Offerors are advised to become aware of the finer points of SCA and the National Labor Relations Act.
