252.237-7023 - Continuation of Essential Contractor Services. Oct 2010 As prescribed in 237.7603(a), use the following clause:
CONTINUATION OF ESSENTIAL CONTRACTOR SERVICES (OCT 2010)
(a) Definitions. As used in this clause
(1) Essential contractor service means a service provided by a firm or individual under contract to DoD to support mission-essential functions, such as support of vital systems, including ships owned, leased, or operated in support of military missions or roles at sea; associated support activities, including installation, garrison, and base support services; and similar services provided to foreign military sales customers under the Security Assistance Program. Services are essential if the effectiveness of defense systems or operations has the potential to be seriously impaired by the interruption of these services, as determined by the appropriate functional commander or civilian equivalent.
(2) Mission-essential functions means those organizational activities that must be performed under all circumstances to achieve DoD component missions or responsibilities, as determined by the appropriate functional commander or civilian equivalent. Failure to perform or sustain these functions would significantly affect DoD's ability to provide vital services or exercise authority, direction, and control.
(b) The Government has identified all of the contractor services performed under this contract as essential contractor services in support of mission essential functions. These services are listed in attachment __1 - Performance Work Statement__, Mission-Essential Contractor Services, dated __03 March 2020__.
(c)(1) The Mission-Essential Contractor Services Plan submitted by the Contractor, is incorporated in this contract.
(2) The Contractor shall maintain and update its plan as necessary. The Contractor shall provide all plan updates to the Contracting Officer for approval.
(3) As directed by the Contracting Officer, the Contractor shall participate in training events, exercises, and drills associated with Government efforts to test the effectiveness of continuity of operations procedures and practices.
(d)(1) Notwithstanding any other clause of this contract, the contractor shall be responsible to perform those services identified as essential contractor services during crisis situations (as directed by the Contracting Officer), in accordance with its Mission-Essential Contractor Services Plan.
(2) In the event the Contractor anticipates not being able to perform any of the essential contractor services identified in accordance with paragraph (b) of this section during a crisis situation, the Contractor shall notify the Contracting Officer or other designated representative as expeditiously as possible and use its best efforts to cooperate with the Government in the Government's efforts to maintain the continuity of operations.
(e) The Government reserves the right in such crisis situations to use Federal employees, military personnel or contract support from other contractors, or to enter into new contracts for essential contractor services.
(f) Changes. The Contractor shall segregate and separately identify all costs incurred in continuing performance of essential services in a crisis situation. The Contractor shall notify the Contracting Officer of an increase or

decrease in costs within ninety days after continued performance has been directed by the Contracting Officer, or within any additional period that the Contracting Officer approves in writing, but not later than the date of final payment under the contract. The Contractor's notice shall include the Contractor's proposal for an equitable adjustment and any data supporting the increase or decrease in the form prescribed by the Contracting Officer.
The parties shall negotiate an equitable price adjustment to the contract price, delivery schedule, or both as soon as is practicable after receipt of the Contractor's proposal.
(g) The Contractor shall include the substance of this clause, including this paragraph (g), in subcontracts for the essential services.

NOTICE OF CONTINUATION OF ESSENTIAL CONTRACTOR SERVICES (OCT 2010)
(a) Definitions. Essential contractor serviceand mission-essential functions have the meanings given in the clause at 252.237-7023, Continuation of Essential Contractor Services, in this solicitation.
(b) The offeror shall provide with its offer a written plan describing how it will continue to perform the essential contractor services listed in attachment __1 - Performance Work Statement__, dated __03 March 2020__, during periods of crisis. The offeror shall-
(1) Identify provisions made for the acquisition of essential personnel and resources, if necessary, for continuity of operations for up to 30 days or until normal operations can be resumed;
(2) Address in the plan, at a minimum-
(i) Challenges associated with maintaining essential contractor services during an extended event, such as a pandemic that occurs in repeated waves;
(ii) The time lapse associated with the initiation of the acquisition of essential personnel and resources and their actual availability on site;
(iii) The components, processes, and requirements for the identification, training, and preparedness of personnel who are capable of relocating to alternate facilities or performing work from home;
(iv) Any established alert and notification procedures for mobilizing identified essential contractor service personnel; and
(v) The approach for communicating expectations to contractor employees regarding their roles and responsibilities during a crisis.

Instructions, Conditions, & Notices to Offerors or Quoters
Miscellaneous text in this section has been modified to:
FAR 52.212-1 Addenda - Instructions to Offerors Addendum to FAR 52.212-1 Instructions to Offerors - Commercial Items (October 2018)
(a) Paragraphs 52.212-1(b), "Submission of offers," and 52.212-1(f), "Late submissions, modifications, revisions, and withdrawals of offers," are deleted in their entirety and replaced with 52.215-1(c), "Submission, modification, revision, and withdrawal of proposals," by reference.
(b) Paragraph 52.212-1(c), "Period for Acceptance of Offers," is tailored as follows: "The offeror agrees to hold the prices in its offer firm for 150 calendar days from the date specified for receipt of offers."
(c) The following is inserted as new paragraph (m) of the provision:
(m) Proposal Preparation Instructions.
A. Proposal Preparation. To assure timely and equitable evaluation of proposals, offerors must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or subfactors. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. The response shall consist of four (4) separate parts /files; Part I - Summary and Miscellaneous Data, Part II - Price Proposal, Part III - Past Performance Proposal and Part IV - Technical Proposal.
B. Specific Instructions:
1. PART I - SUMMARY AND MISCELLANEOUS DATA. Submit 1 copy through email. If the overall document size exceeds 10 MBs, use the DoD SAFE (Secure Access File Exchange) site to upload documents, https://safe.apps.mil/. The site has an 8 GBs maximum size limit. Instructions on how to use DoD SAFE (Secure Access File Exchange) can be found at https://safe.apps.mil/about.php.
THE RESPONSIBILITY TO ENSURE THE GOVERNMENT RECEIVES EMAILED FILES RESTS
SOLELY WITH THE OFFEROR.
(a) The offeror shall provide a concise summary and master table of contents of the entire proposal.
(b). Complete blocks 12, 17a, 30a, 30b, and 30c of the Standard Form (SF) 1449. In doing so, the offeror accedes to the contract terms and conditions as written in the solicitation.
(c) Complete FAR 52.212.-3, "The offeror shall complete only paragraph (b) of this provision if the offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.beta.sam.gov . If the offeror has not completed the annual representations and certifications electronically, the offeror shall complete only paragraphs (c) through (v) of this provision."
Complete the necessary fill-ins and return the provision along with the proposal.
(d) For other provisions and clauses in the solicitation, the offeror is required to submit the pages that require an offeror fill-in.
(e) Submit an acknowledgment of all solicitation amendments, if issued.
(f) If none proposed, submit an Affirmation of no Exceptions, Deviations, or Waivers.
(2) PART II - PRICE PROPOSAL - Submit 1 copy through email to the POCs listed.
(a) This Part shall contain a completed Schedule of Services, continuation sheets of SF 1449, blocks 19 - 24.
(b) Insert proposed unit price(s) and extended amount(s) in the Schedule of Services for each Contract Line Item Number (CLIN) including all option periods. The extended amount must equal the unit price multiplied by the number of units. It is imperative that mathematical calculations are correct; particular care should be taken to ensure the amounts match when using a spreadsheet program, such as Microsoft EXCEL. The unit prices and extended amounts are limited to two decimal places.
(c) Extreme care should be exercised to ensure that no price data of any kind are included in any other Part of the proposal.
(3) PART III - PAST PERFORMANCE PROPOSAL - Limited to no more than 2 pages per contract listed, not including any full CPARS Reports or Past Performance Questionnaires (PPQs). Only references for past efforts
/contracts of relevance are desired. Submit 1 copy through email to the POCs listed.
(a) Performance Surveys/Questionnaires: The offeror shall forward a copy of the Past Performance Questionnaire and Cover Letter up to three of their most recent references, for who the offeror has contracted similar services with Federal, State, or Local Government agencies and commercial businesses. The questionnaires must be forwarded to a verified point of contact at each of those agencies or business organizations for completion. Prior to forwarding the questionnaire to each reference, the offeror shall insert in the "MEMORANDUM FOR" the contractor name, address, phone number and the verified point of contact.
Offerors will notify the point of contact that the completed questionnaires will be sent directly to the Contracting Officer.
**Past Performance Questionnaire and Cover Letter is an attachment to Request for Proposal. **
THE RESPONSIBILITY TO SEND OUT THE PAST PERFORMANCE QUESTIONNAIRE RESTS SOLELY
WITH THE OFFEROR.
Once the questionnaires are completed by the POCs, the information contained therein will be considered source selection sensitive and will not be released outside the Government. The POCs shall forward their completed questionnaires directly to the Contracting Officer - NOT BACK TO THE OFFEROR.
PPQs shall be sent directly from your reference to this office via e-mail marked to the attention of MSgt Daniel Morphew at daniel.morphew@us.af.mil and Mr. Robert Peters at robert.peters.11@us.af.mil .
(b) Past Performance Information: The Government will evaluate the quality and extent of offeror's performance deemed relevant to the requirements of this RFP. The Government will use information submitted by the offeror and other sources of information available to the Government to assess past performance. Provide a list of no more than three, of the most relevant contracts performed for government agencies and/or commercial customers within the last three years prior to the date of this solicitation. Relevant contracts include those of similar scope, magnitude, and complexity of JBER's requirement.
Furnish the following information for each contract listed:
(1) Company/Division name
(2) Description of Services
(3) Contracting Agency/Customer
(4) Contract Number
(5) Contract Dollar Value Per Year
(6) Period of Performance
(7) Current Contracting Officer (ensure up-to-date name, e-mail address, and telephone number)
(8) Comments regarding any known performance deemed unacceptable to the customer, or not in accordance with the contract terms and conditions
(9) Copy of all associated CPARS Reports
(10) Include rationale supporting your assertion of relevance and identify aspects (scope, magnitude of effort, and complexity) of the contracts deemed relevant and how they relate to the proposed effort.
If an offeror has no past performance history of relevance, the offeror must state affirmatively it possesses no past performance history of relevance.
(c) The evaluation of past performance information (i) will take into account past performance information regarding predecessor companies, (ii)) will not take into account key personnel who have relevant experience, and will not take into account subcontractors that will perform major or critical aspects of the requirement.
(d) Joint Venture Offerors: If the offeror is a joint venture, the offeror shall provide all required solicitation information for all parties including a signed copy of the joint venture agreement with proposal. The agreement shall include information, which identifies the responsibilities for each entity under this contract. The agreement shall demonstrate the relationship between firms and identify contractual relationships and authorities to bind each entity of the joint venture. Past performance information may be submitted on behalf of the joint venture by either party to the joint venture. Joint venture past performance will be evaluated and rated on the basis of either party's past performance.
(e) Teaming/Partnering Offerors: If the offer is based on a teaming/partnering relationship, the offeror shall provide all required solicitation information for all parties, including a copy of the teaming/partnership agreement. The agreement shall include information, which identifies the responsibilities for each entity under this contract. The agreement shall demonstrate the relationship between firms and identify contractual relationships and authorities to bind each entity of the teaming/partnering relationship.

(4) PART IV - TECHNICAL PROPOSAL - Submit 1 copy through email to the POCs listed.
This part shall contain a Mission-Essential Contractor Services Plan. Offeror shall provide a plan that describes how they will provide essential contractor services IAW DFARS 252.237-7023, DFARS 252.237-7024, and criteria found in Attachment 1, Performance Work Statement.
(C) General Instructions - Documents submitted in response to this RFP must be consistent with the following:
1. Requirements of the solicitation (CLINs and PWS) and Government standards and regulations pertaining to the PWS.
2. FAR 52.212-2, Evaluation - Commercial Items, of this solicitation.
3. If a Part in a proposal exceeds the specified page limit cited in the Part Content, the excessive pages will not be evaluated.
4. Each Part shall be complete in itself and shall not reference information contained in other Parts. Page 1 of a Part is defined as the first page after the Table of Contents. All pages shall be numbered.
5. Price data of any kind shall be presented only in the Price Proposal Part.
6. Elaborate formats or color presentations are not required.
7. Format for proposal Parts I, II, III, and IV shall be as follows (WHEN PRINTED):
(a) The proposal will be on 8 1/2" x 11" paper, except for fold-outs used for charts, tables, or diagrams, which may not exceed 11" x 17".
(b) A page is defined as one face of a sheet of paper containing information.
(c) All printing shall be single-spaced. Spacing characteristics are applicable to charts and graphs.
(d) Font size shall not be less than 12. Size of print is applicable to charts and graphs.
(e) Page margins shall be a minimum of 1 inch top, bottom, and each side.
8. Electronic Submission:
(a) The electronic version of the proposal shall be submitted in a format readable by Microsoft Office 2010 which includes software programs such as Word, Excel, or PowerPoint. For those pages of the proposal that cannot be submitted using Microsoft Office, such as the Standard Form 1449, offerors shall include those pages electronically using Adobe Acrobat portable document files (.pdf) format. The Price Part shall be submitted on the SF1449 Section Supplies or Services and Prices/Cost. The electronic version, if unable to be emailed, shall be submitted through DoD SAFE, https://safe.apps.mil/ . Paper copies, Compact Disc (CD), USB flash drives, floppy disks, and zip disks are not acceptable.
(b) Offerors shall submit electronic copies of proposals via e-mail. This method of submission is the only method. Files are not to exceed the above mentioned page limitations. By submitting an electronic copy, offerors assume all risk of proposals not getting through security measures and firewalls. Only files compatible with Microsoft Office products, i.e. Word, Excel, or PowerPoint, and/or Adobe .pdf files will be accepted. No zip files will be accepted. Email the file(s) by the solicitation closing date and time to the following email address: daniel.morphew@us.af.mil and robert.peters.11@us.af.mil .
(D) Site Visit:
1. A pre-proposal conference/site visit will be held at 10:00 am on 12 Mar 2020 in conference room 350, Building 10480 Sijan Ave, JBER AK. Take the stairs as there is not any elevator access found within the building. The purpose of the conference is to familiarize all offerors with the terms and conditions of the solicitation and to discuss all aspects of the contract specifications and the performance standards contained therein.
2. All costs associated with attending the pre-proposal conference/site visit shall be borne by the offeror. ALL PROSPECTIVE OFFERORS ARE URGED TO ATTEND THIS CONFERENCE. If a contractor is not at the designated start location and time mentioned above, there will not be a future site visit.
3. All contractors, including those that have access to JBER, wishing to participate in the site visit shall provide the following information of individuals attending. No more than two individuals per company may attend, unless prior coordination has been approved through the Contracting Officer. Please provide the information, via email, to the following addresses: daniel.morphew@us.af.mil and robert.peters.11@us.af.mil at least three days prior to site visit, in order to be cleared access by Security Forces.

52.233-2 Service of Protest (Sept 2006)
(a) Protests, as defined in section 33.101 of the Federal Acquisition Regulation, that are filed directly with an agency, and copies of any protests that are filed with the Government Accountability Office (GAO), shall be served on the Contracting Officer (addressed as follows) by obtaining written and dated acknowledgment of receipt from 673 CONS/PKD, 10480 Sijan Ave, Suite 344, JBER, AK 99506.
(b) The copy of any protest shall be received in the office designated above within one day of filing a protest with the GAO.

Evaluation Factors for Award

FAR 52.212-2 Addenda - Evaluation Factors Subjective Tradeoff Technical Acceptability (STOTA) Source Selection Approach FAR 52.212-2, Evaluation--Commercial Items (Oct 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors will be used to evaluate offers:
(1) Technical
(2) Past Performance
(3) Price
Past Performance and Technical "acceptability" combined are approximately equal to price.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced from one year to the next. Evaluation of options will not obligate the Government to exercise any of the option year periods.
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, will result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award from the respective offeror.
Addendum to FAR 52.212-2, Evaluation - Commercial Items
The following is inserted as new paragraph (d) of the provision:
(d) Basis For Contract Award: This is a competitive STOTA best value source selection conducted in accordance with FAR Parts 12 and 15, Department of Defense (DoD) FAR Supplement Procedures, Guidance and Information Subpart 215.3, and Air Force FAR Supplement (AFFARS) Mandatory Procedure (MP) 5315.3 in which competing offerors' combined past performance information and technical "acceptability" will be evaluated on a basis approximately equal to price. By submission of its offer, the offeror accedes to all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or subfactors. All technically acceptable offers will be treated equally except for their prices and performance records. Failure to meet a requirement may result in an offer being determined unacceptable. The Government reserves the right to award a contract to other than the lowest Total Evaluated Price (TEP). In that event, among the technically "Acceptable" proposals, the Source Selection Authority will make an integrated assessment best value award decision using the TEP and the Past Performance Confidence Rating. The evaluation process will include the following:

(1) Technical Acceptability Factor. The government will evaluate technical proposals on a pass/fail basis and assign an Acceptable or Unacceptable rating as described in Table 1 below.

(2) Price Evaluation Factor. The Government will rank all offers by price from lowest priced to highest priced, including all option prices, once all TEPs are computed. The price evaluation will document the fairness and reasonableness of the TEP. In addition, each offeror's separately priced line items or subline items shall be analyzed to determine if the prices are unbalanced in accordance with FAR 15.404-1(g). The Government reserves the right to perform price/cost realism analysis. If the Government elects to perform a price and/or cost realism analysis, the Government reserves discretion over the method within which it performs its price and/or cost realism analysis. If the Government elects to perform a price and/or cost realism analysis and finds a proposal unrealistic, the Government may withhold award to that offeror.
(i) Total Evaluated Price (TEP): A TEP will be computed for each offer in order to meet the requirements of FAR Parts 6 and 17. The price of a six-month extension authorized by FAR Clause 52.217-8, Option to Extend Services, will be added to the proposed price for each potential contract performance period.
(ii) The TEP is a two-part computation. First, the offeror's total proposed price will be determined by multiplying the quantities identified in the SF 1449 by the Unit Price (limited to two decimal places) for each Contract Line Item Number (CLIN) to confirm the extended total amount for each CLIN; the sum of all extended amounts will be the offeror's total proposed price. Second, the total proposed price (total amount for All CLINs) plus the sum of FAR Clause 52.217-8 Option to Extend Services formula (shown below) will constitute the TEP.
The formula for FAR Clause 52.217-8 Option to Extend Services amount is as follows:
Base Year = CLIN Unit Amount x 6 Option Year 1 = CLIN Unit Amount x 6 Option Year 2 = CLIN Unit Amount x 6 Option Year 3 = CLIN Unit Amount x 6 Option Year 4 = CLIN Unit Amount x 6
(iii) Evaluating the Option CLINs does not obligate the Government to exercise any Options.
(3) Past Performance Factor. The Government will evaluate recent and relevant performance information on all offerors based on (i) the references provided by the offeror, (ii) any past performance information obtained from survey/questionnaires; and (iii) any data independently obtained by the Government. If a reference identified by the offeror in accordance with 52.212-1(m)(B)(3)(b), does not submit a survey/questionnaire, the Government will follow up with the reference POC, but it is not responsible for the failure of a reference POC to provide a survey/questionnaire.
Past performance regarding predecessor companies of the offeror and/or subcontractors, that will perform major or critical aspects of the requirement, if applicable (see 52.212-1(m)(B)(3)(c)), will not be rated as highly as past performance information for the principal offeror.
(A) Recent past performance information includes contracts performed and/or being performed for any customer within the last three years prior to the issuance date of the solicitation.
(B) Relevant contract performance efforts involve similar scope, magnitude of effort, and complexities to that required by this solicitation. The Government will assess relevancy for each contract and assign a rating as described in Table 2 below:

(C) Performance Quality Assessment: For each of the recent past performance information reviewed, the performance quality of work will be assessed based on the (i) Overall Quality Assessment Rating evaluated on the Present/Past Performance Survey/Questionnaire and/or (ii) the evaluation ratings in the Federal Past Performance Information Retrieval System (PPIRS), if available and CPARS.
(D) The purpose of the past performance evaluation is to assess the degree of confidence the Government has in the offeror's ability to meet the solicitation requirements based on the offeror's demonstrated record of performance. The assessment process will result in an offeror's overall performance confidence assessment rating of Substantial Confidence, Satisfactory Confidence, Neutral Confidence, Limited Confidence, or No Confidence. Offerors with no recent past or present performance history or the offeror's performance record is so limited that no confidence assessment rating can be reasonably assigned will receive the rating "Neutral Confidence," meaning the offeror is treated neither favorably nor unfavorably (neutral). As a result of the relevancy and performance quality assessments, offerors will receive an integrated past performance confidence assessment rating as described in Table 3 below:

SUBSTANTIAL CONFIDENCE Based on the offeror's recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.
SATISFACTORY CONFIDENCE Based on the offeror's recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.
NEUTRAL CONFIDENCE No recent/relevant performance is available or the offeror's performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned. The offeror may not be evaluated favorably or unfavorably on the factor of past performance.
LIMITED CONFIDENCE Based on the offeror's recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.
NO CONFIDENCE Based on the offeror's recent/relevant performance record, the Government has no expectation that the offeror will successfully perform the required effort.
Note: In evaluating past performance, the Government reserves the right to give greater consideration to information on those contracts deemed most relevant to the effort described in this solicitation.
(4) The Government intends to award a contract without discussions with respective offerors. The Government, however, reserves the right to conduct discussions if deemed in its best interest.
(5) Integrated Assessment. In order to be considered for award, the offeror's technical proposal must be rated as "Acceptable." The government reserves the right to award a contract to other than the lowest TEP. In that event, the Source Selection Authority will make an integrated assessment best value award decision using the TEP and the Past Performance Confidence Rating.
