1.7 Incurred Expenses: The Government is not responsible for any costs incurred or associated with preparation and submission of a proposal in response to this solicitation.

1.8 The offeror is required to submit an offer on all items. Failure to do so may disqualify the proposal.

1.9 In compliance with FAR Subpart 4.8, the Government will retain one copy of all unsuccessful proposals and will destroy all extra copies. No destruction certificate will be provided.

1.10 All proposals must be complete, self-sufficient, and respond directly to the requirements of this solicitation.

Any commitments made in the proposal shall become a part of the resultant contract. Failure to comply with these instructions may result in the Government summarily rejecting the offeror's proposal.

1.11 The past performance proposal (Volume I) and price proposal (Volume II) shall include the documents required. The price proposal must be based on the offeror's own proposal for the seed project and the Government's specifications as set forth herein. The Government will evaluate the price proposal in accordance with Section M.

Offerors shall submit one (1) original and two (2) paper copies of Volume I. plus one (1) electronic copy.

1.12 The contracting officer has determined there is a high probability of adequate price competition in this acquisition. Therefore, only a limited amount of pricing information is required in the initial proposals. Upon examination of the initial proposals (offers), the contracting officer will review this determination. If, in the contracting officer's opinion, there is adequate price competition, no additional price information, except for possibly final proposal revisions, will be elicited and certification under FAR 15.406-2 will not be required.

However, if at any time during this competition the contracting officer determines that adequate price competition no longer exists, offerors may be required to prepare, submit, and certify cost or pricing data in accordance with

FAR 15.403-4.

1.13 Submitted materials will be fully responsive to and consistent with the following:

� Requirements of the RFP, MACC Specifications, Seed Project SOW, and CLINs contained therein;

� Government standards and regulations pertaining to the Seed Project SOW; and � Evaluation criteria for award in Section M of this RFP.

� No material shall be incorporated by reference or reiteration of the RFP. Any such material will not be considered for evaluation. Materials shall be presented in a manner which allows it to stand-alone without need for evaluators to reference other documents.

� Format of the proposal volumes shall be as follows:

o All typing (including that on charts, graphs, and tables, etc.) shall be no smaller than 12 pitch.

o Two columns of text per page are acceptable.

Amendment 1 27 Apr 12 o Elaborate format, color representations, and bindings are not desirable. Three ring binders or soft covers with screw type aluminum binding posts are preferred.

� Past Performance shall be limited to 30 pages.

� The price proposal is not limited as to the number of pages.

� Page limit includes: All appendices, charts, graphs, diagrams, tables, photographs, drawings, etc. The covers for each volume, tables of contents, indices, title pages, cross reference indices, and section dividers/tales will not be included in the page count if they are inserted solely for the reader’s ease in locating parts/sections of the proposal. They will be counted if they contain any other information, i.e., diagrams, extraneous data, etc. Pages marked “This page intentionally left blank” will not be counted.

� A page shall be an 8½ x11” sheet of paper (minimum of ½” margins). Foldouts will be counted as the appropriate number of pages based on an 8 ½ x 11” sheet of paper. The Offerors should number each page in order to eliminate any confusion. In the event an offeror creates an ambiguity, the Government may exercise its own discretion in counting pages. Two pages may be printed on one sheet of paper, but will count as two pages.

Additionally, electronic copies of the required proposal information for each volume shall be submitted on CD ROM using Microsoft Word. Electronic copies for the cost information must be submitted on CD ROM using either Microsoft Word and/or Excel. “Read Only” files are acceptable. All disks shall be virus checked before submission. Replacement CD ROM will be required to update the final proposal resulting from any discussions.

Cross-references should be utilized to preclude unnecessary duplication of data between sections.

1.14 See Attachment 6 for the tasking associated with the Orientation Seminar. Submission of the statement indicated in the Statement of Work for Task Order 0001, Orientation Seminar, shall be separate from, but submitted with, the basic contract proposal and shall be clearly marked with offeror identification. Attachment 6 is not part of the evaluation for basic contract awards.

2.0 SPECIFIC PROPOSAL PREPARATION INSTRUCTIONS:

2.1 VOLUME 1 PAST PERFORMANCE

(Past Performance Volume is due by 7 May 2012)

2.1.1 Contents of Past Performance Volume

The offeror shall submit a Past and Present Performance Volume containing the following:

� Table of Contents � Summary Page describing the role of the offeror and each subcontractor, teaming partner, and /or joint venture partner that the offeror is required to provide Past Performance Information Sheets on in accordance with paragraph 2.2.2. below.

� Past Performance Information Sheets completed in accordance with Attachment 4, in Section J, “Attachments.” Past Performance Information and Past/Performance Questionnaire—See paragraph

2.2.6. below.

� Organization Structure Change History—See paragraph 2.2.5. below.

2.2.2 Past Performance Information Sheets: Submit information on contracts you consider most relevant in demonstrating your ability to perform the proposed effort. Each relevant contract shall have been performed during the past three years from the date of issuance of this solicitation. The offeror shall submit Past Performance Information sheets in accordance with the format contained in Attachment 4, Section J, Past Performance Information. The offeror shall provide experience data for itself and for any proposed division, major subcontractor, consultant, or teaming contractor or partner or key personnel whose effort on this contract will significantly influence performance of the proposed construction and/or design-build effort. The offeror shall submit 3 to 5 Past Performance Information sheets identifying active or completed contracts, either Government or commercial, for each prime, teaming partner, and/or joint venture partner (within the same division or cost center).

Offerors are cautioned that the Government will use data provided by each offeror in this volume and data obtained from other sources in the evaluation of past and present performance.

2.2.3 Relevant Contracts: Submit information on contracts that you consider relevant in demonstrating your ability to perform under the multiple award construction contract program. Provide data for up to five relevant contracts held within the last three years for each entity the offeror wants the Government to consider. Performance Information Sheets for each contract is limited to three (3) pages. Include rationale supporting your assertion of relevance. Note that the Government will not consider performance on an effort that concluded more than three years prior to the issuance date of this solicitation. Offerors are required to explain what aspects of the contracts are deemed relevant to the proposed effort, and to what aspects of the proposed effort they relate.

Relevant past performance information must demonstrate design/build construction experience with multiple projects, such as new construction, renovation, alteration and repair, with associated architectural and engineering work, with multiple disciplines, such as airfield, pavement, renovation, repair, additions/upgrades, along with specific work in heating, ventilation and air conditioning (HVAC), electrical, mechanical and other major trades.

Projects shall be similar in size, scope, and complexity as those anticipated under this contract, i.e., having a project value of $1,000,000 and above, and include projects with the Federal Government, state and local government agencies, and commercial customers.

2.2.4 Specific Content: Offerors may include a discussion of efforts accomplished by the offeror to resolve problems encountered on prior contracts as well as past efforts to identify and manage program risk. Merely having problems does not automatically equate to a Little Confidence or No Confidence rating, since the problems encountered may have been on a more complex program, or an offeror may have subsequently demonstrated the ability to overcome the problems encountered. The offeror is required to clearly demonstrate management actions employed in overcoming problems and the effects of those actions, in terms of improvements achieved or problems rectified. This may allow the offeror to be considered a Substantial Confidence or Significant Confidence candidate. For example, submittal of quality performance indicators or other management indicators that clearly support that an offeror has overcome past problems is required.

2.2.5 History of Organizational Structure Change: Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant present or past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, include in this proposal volume a "roadmap" describing all such changes in the organization of your company. As part of this explanation, show how these changes impact the relevance of any efforts you identify for past performance evaluation/performance confidence assessment. Since the Government intends to consider present and past performance information provided by other sources as well as that provided by the offeror(s), your "roadmap" should be both specifically applicable to the efforts you identify and general enough to apply to efforts on which the Government receives information from other sources.

2.2.6 Past Performance Evaluation Questionnaires: The Government requests the offeror to send out Past Performance Evaluation Questionnaires to each of the Points of Contact (POCs) identified in the Past Performance Volume. In turn, the evaluating agencies shall submit the completed questionnaire to:

such things as project similarity (valued at $1 million to $5 million), project complexity, contract type, contract environment, division of company proposing, and subcontractor interaction. In performing the past performance evaluation, each offeror will be assigned one of the following ratings:

RELEVANCY RATINGS

Rating Description

Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.

Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Somewhat Relevant Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.

Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

CONFIDENCE RATINGS

Rating Description

Substantial Confidence

Based on the offeror’s recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.

Satisfactory Confidence

Based on the offeror’s recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.

Limited Confidence

Based on the offeror’s recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.

No Confidence

Based on the offeror’s recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.

Unknown Confidence (Neutral)

No recent/relevant performance record is available or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned.

1.4 If the lowest priced offer is then judged to have a “Substantial Confidence” performance rating and is determined to be responsible, then the lowest priced offer represents the best value for the Government. A MACC contract award shall be made to that offeror along with award of the seed project.

1.5 Offerors are cautioned to submit sufficient information and in the format specified in Section L. Offeror’s may be asked to clarify certain aspects of their proposal (for example, the relevance of past performance information) or respond to adverse past performance information to which the offeror has not previously had an opportunity to respond. Adverse past performance is defined as past performance information that supports a less than satisfactory rating on any evaluation element for any unfavorable comments received from sources without a formal rating system. Communication conducted to resolve minor or clerical errors would not constitute discussions and the contracting officer reserves the right to award a contract without the opportunity for proposal revision.

1.6 The Government intends to award a contract without discussions with respective offerors. The Government, however, reserves the right to conduct discussions if the Contracting Officer deems discussions are in the Government’s best interest.

1.7 Competitive Range: The Government reserves the right to limit for purposes of efficiency, the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals (10 U.S.C.2305(b)(4) and 41 U.S.C.253B(d)). If the contracting officer, decides that an offeror’s proposal should no longer be included in the competitive range, the proposal shall be eliminated from consideration for award and written notice of the decision shall be provided to the unsuccessful offeror in accordance with FAR 15.503.

1.8 Discussions: To maximize the Government’s ability to obtain best value, based on the requirements and
