CLAUSES INCORPORATED BY FULL TEXT

52.215-20 REQUIREMENTS FOR COST OR PRICING DATA OR INFORMATION OTHER THAN

CERTIFIED COST OR PRICING DATA (OCT 2010)

(a) Exceptions from certified cost or pricing data. (1) In lieu of submitting certified cost or pricing data, offerors may submit a written request for exception by submitting the information described in the following subparagraphs. The

Contracting Officer may require additional supporting information, but only to the extent necessary to determine whether an exception should be granted, and whether the price is fair and reasonable.

(i) Identification of the law or regulation establishing the price offered. If the price is controlled under law by periodic rulings, reviews, or similar actions of a governmental body, attach a copy of the controlling document, unless it was previously submitted to the contracting office.

(ii) Commercial item exception. For a commercial item exception, the offeror shall submit, at a minimum, information on prices at which the same item or similar items have previously been sold in the commercial market that is adequate for evaluating the reasonableness of the price for this acquisition. Such information may include--

(A) For catalog items, a copy of or identification of the catalog and its date, or the appropriate pages for the offered items, or a statement that the catalog is on file in the buying office to which the proposal is being submitted. Provide a copy or describe current discount policies and price lists (published or unpublished), e.g., wholesale, original equipment manufacturer, or reseller. Also explain the basis of each offered price and its relationship to the established catalog price, including how the proposed price relates to the price of recent sales in quantities similar to the proposed quantities;

(B) For market-priced items, the source and date or period of the market quotation or other basis for market price, the base amount, and applicable discounts. In addition, describe the nature of the market;

(C) For items included on an active Federal Supply Service Multiple Award Schedule contract, proof that an exception has been granted for the schedule item.

(2) The offeror grants the Contracting Officer or an authorized representative the right to examine, at any time before award, books, records, documents, or other directly pertinent records to verify any request for an exception under this provision, and the reasonableness of price. For items priced using catalog or market prices, or law or regulation

, access does not extend to cost or profit information or other data relevant solely to the offeror's determination of the prices to be offered in the catalog or marketplace.

(b) Requirements for certified cost or pricing data. If the offeror is not granted an exception from the requirement to submit certified cost or pricing data, the following applies:

(1) The offeror shall prepare and submit certified cost or pricing data, data other than certified cost or pricing data, and supporting attachments in accordance with the instructions contained in Table 15-2 of FAR 15.408, which is incorporated by reference with the same force and effect as though it were inserted here in full text. The instructions in Table 15-2 are incorporated as a mandatory format to be used in this contract, unless the Contracting Officer and the Contractor agree to a different format and change this clause to use Alternate I.

As soon as practicable after agreement on price, but before contract award (except for unpriced actions such as letter contracts), the offeror shall submit a Certificate of Current Cost or Pricing Data, as prescribed by FAR 15.406-2.

(End of provision)

252.215-7008 ONLY ONE OFFER (JUN 2012)

(a) The provision at FAR 52.215-20, Requirements for Certified Cost or Pricing Data and Data other Than Certified

Cost or Pricing Data, with any alternate included in this solicitation, does not take effect unless the Contracting

Officer notifies the offeror that--

(1) Only one offer was received; and

(2) Additional cost or pricing data is required in order to determine whether the price is fair and reasonable or to comply with the statutory requirement for certified cost or pricing data (10 U.S.C. 2306a and FAR 15.403-3).

(b) Upon such notification, the offeror agrees, by submission of its offer, to provide any data requested by the

Contracting Officer in accordance with FAR 52.215-20.

(c) If negotiations are conducted, the negotiated price should not exceed the offered price.

(End of provision)

Section B – Supplies or Services and Prices/Costs

SECTION B CLAUSES

B-1. BANDED PRICING CLINs (X002, X003, and X004

a. CLINs X002 – X004 provide the unit price for flying hour maintenance services and utilize a banded price structure. Prior to the performance period, HQ AETC/A3 will issue an annual program allocation document. This allocation will provide the required flying hours for each flying training course and air frame. An example of the

FY15 allocation is shown as follows:

FLYING HOUR PROGRAM

VANCE AFB

b. The Government will establish a Firm Fixed Price for the Flying Hour Maintenance Services CLINs by multiplying the negotiated flying hour maintenance unit price for the flying hour band by the median hour multiplier for the band. Using the T-1 aircraft allocation above for an example, the fixed price would be found as shown. The maintenance rates per flying hour used below are notional examples for T-1 aircraft:

c. EXAMPLE: MID YEAR ADJUSTMENTS THAT MOVE THE PAA INTO A DIFFERENT BAND:

Occasionally, the Government may adjust the flying hour allocation during the course of the year. This may be done to factor in changes in student load or the course syllabus. When this occurs and the change results in the cumulative annual allocation moving from one price band into another price band, the Government will notify the contractor of the change and will issue a unilateral contract modification that employs the new maintenance unit price per flying hour. The change in price will become effective 30 calendar days after notification of revised flying hours by the contracting officer. This will allow the contractor to make necessary changes to staffing and skills mix required to meet the remainder of the flying training mission. The revised pricing will not impact the rates used earlier in the performance period (the change will not be retro-active). Using the prices in the example above, the following is an example of a change that decreases the T-1 aircraft hours 6 months into a 12-month contract performance period.

Notice to Contractor: Due to a change in student loads, the Government must adjust the annual program allocation as follows:

T-1 aircraft From 23, 824 To: 21,824 Reduced by 2,000

This change in flying hours results in movement from flying hour band “D,” to flying hour band “C”

The price for CLIN X002 is changed to read as follows:

d. Should the Government require a cumulative annual quantity of flying hours that falls below the lowest possible flying hour band or above the highest possible flying hour band for any of these Flying Hour Maintenance Services

CLINs, the contracting officer will negotiate a unit price and add additional flying hour bands as required and issue a bilateral contract modification.

B-2. PRICE ADJUSTMENT FOR CHANGE IN ON BASE TOTAL ACTIVE INVENTORY AIRCRAFT,

WITHOUT A CORRESPONDING INCREASE OR DECREASE IN FLYING HOURS:

a. The number of on base (physically on station) average possessed (AP) aircraft by Mission/Design/Series

(MDS) (T-1A, T-6A, and T-38C), listed in PWS, Appendix 3BA, represents the best current estimate of the number of aircraft that will be maintained by the contractor during the course of this contract. However, subject to the limitations of the general scope and level of workload as described in the Performance Work Statement and technical exhibits it is understood that a particular aircraft may be replaced by another aircraft of the same type, and the number of on base AP aircraft may change from time to time. Except as outlined in this clause, such changes, within reasonable threshold, are considered to be normal and neither party shall be entitled to an equitable adjustment simply by virtue of such fluctuations.

b. Changes in the number of on base AP aircraft corresponding with a change in the “AETC Flying Hour/Sortie

Allocation” hours shall be addressed solely by the Hourly Adjustment Rate provision in paragraph B-1 of this contract. Additionally, changes in the number of on base AP due to introduction of another MDS shall only be addressed in accordance with the “Changes” clause incorporated elsewhere in this contract.

c. By MDS, if the number of on base AP aircraft increase or decrease by more than the percentage listed in the table below (without a corresponding cumulative increase or decrease in the “AETC Flying Hour/Sortie Allocation” hours) for more than 90 consecutive days the contractor or the government may submit a request for equitable adjustment in accordance with the “Changes” clause incorporated elsewhere in this contract. The number of AP aircraft are recorded by the HQ AETC Aerospace Vehicle Distribution Officer in the master Air Force aerospace vehicle inventory report (ref AFI 16-402). Note: HQ AETC A4MA-ADVO records inventories at the beginning of each month.

Number of AP Aircraft +/- Percentage

0 - 50 10%

51 – 75 7%

76 - above 5%

d. The following example below is based on the current AP aircraft by MDS. For purposes of such adjustment, each MDS (T-1A, T-6A, T-38C) will be treated separately. That is, an increase (or decrease) of three (3) T-38C aircraft, (without a corresponding cumulative increase or decrease in flying hours) would not create a basis for adjustment. For further clarification, an increase or decrease of three T-1As or two T-6s or five T-38Cs for more than ninety consecutive days would not constitute an adjustment. However, an increase or decrease of six T-1As or six T-6s or six T-38Cs for more than ninety consecutive days would constitute an adjustment. If four (4) T38C aircraft are received in Jan and four (4) additional T38C aircraft are received in Feb, an adjustment for eight (8) aircraft would be authorized when the percentage threshold is exceeded for more than 90 consecutive days, in this case, reimbursement to begin in Feb. The adjustment includes the cumulative increase or decrease by MDS retroactive to the date the on base AP aircraft first differed from the AP numbers listed in PWS, Appendix 3BA. The

MDS AP listed in PWS, Appendix 3BAA, will be periodically adjusted under two conditions: 1) To…
