CLAUSES INCORPORATED BY FULL TEXT
52.202-1 DEFINITIONS (JUL 2004)
(a) When a solicitation provision or contract clause uses a word or term that is defined in the Federal Acquisition
Regulation (FAR), the word or term has the same meaning as the definition in FAR 2.101 in effect at the time the solicitation was issued, unless--
(1) The solicitation, or amended solicitation, provides a different definition;
(2) The contracting parties agree to a different definition;
(3) The part, subpart, or section of the FAR where the provision or clause is prescribed provides a different meaning;
or
(4) The word or term is defined in FAR Part 31, for use in the cost principles and procedures.
(b) The FAR Index is a guide to words and terms the FAR defines and shows where each definition is located. The
FAR Index is available via the Internet at http://www.acqnet.gov at the end of the FAR, after the FAR Appendix.
(End of clause)
52.207-3 RIGHT OF FIRST REFUSAL OF EMPLOYMENT (MAY 2006)
(a) The Contractor shall give Government personnel who have been or will be adversely affected or separated as a result of award of this contract the right of first refusal for employment openings under the contract in positions for which they are qualified, if that employment is consistent with post-Government employment conflict of interest standards.
(b) Within 10 days after contract award, the Contracting Officer will provide to the Contractor a list of all
Government personnel who have been or will be adversely affected or separated as a result of award of this contract.
(c) The Contractor shall report to the Contracting Officer the names of individuals identified on the list who are hired within 90 days after contract performance begins. This report shall be forwarded within 120 days after contract performance begins.
52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (JUN 2008)
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF
1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.
(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--
(1) The solicitation number;
(2) The time specified in the solicitation for receipt of offers;
(3) The name, address, and telephone number of the offeror;
(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;
(5) Terms of any express warranty;
(6) Price and any discount terms;
(7) "Remit to" address, if different than mailing address;
(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);
(9) Acknowledgment of Solicitation Amendments;
(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and
(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.
(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions or commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.
(f) Late submissions, modifications, revisions, and withdrawals of offers:
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the
Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.
(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is ―late‖ and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for proposals, it was the only proposal received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the
Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent
Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.
Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.
(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.
(i) Availability of requirements documents cited in the solicitation. (1)(i) The GSA Index of Federal Specifications, Standards and Commercial Item Descriptions, FPMR Part 101-29, and copies of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained for a fee by submitting a request to--GSA
Federal Supply Service Specifications Section, Suite 8100, 470 East L'Enfant Plaza, SW, Washington, DC
20407, Telephone (202) 619-8925, Facsimile (202) 619-8978.

Additional copies will be issued for a fee.

(4) Nongovernment (voluntary) standards must be obtained from the organization responsible for their preparation, publication, or maintenance.
(j) Data Universal Numbering System (DUNS) Number. (Applies to all offers exceeding $3,000, and offers of
$3,000 or less if the solicitation requires the Contractor to be registered in the Central Contractor Registration (CCR) database. The offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation

B. The contracting officer has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the contracting officer will review this determination and if, in the contracting officer’s opinion, adequate price competition exists no additional price information will be requested.
However, if at any time during this competition the contracting officer determines that adequate price competition no longer exists offerors may be required to submit information other than cost or pricing data to support a determination of price reasonableness.
C. Each volume of the proposal shall be separately bound in a three-ring, loose-leaf binder which shall permit the volume to lie flat when open. Staples shall not be used. All binders shall allow for easy removal and replacement of pages. A cover sheet shall be bound in each book, clearly marked with the offeror’s name, volume number and title, solicitation identification and the copy number (for example: Company A, Vol I, RFP FA2517-09-R-6015, Transient
Alert Services & AGE Maintenance, copy 2 of 10). The same identifying data shall be placed on the spine and front of each binder. The original shall be clearly marked ―original.‖
D. Each citation is limited to three pages. Page limitations shall be treated as maximums. The total page count will be based on the printed proposal submission. If exceeded, the excess pages will not be read, nor considered in the evaluation of the proposal. Blank pages, title pages, tables of contents, glossaries, definitions, cross-reference matrices, tabs, and dividers do not count against the page limitation.
E. Text page size, not including foldouts, shall be 8.5 x 11 inches with at least one-inch margins around the page perimeter. Normal page header and footer information may be included in the margins. Pages shall be printed as double-sided where possible. (Do not print on both sides if the next page would be a fold-out or tab break.) Each printed side of information on a page of paper shall count as one page. The background color of each page of the original proposal submission shall be white or ivory only. Foldouts used for charts, illustrations, or diagrams shall not exceed 11 x 17 inches with at least 1.5-inch margins around the page perimeter. Normal page header and footer information may be included in the margins. For page count purposes, each printed side of a foldout page shall count as two pages each. Foldouts shall not be used for text.

Text within tables shall be Times New Roman or Arial with a size no smaller than 10-point. Text within graphics shall be Times New Roman or Arial with a size no smaller than
8-point. Use only a single font type—either Times New Roman or Arial—throughout the proposal; do not mix font types in the proposal.
G. Each volume and tab shall be written on a stand-alone basis, with cross referencing to other volumes and tabs allowed only to the extent specifically authorized in the Instructions to Offerors. Information required for proposal evaluation not found in its designated volume may be assumed to have been omitted from the proposal.
H. The offeror shall submit a complete copy of the proposal, including all proposal volumes and attachments, in electronic format, using non-re-writable compact disks (CD-R). The content and page size of electronic copies shall be identical to the hard copies. If there is a variance, the printed document will take precedence. All files must be uncompressed. The offeror shall submit any final proposal revisions resulting from any discussions and updates on
CD-Rs. Ensure the electronic documents stored on CD-R disks can be opened. The electronic copy of the proposal shall be submitted in a format readable by Office Professional 2003 applications (e.g. Microsoft (MS) Word 2003, MS Excel 2003, MS-Project 2003, and MS-Power Point 2003) and/or Adobe Acrobat Reader (postscript data file
(PDF) format is acceptable). The proposal may be submitted in PDF format. Electronic copies of spreadsheets shall be provided in MS Excel to allow Government evaluation and review of equations. All spreadsheets shall be submitted in ―active‖ format with all formulas intact, summations enabled, links maintained, and clarifying notes visible.

i) Price;
ii) Past performance
Sub-Factor 1: Ground Support Operations
a. De-Icings (Heavy Aircraft, Fighters/Trainers, Business Jets, Helicopters)
b. Fueling (Fighters/Trainers , Business Jets)
c. HAZMAT
d. LOX
Sub-Factor 2: Aero-Space Ground Equipment

b. Turbine engines
c. Heating Systems
d. Air Conditioning
e. Diesel Engines
f. A/C Generators

c. Servicing carts (LOX, GOX, Nitrogen) gaseous oxygen
The evaluation factors of price and past performance are approximately equal.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.
Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
ADDENDUM TO FAR 52.212-2
BASIS FOR CONTRACT AWARD: This is a competitive selection in which competing offerors past and present performance history will be evaluated on a basis approximately equal to importance than price. By submission of its offer in accordance with the instructions provided in clause FAR 52.212-1, Instructions To Offerors, the offeror accedes to the terms of this model contract and all such offers shall be treated equally except for their prices and performance records. The evaluation process shall proceed as follows:
A. Initially offers shall be ranked according to price, including option prices. An offeror’s proposed prices will be determined by multiplying the quantities identified in the Pricing Schedule by the unit price for each item to confirm the extended amount for each. Copies of the Pricing Schedule will be necessary in order to submit a proposal for each Option Year.
B. Using questionnaires, the contracting officer shall seek relevant performance information on experience with transient alert services for military aircraft (heavy and fighters/trainers), business jets, helicopters, and AGE equipment based on (1) the references provided by the offeror and (2) data independently obtained from other government and commercial sources. Relevant performance includes performance of efforts involving experience in transient alert services and AGE equipment that are similar or greater in scope, magnitude and complexity than the effort described in this solicitation. The relevancy definitions are outlined below:
TABLE 1- RELEVANCY DEFINITIONS
Rating Description
Relevant (R) Present/past performance effort involved most of the magnitude of effort and complexities this solicitation required in performing the Transient
Aircraft Services and Aerospace Ground Equipment (AGE) Maintenance.
Exceeds 2 years experience working most ground aircraft operations (to include deicing and fueling) and all remaining elements on heavy aircraft, fighters/trainers, business jets, and helicopters of sub-factor 1. Exceeds 2 years of experience working AGE operations and maintenance in seven of the ten elements in the areas of sub-factor 2.
Somewhat Relevant (SR) Present/past performance effort involved some of the magnitude of effort and complexities this solicitation required in performing the Transient Aircraft
Services and Aerospace Ground Equipment Maintenance. Exceeds 1 year experience working some ground aircraft operations (to include deicing and fueling) and 1 of the remaining elements on heavy aircraft, fighters/trainers, Business jets, and helicopters of sub-factor 1. Exceeds 1 year of experience working AGE operations and maintenance in five or more of the ten elements in areas of sub-factor 2.
Not Relevant (NR) Present/past performance effort involved little to none of the magnitude of effort and complexities this solicitation required in performing the Transient Aircraft
Services and Aerospace Ground Equipment Maintenance. Less than 1 year experience working ground aircraft operations on heavy aircraft, fighters, Business jets, and helicopters of sub-factor 1. Less than 1 year of experience working AGE operations and maintenance of sub-factor 2.
The government reserves the right to seek information on higher priced offerors if none of the lower priced offerors receive a ―Substantial Confidence‖ performance assessment rating. The purpose of the past performance evaluation is to allow the government to assess the offeror’s ability to perform the effort described in the solicitation, based on the offeror’s demonstrated present and past performance. The assessment process will result in an overall performance confidence assessment rating of Substantial Confidence, Satisfactory Confidence, Limited Confidence, No Confidence, or Unknown Confidence and are defined as follows:
Past performance regarding predecessor companies, key personnel who have relevant experience, or sub-contractors that will perform major or critical aspects of the requirement will be considered as highly as past performance information for the principal offeror. All Offerors with no relevant past or present performance history or the offeror’s performance record is so limited that no confidence assessment rating can be reasonably assigned shall receive the rating ―Unknown Confidence‖, meaning the rating is treated neither favorably nor unfavorably.
C. In evaluating past performance, the government reserves the right to give greater consideration to information on those contracts deemed most relevant to the effort described in this solicitation.
D. If the lowest priced evaluated offer is judged to have a “Substantial Confidence” performance rating and is determined to be responsible, that offer represents the best value for the government and the evaluation process stops at this point. Award shall be made to that offeror without further consideration of any other offers.
E. If the lowest priced offeror is not judged to have a ―Substantial Confidence‖ performance assessment, the Source
Selection Authority shall then make an integrated assessment best value award decision trading off price and past performance.
F. Offerors are cautioned to submit sufficient information and in the format specified in the proposal preparation instructions to permit a meaningful assessment of past performance. Offerors may be asked to clarify certain aspects of their proposal or respond to adverse past performance information to which the offeror has not previously had an opportunity to respond. Adverse past performance is defined as past performance information that supports a less than satisfactory rating on any evaluation element or any unfavorable comments received from sources without a formal rating system. Communications conducted to resolve minor or clerical errors will not constitute discussions and the contracting officer reserves the right to award a contract without the opportunity for proposal revision.
TABLE 2- PERFORMANCE CONFIDENCE ASSESSMENTS
Rating Description
SUBSTANTIAL CONFIDENCE Based on the offeror’s performance record, the government has a high expectation that the offeror will successfully perform the required effort.
SATISFACTORY CONFIDENCE Based on the offeror’s performance record, the government has an expectation that the offeror will successfully perform the required effort.
LIMITED CONFIDENCE Based on the offeror’s performance record, the government has a low expectation that the offeror will successfully perform the required effort.
NO
CONFIDENCE
Based on the offeror’s performance record, the government has no expectation that the offeror will be able to successfully perform the required effort.
