About this file
This document is Exhibit N from the Texas Department of Agriculture (TDA) and addresses the handling of confidential or proprietary information under the Texas Public Information Act (PIA). The exhibit serves as a required submission component for all proposal responses and instructs respondents on their obligations regarding information disclosure. Respondents must certify their proposal status by selecting one of three options: confirming that the submitted proposal is exempt from PIA disclosure and clearly marked as containing confidential or proprietary information; indicating that confidential or proprietary information has been included with a separate "Public Information Act Copy" submitted per solicitation requirements in Section II, Paragraph 5.2, A(1) and A(2); or declaring that no confidential or proprietary information is contained in the proposal. The exhibit requires authorization through a printed name, authorized company representation, authorized respondent signature, and submission date.
The document emphasizes that TDA is mandated by the PIA to notify third parties if public information requests seek their proprietary information, allowing them to take protective measures. The document cautions that blanket assertions of confidentiality or proprietary status may result in adverse rulings from the Office of the Texas Attorney General, indicating that respondents must provide specific language identifying material claimed as confidential or proprietary rather than applying broad designations to entire proposals. This exhibit was last revised on March 7, 2024.
