About this file
This document is a Terms and Conditions exhibit for Request for Proposal #E17-062-OP issued by the University of Wisconsin-Milwaukee (UWM) for a cloud-based ticketing software solution for the Peck School of the Arts Theater and additional venues. The RFP seeks a Software-as-a-Service (SaaS) solution rather than locally hosted or downloaded software. The contract terms and conditions outlined in this exhibit will supersede any conflicting terms in vendor contracts, license agreements, order forms, or terms of use documents and will apply to the current subscription or service term and any renewals.
The terms and conditions establish critical requirements regarding liability, payment, data management, and dispute resolution. UWM will not indemnify vendors, and liability caps are removed, allowing UWM to seek all available remedies under law. Vendor invoices are payable within 30 days of receipt by UWM's Accounts Payable department under Wisconsin Prompt Pay Law. Data handling requirements are stringent: vendors must provide UWM data downloads in non-proprietary formats (CSV or delimited text), implement industry-standard security safeguards including encrypted transmission and redundant infrastructure, store data solely on designated servers, and destroy all UWM data within 60 days of contract termination or upon request. Automatic license renewals are prohibited; UWM retains sole renewal discretion. The agreement is governed by Wisconsin law with exclusive jurisdiction in Milwaukee County courts. The entire agreement comprises the RFP, UWM purchase order, vendor response, statements of work, and service level agreements, with conflicts resolved in order of precedence.
