About this file
This is a Model Personal Services Contract template issued by the State of Colorado's Governor's Office of Information Technology (OIT). The document serves as a standardized contract form for personal services agreements between the State and contractors. The contract establishes the foundational terms and conditions governing the relationship between the State and Contractor, including performance obligations, deliverables, reporting requirements, and termination provisions. The initial term of the contract extends for a period specified by the State, with provisions allowing the State to exercise renewal options for additional terms of specified durations, subject to a maximum total contract duration as determined at execution. The contract incorporates by reference four exhibits: Exhibit A (Statement of Work), Exhibit B (Prices and Rates), Exhibit C (Form of Option Letter for contract extensions or modifications), and Exhibit D (IRS Exhibit 7 for federal tax information safeguarding requirements). The contract becomes effective only upon approval and signature by the Colorado State Controller or designee, and the State assumes no liability for any performance or costs incurred prior to this Effective Date.
Compensation to the contractor is limited to a maximum amount established at contract execution, with specific annual fiscal year payment caps identified in Exhibit B. All invoices must be submitted to OIT's Accounting department at 601 E. 18th Avenue, Suite 250, Denver, Colorado 80203, with the State obligated to pay undisputed invoiced amounts within forty-five days; uncontested amounts unpaid after forty-six days accrue interest at one percent per month. The contract is contingent upon continuing appropriation and availability of state and federal funds, with the State retaining the right to terminate immediately if appropriations cease. The contractor must maintain comprehensive insurance coverage, including workers' compensation, general liability (minimum $1,000,000 per occurrence), automobile liability ($1,000,000 combined single limit), and professional liability ($1,000,000 per occurrence and aggregate). The contractor assumes full responsibility for security of all confidential state information, personally identifiable information, federal tax information, and payment card industry data, with breach notification and remediation obligations falling entirely to the contractor. The contract is governed by Colorado law, requires compliance with state and federal regulations including anti-discrimination provisions and employment verification requirements, and subjects contractor performance to evaluation and rating within Colorado's statewide Contract Management System.
