About this file
This is a proposed agreement template (Exhibit C) between the Orange County Transportation Authority (OCTA) and a consultant to provide a 2026 Transit Asset Management Plan Update. The agreement establishes a thirteen-month contract term beginning from the effective date specified in the agreement. The scope of work is detailed in Exhibit A, which is incorporated by reference. The consultant must provide designated key personnel to perform the services, and any changes to key personnel require prior written approval from OCTA. The agreement allows OCTA to make changes to the general scope of work through written notice, with equitable adjustments to price and schedule negotiated if such changes cause increases or decreases in cost or time requirements.
The contract operates on a firm fixed price basis with a maximum cumulative payment obligation of $____________ (amount to be determined), including all subcontract costs, materials, and expenses. OCTA retains ten percent (10%) of each monthly invoice submitted by the consultant, with retained funds released within sixty days of final payment unless OCTA conducts an audit, in which case retained funds are paid within thirty days of audit completion. The consultant must submit monthly invoices accompanied by progress reports documenting percentage of work completed. The consultant is required to maintain comprehensive insurance coverage including commercial general liability ($1,000,000 per occurrence), automobile liability ($1,000,000 combined single limit), workers' compensation, employers' liability, and professional liability insurance ($1,000,000). All deliverables, reports, and work products become OCTA's property upon payment. OCTA may terminate the agreement for convenience at any time or for cause with thirty days' notice. The agreement incorporates RFP 250013 and the consultant's proposal by reference and is governed by California law.
