About this file
This is an insurance and indemnification memo from the Orange County Transportation Authority (OCTA) regarding RFP 250236 for hydrogen mobile fuelers for 40-foot hydrogen fuel cell buses. The memo documents correspondence between Ellis Hoskin, Senior Contract Administrator at OCTA's Contracts Administration and Materials Management division, and Edwin Byrne of Risk Management, dated February 17-23, 2026. The project involves procuring hydrogen mobile fueler equipment for transit buses under a time and expense contract with an initial one-year term and a budget of $6,778,509. Risk Management reviewed and approved the proposed insurance and indemnification requirements on February 23, 2026, following revisions made to align with recommended coverage limits.
The approved insurance requirements establish comprehensive coverage obligations for the contractor, including Commercial General Liability of $5,000,000 per occurrence with matching general aggregate and Products/Completed Operations aggregate limits; Automobile Liability of $5,000,000 combined single limit per accident for owned, hired, and non-owned vehicles; Workers' Compensation as required by California law with waiver of subrogation; Employers' Liability of $1,000,000 per accident and per disease; Professional Liability of $5,000,000 if applicable; and Pollution Legal Liability of $5,000,000 per loss with $5,000,000 annual aggregate. The contractor must provide proof of insurance within ten calendar days of the agreement's effective date and before commencing work, with OCTA named as primary and non-contributory additional insured on all general liability and automobile liability policies. The contractor is required to maintain continuous coverage throughout the contract term and ensure all subcontractors carry equivalent insurance with OCTA listed as additional insured. The indemnification clause requires the contractor to defend, indemnify, and hold harmless OCTA and its officers, directors, employees, and agents from all claims, damages, bodily injuries, and property losses arising from the contractor's negligent acts, omissions, or willful misconduct.
