About this file

This is an Insurance and Indemnification Review and Memorandum prepared by the Risk Management department for the Orange County Transportation Authority (OCTA) regarding an HVAC Duct Cleaning Maintenance, Service and Repairs contract. The document provides legal analysis and recommendations concerning insurance requirements and indemnification provisions that should be included in the contract solicitation. The memorandum addresses the protective measures necessary to shield the Authority from liability associated with the HVAC maintenance and repair services, which will be performed at OCTA facilities over a three-year initial contract term with a budget of $300,000. The review evaluates standard insurance coverage types, policy limits, and indemnification language appropriate for contractor-performed HVAC services to ensure adequate risk transfer and protection of the Authority's interests.

The memorandum establishes insurance and indemnification requirements that contractors must meet as a condition of contract award and performance. The analysis focuses on defining appropriate coverage limits, acceptable insurance carriers, certificate of insurance requirements, and hold-harmless language to protect OCTA from third-party claims, bodily injury, property damage, and other risks arising from the contractor's work. The document serves as the basis for incorporating risk management safeguards into the formal contract terms and conditions, ensuring that selected contractors maintain adequate insurance throughout the three-year service period and assume responsibility for losses or damages resulting from their HVAC maintenance, service, and repair operations.
