52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (JUN 2020) ADDENDUM

PHYSICALLY REMOVED FROM ANY RESULTANT AWARD, BUT WILL BE DEEMED

INCORPORATED BY REFERENCE. ***

I. Proposal Format

A. General: The following instructions cover the preparation and submittal of the offeror’s proposal for this solicitation. Offerors must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors. As required in Section I, paragraph B, of this Addendum, only electronic versions of proposals will be accepted. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. Documents submitted in response to this

Request for Proposal (RFP) must be fully responsive to, and consistent with, the requirements of the RFP, Performance Work Statement (PWS), and Evaluation Factors for Award in the FAR 52.212-2 Addendum of this

RFP. Offerors are cautioned that any noncompliance with the terms and conditions of the RFP may cause their proposal to be determined not eligible for award.

1. The resulting contract from this acquisition will be a Firm Fixed Price single award contract. The Government will use a Tradeoff source selection to award a single contract.

2. If a joint venture arrangement exists for this acquisition, the offeror shall provide a copy of the joint venture agreement that is signed and dated by all joint venture members as part of the proposal submission, Volume VI, Contract Documentation. Offerors shall submit only one (1) proposal for the Melrose Air Force Range (MAFR)

Operations, Maintenance and Support (OM&S) solicitation as the Government will review only one (1) proposal per offeror.

3. Proposals received are subject to the requirements specified in FAR 52.212-1 and this Addendum to the solicitation.

4. The proposal submission due date and time are specified in Block 8, Standard Form (SF) 1449, of this solicitation. Offerors are responsible for submitting proposals (including any revisions, and amendments) so as to reach the Government office designated in this solicitation by the time specified in Block 8, SF 1449, of this solicitation. Proposals must be received no later than the date and time specified.

5. The offeror‘s proposal acceptance period is specified in Block 12 of SF 1449, Solicitation/Contract/Order for

Commercial Items. The offeror shall set the acceptance period for a minimum of 120 calendar days after the proposal due date in Block 8 of the SF1449. The offeror shall make a clear statement in Volume VI, Contract

Documentation, that the proposal is valid through this date.

6. Electronic Reference Documents: All referenced documents for this solicitation are available on the System for

Award Management (betaSAM) web site at http://www.beta.sam.gov. Potential offerors are encouraged to subscribe for real-time email notifications when information has been posted to the website for this solicitation.

7. The Government reserves the right to revise or amend the PWS, attachments, or the solicitation prior to the proposal closing time. Such revisions or amendments will be communicated by amendments to the RFP and posted on the betaSAM website. If such amendments require material changes in quantities or prices, the proposal closing date (due date) may be postponed by enough days to enable offerors to revise their proposals. In such cases, the amendment will include an announcement of the new closing date and time. Offerors MUST acknowledge all amendments in their proposal by providing signed copies of the amendments with their proposal in Volume VI, Contract Documentation, or by separate letter which includes a reference to the solicitation and amendment numbers.

8. The Government will retain copy of all unsuccessful proposals in accordance with (IAW) FAR Subpart 4.8.

9. Discrepancies: If an offeror believes the requirements in these instructions contain an error, omission, or are otherwise unsound, the offeror shall immediately notify the Contracting Officer (CO) in writing with supporting rationale as well as the remedies the offeror is asking the CO to consider as related to the omission or error. The offeror is reminded the Government reserves the right to award this effort based on the initial proposal, as received, without discussion.

10. Oral Presentations: Oral presentations will not be considered for this competitive acquisition.

11. The CO has determined there is a high probability of adequate price competition in this acquisition. Upon examination of the initial offers, the CO will review this determination and if, in the CO’s opinion, adequate price competition exists no additional cost information will be requested and certification under FAR 15.406-2 will not be required. However, if at any time during this competition the CO determines that adequate price competition no longer exists, offerors may be required to submit information to the extent necessary for the CO to determine the reasonableness and affordability of the price.

12. Proposals may only be submitted by Small Business firms. At the time of initial contract offer and at time of award, each business must be a Small Business under the designated NAICS size standard. In order to submit an offer on a solicitation, each business concern in a teaming agreement must be a small business under the designated

NAICS size standard.

13. Determination of Competitive Range: Based on the ratings of each technically acceptable proposal against all evaluation criteria, the Source Selection Authority may establish a competitive range comprised of all of the most highly rated proposals unless the range is further reduced for purposes of efficiency. Offerors are hereby advised that only those proposals determined to have a reasonable chance for award of a contract will be included in the competitive range. Accordingly, offerors should submit initial proposals on their most favorable terms, from both a technical and price standpoint. Again, it should be noted that proposals will not be included in the competitive range solely on the basis of technical acceptability, nor will they be included due to price considerations alone. Offerors whose proposals are not included in the competitive range will be notified as soon as practicable. Additional information relative to such proposals will be provided through debriefing IAW FAR 15.505, if requested.

14. The exclusive responsibility for source selection will reside with the Government. Any objection shall be provided in writing prior to the date set for receipt of proposals and shall include a detailed statement of the basis for the objection. Proprietary information submitted in response to this solicitation will be protected from unauthorized disclosure as required by Subsection 27 of the Office of Procurement Policy Act as amended (41 U.S.C.423)

(hereinafter referred to as ―the Act) as implemented in the FAR.

15. Debriefings: The CO will promptly notify offerors of any decision to exclude them from the competitive range;

whereupon, they may request and receive a debriefing IAW FAR 15.505. Offerors excluded from the competitive range, or determined to be technically unacceptable, may request a pre-award debriefing or they may choose to wait until after the source selection decision to request a post-award debriefing. However, offerors are entitled to no more than one (1) debriefing.

16. Notice of Pre-proposal Site Visit: A pre-proposal site visit will be conducted at MAFR for the purpose of answering questions regarding this solicitation. It will be held on the day and time indicated on the solicitation announcement on the betaSAM website. Submit the names of all attendees (not to exceed 2) to the POCs listed in section I. paragraph B, of this Addendum. This information must be provided in advance in order to ensure access to the military base/conference site and adequate seating for the conference attendees. Offerors are requested to submit questions to the point of contact noted above not later than five (5) days after the pre-proposal site visit.

Information provided at this conference shall not qualify the terms and conditions of the solicitation and specifications. Terms of the solicitation and specifications remain unchanged unless the solicitation is amended in writing. If an amendment is issued, normal procedures relating to the acknowledgment and receipt of solicitation amendments shall apply. A record of the site visit shall be made and furnished to all prospective offerors. The record should include minutes of the meeting, including questions (on a non-attribution basis) and answers.

11 Jan 21 B. Communications: Exchanges of source selection information between Government and offerors will be controlled by the CO. Electronic mail (email) may be used to transmit such information only if the email can be sent encrypted, and must include “Source Selection Information – See FAR 2.101 and 3.104” in the subject line of the email. Otherwise, source selection information will be transmitted via DoD Secure Access File Exchange (DoD

SAFE) at https://safe.apps.mil/. When submitting source selection information via email, file suppression utilities, to include but not limited to zip files, will not be accepted. In order to facilitate the sending and receiving of encrypted emails, offerors must use MS Outlook email configured to support encryption or a different email product that is S/MIME compatible and configured to support encryption. If you intend to submit your source selection information via encrypted email, you will need to contact the Buyer/CO indicated in section I, paragraph B1, below, prior to that first submittal in order to exchange certificates used for encryption. To ensure the process is working correctly, send a test encrypted message first (without including any source selection information).

II. Volume Organization

A. General: The offeror shall prepare the proposal as set forth in the Table 1, Proposal Organization. The titles and contents of the volumes shall be as defined in this table, all of which shall be within the required page limits and with the number of copies specified. The proposal response shall consist of six (6) separate volumes: Volume I –

Executive Summary; Volume II – Technical; Volume III – Price; Volume IV – Past Performance; Volume V –

Small business Participation and Volume VI – Contract Documentation.

Requirements and Joint Venture Agreements.

1. Page Limitations: Page limitations shall be treated as maximums. Pages and volumes exceeding the page limitations set forth in Table 1, Proposal Organization will not be read or evaluated and will be removed from the proposal. Page limitations may be placed on responses to Evaluation Notices (ENs), if issued. The specified page limits for EN responses will be identified in the letters forwarding the ENs to offerors or on the EN form itself.

2. In addition to the page limitations set forth above, proposal volumes shall comply with the following format:

2.1. Each volume shall be marked with the RFP number and the offeror’s name and address, and the number of the Volume, i.e. I, II, III, etc. Proposals shall be in the English language and all monies shall be proposed in United States dollars.

2.2. Print shall be no smaller than a font size of 12. Paper size shall be 8 1/2” X 11,” excluding any charts, diagrams, and/or supporting illustrations, spreadsheets, etc. Charts, graphs, drawings, diagrams, supporting illustrations, or spreadsheets shall not be greater than 11” x 17.” Each volume within the proposal shall be separately tabbed and identified. Margins shall be no smaller than 1 inch and each page within a volume shall be numbered consecutively. Elaborate formats and color presentations are not desired or required.

2.3. Cross-Referencing: Each volume shall be written on a standalone basis so that its contents may be evaluated with no requirement to cross reference to other volumes of the proposal. Cross-referencing within a proposal volume is permitted where its use would conserve space without impairing clarity.

Information required for proposal evaluation which is not found in its designated volume will be assumed to have been omitted from the proposal.

2.4. Indexing: Electronic files should be titled appropriately so as to easily discern each volume as outlined in section II, paragraph A, above. Each file shall contain a more detailed table of contents to delineate the subparagraphs within that file. Tab indexing shall be used to identify sections. Indexing is not included in the page limitations. Volume I – Executive Summary shall contain a Master Table of Contents referencing the contents in all volumes. Tables of content do not count against the page limitations for their respective volumes.

2.5. Glossary of Abbreviations and Acronyms: Volumes I – IV shall contain a glossary of all abbreviations and acronyms used with an explanation for each term. Glossaries do not count against the page limitations for their respective volumes.

2.6. Electronic File Submission: The offeror shall submit all volumes in electronically, using one (1) of the following formats: The electronic versions of the proposal shall be submitted in a format readable by

Microsoft (MS) Office Word 2016, MS Office Excel 2016, MS Office Project 2016, and MS Office Power

Point 2016, as applicable. Save files in default format (e.g., Word Document – Set ―save as type to

―Word Document [*.docx] only; Excel spreadsheets – Set "save as type" to "Microsoft Excel Workbook

[*.xlsx]"; PowerPoint presentations – Set "Save as type" to "Microsoft PowerPoint 2007 Presentation

[*.pptx]). Submit portable document format (PDF) documents using Adobe Acrobat 9.0 only. DO NOT submit any documents in PDF format that are copied as ―images. When creating PDF files, the offeror shall create the file to enable textual search and copy functions.

2.7. Pricing Information: All pricing information shall be addressed ONLY in Volume III, Price.

2.8. RFP Technical Clarifications: Offerors who determine that the technical requirements of this RFP require clarification(s) in order to permit submittal of a responsive proposal are requested to submit all questions in writing within 10 business days from release of the RFP. These questions shall be directed to the POCs identified in section I, paragraph B, above.

2.9. Each past performance reference consists of past performance information using Attachment 6, Past

Performance Information Sheet and Attachment 7, Past Performance Questionnaire. The offeror shall include the following attachments for each past performance reference as applicable: Attachment 8, Subcontractor/Teaming Partner Consent Letter; and Attachment 9, Client Authorization Letter.

2.10. Each page containing proprietary information should be so marked. Apply all appropriate markings including those prescribed IAW FAR 52.215-1(e), Restriction on Disclosure and Use of Data, and FAR

3.104-4, Disclosure, Protection, and Marking of Contractor Bid or Proposal Information and Source

Selection Information.

2.11. Distribution: Proposals shall be addressed to the CO and emailed or transmitted via DoD SAFE at https://safe.apps.mil/. Additional information regarding email transmission can be found in paragraph B.

Communications, above.

2.12. Each page should contain the following legend at the bottom of each sheet:

B. Volume I, Executive Summary:

1. Format and Specific Content: Volume I, Executive Summary, has a limit of five (5) pages and shall consist of the following sections:

1.1. Master Table of Contents (Tab 1): Include a master table of contents of the entire proposal.

1.2. Narrative Summary (Tab 2): The Offeror‘s narrative summary of its entire proposal should be concise, and should address any and all significant risks, and highlight any key or unique features, excluding price. The salient features of the offeror’s narrative summary should tie in with the information covered in the FAR 52.212-2 Addendum. Any summary material presented here shall not be considered as meeting the requirements for any portions of other volumes of the proposal.

1.3. Glossary of Abbreviations and Acronyms (Tab 3): Include a glossary of any abbreviations and acronyms used throughout this volume.

C. Volume II, Technical:

1. General: The technical proposal shall be clear, concise, and include all the information required by this provision in sufficient detail for effective evaluation. The proposal should not simply rephrase or restate the Government’s requirements, but rather shall provide convincing rationale to address how the offeror intends to meet these requirements. Offerors shall assume the Government has no prior knowledge of their capabilities, work processes, facilities, and experience and will base its evaluation solely on the information presented in the offeror’s technical proposal. Exceptions to any requirements shall be documented on record in Volume VI – Contract Documentation.

The technical proposal shall address each of the three (3) subfactors described in this section, Management

Approach, Staffing Approach and Technical Approach and should describe the offeror’s proposed approach for performing the requirements set forth in the PWS.

2. Risks: For each subfactor, address Technical Risk associated with those aspects of your proposed technical approach you consider to have the potential for disruption of schedule, increased costs, degradation of performance, the need for increased Government oversight, or the likelihood of unsuccessful contract performance. Describe the impact of each identified risk in terms of its potential to interfere with or prevent the successful accomplishment of other contract requirements (e.g. PWS requirements, appendices, workload, or referenced publications), whether or not those requirements are identified as subfactors. Propose a realistic "work-around" or risk mitigations for identified risks that will eliminate or reduce risk to an acceptable level. If no risks/mitigations are identified in the offeror’s proposal, it shall indicate that the offeror does not consider there to be any risk associated with their proposed approach.

3. Format and Specific Content: Volume II, Technical, has a limit of 75 pages and shall consist of the following sections:

3.1. Table of Contents (Tab 1): Include a table of contents of the topics and subparagraphs in this volume.

3.2. Subfactor 1: Management Approach (Tab 2): The offeror shall describe their management method within Attachment 2, Management Plan. The awardee’s management approach, to include Program

Management, Transition Plan and Mission-Essential Contractor Services Plan, will be incorporated into the resulting contract through Attachment 2, Management Plan, upon award. The offeror shall utilize the format and specific content requirements provided in Attachment 2, Management Plan, adhering to all template instructions. At a minimum, the Management Approach subfactor shall thoroughly demonstrate all of the following:

3.2.1. Program Management: The offeror shall provide a Program Management Approach further described in Attachment 2, Management Plan, sections 3.2, 3.3. and 3.4. The Management

Approach shall demonstrate the offeror’s ability to execute the requirements of the PWS, section

2.2.4.1. The offeror shall utilize the format and specific content requirements provided in

Attachment 2, Management Plan, adhering to all template instructions.

3.2.2. Transition Plan: The offeror shall provide a Transition Plan as further described in

Attachment 2, Management Plan, section 3.7. The Transition Plan shall demonstrate the offeror’s ability to execute the requirements of the PWS section 4.2. The offeror shall utilize the format and specific content requirements provided in Attachment 2, Management Plan, and adhere to all template instructions.

3.2.3. Mission-Essential Contractor Services Plan: The offeror shall provide a Mission-Essential

Contractor Services Plan as further described in Attachment 2, Management Plan, section 3.8.

The Mission-Essential Contractor Services Plan shall demonstrate the offeror’s ability to continue to perform the essential contractor services listed in the section 4.33. of the PWS during periods of crisis IAW DFAR 252.237-7023 and 7024. The offeror shall utilize the format and specific content requirements provided in Attachment 2, Management Plan, and adhere to all template instructions.

3.3. Subfactor 2: Staffing Approach (Tab 2): The offeror shall provide a detailed Staffing Approach within Attachment 2, Management Plan. The awardee’s Staffing Plan will be incorporated into the contract

11 Jan 21 through Attachment 2, Management Plan upon award. The offeror shall utilize the format and specific content requirements provided in Attachment 2, Management Plan, adhering to all template instructions for the Staffing Plan. At a minimum, the proposed Staffing Approach shall include the following:

3.3.1. Staffing Matrix: The offeror shall submit a completed Staffing Matrix using the format and specific content requirements provide in Attachment 4, Staffing Matrix. This matrix will be used by the Technical Evaluation Team during the source selection process. Offerors must complete the Staffing Matrix exactly in accordance with the template set forth in Attachment 4. Any attempt to reformat or remove cells is unauthorized and may be a reason to reject an offeror‘s proposal.

3.3.2. Staffing Plan: The offeror shall provide a Staffing Plan as further described in Attachment

2, Management Plan, section 3.5. The Staffing Plan shall demonstrate a clear understanding of the staffing requirements of the PWS, to include all labor categories and hours proposed for each area in the PWS.

3.4. Subfactor 3: Technical Approach (Tab 2): The offeror shall provide a Technical Approach methodology further described in Attachment 2, Management Plan. Upon award, the Technical Approach will be incorporated into the contract. The offeror shall utilize the format and specific content requirements provided in Attachment 2, Management Plan, adhering to all template instructions. At a minimum, the proposed Technical Approach shall include the following:

3.4.1. Melrose Air Force Range (MAFR) Facility Maintenance Program. The offeror shall complete Attachment 2, Management Plan, section 4.2., Melrose Air Force Range (MAFR)

Facility Maintenance Program to meet the requirements as stated in the PWS section 3.2.

3.4.2. Air and Ground Operations. The offeror shall complete Attachment 2, Management Plan, section 4.3., Air and Ground Operations, to demonstrate an approach IAW the PWS sections 2.11., 2.12., 2.13., 3.1., and 3.3. - 3.10.

3.4.3. Wildland Fire Management. The offeror shall complete Attachment 2, Management Plan, section 4.4., Wildland Fire Management, to demonstrate an approach IAW the PWS section 3.7.

3.4.4. Electronic Warfare /Electronic Systems. The offeror shall complete Attachment 2, Management Plan, section 4.5., Electronic Warfare /Electronic Systems, to demonstrate an approach IAW the PWS sections 3.1.3.1, 3.5., and 3.6.

3.4.5. Paramedic Services. The offeror shall complete Attachment 2, Management Plan, section

4.6., Paramedic Services, to demonstrate an approach IAW PWS section 3.9 and USAF directed protocols.

3.4.6. Range Scheduling. The offeror shall complete Attachment 2, Management Plan, section

4.7., Range Scheduling, to demonstrate an approach IAW PWS section 3.8.

3.4.7. Vehicle and Heavy/ Agricultural Equipment Plan. The offeror shall complete Attachment

2, Management Plan, section 4.8., Vehicle and Heavy/ Agricultural Equipment Plan to demonstrate and approach IAW PWS section 2.7.

3.5. Glossary of Abbreviations and Acronyms (Tab 3): Include a glossary of any abbreviations and

Technical Proposal Cross Reference Matrix (Tab 4): The offeror shall fill out the cross reference matrix below, Table 2: Technical Proposal Cross Reference Matrix, indicating where in the proposal the information can be found as it relates to the RFP. The cross reference matrix will be utilized as a tool to show critical interrelationships and dependencies among the PWS, FAR 52.212-1 and 52.212-2, and their

The cross reference matrix will help an offeror ensure it has responded to all the evaluation criteria and proposal submittal requirements identified in the solicitation. If the matrix conflicts with any other requirement, direction, or provision of this solicitation, the other reference shall take precedence over the matrix. Additionally, to the extent the matrix discloses details as to the manner by which the Government intends to evaluate the offeror’s proposals for award, 52.212-2 Addendum references in the matrix are for informational purposes only, and the Government shall be obligated to evaluate proposals solely in conformance with the 52.212-2 Addendum of the solicitation.

D. Volume III, Price

1. General: This section is to assist the offeror in submitting pricing data that is required to evaluate the reasonableness, realism and balance of the proposed price. Compliance with these requirements is mandatory and failure to comply may result in rejection of an offeror’s proposal. Note that unreasonably high proposed prices, initially or subsequently, may be grounds for eliminating a proposal from competition on the basis that the offeror does not understand the requirement. Additionally, unbalanced pricing poses an unacceptable risk to the

Government and may render a proposal unawardable. Offers should be sufficiently detailed to demonstrate their reasonableness, realism and balance. The burden of proof for credibility of proposed prices rests with the offeror.

2. Format and Specific Content: Volume III, Price shall consist of the following sections:

2.1. Table of Contents (Tab 1): Include a table of contents for all of the topics and subparagraphs included in this volume.

2.2. Price Proposal Workbook (Tab 2): Attachment 5, Price Proposal Workbook was designed for offerors use when submitting pricing. This workbook will be used by the Price Evaluation Team during the source selection process. Offerors are to complete the workbook by following the instructions listed in the tab titled Instructions. Offerors must complete the Price Proposal Workbook as designed. Any attempt to reformat or remove cells is unauthorized and may be a reason to reject an offeror‘s proposal. The submission of information needs to be complete and accurate. Incomplete pricing may result in an offeror‘s proposal being deemed unawardable.

2.3. Exceptions/Assumptions and Rationale (Tab 3): Offerors shall identify any exceptions taken to the pricing requirements stated in this solicitation. Provide complete rationale for each exception. Offerors

2.4. Glossary of Abbreviations and Acronyms (Tab 4): Include a glossary of any abbreviations and

Price Information: Offeror’s shall not submit information beyond what is required by this instruction, unless the offeror considers such information essential to document or support a price position. All information relating to the proposed price, including all required supporting documentation must be included in the section of the proposal designated as the Price volume. Under no circumstances shall any such price information and documentation be included in any other sections of the offeror’s proposal.

4. Pricing Information Requirements: IAW FAR 15.403-1(b) and 15.403-3(a), information other than certified cost or pricing data may be required to support price reasonableness. If, after receipt of proposals, the CO determines that there is insufficient information available to determine price reasonableness, the offeror shall be required to submit additional pricing data.

5. Rounding: All dollar amounts in an offeror’s proposal shall be rounded to the nearest penny. All loaded labor hourly rates shall be rounded to the nearest penny.

E. Volume IV, Past Performance

1. General The offeror shall submit Present and Past Performance Information for itself and any joint venture member, as well as each proposed critical subcontractor in accordance with the format contained in Attachment 6, Past Performance Information Sheet (PPIS), and the following paragraphs. A critical subcontractor is defined as an entity (subcontractor and/or teaming partner), other than the offeror itself who are performing a significant portion of the total effort. The past performance volume shall contain recent and relevant past performance information

IAW the FAR 52.212-2 Addendum. Offerors are cautioned that the Government will use data provided by each offeror in this volume and data obtained from other sources in the evaluation of past performance. Along with the information required in this paragraph, the offeror shall submit a consent letter, executed by each teaming partner, joint venture partner, and/or critical subcontractor, authorizing release of adverse past performance information to the offeror so the offeror can respond to such information. For each identified effort for a commercial customer, the offeror shall also submit a client authorization letter, authorizing release to the Government of requested information on the offeror's performance.

1.1. Recent Contracts. Each past performance information submission shall be recent. To be recent, the effort must meet the requirements of section II.D, paragraph 2.2 in the FAR 52.212-2 Addendum.

1.2. Relevant Contracts. Submit all PPIS IAW section II, paragraph E, 2.3.1. of this Addendum. Each

PPIS submission must be submitted under Volume IV, Tab 3. Submit a PPIS on at least three (3) but no more than eight (8) recent contracts that the offeror considers most relevant in demonstrating the ability to perform the proposed effort. Information must include a minimum of one (1) PPIS from each of the joint venture members, teaming partners and/or critical subcontractors proposed by the offeror. The past performance for the prime Contractor, joint venture member and/or critical subcontractor will be weighed equally (section II paragraph D, 2.4 in the FAR 52.212-2 Addendum). Include rationale supporting any assertion of relevance for each PPIS submitted. For a description of what the Government will consider in determining relevance see section II, paragraph D.2.3 of the FAR 52.212-2 Addendum and Relevancy

1.3. Specific Content. Offerors are required to explain what aspects of the contracts are deemed relevant to the proposed effort and to what aspects of the proposed effort they relate. This may include a discussion of efforts accomplished by the offeror to resolve problems encountered on prior contracts as well as past efforts to identify and manage program risk. The offeror is required to clearly demonstrate management

11 Jan 21 actions employed in overcoming problems and the effects of those actions in terms of improvements achieved or problems rectified.

1.5. Submission of Past Performance Information. Offerors will use the Attachment 6, Past Performance

Information Sheet to submit the past performance information on each reference as outlined in section II, paragraph E, 2.3.1. of this Addendum. The past performance information attachment allows the offeror to provide contract information, a brief description of services, use of management actions for performance problems, and key program points of contact for each reference.

2. Past Performance Format: The Past Performance volume shall consist of the following sections:

2.1. Table of Contents (Tab 1): Include a table of contents of the topics and subparagraphs in this volume.

2.2. Summary Page (Tab 2): A summary page shall be provided for this acquisition, describing the proposed role of the offeror, any joint venture member and critical subcontractor (nature of work and percentage of overall work). Summary page information must clearly communicate that proposed critical subcontractor(s) meet the definition of a critical subcontractor established in section II, paragraph E.1, above.

2.3. References (Tab 3): Each past performance reference shall consist of the following:

2.3.1. Past Performance Information Sheet (Attachment 6). The offeror shall use the PPIS for submitting relevant and recent past performance contract information. The offeror shall use a separate copy of the form for each reference in the Past Performance volume.

2.3.1.1. The offeror/joint venture member and critical subcontractor, if applicable, shall focus its PPIS responses so that they clearly correlate present and past performance with the requirements of this RFP. The PPIS responses must clearly describe the relevance of the effort to the work proposed. The space provided on the PPIS for providing such responses may be expanded so that the filled-in sheet for each relevant contract does not exceed six (6) pages. Provide the most current information for the POCs identified on the

PPIS. At least two (2) of the following (in descending order of availability) should be identified as current POCs on the PPIS:

(a) Procuring Contracting Officer/Contract Negotiator or equivalent

(b) Program/Project Manager, or equivalent

(c) Administrative Contracting Officer/Contract Administrator or equivalent

(d) Other (As specified in your PPIS)

2.3.1.2. If problems were encountered during the performance of the identified contracts, provide evidence of the ability to isolate the root causes of problems and include in the

PPIS a description of programs or actions taken to resolve those causes. Problems not addressed in the PPIS, but found by the Government during the evaluation of the information in this volume, will be assumed to still exist. Note: In the case of Contractor

Performance Assessment Report System (CPARS), if your input has already been provided and the rationale/circumstances have not changed, DO NOT repeat them here.

2.3.1.3. Key Personnel. Offerors, joint venture members, or critical subcontractors that are newly formed entities (in existence less than six (6) years from the issuance date of this solicitation) who either have no prior contracts or do not possess relevant corporate past performance, but have key personnel with relevant past performance while employed by another company, may demonstrate the performance of such key personnel by submitting PPIS for at least three (3) but no more than eight (8) of their most recent and relevant contracts under which such key personnel performed the same role currently being proposed on the instant acquisition. To be recent, the effort must meet the

11 Jan 21 requirements of section II paragraph D, 2.2 in the FAR 52.212-2 Addendum. Note however, that the quality of the key personnel’s performance under the submitted contract must be able to be verified by the Past Performance Team in order to be considered in the assessment of confidence. Any such key personnel must already be employed by the offeror /joint venture member, or in the case of a critical subcontractor, must already be employed by the critical subcontractor; a letter of intent to hire does not constitute employment.

2.3.2. Past Performance Questionnaire (Attachment 7): The Present/Past Performance

Questionnaire (PPQ) will be one means used by the Government to obtain present/past performance information. The Government reserves the right to change, alter, and/or supplement the questionnaire without further notice to the offeror(s).

2.3.2.1. The offeror is responsible for sending the PPQ (Attachment 7). The offeror shall send out and track the completion of the PPQs to each of the offeror’s, joint venture members and/or critical subcontractors’ (i.e., each entity’s) POCs identified in each PPIS.

The responsibility to send out and track the completion of the PPQs rests solely with the offeror - i.e., it shall not be delegated to any other entity. Exert your best effort to ensure that at least two (2) POCs per relevant contract submit a completed PPQ directly to the Government not later than the date established in the RFP for receipt of proposals. Questionnaires are due to the CO by the proposal due date in Block 8 on the

Standard Form 1449. POCs must submit their completed PPQs electronically. Follow the procedures outlined in section I, paragraph B., above, for email instructions.

2.3.2.2. Once the PPQs are completed by your POCs, the information contained therein shall be considered source selection sensitive and shall not be released to you, the offeror.

Therefore, any exchange/contact between the offeror/joint venture member and/or critical subcontractor and its own POCs in regards to comments made on the questionnaire is not permitted.

2.4. Subcontractor/Teaming Partner consent letter (if applicable) (Tab 4): Past performance information pertaining to a subcontractor cannot be disclosed to the prime offeror without the subcontractor‘s consent.

In addition to the information provided in the PPIS (Attachment 6) for each entity as required above, the offeror must submit a consent letter executed by each of its proposed teaming member(s) and/or critical subcontractors authorizing release of adverse past performance information to the prime offeror to allow the prime offeror an opportunity to respond. A sample Subcontractor/Teaming Partner Consent Form is attached to this RFP, Attachment 8. The consent form shall be completed by the team member(s) and/or critical subcontractors identified in your proposal. The completed consent forms shall be submitted as part of Volume IV, Past Performance.

2.5. Client Authorization Letter (if applicable) (Tab 5): In the event that commercial contracts are presented as present/past performance sources of information, a client authorization letter shall be issued to those commercial POCs requesting/authorizing them to complete a PPQ. A sample Client Authorization

Letter is attached to this RFP, Attachment 9. The offeror is required to send the Client Authorization

Letter(s) with the PPQs to each POC on commercial contracts. A separate copy of Client Authorization

Letter(s) for each commercial contract shall be included in the offeror’s Present/Past Performance submission for the Government’s use in case additional questionnaires need to be sent by the Government after the RFP due date. The completed Client Authorization Letters shall be submitted as part of Volume

IV, Past Performance.

2.6. Organizational Structure Change History (Tab 6). Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, or subsidiary companies. In many cases, these changes have taken place during the time of performance for relevant past efforts or between the conclusion of recent past efforts and this source selection. To clarify any organizational changes, include in this proposal volume a "roadmap" describing all such changes in the

11 Jan 21 organization of the company. A pamphlet or other commercial document describing such reorganizations may suffice. As part of this explanation, show how these changes impact the relevance of any efforts the offeror identified for past performance evaluation/performance confidence assessment. Since the

Government intends to consider past performance information provided by other sources as well as that provided by the offeror(s), the "roadmap" should be both specifically applicable to the efforts the offeror identified and general enough to apply to efforts on which the Government receives information from other sources.

2.7. Glossary of Abbreviations and Acronyms (Tab 7): Include a glossary of abbreviations and acronyms used throughout the volume.

3. Follow-up Discussions: The Government may conduct follow-up discussions with any of the people identified in the PPIS or in the offeror’s Present/Past Performance Volume. Pursuant to FAR 15.305(a)(2)(ii), the Government may obtain other information by sending out additional questionnaires and/or through other sources, other than those listed within the PPIS.

4. RFP Attachment Legend: Attachment 6, PPIS and Attachment 7, PPQ, must include the following legend at the top and bottom of the page:

F. Volume V, Small Business Participation:

1. General: The Small Business Participation is requires from all offerors. The offeror shall include only the first tier of subcontractors for this effort. Offerors are advised that the Small Business Participation Submission is not the same as the Small Business Subcontracting Plan.

2. Format and Specific Content: Volume V, Small Business Participation, shall include the following to address the proposed performance of this resultant contract:

2.1. Small Business Participation Commitment Document (SBPCD), (Tab 1): SBPCD provides substantiating documentation to demonstrate how you will meet the following requirements listed below.

2.1.1. The extent to which the offeror will utilize the small business (SB) 8(a) program.

2.1.2. The extent to which offerors demonstrate an enforceable agreement with 8(a) SB firms, such as, letters of commitment, Joint Ventures, mentor/protégé agreements, or other demonstrations of commitment, including the company names with CAGE codes the offeror plans to use in the performance of this resultant contract.

2.1.3. The description of the subcontracted work these proposed firms are to perform. The tasks that are required to be reserved for 8(a) subcontractors are as follows:

2.1.3.1. Facility management (see PWS section 3.2) to include:

2.1.3.1.1. Custodial duties

2.1.3.1.2. Grounds maintenance

2.1.3.1.3. Night lighting

2.1.4. The extent of participation of small business prime offerors and small business subcontractors in terms of the value of the total acquisition (total contract value). Binding commitments in the SBPCD will become enforceable contractual requirements. The successful offeror will be required to provide reports IAW PWS paragraph 4.39 on Small Business

Utilization Report.

2.1.5. Detailed explanations/documentation supporting the proposed quantitative participation to substantiate the feasibility of the proposed participation. (Note: This information will not be incorporated into the resultant contract.)

G. Volume VI, Contract Documentation:

1. Format and Specific Content: Volume VI, Contract Documentation, shall consist of the following sections:

1.1. Table of Contents (Tab 1): Include a table of contents for all of the topics and subparagraphs included in this volume.

1.2. SF 1449, Solicitation Contract Form and All Amendments (Tab 2): The offeror shall complete all sections of SF 1449, Solicitation/Contract/Order for Commercial Items with all blocks 12, 17, 24, and 30 completed with an original, authorized signature and the Contract Clauses section filled-in. In doing so, the offeror accepts and agrees to the contract terms and conditions as written in the RFP. These sections constitute the model contract. For any amendments issued, complete SF 30, Amendment of Solicitation by signing Block 15A and completing Blocks 15B and 15C for each amendment and include in this section of the proposal.

1.3. Representations and Certifications (Tab 3): The offeror shall complete the necessary fill-ins and certifications described in FAR 52.212-3 (see FAR 52.212-3(b)(2) for those representations and certifications that the offeror shall complete electronically).

1.4. Authorized Offeror Personnel: The offeror shall provide the name, title, and telephone number of the company/division point of contact regarding decisions made with respect to the offeror‘s proposal and who can obligate the company contractually. Also, identify those individuals authorized to negotiate with the

Government. Additionally, provide the name, title, and telephone number of the CEO, Division President, and/or Vice President of the company for notification purposes.

1.5. Company/Division Address, Identifying Codes, and Applicable Designations: Provide company/division's street address, county and facility code; CAGE code; DUNS code; and TIN.

1.6. Exceptions to Solicitation Requirements (Tab 4): Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale. Each exception shall be specifically related to each paragraph and/or specific part of the solicitation to which the exception is taken.

Provide rationale in support of the exception and fully explain its impact, if any, on the performance, schedule, cost, and specific requirements of the solicitation. This information shall be provided in the format and content of Table 3 Solicitation Exceptions.
