SUBJECT: Request for Proposal (RFP) 80MSFC19R0010 for the Consolidated Program
Support Services (CPSS) Program, Planning, and Control (PP&C) Acquisition, George C. Marshall Space Flight Center (MSFC)
The solicitation for the CPSS PP&C acquisition at NASA MSFC has been released. All offerors should review Attachment A, Clarifications to All Potential Offerors, and Attachment B, Summary of Changes Between Draft and Final Solicitation, listing the changes to the draft solicitation posted on August 5, 2019. The changes identified in Attachment B are the result of comments and questions received from industry and internal reviews performed by NASA and represent significant changes; however, the listing is not intended to be all inclusive. Offerors are cautioned to carefully review the solicitation in its entirety. Grammatical, typographical, and other non-substantive changes have been corrected throughout the document.
Offerors are notified that a procurement sensitivity "blackout notice" letter for this acquisition was distributed to all applicable NASA employees with the release of the solicitation to industry. Effective immediately, with the exception of the designated point of contact below, all employees are prohibited from communicating with industry concerning this procurement. This
‘blackout’ period of communication will continue until the contract has been awarded and the evaluation board is released from its responsibilities.
All questions regarding the solicitation shall be submitted via email to the individual noted in the provision MSFC 52.205-90, Designated Point of Contact. The due date for receipt of questions from industry is 2:00 p.m., Central Time, October 11, 2019. Any questions submitted by this deadline will be answered as an amendment to the solicitation. As part of any resultant proposals, offerors shall acknowledge receipt of all solicitation amendments, if any.
Potential offerors are responsible for downloading their own copy of the solicitation in its entirety. Further, it is the offeror's responsibility to monitor FedBizOpps (or beta.SAM.gov, once activated) for any amendments to the solicitation.

Contract Line Identification Number (CLIN) or will those values be collected under a single MSFC CLIN?
It is anticipated that each Center will be able to initiate task orders with its Center-Specific requirements via the Government-provided
Automated Task Order Management System (ATOMS). See
Attachment J-1, Performance Work Statement, for personnel authorized to issue task orders under this contract. The contract will be managed by MSFC.
No, each Center will not have their own IDIQ CLIN. There is one
CLIN for Mission Services and two CLINs for IDIQ, one for PP&C
FFP task orders and one for Programmatic SME T&M task orders.
Refer to MSFC 52.216-92, Matrix Of Contract Line Items (CLINs), in the solicitation. All Center IDIQ task order values will be included within the applicable active IDIQ CLIN.

No. The initial ACAs will not be required during the phase-in purchase order. The initial ACAs will be required within the three months of the effective date of the contract. Refer to Section H, MSFC Clause 52.209-91, Associate Contractor Agreements (ACA), paragraph (d).

The list of contracts requiring ACAs within three months of contract award include the incumbent contracts that are being recompeted as part of the CPSS suite of contracts (i.e., MIPSS TOs). Please indicate if the contracts requiring ACAs should include the successor contracts (i.e., CPSS PC and CPSS CDM).
MSFC Clause 52.209-91, Associate Contractor Agreements (ACA), will be updated at a later date to reflect the appropriate contract awards for CPSS Project Coordination (PC) and Configuration and
Data Management (CDM).

Given the potential for substantial IDIQ work at other
Centers, are ACAs anticipated to be required for contracts at other NASA Centers?

There are a few Center specific clauses provided in Section
H for a majority but not all of the Centers and/or component facilities.
Will the Government provide a complete and comprehensive list of applicable Center-specific clauses for performance of PP&C requirements at those locations in the

Not all NASA Centers have Center-specific clauses. The Center-specific clauses applicable to this contract are included within
Sections G and H of the solicitation.

REQUIREMENTS, A.2 JSC
NASA/JSC released Draft RFP for Human Space Flight
Technical Integration Contract (HSFTIC) on August 16, 2019. This Draft RFP appears to include content currently contained within CPSS PP&C Mission Labor Requirements.
Given that this content is included in HSFTIC Draft RFP dated August 16, 2019, is it still the government’s intent to include this content in the Mission Labor Requirements for the CPSS PP&C solicitation?
JSC has been granted approval to retain PP&C activities (SOW
10.0 - Cost Estimating and Assessments) under the proposed
HSFTIC procurement for the first year of the contract’s base period. It is anticipated that SOW 10.0 content would transition from HSFTIC to Consolidated Program Support Services (CPSS) after the first performance year of HSFTIC (on or about 10/1/21).
The HSFTIC contract will be structured in a way to segregate these
PP&C activities from the other activities of the contract for the base period and up to, but no more than, 4 one-year option periods.
Refer to changes made to Attachment J-1, Performance Work
Statement, Appendix A, Center-Specific Mission Requirements, Section A.2 JSC Requirements, Attachment J-1A, Mission Labor

At the top of the table the title is Mission Service CLINs
Only; Does the Government intend to use these Labor
Category Descriptions for all Mission Service CLINs and the IDIQ Task Order CLINs as well?
The PM labor category is the only labor category intended to be used for Mission Services only and not to be ordered under IDIQ.
Mission Services labor categories are identified in Attachment J-
1A. All PP&C labor categories may be used under the FFP PP&C
IDIQ CLINs. All Programmatic SME labor categories may be used under the T&M SME IDIQ CLINs.

Would the Government consider substituting experience worked in lieu of education requirements?
Would the Government consider substituting additional education for years of experience?

The labor category descriptions provided in Attachment J-3, Labor
Category Descriptions, delineate the desired education and experience levels, as well as the required responsibilities and skills for these positions. Specific task details will be provided within any task order request issued during or subsequent to the phase-in period in accordance with the task ordering clauses of the contact.

Attachment J-3 Labor category description does not indicate that all personnel must hold a TS clearance. However, the solicitation states that all personnel must have a TS clearance. Please clarify.
It is not intended that all personnel hold a top secret clearance. See

Given that the contract is at the Top Secret clearance level, can the Government please specify how many positions require clearances.

The Government does not intend to add FBLRs for alternate locations at this time. Alternate locations may be added at CO discretion, if needed based upon future requirements.
17 SECTION L Will the Government consider a different numbering approach throughout Section L for each of the Volume submittals?
See Section L, Volume I- Mission Suitability Factor Instructions, paragraph (d). As an example, the Offeror's description of its proposed organizational structure might be labeled Volume I, MA-
1 (1).

The Draft OCI plan and List of all current NASA contracts and subcontracts reference the Note: Requested 2 weeks prior to required due date of proposal; however, delivery is not required until the proposal due date. Page L-8
Volume IV – Contract Volume, which these documents are a part of, is not required until the due date of December 9, 2019.
If the offeror submits these 2 documents in advance of the complete Volume IV submittal should they be resubmitted to make a complete Volume IV? Should a reference be included in the complete Volume IV that states the documents were previously submitted, or are there other instructions the offeror should follow?
Offerors are only required to re-submit the information if changes are made to the initial submission; otherwise, indicate that the information was previously submitted.

No such contracts have been identified.

PROPOSAL PAGE LIMITATIONS
We respectfully request that the Government exclude the cover page, table of contents, compliance matrix, list of figures, acronym list, list of exhibits, and other front matter intended to explain the organization of the volume (with no evaluated content) from the page limitation of Volumes I and III?
Considering the page limitations, would the Government consider changing the font size standard of charts, tables, figures, and pictures to 10-point?
We request the Government modify this requirement to 10pt as making graphics and tables with type that large is challenging and would result in considerably large graphics and wasted space between sections where a graphic that large wouldn't fit on the remaining page before or after narrative.
In accordance with NFS 1852.215-81, Proposal Page Limitations, paragraph (c), there are no exclusions to the established page limitations with the exception of the documents specified therein.
There are no exceptions to font size as specified in NFS 1852.215-
81, Proposal Page Limitations. In accordance with paragraph (b)
(6) (F) of 1852.215-81, font shall not be smaller than 12 point font to include text, charts, tables, figures, pictures, and other objects.
Landscape format may be utilized to accommodate this restriction considering the limitations described in paragraph (b) (6) (C).

PROPOSAL PAGE LIMITATIONS
Paragraph (c) states that there are “No” exceptions to the 12-point font size rule for graphics and pictures. Does this also extend to headers and footers? These do not contain proposal content but do affect margins. We would like to use company logos as well. We respectfully ask the
Government to please reconsider making an exception for these.
In accordance with paragraph (b) (4) of 1852.215-81, each volume page shall identify the Offeror’s name, solicitiation number, and date. In place of the company name, the offeror’s company logo may be inserted in a format other than Times New Roman 12-point font within the header/footer only if the logo does not impact the margin restrictions cited in paragraph (b) of 1852.215-81.

Would the Government consider requiring the submission in
Word 2016 rather than 2010 or higher?
As an alternative, would the Government accept Adobe PDF format?

(USB) drives labeled “Original” and Copy”.

AND FRINGE BENEFIT FORMS
Please explain the headers in the Fringe table, specifically the term ‘Range’. We understand this data to represent the dollar value of each Fringe contribution element; however, we do not understand what the Government is looking for given the term ‘Range’.
Is this data to reflect min and max for all of the positions to be staffed within a lab cat?
Yes. The values to be provided reflect dollar ranges for each labor category, for each location, included within Attachment J-3, Labor
Category Descriptions.

TASK ORDER REQUIREMENTS
Please clarify the intent of L-2. If it is to be used for the purpose of awarding task orders, can the Government provide a timeline for award of these potential tasks for the purpose of more accurately pricing the scope of work.
Can the Government also provide additional technical and task requirement details for those tasks so that bidders can more accurately provide a bid rate for those labor categories across the geographic Centers? In total, the staffing within this attachment adds up to a significant WYE labor base requiring corresponding labor rates.
Will the final version have more specific IDIQ work pre-loaded - similar to Attachment L-2? (which presently only has AFRC, ARC and GRC - will IDIQ work be added for other Centers?)
Attachment L-2, Projected Task Order Requirements, is provided to indicate the potential, though not mandatory, magnitude of task order effort which may be initiated and awarded during the phase-in period with an effective date of the contract start date (i.e.
03/15/2021).

Instructions, paragraph (b), offerors shall utilize the values from the
EPM tool to populate the contract volume fill-ins to include
Attachment J-4, Indefinite-Delivery, Indefinite-Quantity (IDIQ)
Rates.

Offerors shall complete all Tabs in their EPM. Subcontractors with a Mission Services value exceeding $15M over the life of the contract shall complete only the A and B Tabs of their EPM in accordance with Volume II – Price Factor Instructions, Section 3.

The Government has pre-populated WYEs in Tabs B-1 JSC and Tab B-2 MSFC, which match Attachment J-1A with the exception of minor variances as noted in Question 3.
Therefore, the pre-populated WYEs appear to represent total team mission requirements.
If prime and major subcontractors are to complete Tabs B-1 and B-2, then please clarify if the prime and subcontractors shall modify the number of WYEs to reflect the number of
WYEs allocated to the prime and subcontractor respectively?
The purpose of Tab A-2 is to account for subcontractor allocation of WYEs and associated price. When utilized correctly, the Tab will allow for the accounting of all WYEs as required by
Attachment J-1A, Mission Labor Requirements.

Section L Volume III Past Performance Instruction States
“Performance of referenced contracts shall be limited to that which occurred within three years of the due date for receipt of proposals. Additionally, each referenced contract shall have a minimum performance of six months within the three-year period. Performance of any effort outside the three-year period will not be evaluated.” Does this mean that within the past 3 years, at least 6 months of performance must have been completed? For example, a contract that ended on November 2, 2016 (which is within 3 years of
October 24, 2019) would not be eligible because 6 months of work was not performed during this 3-year period?
For an eligible effort, will the years of the contract or task order outside the three-year period be evaluated? For example, will the Government evaluate the first two years of an on-going contract that began five years ago? Or only the last three years?
In accordance with Volume III – Past Performance Factor
Instructions, paragraph (b), only that portion of a relevant referenced contract or subcontract which falls within the established three-year window will be considered. The annualized size value of the referenced contract or subcontract will likewise be established.

The provision of two past performance references for the Joint
Venture managing partner is requested though not mandatory.

Can the Government clarify that the criteria for major subcontractor in the Past Performance volume is 15% or more of FFP Mission Services contract value while the requirements for a full subcontractor cost volume are based on a subcontract value exceeding $15M over the life of the contract.
It is possible that a subcontractor might meet one definition but not the other?
The thresholds for submission of subcontractor price volumes and past performance references are mutually exclusive.

M stating that the Government reserves the right to perform a price realism assessment on both the Mission Services and
IDIQ calculated price and to remove any Offeror’s proposal that is unrealistically low?
In accordance with Section M, Price Factor Evaluation, paragraph
(a), the Government will perform price analysis in accordance with
FAR 15.404-1.

EVALUATION
Can the Government clarify if the intent here was to limit
Volume III evaluation to “major” subcontractors as defined?
Alternatively, per (b) [“NASA reserves the right...”], can the
Government provide evaluation criteria or otherwise explain how non-major subcontractor past performance is to be reported by the Offeror, other than through the list of contracts and subcontracts and/or the Draft OCI Plan?
Past performance references are limited to no more than five referenced contracts or subcontracts for the Offeror’s team, to include subcontractors. Referenced contracts or subcontracts provided for other subcontractors other than major, may be considered at the discretion of the Government. If considered, the reference contracts or subcontracts will be assessed using the same criteria used for the assessment of other contracts/subcontracts (i.e., size, content, complexity).

Referencing the Purchase Order PWS "Government furnished facilities may be available on a limited basis during the phase-in period in Bldg. TBD." Please clarify how offerors should understand this statement with respect to the term “limited basis”. Also clarify the degree of certainty that should be attached to the expression “may be available”.
Based on Government availability of facilities during the time of phase-in, a limited amount of space (e.g., office, conference room) may be available. Such availability cannot be determined at this time; however, further refinement will be assessed in phase-in.
