GSFC 52.216-90 MINIMUM/MAXIMUM AMOUNT OF SUPPLIES OR SERVICES (COST

(a) The minimum amount of supplies or services that shall be ordered during the effective period of this contract is $1M. The maximum amount of supplies or services that may be ordered during the effective period of this contract is $230M. All orders placed under this contract will be applied to the minimum and maximum specified in this paragraph.

(b) The minimum amount is reached when the sum of the dollar amounts of all ordered supplies or services, except for any adjustments made pursuant to the Limitation of Cost or Limitation of Funds clause, equals or exceeds the minimum amount stated in paragraph (a).

(c) The maximum amount is reached when the sum of the dollar amounts of all ordered supplies or services, except for any adjustments made pursuant to the Limitation of Cost or Limitation of Funds clause, equals the maximum amount stated in paragraph (a).

(d) The maximum amount, if reached, precludes the issuance of further orders for supplies or services under this contract. However, reaching the maximum amount does not preclude adjustments to the dollar amounts of existing placed orders, for actions that are within the scope of the placed orders, and which are made pursuant to existing contract authority, such as the Changes clause.

(e) The maximum amount may be adjusted unilaterally by the Government on an as needed basis. Historic, current, and/or projected workload requirements will be used to determine the amount of upward adjustment. In no event will the adjusted maximum amount exceed 20% of the original maximum amount.

(b) The following cost element definitions provide examples that may or may not be procured during the life of the contract. See the Statement of Work (Section J.1 Attachment A) for additional descriptions/information regarding the identified cost elements.

Materials – Costs such as: acquisition of raw materials and components utilized within payload or vehicle support subsystems (i.e. telemetry electrical components, batteries, screws, raw materials and forgings, deployment hardware, etc.); flight hardware purchased for stock (i.e.

parachutes, small ordnance devices, fins, launch lugs, manacle bands, interstages, nosecones, attitude control system components and sensors, etc.); flight termination system components (i.e.

safe/arm devices, electronics, explosive transfer lines, destruct charges, etc.) along with any associated qualification or lot acceptance testing; procurement of ground support equipment and general equipment to provide support for NSROC operations (i.e. power supplies, meters, etc.), and procurement of new ground station equipment.

Other Subcontracts – Includes vendor subcontracts for components, systems, or services; long-term service agreements; software licenses and support acquisition and repair of star tracker cameras.

Training – Includes training approved by the Sounding Rockets Program Office not covered under Contractor overhead (i.e. conferences, job-required training, professional development classes, etc.).

Boost Guidance Systems – Includes refurbishment or replacement of boost guidance systems and components.

WSMR Telemetry Support -– Telemetry ground station support at White Sands, New Mexico covering an annual mission launch rate of 6-8 missions from the WSMR launch site.

Other Direct Charges – Includes costs for items not captured above: software licenses and support; freight/shipping costs*; general safety equipment; routine maintenance and calibration of equipment, computers, and facilities (i.e. mechanical shop, electrical shop, ground stations, laboratories, etc.); procurement of office supplies and shop consumables (i.e. lubricants, chemicals, cleaners, oil, wire, coolants, etc.); procurement of compressed gases and cryogen fluids (i.e. Argon, Helium, Nitrogen, Purified air, Liquid Helium, Liquid Nitrogen, etc.); and management and administrative costs.

*Note: Freight includes shipment of science, flight hardware, and mission related support equipment from Wallops Flight Facility to domestic launch sites (Wallops, White Sands). SRPO directly covers the shipping costs for missions where international shipping is required (i.e., Norway, Kwajalein, Alaska by ground transport). Freight also includes miscellaneous shipments not tied to specific missions, PTO, or DRPA projects (i.e., shipments from vendors or returning items to vendors).

(c) These total non-proposed costs for CORE requirements are the Government’s best estimate of what the actuals will be. There will be no adjustment in the fee(s) of the contract for CORE requirements should the actuals be different than the total non-proposed cost value for the base and option periods of performance unless a contract modification under the Changes clause of this contract impacts these estimates.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed five (5) years.

8. Group Lead Pay - When an employee who is directed to and performs the duties of a "lead" for a group of employees shall be paid an additional $1.50 per hour for all hours worked in a lead capacity.

9. Shift Premium: Each employee scheduled to work on the Middle Shift shall be paid a Middle Shift premium of $1.00 per hour in addition to the employee's regular hourly wage for all hours worked. Each employee scheduled to work on the Night Shift shall be paid a Night Shift premium of $1.50 per hour in addition to the employee's regular hourly wage for all hours worked.

10. Field Differential Pay: While on travel, employees will receive field duty differential pay at $3.00 per paid hour in addition to the employee's regular base rate of pay, in order to compensate for the inconvenience of travel. This differential pay will be paid for each day in a travel status while away from the Wallops Island Flight Facility.

11. Operational Safety Officer Differential: Technicians who are certified by the NSROC and NASA safety offices as Operational Safety Supervisors (OSS) will receive $0.75 per hour differential pay for all hours worked in addition to their regularly hourly pay rate.

12. Ordnance Certification Differential: Technicians who hold a current, valid, ordnance certification card will receive $0.50 per hour differential pay for all hours worked in addition to their regularly hourly pay rate.

13. Dual Operations Differential: When an employee covered by this Agreement who is directed by the Company to and operates multiple CNC machines simultaneously, he or she shall be paid an additional $2.50 per hour for all hours worked in this capacity.

14. Overtime Pay: In addition to regular straight time pay, overtime pay shall be paid as follows:

At fifty percent (50%) of the employee's hourly rate for all hours worked in excess of eight (8) hours in any regularly scheduled workday. At fifty percent (50%) of the employee's rate for all hours worked on Saturday and one hundred percent (100%) for all hours worked on Sunday, however, only to the extent that such Saturday and/or Sunday hours exceed forty (40) within the work week.

(a) The offeror's response to the requirements of this factor shall be submitted as a separate proposal volume.

(b) The volume shall be specific, detailed, and complete to clearly and fully demonstrate the offeror’s understanding of the Mission Suitability subfactor requirements delineated in paragraph

(d) below and the offeror’s approach to effectively and efficiently accomplish those requirements, including full explanations of the techniques and procedures to be employed and the resources necessary to perform as proposed. Stating the offeror understands and will comply with the requirements, or paraphrasing the requirements is not acceptable. In addition, statements such as “standard procedures will be employed,” or “well-known techniques will be used,” are not acceptable. Information may not be incorporated by reference.

(c) Although the Government does not encourage/discourage enhancements to the contract’s technical performance documents (e.g., Statement of Work, Specification, etc.), Offerors may choose to propose performance enhancements. In order for the Government to consider a proposed enhancement’s value, the Offeror must clearly define the enhancement(s) in Contract Attachment T, “Contractor Proposed Enhancements,” in performance work statement (PWS) language in accordance with the PWS instructions in Attachment T. In addition, the Offeror must describe the associated benefit(s) of the proposed enhancement(s) in its Mission Suitability Volume under the applicable Mission Suitability subfactor(s). The Offeror shall include Contract Attachment T as part of the model contract in the Contract Volume of the proposal. The Offeror may receive credit for the proposed enhancement(s) only to the extent of its description in Attachment T, and the associated benefits explained in its Mission Suitability Volume.

Inconsistent statements about any enhancement(s) in an Offeror’s proposal may result in a neutral or negative evaluation by the Government. Any enhancement(s) may result in a positive, neutral, or negative evaluation in spite of the Governments right to waive an enhancement(s) during contract performance in accordance with the GSFC 52.211-100, “Contractor Proposed Enhancements,” clause in Section H of the contract. If the successful offer does not include any proposed enhancements, GSFC clause 52.211-100 and Attachment T will be removed from the resultant contract.

Subfactor A – Management Approach

Management Structure and Subcontracting Approach

The Offeror shall provide a brief description of its proposed management structure, including an organizational chart for the NSROC IV contract, identifying all managerial and functional lead positions by title.

The Offeror shall briefly describe its strategy for using (or not using) significant subcontractors (based on the definition of significant subcontractor in the cost volume instructions). If significant subcontractors are proposed, the Offeror shall briefly identify the interfaces between its organizational structure and the significant subcontractors and provide (1) the basis for selection of the subcontractor; (2) the nature and extent of the work to be performed by the subcontractor; and (3) the benefits of these arrangements to the Government.

Supply Chain Management

The Offeror shall briefly describe how it will provide sustaining engineering, supply chain management, and logistics support for Installation Accountable Government Property (IAGP) in accordance with relevant portions of SOW Section 2.1.3.2 requirements (acquire, receive, inspect, test, and accept into inventory all new program equipment, hardware, materials, and supplies).

Programmatic Challenges

The Offeror shall propose solutions and provide its management approach to the top Program challenges as defined in Enclosure 1 along with the rationale and justification for how the proposed solutions will enhance the ability to meet the NSRP's requirement.

The Offeror shall describe its approach to how it will receive, communicate, manage, and implement frequent requirement, schedule, and priority changes from the Government for DRPAs, MTOs, and PTOs across the NSROC organization, in particular:

Its approach for managing the proposed work and the workforce to concurrently execute the CORE and IDIQ requirements, particularly during periods of fluctuating (high or low) mission activities and how it will utilize overtime;

Its approach for managing the DRPA and PTO requirements, schedules, and budgets;

Its approach for identifying, communicating, and resolving conflicting priorities and resource conflicts (personnel, facilities, hardware, and equipment) both internally within the NSROC organization and with the Government.

Systems Engineering Approach

The Contractor shall briefly describe its Systems Engineering approach and how it will be applied on missions, DRPAs, and PTOs.

Staffing

The Offeror shall provide a complete staffing plan that describes how the Offeror intends to staff this effort and how the approach will allow the Offeror to meet the requirements of this contract.

The staffing plan shall include a comprehensive hiring plan which presents the expected number of personnel to be hired from incumbents, those to be transferred from within the Offeror’s own organization, and those from other sources, as well as the associated strategy for achieving each aspect of the proposed hiring plan. Additionally, describe any proposed staffing reach-back to corporate resources or supplemental capabilities and how they will be utilized on the NSROC contract.

Critical Positions

The Offeror shall describe up to 10 of the most important positions considered critical to meet the requirements of the contract. The descriptions shall include the rationale for identifying these positions as critical. The descriptions shall also include a list of the qualifications associated with each position. The list shall include the position title, to whom the position reports, summary of duties and responsibilities, specific requirements/licensing, and minimum education/experience qualifications required for the position. All position qualifications will be incorporated into the resultant contract as Attachment R.

Phase-In Plan

The Offeror shall provide a phase-in plan in accordance with Enclosure 2 (Phase-In SOW) that will ensure continuity and a smooth transition with the incumbent Contractor during the 60-day phase-in period. The phase-in plan shall clearly demonstrate an ability to assume full contract responsibility on the effective date of the contract. The phase-in plan shall also specifically address how ongoing work will be transitioned, the proposed management organization (if different than A1), schedule, orientation and training of personnel, including personnel who may be in the field supporting operations during phase-in and the start of the NSROC IV contract. If the effort involves onsite performance, the Offeror shall address its preparation for the timely processing of the Personal Identify Verification (PIV) requirements. The Offeror’s proposed Phase-In Plan shall describe how the security challenges associated with International Traffic in Arms Regulations (ITAR) 22 C.F.R. Chapter I, Subchapter M Parts 120-130 requirements and the requirements for HSPD-12 facility personnel access and personnel security clearance processes will be prepared for during phase-in so as to prevent work interruptions on the contract effective date. If the phase-in plan assumes any dependency upon the incumbent contractor, the Offeror shall identify the dependencies. Also, specify the extent of involvement of NASA personnel during this period. The 60-day phase-in period will be accomplished through the issuance of a separate firm fixed-price contract vehicle. The proposed phase-in plan will become an attachment and contractual requirement for the separate phase-in contract.

Total Compensation Plan

The Offeror shall provide a Total Compensation Plan (TCP) for all personnel (Prime and On-site subcontractors) proposed, in accordance with NFS provision 1852.231-71, “Determination of Compensation Reasonableness,” and FAR provision 52.222-46, “Evaluation of Compensation for Professional Employees.” The required TCP shall:

Classify all labor categories proposed as “exempt” or “non-exempt” positions. Briefly define the terms “exempt” and “non-exempt” as used by the Offeror's organization and correlate this definition with that provided for in the Code of Federal Regulations.

Identify the categories of personnel that are in a bona fide executive, administrative or professional capacity as defined by FAR 22.1102 and 29 CFR 541.

In accordance with the Exhibits 11 and11A ""Fringe Benefits Chart"", the Offeror and all service subcontractors (as defined in paragraph (d) of NFS provision 1852.231-71) shall provide a detailed list of their fringe benefits and company estimated cost per hour, along with an itemization of the benefits that require employee contributions and the amount of that contribution as a percentage of the total cost of the benefit. Two exhibits shall be submitted, one containing the average of fringe benefit information for all the exempt labor categories and one containing the average of fringe benefit information for all the non-exempt labor categories. (The Mission Suitability Proposal must not include Exhibits 11 and 11A but should reference where the information appears in the Cost Proposal.)

Provide supporting data, such as recognized national, regional, and local compensation surveys and studies of professional, public and private organizations, used in establishing the total professional compensation structure.

Safety and Health Plan

The Offeror shall provide a safety and health plan in accordance with NFS Provision 1852.223- 73, “Safety and Health Plan”. The Offeror shall also address, within the plan, its approach to provide adequate protection to subcontractor employees of every tier.

This plan, as approved by the Government, will be included in any resulting contract. Offerors are directed to RFP Enclosure 3 regarding the contents of Safety and Health Plan.

The Offeror shall indicate if any of the standard contents of the Safety and Health Plan, as prescribed by RFP Enclosure 3, would not be applicable to this specific contract, and provide an explanation for that determination.

The Offeror’s plan shall address their approach to handling the hazardous materials identified in Section I, “Hazardous Material Identification and Material Safety Data” (FAR 52.223-3-- Alternate I), if applicable.

Award Fee

The Offeror shall describe its approach to using award fee to motivate successful contract performance, including a discussion of the approach to utilizing award fee performance feedback and earned award fee amounts.

Subfactor B – Technical Approach

Innovations

The Offeror shall propose innovations and technical approaches for addressing no more than two of the five SRPO Technology Roadmap Goals found in Enclosure 4. The entire goal does not have to be addressed, the Offeror can propose a component, piece of hardware, software, etc. that contributes to achieving the goal and does not have to be one of the items already listed under "Core Technologies". The Offeror shall: (i) describe its technical approach for defining requirements, conducting research, performing engineering studies, conducting qualification efforts, and implementation for each of the proposed innovations; (ii) specifically describe the types of hardware, software, or operational aspects of its approach in the context of how the innovation will fit into existing sounding rocket infrastructure, help enhance its ability to meet requirements, further the Technology Roadmap Goals, and benefit the NSRP; and (iii) provide a cost benefit analysis for the innovations as well as a description of whether the innovation will be implemented in house or via an outside vendor. Offerors shall assume that a substantial increase of Government funding to the NSRP budget to execute these proposed innovations is not a viable solution.

B.2 Representative Task Orders

The Offeror shall provide written task plans addressing each representative task included as Enclosure 5 and 6. In accordance with the Task Ordering Procedure clause in Section I.19 of this solicitation, each task plan shall identify the technical approach, labor categories, projected hours, Government interface, and the flow of activities from start to completion (including timeline). The plan must be sufficiently specific, detailed, and complete to demonstrate a clear and full understanding of the objectives; potential technical problems, risks, and critical issues;

and possible problem mitigation/resolution. Any assumptions made in preparing a response to these representative tasks orders shall be clearly stated. The Offeror shall provide responses to the following two (2) Representative Task Orders (RTOs) contained in Enclosures 5 and 6:

2. Integrated Power System Design Study

All RTO Cost Exhibits shall be submitted in the Contract Cost Proposal Volume only. Where narrative responses to the functional requirements duplicate other portions of the Offeror's proposal, the Offeror may reference those page numbers and not include the duplicate information.

B.2.1 Representative Task Order (RTO) #1

The Offeror shall provide an overall narrative on its approach for management and implementation of the Multiple Simultaneous Campaigns defined in Enclosure 5. The narrative response shall include an integrated schedule and narrative identifying assumptions, proposed efficiencies, cost savings, and resource conflicts with resolution. Task Implementation Plans (TIPs) and cost estimates as defined in Enclosure 5 shall be provided for Mission 48.656 (MCL 4), Mission 35.777 (MCL 3), Mission 36.567 (MCL 2), and Mission 41.987 (MCL1). This provides a TIP and cost estimate for each of the four Mission Complexity Levels flown in the NASA Sounding Rocket Program (NSRP). included in RTO #1.

B.2.2 Representative Task Order (RTO) #2

The Offeror shall provide a Task Implementation Plan and cost estimate for the Integrated Power System Design Study defined in Enclosure 6. The Task Implementation Plan shall include the technical approach, schedule, staffing plan, risk identification and mitigation, and assumptions.

B.3 CORE Contract Hours and Skill Mix

The Offeror shall identify the proposed labor categories, description of proposed labor categories, and hours (both regular and overtime (if applicable)) required to accomplish the entire CORE SOW requirement.

Subfactor C – Small Business Utilization (SBU)

All Offerors, except small businesses, shall complete the portion of the instructions under Small Business Subcontracting specific to Small Business Subcontracting Plans. Small businesses are not required to submit Small Business Subcontracting Plans; however, small businesses shall indicate the amount of effort proposed to be done by a small business either at the prime level or at the first-tier subcontract level.

All Offerors (small businesses and other than small businesses) shall respond to the Commitment to Small Business Program.

(A) Small Business Subcontracting Plan

(1) This solicitation contains FAR clause 52.219-9, “Small Business Subcontracting Plan”. The Plan described and required by the clause, including the associated subcontracting percentage goals and subcontracting dollars, shall be submitted with the proposal.

(2) The Contracting Officer’s assessment of appropriate subcontracting goals for this acquisition, expressed as a percent of the TOTAL CONTRACT VALUE (CORE basic and all options combined plus IDIQ Maximum Ordering Value basic and all options combined), is as follows:

(3) The numbers above reflect the Contracting Officer’s assessment of the appropriate subcontracting goals to be achieved at the completion of contract performance. When appropriate, an Offeror may discuss plans to phase-in small business concerns, explaining the rationale for the phase-in schedule. If the Offeror anticipates that it will not meet the proposed small business goals by the time the Offeror submits its first Individual Subcontracting Report (ISR) for this effort as required by FAR clause 52.219-9, Small Business Subcontracting Plan, the Offeror should discuss its approach to include a timeline for meeting these goals and the associated rationale.

(4) Offerors are encouraged to propose goals that are equivalent to or greater than those that the Contracting Officer has recommended. However, Offerors shall perform their own independent assessments of the small business subcontracting opportunities and are encouraged to propose goals exceeding the recommended goals where practical.

(5) The Plan that the Offeror submits with its proposal shall be incorporated in Section J as Attachment I in the resulting contract. The requirements in the Plan shall flow down to first tier large business subcontracts expected to exceed $750,000 (or $1,500,000 for construction of a public facility). Although these first-tier large business subcontractors are encouraged to meet or exceed the stated goals, NASA recognizes that the subcontracting opportunities available to these subcontractors may differ from the recommended goals in the solicitation based upon the nature of their respective performance requirements.

(6) Offerors are advised that a proposal will not be rejected solely because the Plan submitted does not meet the NASA recommended goals listed in paragraph (a) (2) above in terms of percent of the TOTAL CONTRACT VALUE (CORE basic and all options combined plus IDIQ Maximum Ordering Value basic and all options combined). NASA will consider the amount of work that the prime contractor plans to perform when determining whether a subcontracting plan is acceptable. Offerors shall discuss the rationale for any goal proposed that is less than the Contracting Officer’s recommended goal in any category. In addition, the Offeror shall describe the efforts made to establish a goal for that category and what ongoing efforts, if any, the Offeror plans during contract performance to increase participation in that category.

(7) In addition to submitting a Small Business Subcontracting Plan in accordance with the Section I, FAR clause 52.219-9, Offerors shall complete SMALL BUSINESS SUBCONTRACTING PLAN GOALS included in the cost exhibits, which provide a breakdown of the Offeror’s proposed goals, by small business category, expressed in terms of both a percent of the TOTAL CONTRACT VALUE and a percent of TOTAL PLANNED SUBCONTRACTS.

Offerors shall show the proposed subcontracting goals for the basic contract requirement and each option separately.

The Offeror proposes small business subcontracting goals as a percentage of the Total Contract Value in column A.

Then based on the $100 million Total Contract Value, the resulting statement of dollars that the Offeror would include in the Subcontracting Plan, as required by paragraph (d)(2) of FAR clause 52.219-9, would be as indicated in column B.

However, the Small Business Subcontracting Plan shall also express goals as a percent of total planned subcontracts. Assuming total subcontracting of $50M, the resulting percentage goals, expressed as a percent of total subcontract dollars, and which would be stated in the Small Business Subcontracting Plan as required by paragraph (d)(1) FAR clause 52.219-9 would be recorded in column C.

(B) Commitment to the Small Business Program

(1) All Offerors must briefly describe the work that small businesses will perform to meet the stated requirements. Proposals shall also identify any work to be subcontracted that is considered “High Technology.” “High Technology” is defined as research and development efforts that are within or advance the state-of-the-art in technology discipline and are performed primarily by professional engineers, scientists, and highly skilled and trained technicians or specialists.

(2) If the subcontractor(s) is known, Offerors shall describe the work that each subcontractor will perform and specify the extent of commitment to use the subcontractor(s) (enforceable vs. non-enforceable commitments). (Small Business Offerors shall provide this information to the extent that subcontracting opportunities exist in their approach to performing the requirement.)
