1. PRIME DIRECT LABOR RATE MATRIX (For All Task Orders):
The Contractor shall not exceed the rates as specified below for pricing all task orders (Mission and/or Performance) contemplated or issued in accordance with Clause H.15, Task Ordering
Procedure. Any task orders issued in accordance with Clause H.15 will be applied to the guaranteed minimum amount and maximum amount as provided in Clause B.6.

**Labor Categories – The Offeror shall provide direct labor rates by Offeror direct labor category, in accordance with the Position Descriptions in Section 8 of this attachment.
^HR = Hourly Rate: These are not-to-exceed rates for pricing all Prime contractor task orders
(Mission and/or Performance). The Contractor may propose lower rates when pricing task orders.

***Indirect Rate Categories - The Offeror shall complete all Prime indirect categories, which apply to the SOW, Mission Task Orders and Performance Task Orders. The Offeror shall complete all
Prime indirect rate categories and rates that may be applied against direct and indirect costs in accordance with the contractor’s accounting and estimating procedures. Clearly delineate the base of application, period of performance location including onsite versus offsite rates.
3. PRIME COST ESTIMATING RELATIONSHIPS (For All Task Orders):
The Prime Contractor shall not exceed the cost estimating relationships (CERs) rates or factors as specified below for deriving/pricing Other Direct Costs (ODCs), if applicable, on all task orders:

**Labor Categories – The Offeror shall provide direct labor categories by Prime and
Subcontractor in accordance with the Position Descriptions in Section 8 of this attachment. The
Mission Direct Labor Hour Matrices above shall not include in Management and Administrative direct labor categories—only technical direct-productive Direct Labor Categories.
7. Variance Factors
The Variance Factor in the table below will be used to adjust the target hours of a Mission Task
Order to capture mission specific characteristics or requirements outside the baseline Mission
Complexity Level definitions given in Table 4 in Section 3.1.1 of the SOW. This factor will be applied to the target hours listed in the Mission Direct Labor Hour Matrix above, when pricing all
Mission Task Orders contemplated or issued in accordance with Clause H.15, Task Ordering
Procedure. Examples of events when the Variance Factors are applicable are given in SOW section
3.1.1.

8. POSITION DESCRIPTIONS (For All Offeror and Subcontractor Direct Labor Categories):
NOTE: TO BE PROPOSED (TBP) – A Position Qualification shall be proposed for each individual Prime Direct Labor Category included in Section 1 and each individual Subcontractor
Direct Labor Category included in Section 5.
