About this file

This is a guidance document issued by Dallas Independent School District (DISD) regarding compliance with Texas House Bill 1295, which requires the submission of a Certificate of Interested Parties (Form 1295) as a mandatory requirement for all vendors responding to DISD solicitations. The document outlines the procedures for completing, filing, and submitting Form 1295 electronically through the Texas Ethics Commission's online filing application. All business entities, regardless of whether interested parties exist, must electronically complete the form, print a copy bearing a unique certification number, obtain authorization signatures, and include the completed form with their proposal responses to DISD. The form must be filed with the Texas Ethics Commission before submission to DISD, and the form defines "interested parties" as persons holding a controlling interest in the business entity or those actively participating in facilitating or negotiating contract terms, including brokers, intermediaries, advisers, or attorneys.

DISD is required to acknowledge receipt of Form 1295 and notify the Texas Ethics Commission no later than 30 days after contract execution, at which point the form will be posted to the Texas Ethics Commission website within seven business days. The guidance document provides links to the filing application, frequently asked questions, and instructional videos to assist vendors in completing the certification process. This requirement applies to the Nutritious Snack Foods procurement, a one-year agreement with two optional one-year renewals (not to exceed three years total) for snack food products to be delivered to DISD's Food Services warehouse for district-wide use on an as-needed basis, with funding derived from federal dollars and potentially supplemented by local, state, and grant-funded programs.

CERTIFICATE OF INTERESTED PARTIES – FORM 1295

Certificate of Interested Parties (Form 1295 – must be filled out electronically with the Texas Ethics Commission’s online filing application, printed out, signed, and included in proposal response.)

DISD is required to comply with House Bill 1295, which amended the Texas Government Code by adding Section 2252.908, Disclosure of Interested Parties. Section 2252.908 prohibits DISD from entering into a contract resulting from this solicitation with a business entity unless the business entity submits a Disclosure of Interested Parties (Form 1295) to DISD at the time business entity submits the signed contract. The Texas Ethics Commission has adopted rules requiring the business entity to file Form 1295 electronically with the Texas Ethics Commission.

“Interested Party” means a person:

a) who has a controlling interest in a business entity with whom DISD contracts; or

b) who actively participates in facilitating the contract or negotiating the terms of the contract, including a broker, intermediary, adviser, or attorney for the business entity.

“Business Entity” means an entity recognized by law through which business is conducted, including a sole proprietorship, partnership, or corporation.

As a “business entity,” all vendors must electronically complete, print, sign, and submit Form 1295 with their proposals even if no interested parties exist.

Proposers must file Form 1295 electronically with the Texas Ethics Commission using the online filing application, which can be found at https://www.ethics.state.tx.us/filinginfo/1295/ Proposers must use the filing application on the Texas Ethics Commission’s website to enter the required information on Form 1295. Proposers must print a copy of the completed form, which will include a certification of filing containing a unique certification number. The Form 1295 must be signed by an authorized agent of the business entity.

The completed Form 1295 with the certification of filing must be filed with DISD by including the completed form in the proposal response.

DISD must acknowledge the receipt of the filed Form 1295 by notifying the Texas Ethics Commission of the receipt of the filed Form 1295 no later than the 30th day after the date the contract binds all parties to the contract. After DISD acknowledges the Form 1295, the Texas Ethics Commission will post the completed Form 1295 to its website within seven business days after receiving notice from

DISD.
