About this file

This document is Question & Answer #3 related to Competitive Solicitation No. 28423 for Motor Vehicles issued by the Washington State Department of Enterprise Services (Enterprise Services). The solicitation is to establish a statewide contract for the purchase of motor vehicles by eligible state and local government entities in Washington. The Q&A addresses questions related to the acceptance of all-electric vehicles, pricing structure, inventory management, vehicle specifications, delivery costs, and contract terms. Enterprise Services has made several amendments to the solicitation based on the questions received, including adding a separate category for electric vehicles, revising pricing requirements, and clarifying delivery and sales tax considerations. The contract will be awarded to multiple vendors, with eligible purchasers able to select the most advantageous dealer/manufacturer through the online CARS ordering system.

Pricing for the contract will be based on a percentage discount off MSRP for each vehicle model, with the average discount for a category determining the evaluation. Vendors are required to provide base pricing information, but this will not be used for evaluation purposes. Delivery costs and sales tax will be invoiced separately through the CARS system after award. The contract will be open to state and local government entities in Washington, with federal agencies excluded from utilizing the contract pricing.

Did this change the solicitation?
1.
Will Washington State Department of Enterprise Services accept all-electric Medium Duty Trucks (Class 4/5/6) as part of the state contract for Competitive Solicitation – No. 28423?
DES will accept all electric vehicles under any category. There is an additional category bidders may utilize specifically for electric vehicles. Electric Vehicles may be submitted under one or both categories in accordance with the instructions in Exhibit C.
N
2.
Will Washington State Department of Enterprise Services change the requirement in section 2.3 of the solicitation from fixed price annually, to fixed price by model year?
DES has changed this requirement in Amendment 1 of the solicitation. The amendment specifies pricing per model year, and amended the sample contract to allow annual price adjustments for new model years as they become available.

3.
Regarding Exhibit B-2

It is important that dealers work with manufactures to determine vehicle order restrictions and supply chain disruptions. The best dealers actively work with manufactures and customers to minimize these disruptions.

Floor Plan interest rate are the amount of interest a dealer pays to a bank for its vehicles that they sell. With the current floor plan interest rates is very difficult for dealers to stock vehicles and still maintain some level of profit after the vehicle is sold. There are certain vehicles lines we do not allow dealers to stock in order to ensure all customers receive fair amount of vehicles.

I am requesting that line “(c) Identify average inventory levels that bidder carries day to day for each of the Contract Categories for which bidder is submitting a bid.” be removed from the performance requirements.

Evaluation is based on competition by category within each manufacturer. If average inventory levels by category are dictated by manufacturer policy, then the requirement will be equalized between dealerships.

For manufacturers that do not control dealer inventory levels, there is value in evaluating average inventory levels.

Bidders may choose to specify the types of vehicles and restrictions on inventory management in the written response.

I did not see a vehicle specification form just a model price sheet in excel, is that all there is now?

Vehicles specifications are contained in Exhibit B-1 - Specifications, and in Exhibit D- Contract beginning on page 28.

5.
On the instructions for exhibit C it states, shipping costs not to be included in the price sheet, is it referring to the delivery of the vehicle to the buyer?
Shipping costs referenced in the Exhibit C instructions refer to the delivery of the vehicle to the buyer. Delivery costs will be itemized to purchasers in the CARS system via quote.
N
6.
In directions for 28423 section 4.3, it states bid prices must include All cost components needed for delivery, but also says we must identify all costs, where is my question? There is only one box to submit the price. How do we break down delivery (shipping costs) sales tax, vendor fees etc.? I see in the contract Exhibit D under Payment 9.2 it addresses Exhibit B that states “Bidders MSRP price discounts per category inserted at time of award”

So, does all this come later? Is this first part just submitting A1 through C?

Identified costs may be detailed in the description of the model. The instructions in Exhibit C indicate “Base Price Shall include all customs and duties, OEM destination fee, all Vehicle preparation and clean-up charges, and all other OEM and Dealer incidentals normally included with providing a Vehicle.”

The table in Exhibit D – Contract will be inserted from the awarded bidders Exhibit C, including the MSRP discounts for the awarded categories.

N

7.
Will electric vehicle manufacturers be evaluated against combustion engine manufacturers or electric vehicle manufacturers?
Manufacturers will only compete against like manufacturers. Manufacturers who produce both internal combustion and electric vehicles may select category 3, or the most appropriate category for their vehicles.
N
8.
Exhibit B-1 – Specifications

1. Under ‘Requirements for Motor Vehicles, General Requirements’, does DES want bidders to list the manufacturer components or just state their compliance? For example, Engine/Motor/Drive System, a.) OEM’s standard engine/motor/drive system, should the bidder write down the type of engine, motor and drive system that will be on the vehicle or leave it blank?

The requirements for motor vehicles section lists overall requirements for vehicles sold under the contract. Bidders are not required to provide individual compliance for motor vehicles in exhibit B-1.
N
9.
For electric vehicle bids, must the “base price” and “MSRP” include the cost of range? Or can range be added to the “base” and “MSRP” price as an option in the CARS system?

If an EV vendor offers several range options, must each range option have its own line item in Exhibit C – Bid Prices, or can they be grouped together in the “description” cell of the Excel document?

For vehicles bids, option models adhering to the same discount percentage may be submitted as a single model. Please note in the description the additional range options included in the base model.

N

10.
Are vendors allowed to offer additional vehicle options outside what is included in Exhibit B-1 Specifications?
Vendors may offer additional vehicle options. Please include in the description any deviations from the specifications listed. Deviations from the specifications may result in the removal of the specific model from evaluation.
N
11.
Exhibit D – Contract

Can bidders propose changes to Exhibit-D – Contract, and include proposed changes with our bid submission? Is the contract negotiable?

Enterprise Services does not intend to negotiate substantive contract terms and conditions pertaining to the resulting Contracts at contract award. Rather, Enterprise Services intends to provide all awarded bidders with substantively equivalent Contracts absent unique considerations. This approach enhances fairness for all bidders and provides eligible Purchasers with confidence that the resulting Contracts are substantively equivalent.

N

12
In addition to the list of “Contract Users – Eligible Purchasers” in the solicitation document, can DES provide bidders with an Excel spreadsheet with the list of all organizations that can purchase off this contract?

Bidders may access the list of eligible purchasers via the link below.

13.
I am requesting that bid participants must be an actual Washington State dealer. Registered with the Washington Secretary of State, as well as the Washington Department of Revenue.

They also must be doing business with a physical location in Washington, inclusive of a showroom and service department.

I ask that you amend this contract to reflect this information.

Exhibit A-1 has been amended to clarify that bidders must be licensed as a Washington State dealer. Bidders registered to sell vehicles in Washington State but without a showroom will still be considered for award.
Y
14
How would you like me to proceed as our OEM does not publish or state an MSRP with their police motorcycles?
Enterprise Services has added an additional category for Police Motorcycles, Category 1.1. This category will be evaluated on the base, un customized cost per individual model. Amendment 2 has been issued to add category 1.1

15
With having Multiple dealers for a manufacture , are they all going to be on the Cars site ? or is it the lowest bidder that is on the Cars site and the others just backup ?

Could you give me an example how it works if you have two dealers on that manufacture for the cars site

All awarded bidders will list their vehicles on the CARS website. Multiple awardees will be offering the same vehicle make and models with their own discounts. Eligible entities will be able to order vehicles from the awardee that is most advantageous to them by comparing delivery costs, sales tax, and other factors through the CARS quotation process.
N
16
On the instructions for exhibit C it states, shipping costs not to be included in the price sheet, is it referring to the delivery of the vehicle to the buyer?
The shipping costs referenced in exhibit B’s instructions are the shipping costs to customers. Shipping costs to customers will be provided at time of quote generation in CARS.
N
17
I still do not see where sales tax is addressed anywhere
Sales tax will not be evaluated through this solicitation. Ordering Agencies may select the most advantageous dealership/manufacturer for their region through the quote process in CARS.

I see in the contract Exhibit D under Payment 9.2 it addresses Exhibit B that states “Bidders MSRP price discounts per category inserted at time of award”

So, does all this come later? Is this first part just submitting A1 through C?

Delivery costs of vehicles and sales tax will be invoiced through the CARS system after award.

The reference in Exhibit D – Contract will be updated at the time of award with the bidders submission in solicitation Exhibit C – Bid Prices.

My contract pricing, which includes OEM Manufacturer State/Local Government incentives for State Contract Awarded dealers, cannot be extended to Federal governmental agencies or entities.

Therefore, I request that the bid and resulting contract be amended to remove “Federal governmental agencies or entities” as included in the list below.

Please note in your bid pricing any pricing incentives that do not apply to Federal Government purchases. Awardees will be required to note any incentive restrictions in CARS.
N
20
Please amend this bid and resulting contract to reflect that Bid Price is based on a cost-plus basis to gain the lowest contract pricing.

Using MSRP less percentage discount appears simpler, but it is a flawed bid strategy for automobile bids, in my opinion. Vehicle models (within same category) have different OEM Manufacturer government incentives (which change every model year based on projected volume), base fleet models vs. better-equipped “retail” trim upgrade models might have varying margins between dealer invoice and MSRP, so a percentage discount off MSRP for an entire category will not work to obtain consistent best pricing. Please note that the bid-required Minimum 1% MSRP Discount could create a negative profit (or loss) to dealer on certain models if they were bid and offered on contract. A cost-plus pricing strategy for both base model and factory options will provide best pricing.

Enterprise services has selected the MSRP discount evaluation methodology after carefully considering other options, including Cost-Plus.

The decision to move away from Cost-Plus for this procurement is based on several factors, including the requirements of FTA Circular 4220.1F. FTS Circular 422.1F and the application of the Common Grant Rules dictates the acceptable type of award structure for State contracts eligible for use with Federal funding. Cost-Plus contracts are expressly forbidden for recipients of these Federal Funds, which would prevent Agencies from utilizing the resulting contracts if utilizing federal funding. Based on these restrictions, Enterprise Services is unable to pursue a Cost-Plus pricing methodology for this procurement.

N

21
Regarding Exhibit C – Bid Price, can the discount percentage be provided as a decimal, or must it be whole number?
Bid prices may be a whole numbers or decimals. Both 1% and 1.25% are acceptable submissions.
N
22
Am I going to be deemed non-responsive if my dealership doesn’t accept credit cards at all?
Credit card payments have been removed as a requirement through Amendment 2.

Amendment #2 advises that the “Deadline for Submitting Bids is 14 October, 2024”.

Is there also a TIME deadline?

The deadline for submitting bids is 11:59 PM (PST), Monday, October 14, 2024.
N
24
Section 4.6 of the Solicitation instructs how to submit bids and provides ProcurementConsulting@des.wa.gov as the email address to use.

Does the email address above use an automated response (with time/date) or will we be relying on DES personnel to manually send a receipt?

Automated responses will not be provided for submissions. DES personnel will provide a confirmation of receipt to bidders.

N

25
For bidders wanting to also submit a “back-up” copy via USB Flash Drive and/or hard copies, what is the physical address and whom should the package be addressed to?

Exhibit C – Cost Sheet Category 9 is duplicate of Category 8

Referring to Category Tables provided, please correct Category 9 to show “Heavy Duty Trucks (Class 7)” on the Cost Sheet.

Category 9 has been changed to Heavy Duty Trucks (Class 7) and the amended document has been posted to WEBS as Exhibit C – Bid Prices Amendment 3.

27
Line 17 of the instructions, second sentence does not make sense to me because of the “prior to MSRP discount“

The instructions should say “Base Price after MSRP discount will not be utilized“. This would be the Base Vehicle Price in CARS, right?

Base Price: $27,000

MSRP: $30,000

MSRP Discount %: 10%

The instructions are correct as written.

Exhibit C – Bid Prices Amendment 2, line 17 states: “Provide the base price for informational purposes for each model offered. The base price prior to MSRP discount will not be utilized for evaluation purposes.”

The evaluation will be conducted comparing submitted discount rate (the “MSRP Discount %” portion of the example provided), not the Base Price. Hence, the base price will not be utilized for evaluation purposes.

The submitted Base Price will, however, be used in any resulting contract.

N

28
When bidding multiple vehicle models in one category, and they all have different discount percentages, will we be using that percentage per vehicle model if awarded the category?
The MSRP discount percentage for each individual model will be used for purchases.
N
29
When bidding multiple vehicle models in one category, and they all have different discount percentages, if there are multiple vehicles listed in one category- will you be using an average, and does that average apply to every model listed instead of each individual MSRP discount?
Categories will be evaluated on the average MSRP discount for all models in that category. Bidders will be required to provide the MSRP discount specified for each awarded model. The MSRP discount average will only be utilized in the evaluation of bids.

EXHIBIT C – BID PRICES / Amendment 2

Under the POINTS AND PRICE EVALUATIONS section of this exhibit is stated “Base Price Shall include . . . OEM destination fee”.

However, under the SHIPPING section of this exhibit is stated “Shipping costs, including all transportation and handling charges shall be added to orders in CARS as a separate line item and should not be included in this price sheet.

These statements seem to be contradictory.

Should the Base Price to be provided on the MSRP discount sheets include the OEM destination fee or not?

Delivery of purchased vehicles will be invoiced individually to customers in the CARS ordering system after award. The Base Price of the vehicle should follow the instructions in exhibit C- “Base Price Shall include all customs and duties, OEM destination fee, all Vehicle preparation and clean-up charges, and all other OEM and Dealer incidentals normally included with providing a Vehicle.”

The base price provided should include fees such as the OEM destination fee.

N

31
EXHIBIT C – BID PRICES / Amendment 2

Should the MSRP to be provided on the MSRP discount sheets have the OEM destination fee added or not?

The MSRP should not include additional costs such as destination fees.
