About this file

This document is a Professional Services Agreement between the City of Miami, Florida and an unspecified Provider for an Employee Health Benefits Plan. The agreement, issued under RFP No. 2130386, covers a five-year initial term from January 1, 2026 to December 31, 2031, with an option to renew for two additional three-year periods. The City's Risk Management Department is seeking an Administrative Services Only (ASO) agreement for employee health benefits, with the selected Provider responsible for managing health insurance services. The Evaluation Committee has determined the Provider's proposal to be responsive to the RFP requirements.

The compensation for services will be based on the rates and schedules described in Exhibit E, with payment made in arrears within 45 days after receipt of the Provider's invoice. The agreement includes provisions for a Stop Loss Insurance Policy, which will be negotiated annually and is separate from the main Professional Services Agreement. The Provider will be responsible for maintaining various insurance coverages, including commercial general liability, business automobile liability, workers' compensation, professional liability, and umbrella liability, with specific minimum coverage amounts. The total contract aims to provide comprehensive health benefits administration for the City of Miami's employees, with financial and operational terms designed to protect the city's interests while ensuring effective health coverage.

B. The City, by and acting through its City Manager, shall have the right to terminate this Agreement, in its sole discretion, and without penalty, upon the occurrence of an event of a material breach hereunder, and failure to cure the same within thirty (30) days after written notice of default. In such event, the City shall not be obligated to pay any amounts to Provider for

Services rendered by Provider after the date of termination, but the parties shall remain responsible for any payments that have become due and owing as of the effective date of termination. In no event shall the City be liable to Provider for any additional compensation and expenses incurred, other than that provided herein, and in no event shall the City be liable for any direct, indirect, special, consequential, or incidental damages.

15. INSURANCE:

A. Provider shall, always during the term hereof, maintain such insurance coverage(s) as may be required by the City. The insurance coverage(s) required as of the Effective Date of this Agreement are attached hereto as Exhibit “D” and incorporated herein by this reference. The

B. If, in the judgment of the City, prevailing conditions warrant the provision by

Provider of additional liability insurance coverage or coverage which is different in kind, the City reserves the right to require the provision by Provider of an amount of coverage different from the amounts or kind previously required and shall afford written notice of such change in requirements thirty (30) days prior to the date on which the requirements shall take effect. Should the Provider fail or refuse to satisfy the requirement of changed coverage within thirty (30) days following the

City’s written notice, this Agreement shall be considered terminated on the date that the required change in policy coverage would otherwise take effect.

C. Provider understands and agrees that all liabilities regarding the use of any of

Provider’s employees or any of Provider’s sub-providers for Services related to this Agreement shall be borne solely by Provider throughout the term of this Agreement and that this provision shall survive the termination of this Agreement. Agreement shall be maintained in good standing and approved by the City Risk Management

Director throughout the duration of this Agreement.

D. Provider shall be responsible for assuring that the insurance certificates required under this Agreement remain in full force and effect for the duration of this Agreement, including any extensions hereof. If insurance certificates are scheduled to expire during the term of this

Agreement and any extension hereof, Provider shall be responsible for submitting new or renewed insurance certificates to the City’s Risk Management Administrator as soon as coverages are bound with the insurers.
