B-001 - Labor Categories
The labor rates specified herein are fixed hourly rates which include the following: wages, indirect costs (including overhead, fringe benefits and general and administrative expenses), and profit.
The Contractor and/or the Government may request adding to or deleting from the labor categories listed in Schedule B. If categories are added, the parties will negotiate the labor rate of said categories prior to incorporation into the contract.
All new labor rates shall be calculated in the same manner as in the Contractor's cost proposal submitted in response to the solicitation. The profit/fee rate shall be the same as in the Contractor's cost proposal submitted in response to this solicitation.
B-002 - Option Year Increases
The contract employer shall make the determination on FLSA status.
The Service Contract Act (SCA) requires contractors and subcontractors performing services on prime contracts in excess of $2,500 to pay service employees in various classes no less than the wage rates and fringe benefits found prevailing in the locality, or the rates (including prospective increases) contained in a predecessor contractor's collective bargaining agreement. The Department of Labor (DOL) issues wage determinations on a contract-by-contract basis in response to specific requests from contracting agencies. These determinations are incorporated into the contract. The contractor shall comply with applicable SCA provisions at all times.
The Fair Labor Standards Act (FLSA) establishes minimum wage, overtime pay, recordkeeping, and child labor standards affecting full-time and part-time workers in the private sector and in Federal, State, and local governments. Some positions under this contract are under the purview of the FLSA, and others are exempt. It is the contractor’s responsibility to comply with applicable FLSA wage provisions at all times, even if applicable prevailing wages have not been incorporated into the contract.
The contractor shall clearly indicate and label which positions/labor categories are covered by, or exempt from, the FLSA on any and all proposals and on the list of labor categories incorporated into the contract. In accordance with the terms and conditions of the IDIQ, contract option year hourly rates will be adjusted as follows:
FLSA EXEMPT POSITIONS
The maximum salary hourly rates shall be in accordance with the US Office of Personnel Man- agement (OPM) General Schedule (GS) Locality Pay table for Grades 7 through 15 (steps 1 through 10) and the Executive Schedule (ES)(levels V-I) for the geogrphical area specified on each task order, found at www.opm.gov.
If and when the rates on the GS and ES pay tables are adjusted by Executive Order, then the contractor may submit revised rates accordingly. After negotiations with the contracting officer, the salary rate may be adjusted using the same rate adjustments provided by OPM for the GS and ES pay tables. The new rates will be incorporated and in effect after modification to the IDIQ contract.
The new rates will apply to any new Task Orders issued after modification is complete.
Existing Task Orders rates may be adjusted at the exercise of any subsequent Option Periods. Adjustments to labor rates will not be retro active and will be effective as per the modification signed by the Contracting Officer.
POSITIONS GOVERNED BY WAGE DETERMINATION
As defined by the FLSA and the SCA, certain contract labor categories are required to pay the wage rates established by DOL Wage Determination (WD15-4281, as amended). Contract rates will be adjusted in accordance with the terms and conditions of the amended wage determination.
The contractor shall monitor DOL’s Wage Determinations OnLine website (https://www.wdol.gov/sca.aspx) on a monthly basis for any changes to the applicable wage determination.
If the amended wage determination rates are higher than the current contract rates for applicable labor categories, the Contractor shall provide the updated rates for the overall contract, as well as the rates for each affected task order, by labor category, as a modification request to the contracting officer.
The Contractor shall notify the Contracting Officer of any rate increase, or decrease, claimed within 30 days after a new wage determination is issued. The notice shall contain a statement of the amount claimed and the change in fixed hourly rates, and any relevant supporting data, including payroll records, that the Contracting Officer may reasonably require.
Upon agreement of the parties, the contract hourly rates shall be modified in writing. The Contract- or shall continue performance pending agreement on or determination of any such adjustment and its effective date. New applicable rates will be incorporated to the IDIQ, and in effect, after fully executed modifica- tion to the IDIQ. Affected task orders will be modified accordingly to reflect new wage determination rates, and to provide funding for increased rates, as applicable.
(End of clause)
B-003 - Defense Base Act Insurance
If Defense Base Act Insurance is required, it will be ordered at the Task Order Level in accordance with DOSAR 652.228-71. The Contractor shall procure Defense Base Act (DBA) insurance directly from a Department of Labor (DOL) approved insurance provider. Approved providers can be found at the DOL website at http://www.dol.gov/owcp/dlhwc/lscarrier.htm.
B-004 - MINIMUM AND MAXIMUM CONTRACT AMOUNTS (Indefinite Quantity Contract)
Per FAR 52.216-22 "INDEFINITE QUANTITY," the minimum for this indefinite quantity contract shall be any quantity or combination of supplies and services equal to the amount(s) set forth below.
The Department does not guarantee any other work during the base period or the option years.

C-001 - Statement of Work
STATEMENT OF WORK
MISSION SUPPORT RELATING TO THE FOUNDATIONAL INFRASTRUCTURE FOR THE
RESPONSIBLE USE OF SMALL MODULAR REACTOR TECHNOLOGY (FIRST) INITIATIVE
C.1. Goals
The goal of this solicitation is for the Government to advance the FIRST Initiative through the procurement of a variety of services relating to raising the awareness of partner governments on how to build a nuclear energy program focused on the deployment of Small Modular Reactor (SMR) technology that is in accordance with the highest international standards for nuclear safety, security, and nonproliferation. Ongoing and proposed deployment of Floating Nuclear Power Plants (FNPPs) poses a related challenge this solicitation seeks to address. The Government seeks to develop ten training modules to raise the awareness of government and other relevant decision-makers in partner countries in Southeast Asia, Africa, Eastern Europe and the Caucasus, the Middle East, and Latin America on the nuclear security, safety, nonproliferation, and related considerations associated with Small Modular Reactor (SMR) technology. Deployments of floating nuclear power plants (FNPPs) being rushed to market pose a related challenge this solicitation seeks to address.
C.2. Objectives
The objective of the Government is to establish a streamlined acquisition method that would enable the expeditious purchase of a variety of services necessary to raise awareness by U.S. partner governments of the stated risks with regard to certain nuclear reactors, particularly SMRs and FNPPs, and educate them on best practices for establishing a nuclear program that meets the highest global standards and does not make them vulnerable to malign influence. To fulfill this objective, the Government’s goal is to put in place an Indefinite Delivery/Indefinite Quantity (IDIQ) type contract against which Task Orders may be placed as the need arises to fulfill emerging requirements.
C.3. Scope
Pursuant to the terms of the IDIQ, the Contractor shall provide a broad array of services to support and assist the Government in achieving the goals and fulfilling its needs in the development of training modules and related engagement tools and the delivery of those training modules and related engagement tools to countries selected by the Government. The services, will include, but are not necessarily limited to, performance of work within the scope of the task descriptions and activities set forth below:
C.3.1. Task 1 – FIRST Project Management
The Government contemplates that the work performed under this Task shall serve to provide the Contractor with project management support, oversight, and strategic direction for the work performed under the remaining three Tasks contemplated under this IDIQ Contract. The Government contemplates issuing a Task Order for this Task at time of award. This Task shall be performed on a Time-and-Materials basis. The Government contemplates that work performed under this Task shall be performed almost entirely by the IDIQ’s Key Personnel.
Work performed under this Task shall include:
i. Organizing and undertaking a contract kickoff meeting between the COR and other COR-designated Government personnel and the Contract Key Personnel within 14 days of Contract award to discuss the Government’s expectations and desires for work to be performed under the Contract.
ii. Providing oversight, strategic direction, and project management over all contract activities.
iii. Undertaking limited-scope research and providing short, concise, actionable analysis on discrete questions tasked by the Government relating to activities conducted under this Contract.
iv. Undertaking regular e-mail correspondence with representatives of the Government, as directed by the COR.
v. Undertaking monthly teleconferences between the Government and the Contract Key Personnel, to be conducted either via teleconference or via web conference.
vi. Developing quarterly narrative and financial reports relating to all activities being undertaken under this Contract.
vii. Undertaking ad hoc in-person meetings with the Government at Department of State headquarters (2201 C St. NW, Washington, DC) at the direction of the Government. (At the discretion of the Government, the monthly teleconference may be replaced by an in-person meeting); and
viii. Developing Task Order Proposals (TOPs) for work under Tasks 2, 3, and 4 of this IDIQ Contract. This may entail doing the initial concept work for specific engagements of foreign governments and/or other FIRST projects, to include a technical approach, a management approach, and a cost proposal. The Government will consider the Contractor’s proposal to determine if it is acceptable or requires revision. Once it is acceptable, the Government will direct the Contractor to undertake additional work through the issuance of a Task Order under Tasks 3 and/or 4.
ix. Host and conduct monthly teleconferences and conduct limited scope research on discrete questions as tasked by the COR and/or GTM to generate short, concise information on contract activities.
C.3.2. Task 2 - Design of FIRST Training Modules
The Contractor shall create a curriculum consisting of the following ten training modules, including where appropriate associated tabletop exercises, and interactive learning materials:
i. Nuclear as Part of the Energy Mix.
ii. Stakeholder Engagement.
iii. Workforce Development.
iv. Siting and Early Works.
v. Nuclear Safety and Licensing.
vi. Technology Selection (primarily focused on U.S. SMRs and advanced non-light water reactors).
vii. Financing and Localization (with an emphasis on supporting local supply chains and jobs).
viii. Nuclear Security.
ix. Nuclear Nonproliferation.
x. Spent Fuel Management.
The above listed modules should be designed and presented as traditional classroom-based training. Additionally, these modules may include, among other things, study tours, consultancies, or training with US entities such as universities, government institutions, laboratories, or industry. Based upon annotated agendas, learning objectives and outlines submitted by the Contractor, and refined and approved by the Government, the Contractor shall develop and refine the ten training modules, associated exercises, and learning materials for USG review and input that can be tailored to a particular country’s needs while allowing program flexibility to quickly and effectively respond to evolving strategic priorities and available resources. In developing these modules, the Contractor shall consider the risks associated with certain SMR and FNPP export programs and assess the best ways to facilitate establishment of a nuclear program that meets high global standards consistent with the IAEA. The Contractor shall submit draft modules for the Government’s review and provide modifications based on Government feedback within the time frame established in the Schedule of Deliverables as set forth in. The Government may require the Contractor to provide a professional translation of final, approved materials into a foreign language pursuant to the terms established in the resultant Task Order upon issuance. The modules should be designed to strengthen learners’ proliferation risk awareness and expertise.
All training materials developed under Task 2 shall be the intellectual property of the Government and shall only be used by the Contractor at the direction of the Government.
C.3.3. Task 3: Delivery of Training Modules to TBD Partner Countries
The Contractor shall provide delivery of the 10 training modules, subparagraphs i through x, as set forth above in C.3.2, Design of FIRST Training Modules to foreign partners via workshops, consultancies, online learning and webinars, and study tours. Upon request by the Government (COR and/or the GTM for the contract), the firm shall conduct outreach and engage foreign government officials and technical experts including nuclear agencies, regulatory authorities, energy, environmental and scientific agencies, foreign ministries, parliamentary staff, regional and local government stakeholders, technical universities, industry associations, and research institutes, as appropriate. In doing so, the Contractor shall be responsible for all logistical organization and costs involved in the delivery of the modules that are not explicitly exempted by the Government in writing in advance. This includes, but is not limited to, identification and procurement of a venue as approved in advance by the Government, travel, lodging, visa processing and issuance, travel and per diem of course participants, IT support, duplication of materials, event catering, and interpretation and translation costs.
The goal is to use the modules developed under Task 2 to train foreign partners on the acute proliferation and nuclear security risks posed by civil nuclear cooperation with proliferator states, as well as best practices, procedures, and policies to support the prioritization from the outset of civil nuclear energy programs that meet the highest international standards of nuclear security, safety, and nonproliferation, including the prioritization of these factors in the partner country’s future decisions on nuclear supplier country and reactor design. In the event that the government elects to participate, the Contractor shall be prepared for U.S. Government personnel to participate in training sessions and deliver individual modules on a case-by-case basis and/or as set forth in the resultant Task Order upon issuance.
For every individual training/engagement conducted under Section C.3.3, Task 3 - Delivery of Training Modules to TBD Partner Countries, the Contractor shall develop a short assessment survey for training/engagement participants evaluating knowledge retention, the participants’ reaction to the training, and recommendations for future refinements and additional needs. The Contractor shall assess and analyze the results of the survey, and report on the results in the after-action survey. The Contractor shall provide copies of the assessments to the Government upon request.
Within 10 business days after the delivery of individual engagements/trainings, the Contractor shall deliver to the Government a report describing the engagement. The report shall, at a minimum include:
i. The Contractor’s assessment of the relative success or failure of the project.
ii. Complete list of attendees and their contact information.
iii. Photos of the engagement.
iv. Key outcomes of the engagement, including successes, challenges, and lessons learned.
v. Any comments or questions received by foreign government officials.
vi. The results of the participant’s assessment survey.
vii. Recommendations for proposed follow-on work.
Prior approval by the Government is required for all participants prior to engagements in order to avoid cancellation or postponement, and the Government reserves the right to remove participants from the project at any time, or to extend the timeline for participant information on a case-by-case basis.
C.3.4. Task 4: Implementation of Miscellaneous FIRST Projects – Optional Task.
This is an optional task, to be exercised at the discretion of the Government. As part of its Global Threat Reduction program, ISN/ CTR retains a suite of Cooperative Agreements with a variety of Implementing Partners to undertake proliferation threat reduction work around the world. (These Implementing Partners include private firms, non-governmental organizations, academic institutes, and U.S. national laboratories).
From time-to-time, ISN/CTR may solicit from its Implementing Partners funding proposals to advance various proliferation threat reduction objectives, including proposals relating to and designed to support the FIRST Initiative. However, ISN/CTR occasionally receives proposals that the Government assesses to determine whether to issue a Task Order providing for funding of the work set forth in the proposal. These proposals will typically involve curriculum development and delivery, either remotely or in-person, for capacity-building workshops, symposia, tabletop exercises, asynchronous learning, consultancies, or study tours designed to advance FIRST program priorities, either bilaterally or on a regional basis. At its discretion, the Government contemplates providing funding for such proposals through the issuance of a Task Order pursuant to the terms of this Task 4 of this IDIQ Contract.
