ADDITIONAL INFORMATION AND INSTRUCTIONS

1. In order to be eligible for a contract award under this solicitation, you must be completely registered in the

System for Award Management program (www.sam.gov) at the time of proposal evaluation. Registering in SAM is free. If you do not have an “active” profile or you do not submit the requested information according to the solicitation provisions, you could be considered non-responsive.

2. This solicitation will result in the award of a firm, fixed-price, multiple-year, Indefinite-Delivery, Indefinite- Quantity (IDIQ) Performance Based Service (PBS) contract. The Government anticipates making multiple awards (between three (3) and five (5) contracts) to the responsible Offerors whose proposals are determined to offer the best value to the Government, price and other evaluation factors considered. Task Orders for identified work will then be competed between the contractors receiving an IDIQ contract award from this solicitation.

3. There is a pre-proposal meeting scheduled for Thursday, May 21, 2020 from 10:00 am to 12:00 pm.

There are 2 options for joining the meeting:

The solicitation will be reviewed and questions will be answered at this time.

4. All quantities are estimated quantities only and will be used for evaluation purposes. These estimates are not a representation that these estimated quantities will be required or ordered, or that conditions affecting requirements will be stable or normal. The estimates were obtained from records of previous requirements, projected need from work plans, or by other means, and are based on the most current information available.

Actual quantities will be provided in each individual task order. Actual work ordered will be based on prices submitted and funds available at times of needs.

5. The pricing offered is considered by the Forest Service to be contractually binding unit ceiling pricing. If a contract is awarded, the Contractor is bound to this offered pricing as the maximum pricing that can be offered when a task order is solicited. When offering a task order proposal, the IDIQ Contractor can elect to offer less than the contractually established ceiling pricing; however, this reduction is only in effect for that specific task order solicitation / issued task order, and does not constitute a contractual change to the unit ceiling pricing. IDIQ contracts will not be awarded to Offerors who do not propose reasonable initial ceiling pricing.

Offers or modifications of offers received at the address specified for the receipt of offers after the exact time specified for receipt of offers are late and will not be considered.

6. The Government intends to evaluate proposals and award contracts without further negotiations or discussion, unless clarification is required. Therefore, the Offeror’s initial proposal should contain the Offeror’s best terms from a price and technical standpoint. The Government reserves the right to enter into discussions later, if the Contracting Officer deems that it is in the interest of the Government to do so.

7. Award will be made for the base period. If the Government exercises its option to renew, awards will be made for succeeding option years in accordance with FAR Clause 52.217-9, Option to Extend the Terms of the Contract and FAR Provision 52.217-5, Evaluation of Options.

8. A minimum of $2,500 is guaranteed in the base period only. The maximum value for the base period and all option periods combined (all contracts combined) is $1,500,000.00. The total of all contracts awarded as a result of this solicitation, when combined, shall not exceed $1,500,000.00.

9. Task orders will be issued as Government needs arise. Each order will contain the specific quantities and tasks to be performed. Performance period and specific date of Notice to Proceed will be negotiated.

10. All warranted Contracting Officers of the USDA Forest Service are authorized to place orders under this contract. The amount of any order shall not exceed the maximum order limitation shown elsewhere in this contract.

11. Contractor must, at its own expense, provide and maintain insurance coverage throughout the performance of this contract. See FAR Clause 52.228-5, Insurance – Work on a Government Installation and AGAR Clause 452.228-71, Insurance Coverage.

12. Payment will be made after inspection and acceptance by the COR. All payments by the Government to the

Contractor under this contract will be made in accordance with Electronic Funds Transfer (EFT) methods referenced in this solicitation.

13. The “Submit Invoice-to” address for USDA orders is the Department of Treasury’s Invoice Processing Platform (IPP). All invoices are to be submitted online via the electronic Invoice Processing Platform. This is a mandatory requirement initiated by the U.S. Department of Treasury and you can find more information at this website https://www.ipp.gov/index.htm. Your company must register at https://www.ipp.gov/vendors/enrollment-vendors to establish an account in order to submit an invoice on this project.

14. In accordance with the Prompt Payment Act, payment will be due 30 days after receipt of supplies/service or receipt of proper invoice whichever is later. To check on payments once a contract has been awarded, contact the Miscellaneous Payments Section of National Finance Center at 1-800-421-0323.

Wayne National Forest Existing and Future Agreements Clause:

The Wayne NF reserves the right to complete Vegetation Management treatments (similar or the same as those specified in this contract) on acreage separate from identified IDIQ contract acreage via existing and future agreements or Stewardship Contracts the Wayne NF enters into with other state, federal, or non-governmental organization (NGO) partners. Separate acreage that is slated to be treated via agreements will not be package within the IDIQ or in individual task orders within the IDIQ.

FAR 52.204-21 Basic Safeguarding of Covered Contractor Information Systems (Jun 2016)

(a) Definitions. As used in this clause– “Covered contractor information system” means an information system that is owned or operated by a contractor that processes, stores, or transmits Federal contract information.

“Federal contract information” means information, not intended for public release, that is provided by or generated for the Government under a contract to develop or deliver a product or service to the Government, but not including information provided by the Government to the public (such as on public websites) or simple transactional information, such as necessary to process payments.

“Information” means any communication or representation of knowledge such as facts, data, or opinions, in any medium or form, including textual, numerical, graphic, cartographic, narrative, or audiovisual (Committee on National Security Systems Instruction (CNSSI) 4009).

“Information system” means a discrete set of information resources organized for the collection, processing, maintenance, use, sharing, dissemination, or disposition of information (44 U.S.C. 3502).

“Safeguarding” means measures or controls that are prescribed to protect information systems.

(b) Safeguarding requirements and procedures.

(1) The Contractor shall apply the following basic safeguarding requirements and procedures to protect covered contractor information systems. Requirements and procedures for basic safeguarding of covered contractor information systems shall include, at a minimum, the following security controls:

(i) Limit information system access to authorized users, processes acting on behalf of authorized users, or devices (including other information systems).

(ii) Limit information system access to the types of transactions and functions that authorized users are permitted to execute.

(iii) Verify and control/limit connections to and use of external information systems.

(iv) Control information posted or processed on publicly accessible information systems.

(v) Identify information system users, processes acting on behalf of users, or devices.

(vi) Authenticate (or verify) the identities of those users, processes, or devices, as a prerequisite to allowing access to organizational information systems.

(vii) Sanitize or destroy information system media containing Federal Contract Information before disposal or release for reuse.

(viii) Limit physical access to organizational information systems, equipment, and the respective operating environments to authorized individuals.

(ix) Escort visitors and monitor visitor activity; maintain audit logs of physical access; and control and manage physical access devices.

(x) Monitor, control, and protect organizational communications (i.e., information transmitted or received by organizational information systems) at the external boundaries and key internal boundaries of the information systems.

(xi) Implement subnetworks for publicly accessible system components that are physically or logically separated from internal networks.

(xii) Identify, report, and correct information and information system flaws in a timely manner.

(xiii) Provide protection from malicious code at appropriate locations within organizational information systems.

(xiv) Update malicious code protection mechanisms when new releases are available.

(xv) Perform periodic scans of the information system and real-time scans of files from external sources as files are downloaded, opened, or executed.

(2) Other requirements. This clause does not relieve the Contractor of any other specific safeguarding requirements specified by Federal agencies and departments relating to covered contractor information systems generally or other Federal safeguarding requirements for controlled unclassified information (CUI) as established by Executive Order 13556.

(c) Subcontracts. for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items.
