About this file

This document is an Addendum to a Request for Proposals (RFP) issued by the Port Authority of New York and New Jersey (PANYNJ) for Indefinite Quantity Contracts (IQCs) for expert professional design and/or construction services related to electric vehicle infrastructure, energy efficiency, and renewable energy services. The RFP (No. 6000001276) seeks firms to assist the Office of Sustainability with procurement, engineering design, specifications, studies, equipment installation, and construction of projects across four categories: Electric Vehicle Infrastructure, Energy Efficiency/Building Performance, Renewable Energy, and Other technologies. The proposal due date has been changed to 2:00 P.M. on March 22, 2023, and the contract will cover services from 2023 through 2027.

The solicitation includes significant diversity and inclusion requirements, with good faith subcontracting goals of 20% Minority Business Enterprise (MBE), 10% Women Business Enterprise (WBE), and 3% Service-Disabled Veteran-Owned Business (SDVOB). Proposers must demonstrate experience, provide detailed staff qualifications, and submit a participation plan for these categories. Insurance requirements are extensive, including $5 million in commercial general liability, automobile liability, cyber liability, and professional liability coverage. The Port Authority aims to create a diverse pool of contractors for sustainable infrastructure projects, with incentives for small businesses and a focus on emerging technologies like electric vehicle charging, renewable energy systems, and energy-efficient building improvements.

SUBJECT: REQUEST FOR PROPOSALS FOR INDEFINITE QUANTITY

CONTRACTS (IQCs) FOR PERFORMANCE OF EXPERT PROFESSIONAL DESIGN

AND/OR CONSTRUCTION OF ELECTRIC VEHICLE INFRASTRUCTURE, ENERGY

EFFICIENCY, AND RENEWABLE ENERGY SERVICES ON AN “AS NEEDED” BASIS

DURING 2023 THROUGH 2027 (RFP# 6000001276) – ADDENDUM # 10.

Please note the date for receipt of proposals for the subject RFP has been changed to 2:00 P.M. on March 22, 2023.

The following questions were received from a Request for Proposals (RFP) recipients(s). The questions and the corresponding Authority answers are provided for your information and use, as appropriate.

Question 1: Could you confirm that the definition of biomass being considered by PANYNJ is consistent with the USEPA definition; organic materials that can be treated thermally or by other biological means to produce energy or other useful byproducts, such as wood wastes, some construction materials, agricultural wastes (grass, leaves, etc.), sludge/biosolids, and manure.

Answer 1: The USEPA definition shall be considered as well as the following definition of organic waste established under the Port Authority Airport Solid Waste Management and Recycling Standards and Guidelines: Organic Waste or Compostables: any material found in the waste stream that can be broken down into, or otherwise become part of, usable compost or fertilizer, such as food scraps, soiled paper, plant trimmings, overripe produce, trimmings from food, compostable plastic food service ware and bags.

Question 2: Would PANYNJ also consider municipal solid waste (MSW), or component of the MSW, such as food waste, biomass?

Answer 2: Yes

Question 3: The RFP Section III.D requirement to accept joint and several liability across all teaming partners places undue burden on a teaming arrangement for a bench contract with individual task orders issued at a future date, especially for a team where not all firms would participate in each task order. Under the current phrasing, all companies on a team would be held in equal liability regardless of whether they participate in a particular task order. Will PANYNJ reevaluate the requirement to restrict the joint and several liability to individual task orders as necessary rather than the entire contract?

- 2 -

Answer 3: Unless the joint venture proposer is a legal entity, all teaming partners shall remain jointly and severally liable, regardless of whether they all participate in a particular task order.

Question 4: Will PANYNJ please remove the requirement for 48 CFR Part 31 compliance on Fully Loaded Hourly Rates where a cost proposal is not required? As written, the RFP and Contract Section 10.A require 48 CFR Part 31 compliance even where a task order cost proposal is not requested. But this requirement exceeds 48 CFR Part 31.000(a), which states that 48 CFR Part 31 applies only when a cost analysis is performed. A cost analysis will not be performed when a cost proposal is not submitted, therefore the Fully Loaded Hourly Rates should not require compliance with 48 CFR Part 31. See also 2 CFR 200.401(a), which similarly provides that the Federal cost principles only apply where costs are used in determining the appropriate price.

Answer 4: Compliance with 48 CFR Part 31 is required with each cost proposal. Fully Loaded Hourly Rates must be included with all task order proposals.

Question 5: We are looking at several partnerships across the categories in RFP# 6000001276.

If a firm was to join a proposal in one category as a sub, would the same firm be able to submit proposals in the other categories as a prime?

Answer 5: Yes.

Question 6: Part E of Section III (Submission Requirements) states that the Proposer must include “Contract value” for all projects referenced. Is this the total value of services performed by the Proposer, or the total construction cost of the project?

Answer 6: Total contract value.

Question 7: The RFP mentions form execution to be signed by an “Officer or Principal” of company. Does signature of Vice President suffice?

Answer 7: Yes.

Question 8: After reviewing the submission requirements for the FTA and FHWA it appears that the CERTIFICATION REGARDING DEBARMENT, SUSPENSION, AND OTHER RESPONSIBILITY MATTERS--PRIMARY COVERED TRANSACTIONS is not included in the RFP under either package. Are we (the Prime) not to submit these specific forms at this time?

Answer 8: With respect to the FTA, Section 24 of Exhibit A (FTA Contract Provisions) states that by signing and submitting the Bid itself, the Contractor submits to the certification.

Regarding the FHWA, the same is said within Section X (1) of the FHWA-1273 form.

Therefore, additional forms are not needed at this time.

- 3 -

Question 9: We request further clarification regarding the procurement process that will be implemented under this RFP. Specifically, is it your intent to have the prime be a Consultant (Design Professional), or a Contractor?

Answer 9: Refer to Addendum #2, Answer #2.

Question 10: Is it your intent to have a Consultant as a prime and for the Consultant to retain a Contractor as a Sub-Contractor to perform delegated tasks? OR, is it your intent to have a Contractor as the prime and for the Contractor to retain a Sub-Consultant for the delegated Design tasks? It is our understanding that unless Sub-Consultant is designing shoring or temporary bridges, the only way a Contractor-prime entity can provide design services through a Sub-Consultant is through a Design/Build contract – is that the intent of the RFP?

Answer 10: See Answer #11.

Question 11: Is this a design-build? A designer typically would not have a contractor as a subconsultant.

Answer 11: Task Orders may have design tasks, construction tasks or a combination of both depending on the funding. If you are a design firm, you should propose a plan as to how you plan to address construction tasks and if you are a construction firm, you should propose a plan as to how you plan to address design tasks. In each case, you should provide a detailed approach.

Question 12: Based on the proposal meeting, it was clarified that you were expecting for us to put a full team together for a given task order (including contractors). This would put a typical AE from at CM as risk if they primed. Is this RFP meant for design-build and not a typical design-bid-build? Please confirm that on any given task order that we would only need to together the design team and that the work could be bid out to contractors and we would not have to put contractor on our team. Otherwise, if this is design-build, that would totally change how proposal would be structured.

Answer 12: See Answer #11.

Question 13: Some of our engineering partners have mentioned that NY state has restrictions on design build contractors (such as ourselves) subcontracting professional services such as engineering, unless it is a design build contract specifically. More information can be found at this link: http://nysspe.org/2013/03/13/frequently-asked-questions-on-design-build-matters-in-new-york-state/. Can you clarify if this guidance and the statutes referenced are applicable? Or, are there other statutes or procurement guidelines that prevail? Does Port Authority have any restrictions preventing contractors to subcontract engineering firms as part of this RFP?

Answer 13: In cases where the design and construction will be proposed under the same task order request, the specific task order will be considered design build. With that said, if you are a https://gcc02.safelinks.protection.outlook.com/?url=http%3A%2F%2Fnysspe.org%2F2013%2F03%2F13%2Ffrequently-asked-questions-on-design-build-matters-in-new-york-state%2F&data=05%7C01%7Cppenaflor%40panynj.gov%7Cb58b0c48495949f5c8c008db10f88b53%7Cc4484a25d0d84ad0916aa889b6aa7a02%7C0%7C0%7C638122431900713804%7CUnknown%7CTWFpbGZsb3d8eyJWIjoiMC4wLjAwMDAiLCJQIjoiV2luMzIiLCJBTiI6Ik1haWwiLCJXVCI6Mn0%3D%7C3000%7C%7C%7C&sdata=bT18mtvVPcOjXSWVwnEn%2B0m4%2FtXoeIOmpyPEd8gcIwQ%3D&reserved=0 https://gcc02.safelinks.protection.outlook.com/?url=http%3A%2F%2Fnysspe.org%2F2013%2F03%2F13%2Ffrequently-asked-questions-on-design-build-matters-in-new-york-state%2F&data=05%7C01%7Cppenaflor%40panynj.gov%7Cb58b0c48495949f5c8c008db10f88b53%7Cc4484a25d0d84ad0916aa889b6aa7a02%7C0%7C0%7C638122431900713804%7CUnknown%7CTWFpbGZsb3d8eyJWIjoiMC4wLjAwMDAiLCJQIjoiV2luMzIiLCJBTiI6Ik1haWwiLCJXVCI6Mn0%3D%7C3000%7C%7C%7C&sdata=bT18mtvVPcOjXSWVwnEn%2B0m4%2FtXoeIOmpyPEd8gcIwQ%3D&reserved=0

- 4 -design firm, you should propose a plan as to how you plan to address construction tasks and if you are a construction firm, you should propose a plan as to how you plan to address design tasks. In each case, you should provide a detailed approach.

Question 14: Providing Engineering, Design, Procurement & Installation requires EPC, DB or construction contracting firms. Is the intention to exclude A&E firms that do not offer installation services?

Answer 14: See Answer #11.

Question 15: Can we use 11x17 layout for tables, graphics. Also, you noted a 12pt font requirement, due to the level of response to each of the categories, can we propose using 9pt or 10pt font? As it relates to the staff resumes, do they also need to be in a 8 ½ x 11 size? Also, as for layout, can our document be landscape or does it have to be portrait?

Answer 15: The Proposer should use 8 ½ x 11 sized paper with 12 point or greater font size as per Section II. A. of the RFP letter. Font sizes for charts, graphs and tables can be lesser than 12 point and can be landscape or portrait.

Question 16: On page 6 of the RFP, item F.2.b) it states “Include the percentage of time the key individual will dedicate to a project as well as other projects, if any.” Is the Port Authority looking for a percentage of availability for the whole 5 years of the contract or just the first year?

Also, when you say “as well as other projects, if any” what would you like to see here? Are you looking for a list of other commitments during the first year of the contract and their percentage of commitment to each? Please clarify.

Answer 16: We would like to know what your key staff is working on currently and how luch time they will be able to allocate to a task order if you are selected.

Question 17: Would the PANYNJ please provide an example of how a bidder can demonstrate, show, or otherwise identify a “diverse” individual, as defined in the RFQ on page 7? Our firm is intending to identify in a singular and uniform manner those proposed individuals whom meet the PANYNJ’s definition of diversity noted in the RFQ on page 7. We do not intend to specify the categories which comprise this diversity definition in our bid. Is this acceptable?

Answer 17: Refer to Section H. 1. and H. 2. of the RFP letter.

Question 18: Can you provide clarification as to whether or not the Financial Information (Criterion I) that must be submitted with the proposal would be subject to a public disclosure request under the Freedom of Information Act (or the like)? Would the Port Authority be willing to consider signing a Nondisclosure Agreement?

Answer 18: Port Authority will not sign a Nondisclosure Agreement, Financial Information is an RFP requirement, please mark your Financial Information “Confidential”.

- 5 -

Question 19: Regarding the addendum new language “Proposers (including subconsultant(s)/subcontractor(s), if any) shall have a minimum of ten (10) years’ experience, at the time of proposal submission in providing similar services for a variety sustainability projects for all stages of a project from planning through closeout, including design and construction.” – is this only stating that the subs we engage with should have the minimum 10 years’ experience and it is not stating that subs themselves have to fill out Attachment G-2?

Answer 19: Firms that meet the design or construction Proposer Requirements, but not both, may use subconsultant(s)/subcontractor(s) to fulfill the outstanding design or construction requirements of Proposer Requirement #2 as shown in Section I. 2. of the RFP letter and Attachment G-2.
