Addendum to FAR 52.212-1 Instructions to Offerors

Addendum to 52.212-1(c), Period for Acceptance of Offers. The paragraph is tailored as follows: The offeror agrees to hold the prices in its offer firm for 90 calendar days from the date specified for receipt of offers.

To assure timely and equitable evaluation of proposals, offerors must follow the instructions contained herein. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements. Failure to meet a requirement may result in an offer being ineligible for award. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale.

a. Complete blocks 12, 17a, 30a, b and c of the SF1449. In doing so, the offeror accedes to the contract terms and conditions as written in the RFP, with attachments.

These sections constitute the model contract.

b. Insert proposed unit prices in Section B for each Contract Line Item Number

(CLIN) or SubClin (SCLIN), including all option periods. The extended amount must equal the whole dollar unit price multiplied by the number of units.

c. Complete the necessary fill-ins and certifications in Provisions. Provision

52.212-3 shall be returned in its entirety.

PART II: PAST PERFORMANCE. Limited to no more than 1 page per contract listed. Only references for same or similar type contract desired. Offeror may submit documents that demonstrate record of successfully performing similar contracts, including the quality of performance, adherence to schedules, and customer satisfaction. Offerors will provide references and relevant contract information.

PART III: TECHNICAL CAPABILITIES.

a. Item Qualifications Certification: The Offeror will submit documentation validating the items required (Plate carrier, plates, helmet and helmet covers) meet relevant standards as outlined in NIJ Standard 0101.06, NIJ Standard 0108.01 or equivalent.

b. Technical Approach: The Offeror will submit documentation describing/verifying the manufacturing, production capabilities and stock level availability to meet the required quantities.

c. Delivery Schedule & Logistics: The offeror shall provide a schedule narrative document/ chart /diagram that demonstrates efficient and logical sequencing of item delivery to different locations, long lead item submissions/procurement, and execution shipment to meet the timelines and requirements of this solicitation, including the phased shipping/delivery requirements

52.212-2 EVALUATION--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021)

Addendum to FAR 52.212-2: Evaluation—Commercial Products and Commercial Services

The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation requirements pursuant to FAR 52.212-1 and shall be the most advantageous and provided best value to the Government, price and other non-price factors considered.

BASIS FOR CONTRACT AWARD: This acquisition will utilize the Lowest Price Technically

Acceptable (LPTA) to make an integrated assessment for a best value award decision. By submission of its offer an in accordance with the instructions provided in clause FAR 52.212-1, Instruction to Offerors, the offeror accedes to the terms of this contract, and all such offers shall be treated equally except for their prices and technical narratives. Failure to meet a requirement may result in an offer being determined unacceptable. Offerors must clearly identify any exception to the solicitation terms and conditions and provide a complete accompanying rationale. The evaluation process shall proceed as follows:

Price Evaluation: Initially, the government will review the Offerors proposed price. The offeror's proposed prices will be determined by the Contracting Officer by multiplying the quantities identified in

Section B by the proposed unit price for each Contract Line-Item Number to confirm the extended amount for each. If there is any difference between the offeror’s total price submitted in the proposal and the total price computed by the contracting office, the contracting officer will then ask the contractor to clarify pricing. The Offeror’s total proposed price/evaluated price will be evaluated for price fair and reasonableness. Should the Offerors’ total evaluated price be deemed unreasonable, or unaffordable (not within any budgetary information included in the solicitation) the Government reserves the right to enter communication and/or exchanges with the offeror to gain further insight into pricing.

Technical Acceptability of Non-Price Factors: The technical acceptability evaluation includes consideration of the offeror’s ability to meet minimum government requirement in accordance with the items specification as described in the CLINS and SLINS. An “Acceptable” rating must be received on all Factors and Sub- Factors to receive an award. If an overall rating of 'Acceptable’ is not received the

Government will continue to evaluate and repeat the process until an offeror is found to have an overall technical acceptability rating on all factors and sub-factors.

Acceptable: Based on the offeror’s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort

Unacceptable: Based on the offeror’s performance record, the Government does not have a reasonable expectation that the offeror will be able to successfully perform the required effort

Factor 1: Past Performance Factor – The Offeror is considered to have Acceptable past performance when they can demonstrate record of successfully performing similar contracts, including the quality of performance, adherence to schedules, and customer satisfaction. Offerors will be required to provide references and relevant contract information for evaluation purposes.

Acceptable: Proposal meets the minimum requirements of the solicitation

Unacceptable: Proposal does not meet the minimum requirements of the solicitation

Factor 2: Technical Capability Factor – The offeror's technical capabilities will be evaluated based on their ability to meet the requirements outlined in the solicitation. This evaluation will consider subfactor factors such as technical approach and qualification, management and production, and logistics and protocol. Offerors will be required to provide detailed information related to these sub-factors

Sub Factor 2.1 Item Qualification Certification: The offeror must demonstrate that the items being proposed, meet the minimum specifications outline in this solicitation and in the specification document.

Sub Factor 2.2 Technical Approach: The Offeror must demonstrate a sound approach on how they would meet/fulfill the quantity requirement stated in this solicitation, as well as providing a sound approach to ensuring quality control.

Subfactor 2.3: Delivery Schedule & Logistics: The Offeror must demonstrate how they intended to meet the delivery schedules outline in the solicitation as well as demonstrating the ability to coordinate and ship large quantities internationally.

If the offeror receives an “Overall Acceptable" rating and price has been deemed to be fair and reasonable, the offer represents the best value for the government and the evaluation process stops at this point. Award shall be made without any further consideration of any other offers.

However, if the offeror is not judged to have an “Overall Acceptable" " rating, the Government will enter communications and exchanges with the offeror to resolve technical discrepancies. The

Contracting officer reserves the right to award a contract when technical acceptability has been achieved in accordance with the evaluation rating criteria without the opportunity for proposal revision.

Therefore, the Offeror is cautioned to submit sufficient information and, in the format, specified in FAR

52.212-1 (and Addendum). Offeror's may be asked to clarify certain aspects of their proposal (for example, the relevance of past performance information) to which the offeror has not previously had an opportunity to respond.

The Government intends to evaluate offers and award a contract without discussions with offerors.

Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. (End of Provision)

52.212-5 CONTRACT TERMS AND CONDITIONS REQUIRED TO IMPLEMENT STATUTES OR

EXECUTIVE ORDERS—COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (DEVIATION 2018-

O0021) (JUN 2023)

(a) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph

(a) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form.
