About this file

This is a Confidential and Proprietary Information Declaration Form used by Salt Lake City Corporation's Purchasing & Contracts Management Division to process business confidentiality claims under Utah's Government Records Access and Management (GRAMA) Act. The form allows contractors and private providers to identify protected records or information, specifically trade secrets and commercial financial information, that may be submitted in response to government solicitations. Contractors must submit this form concurrently with the information they wish to protect and provide a concise statement of reasons supporting their confidentiality claim. The form applies to the Data Telematics Software solicitation (SLCI26032), in which Salt Lake City seeks a cellphone data software solution capable of delivering detailed analytics on visitor behavior, travel patterns, and economic activity across various city locations including parks, golf courses, and business districts, with both real-time and historical data capabilities for Salt Lake City and other U.S. and international locations.

The form requires claimants to specify which pages and paragraphs of submitted materials qualify for confidentiality protection and to explain the competitive harm that would result from public disclosure. Under Utah Code 63G-2-305, trade secrets receive protection automatically upon submission of a confidentiality claim, while commercial financial information requires a showing that disclosure could reasonably result in unfair competitive injury. Submitting a confidentiality claim does not guarantee protected classification if the government receives a subsequent records request under GRAMA. Contractors may submit both a confidential version and a redacted public version of their records, though the form indicates this is optional.

Business Request for GRAMA Business Confidentiality Claim For use by contractors or private providers to identify protected records or information

Note: Utah Code § 63G-2-305(1) states that trade secrets can be protected if the person submitting the trade secret provides the governmental entity with a confidentiality claim. Likewise, Utah Code § 63G-2-305(2) states that commercial financial information can be protected if disclosure could reasonably be expected to result in unfair competitive injury to the person submitting the information, and that person has provided a confidentiality claim. Confidentiality claims are described in Utah Code § 63G-2-309. A claim must include a concise statement of reasons supporting the claim and must be submitted with the information requested to be protected.
