Government Response: Yes. SEPS will result in a single IDIQ contract award (i.e., indefinite delivery, indefinite quantity). Although we have an indication (based on history) for a share of future task order requirements, the requirements are subject to adjustments based on current mission needs. A Statement of Work (SOW) or Performance Work Statement (PWS) will will be provided to the awardee as task order requirements develop. There is also the potential for new task order requirements to develop.

*The three awardable task orders included as part of the IDIQ solicitation package has known performance locations included however, if mission needs were to shift those locations may also change.

Government Response: The data selected by the Offeror can vary, examples for some may include (1) a signed statement from the contractor (Prime) confirming the subcontractor role and performance, (2) a copy of the subcontract and (3) payroll records, or (4) a signed statement from the Government customer who received those services and payroll records…etc. Section M5.2 is revised to clarify.

Government Response: The requirement to review Professional compensation applies to all proposed personnel. The RFP includes two relevant areas (price template and narrative). Proposed subcontractors shall submit the information necessary to the Prime to include in the Prime’s proposal. RFP L.6.7 is updated, as needed. Attachment 4 has also been updated to clarify instructions for subcontractor pricing submission.

Based on five (5) work samples and scoring those samples the government will then rank those consolidate samples from highest to lowest. Can the government reconsider how it evaluates the work samples? Based on this government model more is extremely better.

Government Response: No, the self-score provided by the Offerors on the self-score cards submitted will be used to provide the overall self-score that the Government then ranks numerically to identify the highest self-scored offer.

Q: The solicitation states, “A joint venture must provide a Facility Clearance Level notification for the joint venture itself. Facility Clearance Level notifications submitted by one or both of the individual venturers but not the joint venture renders the proposal unawardable.”

In light of recent GAO rulings (B-419546) to allow joint venture pursuing DoD contracts to rely on the facility clearance of their member, will the government consider revising the solicitation to remove this requirement?

Government Response: No. The recent GAO rulings are indirect conflict with DoD/DCSA policy. Until interim DCSA guidance is issued, our requirement for Joint Ventures remains unchanged.

Will the Government please clarify/confirm that significant subcontractors (greater than 10% workshare) can bring another two of the maximum five work samples (as stated in M.5.2.b.), leaving a minimum of one work sample for the managing venturer to provide?

L6.6.1 Q: Will the Government consider acceptable a 3rd-party verified (CPA firm audit) accounting system, rather than a DCAA verification? We understand per L6.6.1.c) that if an offeror is the HRTO and does not meet the requirements for the accounting system, a pre-award survey will be conducted, however we want to confirm this is necessary if the offeror has a valid/recent (within one year) audit by a CPA firm.

Government Response: No. If the Offeror does not have a recent audit IAW L6.6.1 a), a Pre-Award Survey will be completed IAW L6.6.1 d).

Q: Section L.1.5 states a joint venture must provide a Facility Clearance Level (FCL) notification for the joint venture itself. A recent GAO decision held that individual members of the joint venture holding the proper FCL is sufficient for the JV to be compliant with all FCL requirements. From docket number B-419856 dated August 27, 2021:

We conclude that the 2020 NDAA clearly and unambiguously prohibits DOD agencies, like the Air Force here, from issuing solicitations that require a joint venture, rather than the members of the joint venture, hold the required facility clearance.

Will the government change the requirement for the JV to hold the FCL to allowing a JV to be compliant provided that both members of the JV hold the required FCL level?

Q: The evaluation of work samples sections states that if the offeror is a Joint Venture formed under the All SB Mentor-Protégé Program or the SBa 8(a)Mentor Protégé Program, only two (2) work samples from the non-managing venturer are acceptable. A recent GAO decision, B-419956.18; B-419956.19; B-419956.24 dated 23 November 2021 stated that an agency must justify why there are limits on the past performance examples used by both members since the Small Business Act states: When evaluating an offer of a joint venture of small business concerns for any multiple award contract above the substantial bundling threshold of the Federal agency, if the joint venture does not demonstrate sufficient capabilities or past performance to be considered for award of a contract opportunity, the head of the agency shall consider the capabilities and past performance of each member of the joint venture as the capabilities and past performance of the joint venture.

Why is the government putting limits on the number of work samples from the non-managing venturer?

Government Response: RFP does not include evaluation of past performance, but rather an assessment of capability through experience. Nonetheless, RFP M5.2.2 is updated to remove the minimum requirement for the non-managing partner.

Government Response: In general, the expectation to meet surge requirements, if applicable, varies from one task order to another. In some instances, hours in addition to the total annual per FTE (ie. 1880 or 1920) are not required, but rather the contractor may be expected to adjust / manage personnel schedules periodically within the total annual hours in order to meet critical requirements that are unanticipated.
