Q3:7.3 ATTACHMENT 1 KEY PERSONNEL QUALIFICATIONS includes descriptions for all task roles, however Section 1.11 suggests only Contract Manager and Alternate Contract Manager are designated key personnel. Please confirm what positions are considered key personnel and must have resumes included in the proposal.
A3:Contract Manager is not a key personnel, no resume required for this position. PWS has been revised.
Q4:If all Attachment 1 positions are considered key personnel, please reconsider as it severely restricts competition. The specialized qualifications and geographic-specific nature of the positions limit the available pool for offerors to recruit from. If we must name key personnel for all roles, we will not be able to include an incumbent contractor hiring strategy which would benefit ASEP via continuity.

A4: All positions listed are required to be on site as mission dictates.

Q5:Do the Contract Manager or Alternate Contract Manager need to perform their duties at the Carlisle Barracks or may they telework?
A5:This position is 100% telework
Q6:Given the specifics of the request for proposal, the government is asking for a minimum of three past performances. Would the government consider 2 past performances and 1 personnel resume/past performance in place of the third?
A6:The Government will accept past performance from other than the quoter, but it is within the rights of the Source Selection Evaluation Board to determine if they will accept or downgrade.
Q7:Will the government consider allowing for a 3-star or 2-star General in place of the 4-star General requirement?
A7:No. An Army retired 4-star is required.
Q8:Would the government consider allowing for past performance within the last 5 years instead of three years?

Q9:Per FAR 15.305(a)(2)(v) “in the case of an offeror without a record of relevant past performance or for whom information on past performance is not available, the offeror may not be evaluated favorably or unfavorably on past performance.” Will the government rate past performance neutral or acceptable if a total of 3 past performances are not provided?
A9:The Government will rate past performance as neutral if there is not enough established past performance.
Q10:Who is the incumbent on this contract and what is the contract number?

Q11:What is the current FTE count and how does it differ from the Solicitation Pricing sheet FTE numbers?
A11:The current FTE count is proprietary information and will not be disclosed. The current numbers needed are listed on the matrix spreadsheet.
Q12:Can the government clarify which positions they wish offerors to propose resumes for in the Proposal and how many resumes per position?
A12:All positions require a resume, and each individual requires a resume to be a qualified candidate.
Q13:Can the government clarify if they wish offerors to write a technical approach to each of the tasks or if a staffing and management approach will suffice for the technical approach?
A13:Staffing and management approach.
Q14:I want to bid my LLC in a joint venture, If I bid as the prime, while my subcontractor is preforming the labor, is the subcontractor’s past performance acceptable to meet the past performance requirement?
A14:The Government will take this into consideration, but it is within the rights of the Source Selection Evaluation Board to determine if they will accept or downgrade.

JOINT VENTURE: The protégé must perform at least 40% of the work done by the joint venture. Assuming the joint venture and the protégé perform the minimum work share requirements, the protégé will perform 20% of the contract. However, for purposes of determining the protégé’s size, 40% of the revenues under the contract must be appropriated to the protégé.

Allocation of Joint Venture Receipts

· The joint venture must submit annual evaluation reports, annual performance-of-work statements, and project-end performance-of-work to SBA and the contracting agencies explaining how the work is being performed for each contract.

· Annual evaluations are due 30 days from the anniversary date on your welcome letter.

· Respective, annual reports and project-end reports are due 45 days after each operating year and 90 days after completion of the contract. Note, the protégé is the responsible party for reporting the evaluation under its DUNS number.

Q15:For Volume 2, Factor 1: Technical, are resumes included in the 35-page total page count?
A15:They can be separate attachments. The 35 total page count is not mandatory, but anything over is at the risk to the quoter. This is to ensure that emails are not rejected due to being too large.
Q16:Paragraph 1.1 indicates that the Contract Manager and Alternate Contract Manager are key personnel. Does the government expect these two to be part of the positions described in Part 5, Specific Tasks?
A16:No, there are no specific tasks associated with these positions.
Q17:7.4 Attachment 2 CLIN Schedule, page 53 is each SLIN, for example, 0001AA - our pricing for one person for each position?

A23:PWS revised, with highlights, to reflect correction to Key Personnel. Contract Manager and Alternate Contract Manager are not “Key” Personnel, they are “Essential” Personnel.

A24:The place of performance is at the Carlisle Barracks and TDY locations currently are: National Capital Region, North Carolina and Philadelphia; these courses are in person and not virtual. The position must be local to fulfill mission needs.

A25:The Contract Manager and/or Alternate Contract Manager do not have to be on site to perform their duties they can telework.
Q26:Where on the pricing spreadsheet should the Offeror enter cost for Contract Manager and Alternate Contract Manager?
A26:Costs for the Contract Manager and Alternate are overhead built into pricing. There is no separate CLIN for this position.

Q31:Section 1.5.5 stipulates “all travel to and from Carlisle Barracks, Pennsylvania shall be at the expense of the contractor.” During this period, is lodging at the expense of the contractor as well, or is lodging provided by the government?
A31:Lodging is at the expense of the contractor.
Q32:Section 5.1 indicates that the contractor shall provide operations support for “52 continuous weeks for 3 Curriculum Development/ Operations Support personnel.” As PTO must be factored in for full-time personnel, is the contractor expected to backfill these 3 positions when the personnel are out of the office?
A32:No. Normal vacation and sick days do not need to be backfilled.
Q32:Is the present contract managed by a full time and billable Program Manager? If not, has there been any consideration for adding a full-time, billable Program Manager to the key personnel given the administrative requirements for overseeing this contract?
A33:The current contract is managed by a Contract Manager; this position is not full time, and it is not billable. No, we will not be adding this position as a Key Personnel.
Q34:"Combined Solication Page 8 of 100 ASEP Course Support Coverage Matrix Cells 61-67. "In the combined synopsis/solicitation, it is stated that resumes must be provided for Key Personnel (KPs), listing six different positions. However, in the "ASEP Course Support Coverage Matrix" sheet, rows 61-67 indicate varying requirements for personnel per position. For example, OPS Support requires up to 3 personnel at peak times and none at other times. This pattern of varying personnel needs is observed across all six KP positions. Could you please clarify whether we need to submit multiple resumes for each position to cover peak periods, or if a single resume per position is sufficient to meet the requirement? i.e. Are you requiring resumes for all candidates if there is a requirement for multiple candidates for a role and you can specify how many for each KP postion we need?
A34:During peak times multiple resumes are required for all candidates.
Q35:"ASEP Course Support Matrix Row 58 PWS Clarification Request". In the "ASEP Course Support Coverage Matrix," particularly in row 58, there is a list of courses that require support. However, the acronyms for these courses are not spelled out, and there is a lack of detailed descriptions regarding each course and the specific roles and responsibilities of personnel supporting them. Could you please provide detailed descriptions of the courses listed, including the full names of the acronyms and a breakdown of what each position will be doing to support these courses or at least overall course descriptions?
A35:PWS amended to add Lot Description as Attachment 3.
Q36:"Combined Solicitation page 10 of 100, Page 68-100; "1.20 Item 0010 of CLIN Table ". "The solicitation documents reference a phase-in period from November 1 to November 30, 2024. Given that the proposal is due on October 18, 2024, this allows for a very tight timeline for evaluation and award of the contract. Could you please provide more details on the expectations and requirements during the phase-in period? Specifically, are there any deliverables, milestones, or specific activities that need to be completed within this period? Additionally, how does the government plan to accommodate the short timeline between proposal submission and the start of the phase-in period?
A36:The phase in is only for 3 Curriculum Developers and 1 Education Administrator. This will allow for a seamless transition between the incumbents. The contract will be awarded in time, if there is a delay a verbal / email will be issued to the incumbent with a notice to proceed.
Q37:Addendum TO 52.212-1. The solicitation mentions the page limited is 35 pages. Does this include the title page and Table of Contents, or are those excluded from the page count?
A37:They can be excluded. The 35-page limit is due to the constraints on the size of attachments. The Government is not responsible for email not received due to being over the size limit of attachments.
Q38:Addendum TO 52.212-1. Does an Excel file for Volume III count as one page since it does not provide the amount of pages for the document?
A38:Volume 3 is a separate document; it does not count towards the 35 pages.
Q39:Attachment 1, #5 Curriculum Development and Operations Support GO. The PWS indicates that three curriculum development personnel are full time. Many very qualified curriculum developers are not MEL-1 educated. Is it sufficient to maintain one fully qualified curriculum developer who is assisted by otherwise very qualified developers? In other words, are all three curriculum developers expected to meet the qualifications outlined in Attachment 1, #5?
A39:All curriculum developers are expected to meet the qualifications.
Q40:PWS 1.11.2. This references Attachment 3. Can the Government confirm that the PWS should be referencing Attachment 1 instead?
A40:Yes, it should be Attachment 1. Changes made, see attached revised PWS.
Q41:PWS Part 3. The PWS does not appear to hold the contractor responsible for coordinating and procuring training venues. Can the Government please clarify if Government Property includes all venues for training?
A41:Yes, the government will dictate the venue space, and the contractor is only responsible for coordinate dates with the venue.
Q42:PWS 5.1 and ASEP Course Support Coverage Matrix. PWS 5.1 and the Support Coverage matrix appear to conflict. For example, the Matrix shows 3 curriculum developers at all times; PWS 5.1 requires “3 Curriculum Development/Operations Support personnel.” Please clarify.
A42:The official title is “Curriculum Developer and Operations Support”. Changes made, see PWS.
Q43:PWS 5.2.2.14 SWC Optional for Lots 2,3,5,6,7,8. The Course Support CLIN Structure lists the Strategic Writing Coach (SWC) for Lot 4 to be “Subject to the availability of funds.” Is the SWC for Lot 4 also Optional?
A43:No Lot 4 is fully funded. Changes made, see revised CLIN Structure for the SWC.
Q44:PWS 5.2.6.2. Does the Government identify and select Guest Speakers? Please confirm the only role for the contractor is to “introduce guest speakers…” in accordance with PWS 5.2.6.2.
A44:Yes, the government will identity and select guest speakers.
Q45:ASEP Course Support CLIN Structure. The Solicitation shows CLINS only for the Base Year (p. 53-72). The Course Support CLIN Structure spreadsheet shows four Option Years (OY) and a six-month extension. Does the POP also include 4 OYs and a six-month extension?
A45:This contract is for a Phase-In, Base Year, four (4) Option Years, and an Extension
Q46:Addendum to 52.212-2 Evaluation Factors for Award, a. Addendum to 52.212-2 states "The Government intends to award a Purchase Order resulting from this solicitation to responsible quoters…" Does the Government expect to award Purchase Orders to multiple offerors/companies in support of this requirement?
A46:No, there will only be one (1) award/contract
Q47:ASEP Course Support Coverage Matrix. Does the Course Support Coverage Matrix include optional (“subject to availability of funds” per the Course Support CLIN Structure) positions?
A47:Yes, the revised matrix on Amendment 1 does reflect “Optional” CLINs
Q48:ASEP Course Support Coverage Matrix. The Course Support Coverage Matrix shows a requirement for Operations Support during the Christmas/New Years Holidays, 22 Dec – 4 January. The Army typically does not schedule training events during that time. While the Operations support staff might conduct planning, can the Government confirm there will be no ASEP training events scheduled during 22 Dec 2024 – 4 Jan 2025?
A48:There is no training event scheduled during 22 Dec 2024 – 4 Jan 2025.
Q49:Addendum to 52.212-1, Instructions to Offerors, C., 1. Will the Government allow for cover pages, tables of contents, resumes, and documentation of evidence (e.g. writing samples) to not count toward the 35-page count limit?
A49:The 35-page limit is due to the constraints on the size of attachments. The Government is not responsible for email not received due to being over the size limit of attachments.
Q50:PWS 1.11. Does the Government require that a resume for the Contract Manager be submitted with the proposal?
A50:No, no resume needed for the Contract manager.
Q51:PWS 5.2.1. The PWS requires the Operations Support personnel to coordinate the catering of meals, maintain meal expense tracking, etc. Is it the contractor's responsibility to provide and pay for these meals? If so, will the contractor be reimbursed from the Government for the meal cost?
A51:No, the contractor is not paying for the meals. The contractor will be collecting funds from students to pay for the meals upon delivery.
Q52:Addendum to 52.212-2 Evaluation Factors for Award. In addendum to 52.212-2, it appears that the only labor category requiring the submission of writing samples is the Curriculum Development and Operations Support GO. However, in PWS 5.2.6.4, the PWS requires that the Education Administrator - Spouse candidate must also submit a writing sample. Can the Government please clarify the labor categories for which writing samples submissions are required?
A52:Added to the PWS and 52.212-2 as Subfactor 7 under the Education Administrator – Spouse.
Q53:Addendum to 52.212-2 Evaluation Factors for Award, #5. The solicitation references a "Task Order Execution Plan" in subfactors 4 and 8 of the Curriculum Development and Operations Support GO category. Specifically, it states that writing samples must be submitted with the "Task Order Execution Plan." This plan is also referenced in PWS sections 5.2.5.3, 5.2.6.4, and tables 5 and 6 of Exhibit A. Can the Government please clarify the requirements of the "Task Order Execution Plan"?

A53: Task Order Execution Plan is the same as the monthly report.

Q54:Addendum to 52.212-2 Evaluation Factors for Award, c. Evaluation Criteria. Addendum to 52.212-2 Evaluation Factors for Award, c. Evaluation Criteria. The solicitation states that "This procurement is being conducted under FAR Part 13 Simplified Acquisition Procedures." Our understanding of FAR Part 13 is that the Simplified Acquisition Threshold is currently $250,000. Does the Government estimate that an award for the services described in the PWS will fall under that threshold?
A54:The Addendum to 52.212-1(B)(1) is informing what FAR procedures we are following, not by which Threshold we are following. The Combined Synopsis/Solicitation indicates this is “…is issued as a Request of Quotation (RFQ) pursuant to FAR 13.5” (the Threshold).
Q55:The PWS 5.2.6.4 requirement for the Education Administrator - Spouse to have "exceptional oral and written skills, as evidenced by a minimum of five years of experience communicating at the executive/ senior spouse field grade level" does not match with the requirements listed for that labor category in Attachment 1 or Addendum to 52.212-2. Can the Government please clarify the requirements for this labor category and associated years of experience?

Q56:ASEP Course Support Coverage Matrix. Can the Government please clarify the nature of the SLDS course? For example, how are the sessions structured, what is the length of each session, etc.?
A56:SLDS is a 2-week General Officer and Spouse course. Syllabus will be provided after network access is obtained though the Government systems.
Q57:ASEP Course Support Coverage Matrix. Would the Government consider sharing historical schedule information for the ASEP courses including dates and locations?
A57:We cannot share dates and locations of historical information, this information is proprietary. See Matrix for current schedule information.
Q58:ASEP Course Support Coverage Matrix. Can the Government please clarify the meaning of the "SAF" acronym?

Q59:ASEP Course Support Coverage Matrix. The matrix shows encompassing dates for each lot/course. Can the Government clarify which are the convening dates for each?

Will the Government consider allowing 1 past performance reference to be submitted from a major subcontractor who will perform major or critical aspects of the requirement?

Q68:Page 5, 1.6.1 Facility Clearance Program. Please confirm in accordance with the 2020 National Defense Authorization Act and GAO Bid Protest Decision B-419856 dated August 27, 2021, that for 8(a) Mentor Protégé Joint Venture Offerors, an unpopulated 8(a) Mentor Protege Joint Venture does not need to hold a Facility Clearance as long as each member of the 8(a) Mentor Protégé Joint Venture hold the required facility clearances?
A68:If each member of an 8(a) Mentor Protégé Joint Venture (see SBA website) has the requisite facility clearance, there is no need for the JV itself to have a facility clearance. The requirement under DoDM 5220.22 Vol. 2 § 4.8(c)(6) is legally overruled with the passage of NDAA FY 2020 § 1629 (now codified as 15 USC § 644(e)(4)(B)(ii)). This conclusion was affirmed in 2021 by the GAO in Matter of InfoPoint LLC, Case No. B-419856
Q69:Page 3, Volume 2 Factor 1: Technical (4), In order to ensure that bidders demonstrate their ability to recruit and retain the key personnel necessary for the success of this bid, would the government consider requiring a signed letter of intent from the candidates? This could help address instances where bidders may include resumes of individuals who are either not associated with the company or unaware that their qualifications are being submitted in support of a specific proposal.
A69:It is not the standard, but we will accept it in a rare case.
Q70:Page 2, Volume I: General. We are bidding as an 8(a) Mentor Protégé Joint Venture and typically Joint Ventures are required to submit documentation to include our SBA Mentor Protégé Approval as well as our JV Agreement and JV Addendum for this contract to demonstrate non-affiliation. Should we include this information in Volume I and if so can it not be included in the 35 page overall proposal page limit?

The joint venture must be separately identified with its own name and have both a UEI and a CAGE code in SAM.gov. In SAM, designate the entity type as a joint venture, with individual partners listed as the immediate owners.

Your joint venture agreement must be in writing and follow SBA requirements. Joint ventures | U.S. Small Business Administration (sba.gov) *To receive an exclusion from affiliation the mentor-protégé agreement must be approved before a mentor and its protégé submit an offer for a small business contract as a joint venture.

Q71:Pages 53-72. The Section B provided in the solicitation shows only 1 year of performance and CLINs which does not match the CLIN/Pricing Attachment which shows 5 years. Which one is correct?

Q72:Regarding ADDENDUM TO 52.212-1, INSTRUCTIONS TO QUOTERS, "FACTOR 2: PAST PERFORMANCE - The information listed here is that of the Quoter, not any candidate or subcontractor." Question: If a Small Business intends to team with a subcontractor for this effort, and the sub-contractor has direct experience supporting the ASEP, are there any conditions by which the past performance of the subcontractor, who will perform the labor, would be considered to satisfy the past performance requirements?

Q73:Paragraph 1.6.1 - "Contracted vendors performing work under this contract must have a SECRET Facility Clearance at time of offer submission and must maintain the level of security required for the life of the contract." Question: If a small business teams with a sub-contractor who possesses a facility clearance and who is performing all labor, may the sub-contractor's Facility Clearance accepted to meet this requirement?
A73:No. All requirements must be met by the prime contractor
Q74:Please clarify that our understanding of these reference documents is correct that all contract manager and technical positions are considered Key by the Government? If so, are resumes required for all KP to be included in the proposal in order for a fair and equal evaluation of all quoters bids?
A74:Contract Manager is not a Key Personnel; they are an Essential Personnel (PWS reflects change). All other positions are Key Personnel and require resumes due to the critical nature, and high visibility of this requirement - ALL resumes will be reviewed.
Q75:Based on the Government reference statement, can the Government provide better clarity on what is meant by the technical factors that will be evaluated?
A75:Technical Factors are stated in Attachment 1 Key Personnel Qualifications
Q76:Is the Government stating that evaluation of the technical is going to be based mostly on skill sets, levels of education and experience of technical resumes presented?
A76:Evaluation will be on the technical factors stated in Attachment 1 Key Personnel Qualification and Attachment 52.212-2.

A78:Resumes are required for each position listed in the Technical Factors. The 35-page limit is due to the constraints on the size of attachments. The Government is not responsible for email not received due to being over the size limit.
Q79:(Factor 2, Past Performance) Contractors shall include the source of information, e.g. three points of contact, addresses and telephone numbers, type of contract, contract amount, period of performance, and comments on any performance problems encountered and the contractor’s corrective actions. Question: Is the Government requiring that three points of contact be provided for each citation? If so, we recommend that the Government consider relaxing the requirement to state 2-3 POCs as many Government contracts only have a KO and CS as Government references. Additionally, many KO’s will not allow their customers to be listed as POCs.
A79:The government is asking for POC in cases of negative past performance issues.
Q80:(Factor 2, Past Performance) Discussion: Given the wide range of relevant Federal and DoD contracts held by SB quoters, we request that recency window for past performance be extended to 5 years.

Q82:(Technical Eval, Factor 1, SWC, Sub-Factor 3) Discussion: This sub-factor details the type of SKAs that a candidate must have at the Acceptable and Good evaluation rating. To achieve an Outstanding rating, the criteria simply says: Candidate has more than 5 years’ experience with any discussion of SKAs the candidate must have. This LCAT criteria for evaluation is different than the other LCATS criteria.

Please clarify as these two appear to conflict. 1.5.5 states, “All travel to and from Carlisle Barracks, PA shall be at the expense of the contractor.” 1.13 Contractor Travel states, “The Contractor shall be authorized travel expenses at rates no higher than the substantive provisions of the JTR, IAW FAR 31.205-46, and the limitation of funds specified in this contract.”

Q92:The RFQ states there are two Key personnel whose names shall be provided NLT the time of contract award. Does the Government consider these billable positions? If so, will the Government amend the CLIN structure worksheet to add these CLIN positions for pricing purposes? Are resumes required to be provided for both Key Personnel at time of proposal submission? If so, we request the Government exclude resumes from page count.
A92:Key Personnel are listed in Attachment 1 of the PWS. Contract Manager and Alternate Contract Manager are not Key Personnel and do not require a resume but shall be named NLT the time of contract award. All other Key Personnel are required to have a resume submitted. See Question #87 regarding page count.

Q93: Please clarify that our understanding of these reference documents is correct that all contract manager and technical positions are considered Key by the Government? If so, are resumes required for all KP to be included in the proposal in order for a fair and equal evaluation of all quoters bids?

Q94:The Adjunct Professor LOT 8 - (40 hours per month SAF) line 30. Only has one week in the 1st of DEC. Just verifying do we follow the 40 hours per month or just the one week in December?
A94:The Adjunct professor right now only has funding for 1 week. The “normal” Adjunct Professor does work about 40 hours a month.
Q95:Ops Support LOT 6 - (3 weeks x 3 per year SAF) on line 40 has no markings. Do we bid the 3 weeks at 3 times per year and times are flexible?
A95:The Ops Support for Lot 6 is SAF but that would be the projected hours. Bid on the 3 weeks x 3 per year, you will be notified in advance when and if the course will execute.
Q96:Based on the dates in the ASEP course support matrix showing 1 DEC as the first course and the CLIN (line 57) showing a 1-month phase in we are planning on a Nov start date for transition. Is that accurate?
A96:Yes, that is correct. Phase-In is 01 Nov – 30 Nov and Base Year POP is 01 Dec – 30 Nov.
Q97:Lastly, we are trying to bundle hotels and other expenses to lower cost to the government. This is taking a bit of time. Would it be possible to have a one-week extension or if that in not feasible a due date of the afternoon of the 21st of Oct?
A97:The Government coordinates the acquisition of hotels. The only task the vendor provides is to coordinate with the hotels during execution of TDY. Vendor will be reimbursed TDY travel and hotel fees. We are not able to extend the solicitation.
