52.209-5 CERTIFICATION REGARDING RESPONSIBILITY MATTERS (OCT 2015)
(a)(1) The Offeror certifies, to the best of its knowledge and belief, that-
(i) The Offeror and/or any of its Principals-
(A) Are ( ) are not ( ) presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency;
(B) Have ( ) have not ( ), within a three-year period preceding this offer, been convicted of or had a civil judgment rendered against them for: commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a public (Federal, State, or local) contract or subcontract; violation of Federal or State antitrust statutes relating to the submission of offers; or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, tax evasion, violating Federal criminal tax laws, or receiving stolen property (if offeror checks “have”, the offeror shall also see 52.209-7, if included in this solicitation); and
(C) Are ( ) are not ( ) presently indicted for, or otherwise criminally or civilly charged by a governmental entity with, commission of any of the offenses enumerated in paragraph (a)(1)(i)(B) of this provision.;
and
(D) Have , have not , within a three-year period preceding this offer, been notified of any delinquent Federal taxes in an amount that exceeds $3,500 for which the liability remains unsatisfied.
(1) Federal taxes are considered delinquent if both of the following criteria apply:
(i) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.
(ii) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.
(2) Examples. (i) The taxpayer has received a statutory notice of deficiency, under I.R.C. Sec. 6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(ii) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. Sec. 6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.
(iii) The taxpayer has entered into an installment agreement pursuant to I.R.C. Sec. 6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.
(iv) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).
(ii) The Offeror has ( ) has not ( ), within a three-year period preceding this offer, had one or more contracts terminated for default by any Federal agency.
(2) Principal, for the purposes of this certification, means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager;
head of a division or business segment; and similar positions).
(b) The Offeror shall provide immediate written notice to the Contracting Officer if, at any time prior to contract award, the Offeror learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances.
(c) A certification that any of the items in paragraph (a) of this provision exists will not necessarily result in withholding of an award under this solicitation. However, the certification will be considered in connection with a determination of the Offeror's responsibility. Failure of the Offeror to furnish a certification or provide such additional information as requested by the Contracting Officer may render the Offeror nonresponsible.
(d) Nothing contained in the foregoing shall be construed to require establishment of a system of records in order to render, in good faith, the certification required by paragraph (a) of this provision. The knowledge and information of an Offeror is not required to exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.
(e) The certification in paragraph (a) of this provision is a material representation of fact upon which reliance was placed when making award. If it is later determined that the Offeror knowingly rendered an erroneous certification, in addition to other remedies available to the Government, the Contracting Officer may terminate the contract resulting from this solicitation for default.
(End of provision)
2. ADDENDUM TO FAR 52.212-1, INSTRUCTIONS TO OFFERORS – COMMERCIAL ITEMS (OCT 2015)
Paragraph (b) entitled “Submission of Offers” is deleted in its entirety and replaced with “Proposal Preparation
Instructions”, below.
Paragraph (c) entitled “Period for acceptance of offers”, is tailored to read: “The offeror agrees to hold the prices in its offer firm for 100 calendar days from the date specified for receipt of offers.”
Paragraph (e) entitled “Multiple Offers” is tailored to read: “The government will not consider multiple offers presenting alternate terms and conditions for satisfying the requirements of this solicitation.”
Paragraph (g) entitled “Contract award (not applicable to Invitation for Bids).” Is tailored to read: “The
Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror’s initial offer should contain the offeror’s best terms from a price and technical standpoint. However, the
Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary.
If the Contracting Officer determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Contracting Officer may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals. The Government may reject any or all offers if such action is in the public interest;
accept other than the lowest offer; and waive informalities and minor irregularities in offers received.”
Paragraph (h) entitled “Multiple awards” is tailored to read: “The Government intends to award one contract as a result of this solicitation. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.”

3. PROPOSAL PREPARATION INSTRUCTIONS
a. General Information
(1) To assure timely and equitable evaluation of proposals, offerors must follow the instructions contained herein.

ADDENDUM TO FAR 52.212-2 (Oct 2014)
FAR 52.212-2 is amended in its entirety as follows:
(A) Basis for contact award. This is a competitive best value source selection and the Government intends to award a single contract resulting from this solicitation. The Government will conduct a low price technically acceptable (LPTA) source selection and intends to award a contract without conducting discussions. However, the Government reserves the right to conduct discussions if it is determined to be in its best interest. The Government will utilize a LPTA source selection process as described below to identify the offeror who represents the best value to the Government. The following factors shall be used to evaluate proposals:
(1) Price
(2) Technical Capability
(B) Evaluation Process
(1) After receipt of proposals, the Government will calculate the Total Proposed Price (TPP) of all offerors as described below and rank them in ascending order. The technical evaluation will begin with the proposal calculated to have the lowest TPP.
(2) If the lowest priced offeror has an Acceptable Technical Capability rating and that offeror’s pricing is determined fair and reasonable, the Government will then complete a responsibility determination IAW criteria specified in FAR 9.104-1. The Government will consider each Offeror’s Corporate Experience Information in Government’s responsibility determination IAW standards specified in FAR 9.104-1. If found responsible, the evaluation process stops at this point. Award will be made to that offeror without further consideration of any other offers.
(3) If the lowest priced offer is rated unacceptable, this process will continue with other offeror’s in order of ascending TPP until an Offeror is judged to have an acceptable technical rating, fair and reasonable prices, and the Offeror is deemed responsible; or until Government has evaluated all technically acceptable offers.
(4) If all acceptable offers are not awardable based on the initial evaluation process above, the Source Selection Authority (SSA) will determine whether it is in the Government's best interest to enter into discussions. If the SSA determines to enter into discussions, SSA will establish a competitive range IAW FAR 15.306(c). The source selection team will complete the discussion process, request final proposal revisions, and document final evaluation results IAW DOD Source selection procedures for those Offerors within the competitive range. After evaluation of final proposal revisions, the SSA will make a selection of the best-value proposal consistent with stated evaluation criteria.
(C) Evaluation Factors
(1) Each offeror’s’ proposal will be evaluated against the following criteria: Price and Technical Capability.
(a) Factor 1 – Price: Price will be considered in determining the best value offeror. The Government will calculate the offeror’s TPP by adding the total price of the base requirement, all ordering periods, and the total price for the 6-month extension of services. Pricing for the 6-month extension of services period will be based on the unit prices proposed in the offeror’s final ordering period. Evaluation of options will not obligate the Government to exercise the option.
Prior to award, the Government will complete a price analysis to determine if the TPP is fair and reasonable using techniques at FAR 15.404-1(b)(2).
(b) Factor 2 – Technical Capability: Technical Capability will be evaluated on an Acceptable or Unacceptable basis.
There are three factors associated with this evaluation factor. If any technical sub-factor is rated Unacceptable, the overall Technical Proposal is Unacceptable. If all technical sub-factors are rated as Acceptable, then the overall Technical Proposal is Acceptable.
Technical Ratings Description
Acceptable Proposal clearly meets the Government’s minimum requirements of the solicitation
Unacceptable Proposal does not clearly meet the minimum requirements of the solicitation
Offeror’s proposals must receive a rating of Acceptable for all of the following technical sub-factors for award consideration. To be rated acceptable:
(i) The Government will evaluate the offeror’s Master Work Plan, Sample Work Plan, and Quality Control Plan to ensure it effectively demonstrates it meets all performance work statement and appendices requirements within the required period of performance. The three sub-factors listed in Addendum 52-212-1, Technical Proposal, will be the basis for meeting all the required technical capability.
(D) Government reserves the right to award no contract at all depending on the quality of proposals submitted and availability of funds for the requirement. As stated above, the Government intends to evaluate proposals and award a single IDIQ contract without discussion. Therefore, Government will advise Offerors that their initial offer should contain the most favorable terms and reflect their best possible performance potential. Government reserves the right to clarify aspects of the proposals and hold discussions, as allowable under FAR Part 15 procedures.
