1. Contract Definition
All Task Orders to be awarded under this MATOC will be competed in accordance with (IAW) FAR
16.505(b)(1), Fair Opportunity, and DFARS 216.505-70, Ordering Under Multiple Award Contracts, unless one of the exceptions to fair opportunity at FAR 16.505(b)(2)(i) applies. IAW FAR 16.505(b)(1) and DFARS
216.505-70 Task Order selection will be tailored to specific project requirements and awarded IAW pre-established evaluation criteria.
Evaluation criteria will be established IAW with the DOD and/or Army Source Selection Manual. For additional information on the task order evaluation process, see Contract Section L and M.
2. Pricing
The price for each firm-fixed price Task Order shall be based on the hourly rates for labor disciplines proposed by the offeror in the “Hourly Labor Rates” tables shown below, and the offeror’s proposed markups for the other direct costs in the tables below. All hourly rates shall include Overhead, General/Administrative, Labor Burden
Fringes, and shall be exclusive of profit. If a discipline is not listed in the Hourly Labor Rates table and is required for a specific Task Order, that labor rate will be determined before award of that Task Order. Profit will be reflected in individual Task Orders issued.
The offeror shall complete Tables 1-5 in the pages that follow. If the offeror has a different job title or if the offeror is proposing to use subcontracted labor in which the subcontractor uses a different job title for any of the listed employees, the offeror is instructed to add that job title to the most appropriate or similar job title listed in the table
(i.e.: Clerical/Administrative Assistant). The proposed labor rates are to be fully burdened labor rates, with the exception of profit which will be reflected in individual Task Orders. The rates proposed in Tables 1-5 will be legally binding and will be the maximum rates that the offeror will use for all firm-fixed price Task Orders issued within the five year ordering period of the contract. The offeror shall provide proposed labor rates for each year.
Lower rates may be offered at the Task Order level, if deemed appropriate by the offeror.
The Offeror shall provide a breakdown for each of the fully burdened labor rates submitted in Section B to identify the following:
(i) Salaried Rate - hourly rate that employee is paid
(ii) Effective Rate Costs - fringe benefits (i.e. health care coverage, holidays, vacation time, etc.)
(iii) General and Administrative Costs (i.e. Administrative Overhead, Production Overhead, if applicable, etc.)
(iv) Fully Burdened Rate – Sum of the above (This is the actual rate charged to a project for one hour of labor.)
Offerors may provide the labor rate breakdown using a different accounting format or method provided the Salaried
Rate and Fully Burdened Rates are shown along with a detailed breakdown of all added costs that make up the difference between the two rates.
NOTE: If during the Contract Period of Performance, the Contractor’s original subcontracted personnel are no longer available to the Prime, the Prime shall find a subcontractor that has at a minimum, the same qualifications as the previous subcontracted personnel. The Prime shall be responsible for negotiating the labor rates for those personnel that have been provided in this RFP. Those rates provided are the maximum that will be paid by the
Government for any replacement personnel.
NOTE: During the Contract Period of Performance, the requirements of an individual task order may require specific technical capability beyond what was originally proposed by the Contractor for the MATOC Contract.
In this case, the Contractor is not restricted from utilizing additional subcontractors, however the qualifications and labor rates for the additional subcontractors are subject to review and approval by the Government.
In the Rates/Markups table below, offerors shall indicate the annual escalation percentages in the Hourly Labor
Rates table, which will be used for evaluation of basic contract price.
Maximum rates shall be governed by the date of the Task Order requirement. Task Orders will use the prices for the 12-month period effective on the date the Task Order is issued. Modifications to Task Orders will reflect the rates of the "current 12-month" price schedule. For example, if the rate schedule changes over on 1 November of each year, and a Task Order is issued on 1 Sep 2017 for 12 months work, the maximum rates will be the rates that were effective on 1 Nov 2016. Under the same assumptions, if a modification to this Task Order is required in
December 2017, labor rates effective on 1 Nov 2017 will apply.

C002 DESCRIPTION OF WORK
The USACE currently owns and operates a significant amount of floating plant consisting of approximately 2,500 different vessels. The age of the vessels varies widely, however the majority of all floating plant is at least 15 years old and still operating with the equipment that was installed during original construction. As a result of the age of the vessels, the onboard power, control, monitoring and alarm systems and equipment require replacement several times over the life of the floating platform. In some cases, vessels have undergone planned upgrades to newer systems and components which increases reliability, however it also increases system complexity in operation and maintenance. In other cases, where the condition of the hull and other systems is also in need of significant repair, many vessels have been replaced with newer vessels operating newer electronic systems.
In all cases, equipment operating life, component support, and unpredictable reliability becomes more of an issue with age of the system. Additionally, the complexity of the electronics systems installed in new vessels and retrofitted in existing vessels and their effect on the overall safe operation of those vessels necessitates installation or oversight of installation by recognized system integration experts.
