8.3 Tab C – Joint Venture and Mentor-Protégé Agreements

Small business offerors (e.g., 8(a), HUBZone, SDVOSBC, etc) submitting a proposal as a Joint Venture or Mentor-Protégé Joint Venture shall submit evidence from the Offeror's SBA Servicing Agency
Q2. Please clarify what the specific similarities and differences are between a Small Business Participation Plan and a Subcontracting Plan.
The SB participation and the subcontracting plans are two different plans but they are related. The SB Participation Plan is the percentage of work, based on the total value of your proposal, that your firm intends to award to small businesses. Any portion that is not going to small business is automatically large. The total large and small business dollars and add up to 100% of the total value of the proposal.
The subcontracting plan is based on the combined value of what you plan to subcontract out to both large and small businesses. For example, if your firm plans to self-perform all of the work except the small business portion, then your subcontracting plan reflects 100% of the total subcontracted dollars going to small business. If on the other hand your firm intends to use both large and small businesses, then the combined dollars of each category equals the total subcontract dollar base. The small business subcontract dollars always equal the total small business participation dollars, whereas your firm determines the amount of the large business subcontract dollars. The other small business category percentages are also based on the total amount of subcontracted dollars.
As long as your subcontracting plan contains all of the elements as required by FAR 52.219-9 and there are no arithmetical errors, then it is acceptable.
