(End of provision)

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

1.0 GENERAL REQUIREMENTS

1.1 The Instructions to Offerors and Clause 52.212-1 describe the proposal instructions for submission requirements and instructions. This section outlines the evaluation process and basis of award.

2.0 EVALUATION PROCESS

2.1 A Source Selection Evaluation Board (SSEB) composed of U.S. Army Corps of Engineers personnel, Using Activity representative, and as necessary, technical advisors will conduct the evaluation. The number and identities of Offerors are not revealed to anyone not involved in the evaluation and award process or to other Offerors. The SSEB will evaluate proposals, using the factors and evaluation criteria described in this section.

2.2 The evaluation process consists of four parts: proposal compliance review, non-price evaluation, price analysis and non-price/price trade-off analysis.

2.2.1 Proposal Compliance Review. This is an initial check by the Government on the basis of RFP requirements. This review may eliminate those proposals which fail to provide the required information and documents in the format and detail specified. This review is to ensure that all required forms are complete, and in compliance with all administrative and submission criteria.

2.2.2 Non-Price Factor Evaluation. In accordance with the solicitation, each member of the SSEB will conduct an independent review of the proposals. The review will be an in-depth, systematic evaluation of the proposal against the submission criteria and evaluation factors. After these reviews, the SSEB, by consensus, will provide a rating for each evaluation factor supported by a justifying narrative. The offeror’s ratings are confidential and will remain in the Contracting Officer’s files. Upon completion of the evaluations, the results will be provided to the Source Selection Authority (SSA) in the form of a Proposal Analysis Report. The SSA will use this report in conjunction with independent business judgment to select two or more of the most highly qualified offerors for acceptance into the MATOC Pool.

2.2.3 Price Evaluation. The Government will initially review pricing independently from the technical evaluation. Price is not rated but will be analyzed for fairness and reasonableness through the use of cost and price analysis. The price analysts will also check for appearance of unbalance pricing. Per FAR 15.404-1(g), unbalance pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items is significantly over or understated as indicated by the application of cost or price analysis techniques. The Government may reject an offer as non-responsive if it is materially unbalanced. The price evaluation will document the fairness and reasonableness of the proposed bid. If adequate price competition exists, no additional cost information will be requested. However, if at any time during this competition the SSA determines that further analysis is needed, detailed cost breakdowns may be requested.

2.2.3.1 Price Evaluation of Base contract Bid Schedule (Attachment 5.1.) is directly associated with labor rates and contractor overhead rates. The price evaluators will check for the appearance of unbalancing of prices. The Government may reject an offer for appearance of unbalancing of prices. The Government may reject an offer as non-responsive if it is materially unbalanced as to prices. The price evaluations will document, for the offers evaluated, the fairness and reasonableness of the proposed evaluated price (CLINS).

2.2.3.2 Price Evaluation of Task Order No. 0001 Bid Schedule (Attachment 5.2).

This price will be evaluated using cost and price analysis techniques for fairness and reasonableness and checked for appearance of unbalancing of prices. The Government may reject an offer for appearance of unbalancing of prices. The Government may reject an offer as non- responsive if it is materially unbalanced as to prices. The price evaluations will document, for the offers evaluated, the fairness and reasonableness of the proposed evaluated price. The Government may request a price breakdown at any time during the evaluation process.

2.2.4 Non-Price/Price Trade-off Analysis. After price analysis of the Bid Schedules and the technical/quality evaluations are completed, the Government will then consider the prices in connection with the technical ratings, comparing the relative advantages and disadvantages of the proposals and prices. If the SSA determines discussions are not required, the SSA, relying on the Board’s report and independent business judgment, will decide which Offerors are to be awarded an IDIQ contract.

This decision, reflected in the Source Selection Decision Document (SSDD), will be based on the proposals that offer the best value to the Government in terms of their combined non-priced technical ratings and price. This may result in awards being made to higher rated, yet higher priced Offerors where the decision is consistent with the solicitation’s evaluation factors and the SSA reasonably determines that the technical superiority of the higher priced Offeror justifies the additional costs.

3.0 EVALUATION CRITERIA

3.1 There are three volumes required for this proposal. Volume I includes two (2) non-priced evaluation factors that will be evaluated. Volume II includes administrative requirements and proposed pricing. Volume III includes Subcontracting Plan (Individual Contract Plan) required only for large businesses.

EVALUATION FACTORS AND ORDER OF RELATIVE IMPORTANCE

Volume Factor - Description Relative Importance Vol I – Tab A Factor 1 – Technical Approach for the Base Contract (MATOC) and Seed Project

1st in relative importance; more important than Factor 2 and 3

Vol I – Tab B Factor 2 – Past Performance Information of the Prime Contractor

2nd in relative importance; less important than Factor 1; more important than Factor 3

Vol II Administrative Requirements (Including Price)

Not Rated. Price evaluated through Price Analysis.

Vol III Subcontracting Plan (Individual Contract Plan) (Required only for Large Businesses)

Not rated. Reviewed by the Small Business Advisor and the Contracting Officer for acceptability

In general, the non-priced factors are considered significantly more important than price in relative importance.

3.2 Volume I

3.2.1 Evaluation of Factor 1, Vol I - Tab A – Technical Approach for the Base Contract (MATOC) and Seed Project

The offeror shall submit a Technical Work Plan that demonstrates the offeror’s approach to performing the required work as outlined in the specifications. The Technical Work Plan must not exceed twenty-five (25) pages. If the Technical Work Plan exceeds the page limit the Government will only evaluate the information contained in the first twenty-five (25) pages of the plan. The Government will evaluate the narrative to assess the offeror’s level of understanding and expertise installing plant SCADA and unit control systems with related instrumentation, assess the technical approach to completion of all tasks required by the project given the complexity and constraints of the project, understanding of the task order process, the adequacy of personnel, procedures, systems and plans for responding to and execution of task order requirements, and safety planning. The offeror will include any risks and the proposed approach for risk mitigation.

3.2.1.1 The Plan must provide, at a minimum:

3.2.1.1.1 Organization. Provide an organizational chart showing the reporting structure and lines of authority for the proposed team key functions such as project manager, superintendent, safety manager, and others. Without identifying by name, describe the role of the key functional members during installation.

3.2.1.1.2 Cost effectiveness and expedited completion. Describe the process for providing a task order proposal that is cost-effective and will allow the offeror to expedite completion of the project. Describe the approach to streamlining installation resulting in reduced costs and achievement of aggressive schedules with consideration to operational or environmental restraints.

3.2.1.1.3 Quality control. Describe the approach for quality control for installation.

Include: quality control organization; review of design; verification of construction materials; construction inspection; permit compliance; project documentation; and change request process.

3.2.1.1.4 Seed Project Approach. The Government will evaluate the narrative to assess an understanding of the seed project and the effort required within the major work features to be accomplished as described in the Seed Project specification.

3.2.1.1.5 Seed Project Schedule. The offeror’s proposed schedule for completing the work in Gantt chart format, including who (prime or subcontractor) is performing each activity. The Government will evaluate the preliminary project schedule to assess the offeror’s understanding of the overall duration of the project and the activities that are necessary in order to meet the requirements of the seed project. The schedule will be assessed for its logic, reasonableness of scheduled activities/tasks, and task durations necessary to complete design and construction, within the required performance period.

The schedule shall ensure all scheduled outages are each no more than ninety (90) days and occur in the months of October-December and March-May (unless noted as a special outage case). No more than one (1) unit outage shall occur simultaneously (unless otherwise noted).

At a minimum, the schedule shall include the following:

o Submittal preparation, submission, and review period o The Contractor’s capability of sourcing and delivering the necessary materials for installation o The Contractor’s capability of sourcing and scheduling the demolition of:

Main Duplex Switchboard Recorder Board SCIPAR RTUs Turbine Pit Controllers 24VDC System Motor Control Center Controllers o The Contractor’s capability of installing each of the following:

RTU cabinets Include one week for raised floor to be installed by another contractor prior to the first RTU installation.

Instrumentation Major conduits & raceways o Commissionings The last 3 weeks of each outage are reserved for government commissioning Contractor installation work shall be complete prior to government commissioning.

o Critical Path.

3.2.1.2 Technical Factor Ratings for Factor 1: Ratings outlined below focus on the strengths, deficiencies, weaknesses, risks, and uncertainties of the offeror’s proposal.

The rating depicts how well the offeror’s proposal meets the technical factor requirements.

Ratings Combined Technical/Risk Rating Definitions OUTSTANDING Proposal indicates an exceptional approach and understanding of the requirements and contains multiple strengths, and risk of unsuccessful performance is low.

GOOD Proposal indicates a thorough approach and understanding of the requirements and contains at least one strength, and risk of unsuccessful performance is low to moderate.

ACCEPTABLE Proposal meets requirements and indicates an adequate approach and understanding of the requirements, and risk of unsuccessful performance is no worse than moderate.

MARGINAL Proposal has not demonstrated an adequate approach and understanding of the requirements, and/or risk of unsuccessful performance is high.

UNACCEPTABLE Proposal does not meet requirements of the solicitation, and thus, contains one or more deficiencies, and/or risk of unsuccessful performance is unacceptable.

Proposal is unawardable.

Any rating less than ‘Acceptable’ for this factor will preclude award to an offeror.

3.2.2 Evaluation of Factor 2, Vol I – Tab B –Past Performance

3.2.2.1 Past Performance Relevancy Ratings by individual project. An Offeror’s “Relevant Company Effort” information will be evaluated to determine if the projects submitted are “recent” and “relevant”. For this solicitation, the Government will give more consideration for work similar to the project described by this solicitation, projects of a similar dollar value, where the Offeror performed as the prime contractor, as opposed to a subcontractor. Additionally, more consideration will be given for projects where the Offeror performed as the prime contractor self-performing the major features of the work similar to this solicitation.

3.2.2.1.1 Offeror must submit documentation on at least 1 and up to 3 projects showing work experience similar in scope and complexity to this RFP. Projects must have been completed within the past five years to be considered recent. Projects will be given a greater relevancy rating if they demonstrate the ability to work at more than one plant concurrently (e.g. for past project A, in which the offeror installed industrial enclosures at three or more facilities simultaneously with three separate crews, will be given a higher relevancy rating than past project B, in which the offeror installed industrial enclosures at only one plant, and all other factors being equal between project A and B).

3.2.2.1.2 Past performance will be evaluated on work that is on-going (at least 50% complete) or recently completed (within the last 5 years). If an Offeror submits an ongoing project without providing an accompanying reasonable explanation that explains how the project is at least 50% complete, the Government reserves the right to reject the project. More consideration will be given to past performance that demonstrates the Offeror’s experience performing (1) installation of industrial enclosures and associated cables, conduits, and raceways (including fiber & copper communication cables and raceways); (2) wiring and mounting industrial instrumentation including, but not limited to, level, flow, temperature, and pressure instrumentation; (3) terminating field wiring inside industrial enclosures with consistent and organized wiring; and (4) quality control measures. Demonstrated experience must be similar in scope and complexity to the work required by this solicitation. Offerors should describe each project with enough detail to ensure that the Government can meaningfully assess the projects against the evaluation criteria.

3.2.2.1.3 The Government will then assess how well an Offeror performed on the projects submitted. The Government will, as necessary, confirm quality of past performance data provided by the Offeror in its proposal and, at its discretion, obtain additional past performance information, if available, from other sources. When the relevant performance record indicates performance problems, the Government will consider the number and severity of the problems and the appropriateness and effectiveness of any corrective action taken (not just planned or promised). The Government may review more recent contracts or performance evaluations to ensure corrective actions have been implemented and evaluate their effectiveness.

3.2.2.1.4 Upon completion of its evaluation of each project, the SSEB, by consensus, will assign each project one of the following ratings:

Past Performance Relevancy Ratings

Very Relevant - Present/Past effort involved essentially the same scope and magnitude, effort and complexities this solicitation requires.

Relevant - Present/Past effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Somewhat Relevant - Present/Past effort involved some scope and magnitude of effort and complexities this solicitation requires.

Not Relevant - Present/Past effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

3.2.2.2 Overall Performance Confidence Assessment Rating. After checking compliance and assigning each project a relevancy rating, the SSEB will then determine an overall Performance Confidence Assessment rating. The overall Performance Confidence Assessment rating takes into consideration the degree of relevancy of each project, the quality ratings of those projects, and the diversity of the project portfolio submitted as compared to the work required by the solicitation.

3.2.2.2.1 The overall Performance Confidence Assessment Rating reflects the degree of probability the Offeror will be able to meet the solicitation’s requirements. Upon completion of the evaluation, one of the following ratings will be assigned:

Performance Confidence Assessment Ratings

Description

Substantial

Based on the Offeror’s recent/relevant performance record, the Government has a high expectation that the Offeror will successfully perform the required effort.

Satisfactory

Based on the Offeror’s recent/relevant performance record, the Government has a reasonable expectation that the Offeror will successfully perform the required effort.

Neutral Confidence

No recent/relevant performance record is available or the Offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonable assigned. The offeror may not be evaluated favorably or unfavorably on the factor of past performance

Limited Confidence

Based on the Offeror’s recent/relevant performance record, the Government has a low expectation that the Offeror will

No Confidence

Based on the Offeror’s recent/relevant performance record, the Government has no expectation that the Offeror will

3.2.2.3 Additional Information.

3.2.2.3.1 If the Offeror is submitting as a Joint Venture (JV), the SSEB will utilize the information submitted to conduct the relevancy and performance confidence assessment ratings of the JV, or its partners, as previously indicated.

Based on the information submitted by the JV Offeror, the SSEB will evaluate and assess:

The JV’s “Past Performance Information” and/or Each JV partners’ “Past Performance Information”

3.2.2.3.2 Offerors with little or no relevant past performance will not be evaluated favorably or unfavorably for this Factor. However, such a proposal will be rated neutral confidence, and thus may not represent the most advantageous proposal to the Government when compared to the proposals of other Offerors with recent/relevant past performance. An Offeror with a deficiency as defined by FAR

15.0001 will not be considered for a contract award.

3.3 Volume II - Administrative Requirements (Including Price). Administrative requirements and price are not rated. The Government will analyze price as previous discussed and make a risk assessment of the Offeror’s financial capability to successfully accomplish the project.

3.4 Volume III - Subcontracting Plan (Individual Contract Plan). Large business Offerors must submit a Subcontracting Plan (Individual Contract Plan) as required by FAR 52.219- 9, Alternate II. The Subcontracting Plan will not be rated by the SSEB, but rather reviewed by the Small Business Advisor and the Contracting Officer for acceptability.

Large Businesses will not be eligible for award if they fail to submit an acceptable Subcontracting Plan. In accordance with DFARs 215.304(c), when an evaluation assesses the extent that small businesses are specifically identified in proposals, the small businesses considered in the evaluation shall be listed in any subcontracting plan submitted. The assessment will consider if the plan adequately responds to each of the required elements of the FAR 52.219-9(d).

3.5 Additional definitions used in all factors.

3.5.1 Deficiency

3.5.1.1 A material failure of a proposal to meet a Government requirement or combination of significant weaknesses in a proposal that increases the risk of unsuccessful contract performance to an unacceptable level. (FAR 15.001)

3.5.1.2 The evaluators will identify the RFP requirement, and describe why a deficiency or deficiencies exist in the proposal. All deficiencies discovered will be identified to the Offeror during discussions, if conducted, and in the debriefing. Failure by an Offeror to rectify deficiencies deemed essential will preclude award action to that Offeror.

3.5.1.3 The Contract requirements take precedence over deficiencies (or deviations) discovered after award.

3.5.1.4 Deviation. Proposal implies or specifically offers something below specified criteria. The Offeror may or may not have called the deviation to the Government's attention. A deviation is a deficiency. The technical reviewers will identify any deviations.

3.5.2 Clarification. Means limited exchanges, between the Government and Offerors that may occur when award without discussions is contemplated. Offeror may be given the opportunity to clarify certain aspects of the proposals (e.g., the relevance of an Offeror’s past performance information and adverse past performance information to which the Offeror has not previously had an opportunity to respond) or to resolve minor or clerical errors. Clarification does not give the Offeror an opportunity to revise or modify its proposal, except to the extent that corrections of apparent clerical mistakes results in a revision. Clarifications do not require "discussions" or submission of another proposal.

3.5.3 Weakness.

3.5.3.1 Means a flaw in the proposal that increases the risk of unsuccessful contract performance. A “significant weakness” in the proposal is a flaw that appreciably increases the risk of unsuccessful contract performance.

3.5.3.2 All significant weaknesses discovered will be identified to the Offeror during discussions, if conducted, and in the debriefing. Failure by an Offeror to rectify multiple significant weaknesses deemed essential will preclude award action to that Offeror.

3.5.4 Strength.

3.5.4.1 Any aspect of a proposal that, when judged against a stated evaluation criterion, enhances the merit of the proposal or increase the probability of successful performance of the contract.

3.5.4.2 A “significant strength” appreciably enhances the merit of a proposal or appreciably increases the probability of successful contract performance.

4.0 DISCUSSIONS

4.1 The Government intends to make a determination of contract award based on initial proposals without holding discussions. However, the Government reserves the right to conduct discussions, and allow proposal revisions, if the SSA determines that discussions are in the Government's best interest. Offerors are cautioned that discussions may not be conducted and Offerors should not assume that they will have an opportunity to revise their proposals after submission.

4.2 If discussions are deemed necessary, the SSA will include only those firms determined to be the most highly rated; those whose proposals are reasonably susceptible to being made acceptable; but not those that are so deficient as to essentially require major revisions or a total re-write of their proposal. In certain circumstances, the Government may limit offers in the competitive range to a number that will permit an efficient competition. If discussions are required, the SSEB will follow the evaluation process herein until discussions are closed. Upon the conclusion of discussions, those Offerors still within the competitive range will be afforded an opportunity to revise their proposals and submit a Final Proposal Revision for evaluation.

If discussions are held, Offerors are required to submit their responses to comments electronically. If discussions are held, detailed instructions on responses will be provided. Electronic submissions shall meet the submission deadline set forth by the SSA during discussions or indicated in the Amendment requesting the Final Proposal Revisions. Regardless of the submittal process used, the SSA will notify all the Offerors in the competitive range, in writing, how and when interim revisions and final proposals revisions are to be submitted.

4.3 Upon conclusion of discussions, those Offerors still within the competitive range will be afforded an opportunity to revise their proposal and to submit their final proposal revisions for evaluation.

5.0 THE SELECTION PROCESS.

5.1 The SSEB will perform the previously discussed non-price/price tradeoff analysis and provide to the SSA relative to the advantages/disadvantages each proposal offers to the Government, considering prices and the factor evaluation for the Bid Schedule. The SSA, independently exercising prudent business judgment, will make the source selection decision based on the Offeror(s) whose proposal offers the best value to the Government.

The Government reserves the right to choose what is in its best interest considering non-price factors, price, and other factors considered. This may result in an award being made to a higher rated, higher priced Offeror where the decision is consistent with the solicitation’s evaluation factors and the SSA reasonably determines that the technical superiority and/or overall business approach and/or superior past performance of the higher priced Offeror outweighs the price difference.

6.0 BASIS OF AWARD.

6.1 Selection for the MATOC Pool. It is the Government’s intent to award IDIQ contracts to two or more responsible Offerors whose proposal, conforming to the Solicitation, is fair and reasonable, and has been determined to be most advantageous to the Government through trade-off analysis, non-price, price, and other factors considered.

6.2 In general, the non-price factors are considered more important than price in relative importance. As differences in factor ratings and relative advantages and disadvantages become less distinct, difference in price may become the discriminating factor in determining the most advantageous proposal. Conversely, as differences in prices become less distinct, differences in ratings and relative advantages and disadvantages between proposals are determinative. A contract will not be awarded to an offeror with a deficiency as defined in FAR 15.001.

6.3 The Government reserves the right to accept other than the lowest priced offer. The right is also reserved to reject any and all offers. The basis of award will be a conforming offer, the price or cost of which may or may not be the lowest. If other than the lowest priced offer is selected for award, it must be sufficiently more advantageous than the lowest priced offer to justify the payment of additional amounts.

6.4 Selection for the Seed Project (Task Order No. 0001). After the ID/IQ MATOC Pools have been established, then the Government will consider the award of the seed project.

The seed project may be awarded subject to availability of funds. The Government will award a firm fixed-priced task order to that one offeror awarded an ID/IQ MATOC contract that has been determined to be the most advantageous to the Government through trade-off analysis, non-price, and price and other factors considered.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
