TP-1 GENERAL / MANAGEMENT AND ADMINISTRATIVE PERSONNEL

Statement of Work: The purpose of this contract is to provide for the operation, maintenance, and repair of Government-owned facilities and equipment at Carters Lake Project. The Contractor shall provide planning, programming, administration, management, supervision, maintenance of accurate and complete records and files, quality control inspection, and personnel necessary to operate and maintain Government-owned facilities and equipment at Carters Lake Project.

General: Carters Project is located on the Coosawattee River in northwest Georgia, approximately 75 miles north of Atlanta, GA and 50 miles south of Chattanooga, TN. Towns around the project include Ellijay, and Chatsworth, Georgia. Work to be performed under this contract is located in Gilmer and Murray Counties, Georgia. For more information, stop by the Carters Project Visitors' Center located at 1850 Carters Dam Road, Oakman, GA 30734.

Additional information about the project is also available on the Internet at http://www.sam.usace.army.mil/Missions/Civil-Works/Recreation/Carters-Lake/.

The Contractor shall furnish all labor, materials, supplies, and other items necessary for the operation, maintenance, repair, and replacement requirements as specified herein. All work will be done in a professional, efficient, effective, and workmanship like manner. The estimated recreational facilities are contained in Section J. The listing of facilities and quantities should be considered approximate and are provided as an estimate to aid in the preparation of proposals.

The actual quantities may be more or less and may vary based on the closure or leasing of parks and the addition or removal of specific amenities. Variations in these quantities will not be justification for modification of the contract or request for additional payment except as provided for in the contract.

Technical Provisions 1-5 are the Fixed Price portion of the contract. The Contractor is required to furnish materials and supplies that are specifically described in each fixed price technical provision. All expenses required of the Contractor to perform these fixed price provisions should be reflected in the proposal unit pricing of each technical provision. Technical Provisions 6-15 are the Cost Plus portion of the contract. All expenses required of the Contractor to perform are reimbursable in accordance with the Federal Acquisition Regulation. Award will be made as a whole to one offeror. Offerors must include all items in their proposal. Failure to do so will be cause for the Government to deem the proposal non-responsive.

It is the intent of this requirement to insure that all work is performed in accordance with appropriate industry standards to obtain quality end products. Replacement parts and facilities will be equal or better than those being replaced. Replacement of parts with lower quality items will result in the work being determined as unauthorized by the COR and will be re-done by the Contractor. Work completed under fixed price technical provisions which does not meet industry standards or is otherwise not in accordance with contract requirements will be re-done at the Contractor’s expense. Any necessary deviation to design standards will require COR approval prior to work/project commencement.

The term of this contract is limited to one (1) base period and four (4) option periods.

The Government may award contracts for additional and/or similar work. The Contractor shall cooperate with such other Contractors, its employees and/or Government employees, as directed by the Contracting Officer’s Representative (COR). The Contractor shall not commit or permit any act of interference in the performance of work of other Contractors or Government employees.

The Government reserves the right to adjust quantities of work for any reason.

Pre-work Conference: The Contractor shall attend a pre-work conference as soon after award as practical, dependent on when actual performance is to begin. The intent is to conduct the conference prior to the start of work and no later than 15 days after award of contract. During this conference the Contracting Officer (KO) shall establish the line of authority and Government procedures for contractual, administrative, and work matters. The schedule of required submittals and reports will also be discussed. At this meeting, the Contractor shall provide names of all key personnel for management and supervision along with a copy of each individual’s resume of qualifications and experience. A letter of record, documenting all pre-work conference discussions, will be furnished to all attendees.

Coordination Meeting: The coordination meeting will be separate from the Pre-work Conference. Before commencement of work, the Contractor management staff shall meet with the COR. Discussion will be held to develop a mutual understanding of quality control requirements, details of the reporting requirements, implementation of the accident prevention plan, the interrelationship of the Government’s inspection system to the Contractor Quality Control (CQC) plan, and all other aspects of the contract. A record of the proceedings will be furnished to all attendees.

Criteria and Publications: The Contractor shall perform all work in accordance with applicable publications to include, but not limited to, the listing below:

All materials and supplies, once installed on site, become property of the government.

Approval of Materials and Supplies: Prior to commencement of work, the Contractor shall attend a pre-work conference at Carters Project and submit to the COR a written statement identifying the grade, type, quantity, mixture, and manner of application of all materials to be used during the contract period. Repeated or ongoing safety infractions shall be grounds for dismissal. Notification of objection by the COR will be made promptly to the Contractor in writing if time or circumstances permit. These requirements shall not be the basis of any claim for compensation and/or damages against the United States and/or any of its officers or agents. In addition, no such removal will reduce the Contractor's obligation to perform all the work under this contract and immediate replacement will be made as required.

Employee Identification: While working on this contract, all workers shall have some form of uniform identification that is easily recognizable to the general public to designate them as employees of the Contractor. All workers are to be fully clothed in accordance with E.M. 385- 1-1, and maintain a neat and clean appearance.

This plan shall be submitted within 15 days after award and should address in detail the proposed Quality Control Program to be used to assure compliance with the contract specifications and the Contractor's proposal. The plan should describe quality control concepts, purpose, and provide a general program overview. It should address the methods to be utilized to ensure that the CQC program is effective and efficient, including the inspection program to be utilized to ensure quality control goals are met. It should also include the frequency and schedule for inspecting significant project facilities and how corrective measures will be applied. The plan should address the interaction and coordination efforts that will occur between the Contractor and

Government personnel involved in Quality Assurance. The plan will be in sufficient detail to indicate to the Government that the Contractor is cognizant of the contract requirements. In addition to the above, the plan should address the following areas of concern:

a. Indoctrination and training of personnel, to assure employees are knowledgeable of their work assignments and regulations or guidelines pertaining to their assignments such as fire reporting, safety, erosion of embankments, etc.

b. Employee performance and evaluation.

c. Identification of declines in quality of product and how substandard performance and deficiencies will be corrected.

d. Employee health and hygiene.

e. Security of facilities and equipment (including key control).

f. Maintenance of facilities and equipment.

g. Proper reporting of maintenance needs by Contractor employees.

e. 100% of the CQCO’s time shall be utilized at the Carters Lake Project performing QC or limited collateral duties.

Determination of work required to maintain and repair facilities, buildings, structures, and systems in a safe and efficient operating condition is the responsibility of the Contractor. The COR, however, may direct the Contractor to perform repairs or maintenance if deficiencies are observed. This notification may be verbal or in writing. The Contractor shall respond as soon as possible, but no later than 24 hours after notification to repair such work items, unless otherwise approved by the COR. Failure to respond within these guidelines without acceptable justification may be counted against the Contractor as evidence of unsatisfactory performance.

The CQCO shall provide for inspection of all items of work and rework to ensure conformance to specifications and drawings. Inspection activities performed will also include monitoring of subcontractor performance, inventory control, and procurement of supplies. The CQC plan will provide for ongoing inspections of the CQC functions described herein. Government Quality Assurance inspectors will assure that CQC is being followed and is effective, but the presence or absence of a Government inspector will not relieve the Contractor of responsibility for the proper execution of work in accordance with the specifications. All compliance inspections will be recorded on a form approved by the COR. All Contractor documentation developed to monitor quality control, to include records of deficiencies observed and corrective actions taken will be furnished to the Government. If recurrent deficiencies indicate that the quality control system is inadequate, corrective action will be taken as directed by the COR. Upon approval of the plan, any proposed changes must be approved by the COR prior to implementation.

2) Accident Prevention/Hazardous Analysis Plan to include Hazard Control Plan and

Confined Space Entry Plan in compliance with EM 385-1-1. (within 15 days after award)

3) Management Plan – personnel staffing, administrative and personnel authorizations, and physical aspects (utilization of equipment, personnel, and facilities). The Contractor will also include methodology for proposed processes, procedures, and staffing of management and administrative staff.

4) Purchasing Plan
