SUMMARY OF CHANGES

SECTION H - SPECIAL CONTRACT REQUIREMENTS

The following have been modified:

LOCAL CLAUSES

APPLICABLE WAGE RATES

a. This contract is principally for services but also requires a substantial and segregable amount of construction, alteration, renovation, painting or repair work. Contract installation support requirements, such as custodial and grass cutting services are subject to the Service Contract Act (SCA). Apply SCA clauses and minimum wage and fringe benefit requirements to all contract services for such maintenance and support work. Contract services covering construction, alteration, renovation, painting, and repair requirements (i.e. roof shingling, paving repairs, building structural repair, etc.) are subject to the Davis Bacon Act (DBA). Apply DBA clauses and minimum wage requirements to all contract services for construction, alteration, renovation, painting, or repairs to buildings or other works.

b. Some contract work may be characterized as either DBA painting/repairs or SCA maintenance. In those instances where the contract service requires construction trade skills (i.e. carpenter, plumber, painter, etc.) but it is unclear whether the work required is SCA maintenance or DBA painting/repairs, apply the following rules--

(1) Tasks which will require a total of 32 or more work-hours to perform shall be considered to be repair work subject to the DBA.

(2) Tasks which will require less than 32 work-hours to perform shall be considered to be maintenance subject to the

SCA.

(3) Painting work of 200 square feet or more to be performed under a task shall be considered to be subject to the DBA regardless of the total work-hours required.

c. Work tasks shall not be split to avoid application of the DBA. The determination of labor standards application shall be made before work begins on any such task.

SAFETY AND HEALTH REQUIREMENTS

(a) All Contractors must comply with the Corps of Engineers Safety and Health requirements Manual, Em-385-1-1 in effect on date of solicitation. EM 385-1-1 and its changes are available at http://www.usace.army.mil/CESO/Pages/EM385-1-1.aspx.

(b) The Contractor shall provide and maintain work environments and procedures which will

(1) safeguard the public and Government personnel, property, materials, supplies, and equipment exposed to Contractor operations and activities;

(2) avoid interruptions of Government operations and delays in project completion dates; and

(3) control costs in the performance of this contract.

(c) Whenever the Contracting Officer becomes aware of any noncompliance with these requirements or any condition which poses a serious or imminent danger to the health or safety of the public or Government personnel, the Contracting Officer shall notify the Contractor orally, with written confirmation, and request immediate initiation of corrective action. This notice, when delivered to the Contractor or the Contractor’s representative at the work site, shall be deemed sufficient notice of the noncompliance and that corrective action is required. After receiving the notice, the Contractor shall immediately take corrective action. If the Contractor fails or refuses to promptly take corrective action, the Contracting Officer may issue an order stopping all or part of the work until satisfactory corrective action has been taken. The Contractor shall not be entitled to any equitable adjustment of the contract price or extension of the performance schedule on any stop work order issued under this clause.

In accordance with AR 25-2 “Information Assurance” and AR 380-67, “Personnel Security Program”, Contractors shall obtain favorable back-ground investigations (BI) for employees requiring access to computer systems designated as Federal Automated Information Systems. REFUSE SERVICES DEFINITIONS

As used throughout this contract, the following terms shall have the meanings set forth below.

a. “Refuse" includes all garbage, ashes, debris, rubbish and other similar waste material. Not included are explosive and incendiary waste and contaminated waste from medical and radiological processes.

(1) "Garbage" means animal and vegetable waste (and containers thereof) resulting from the handling, preparation, cooking, and consumption of foods. Edible, or hogfood, garbage is the portion of waste food which has been segregated for salvage.

(2) "Ashes" means the residue from burned wood, coal, coke, and other combustible material.

(3) "Debris" means grass cuttings, tree trimmings, stumps, street sweepings, roofing and construction wastes, and similar waste material.

(4) "Rubbish" means a variety of unsalvable waste material such as metal, glass, crockery, floor sweepings, paper, wrappings, containers, cartons and similar articles not used in preparing or dispensing food. Rubbish is further subdivided into:

(i) "Combustible rubbish" which can be burned readily in an incinerator or burning pit; and

(ii) "Noncombustible rubbish" which cannot be burned at ordinary incinerator temperatures (800 to l,800 degrees F.).

b. “Receptacles" or "Containers" means cans, drums, bins, or similar receptacles which can be handled easily, and multiple containers which are handled by mechanical truck-mounted hoists.

(1) "Collection" means the accumulated refuse from any one unit at any one time, regardless of the number of cartons or bundles.

(2) "Pickup Stations" means designated locations where refuse may be conveniently and efficiently assembled and stored in containers for collection.

METHOD OF PAYMENT

a. Once a month, the Contractor shall submit to an Authorized Representative of the Contracting Officer, in such form and reasonable detail as such representative may require, an invoice or public voucher supported by a statement of cost incurred by the Contractor in the performance of this contract and claimed to constitute allowable cost, in accordance with Section I, Contract Clauses.

b. Promptly after receipt of each invoice or voucher and statement of the cost, the Government shall, except as otherwise provided in this contract, and subject to the provisions of c. below, pay to the Contractor the cost of such services as determined by the Contracting Officer to be allowable in accordance with Part 31 of the Federal Acquisition Regulation (FAR) as in effect on the date of this contract, subject to such further definition and limitations as may be included in this contract, and a prorata share of the base fee.

c. At any time or times prior to final payment under this contract, the Contracting Officer may have the invoices or vouchers and statements of cost audited. Each payment made shall be subject to reduction for amount included in the related invoice or voucher which is found by the Contracting Officer, on the basis of such audit, not to constitute allowable cost. Any payment may be reduced for overpayments, or increased for underpayments, on preceding invoices or vouchers.

d. FINAL PAYMENT: See Section I, Contract Clause entitled, Allowable Cost and Payment.

FIXED FEE

A, GENERAL

1. The Government contemplates award of a hybrid firm-fixed-price (FFP) contract with cost-plus-fixed-fee (CPFF) contract line item numbers (CLINs) as a result of this solicitation. The Contractor shall be paid a negotiated fee that is fixed at the inception of the contract for the CPFF CLINs.

2. The fixed fee represents a negotiated fee that is fixed at the inception of the contract and is only applicable to the cost plus technical provisions (TPs). The fixed fee does not vary with actual cost, but may be adjusted as a result of changes in the work to be performed under the contract. Per FAR 15.404-4 (c)(4)(i)(C), the fee shall not exceed 10 percent of the contract’s estimated cost, excluding fee.

3. The cost plus fixed fee portion of the contract is further defined as a “completion” form which describes the scope of work by stating a definite goal or target. This form of contract requires the contractor to complete and deliver the specified services within the estimated cost, if possible, as a condition for payment of the entire fixed fee. However, in the event the work cannot be completed within the estimated cost, the Government may require more effort without an increase in fee, provided the Government increases the estimated cost.

B. FIXED FEE

The following procedures will be used in payment of the fixed fee for performance during each contract year:

a. Payment of the fixed fee shall be made as specified in the Bid Schedule.

b. The fixed fee shall be invoiced with the monthly invoice. The fixed fee amount invoiced shall be calculated by multiplying the fixed fee percentage by the total of all of the cost CLINs included on the monthly invoice. Your invoice shall show the total fixed fee less the reserve percentage/amount as detailed in paragraph c below. Under no circumstances will the total fixed fee amount invoiced throughout the year exceed the total fixed fee amount agreed to at the time of the award of this contract, including any modifications hereto.

c. Fixed fee reserves, including amounts withheld and payment thereof, will be in accordance with FAR 52.216-8 Fixed Fee. The reserve shall not exceed (1) 15 percent of the total fixed fee or (2) $100,000, whichever is less.

PROVISIONS ON CONTRACTING OFFICER’S AUTHORITY

The contracting officer is the only person authorized to approve changes in any of the requirements under this contract, and notwithstanding any provisions contained elsewhere in this contract, the said authority remains solely with the contracting officer. In the event the contractor effects any such change at the direction of any person other than the contracting officer, the change will be considered to have been made without authority and no adjustment will be made in the contract price to cover any increase in costs incurred as a result thereof.

FOB DESTINATION

All work shall be accomplished on site and all materials to be furnished by the Contractor shall be delivered to the Government site of the work.

1.6.1 To effectively and equitably evaluate proposals, the Government must receive information sufficiently detailed and in the order described below that clearly describe an Offeror's capabilities. It is the responsibility of the Offeror to submit complete proposal information and documents that are fully responsive to the submission requirements of the solicitation. Offerors are responsible for organizing submitted material sequentially under tabs and numbered pages to facilitate evaluation. Materials not organized under the appropriate tabs and in the sequence of subparagraphs set out below, may easily be overlooked during evaluations, possibly affecting an Offeror’s rating.

2.0 Volume I - Past Performance of the Prime Contractor and Technical Approach.

Submit Past Performance Information of the Prime Contractor and Technical Approach in Volume I, under the tabs indicated below and number all pages. Note: Do not provide any cost information in Volume I.

2.1 VOLUME I TAB-A: Past Performance of the Prime Contractor. The Prime Contractor (Offeror) signed on the SF 33 is to provide its past performance information regarding recent and relevant efforts and the quality of those efforts to demonstrate its accomplishments and capabilities to successfully perform and accomplish the effort required by this RFP. There are two aspects to the past performance information to be submitted: (a) Relevant Company Effort and (b) Quality of Past Performance.

Where the word "project” and/or “effort(s)" appears in RFP Sections L and M, it is understood to mean an operation and maintenance (O&M) single contract(s). Examples of project effort submitted by Offeror may be projects performed for a State or Federal Government agency or for a commercial or private sector customer.

Where the word “recent” appears it is understood to mean an O&M type project for which the contract is 100% complete or for which the base year is 100% complete and the effort is being performed under the award of an option. All project examples are to have been completed or the effort being performed under a current option within six years (6) years of the RFP issue date.

“Relevant” past performance information is one indicator of an Offeror’s ability to perform the contract successfully. Where the word “relevant” appears it is understood to mean that a single project effort submitted is similar and logically connected to the context of this solicitation in terms of type of scope (dollar value, size, project type) and magnitude of effort and complexities as the work described in this solicitation. The description of work is found in RFP Section C DESCRIPTIONS/WORK STATEMENT TECHNICAL PROVISIONS (TP’s).

2.1.1 (a) RELEVANT COMPANY EFFORT. The Offeror is to submit no more than five (5) examples of its most “recent” and “relevant” project efforts performed as a prime contractor to demonstrate its company’s accomplishments on contracts similar to the effort required in this solicitation. If the Offeror submits more than five projects, only the first five projects shall be evaluated. For each “recent” and “relevant” project example, the Offeror shall furnish the information specified below. If the Offeror is submitting “task order type projects”, each single task order project shall be submitted on a separate project data sheet. Do not combine tasks orders and present them as one entire project. As a minimum, provide the following information:

(1) Company Name

(2) Name of Project

(3) Location of Project

(4) Owner

(5) General Scope of Project/Contract as it relates to this solicitation

(6) Your Role on this Contract (Prime, Subcontractor, Joint Venture Partner) and the type of effort your company self-performed.

(7) Contract Type: (for example Firm Fixed-Price, Cost Plus Fixed Fee, Cost Plus Award Fee, Hybrid)

(8) Contract Award Date (Provide Month and Year); Completion Date of the Base

Year:(Provide Month/Year);

(9) If this contract is being performed under an option year the completion date of the current option being performed: (Provide Month/Year)

(10) Termination or Liquidated Damages Information; Comments regarding any known performance deemed unacceptable to the customer or not in accordance with the contract terms and conditions.

(b) QUALITY OF PAST PERFORMANCE.

1) The Offeror shall submit evidence of the quality of its past performance on projects submitted in paragraph 2.2.1 (a). The Offeror shall provide a completed contractor performance evaluation, whether annual or final, found in the Past Performance Information Retrieval System (www.ppirs.gov). If a completed contractor performance evaluation does not exist in PPIRS (example, non-U.S. Government projects), the Offeror shall provide a completed Past Performance Questionnaire (PPQ) (Attachment 1). If, at time of evaluation, a completed contractor performance evaluation exists in PPIRS that conflicts with a submitted PPQ, the completed contractor performance evaluation will govern.

2) Any past performance surveys/assessment/evaluation forms, other than PPIRS or the PPQ Form provided at the end of this section, are unacceptable submissions by the Offeror to evidence the quality of its past performance and will not be considered or evaluated.

3) Offerors shall not incorporate PPQs by reference that were previously submitted for other RFPs. However, this does not preclude the Government from utilizing previously submitted PPQ information in the past performance evaluation. While the Government may elect to consider data from other sources, the burden of providing detailed, current, accurate and complete past performance information rests with the Offeror.

4) If an Offeror has been required to take corrective action for any substandard performance, experienced other performance problems such as cost overruns, extended performance periods, numerous warranty calls, etc., the Offeror should explain the circumstances and the corrective actions taken.

5) If a client will only provide completed PPQ’s and/or PPIRS directly to the U.S. Army Corps of Engineers, Mobile District, then ensure the client submits the PPQ and/or PPIRS before the proposal due date using the following electronic mailing address:

nicalus.a.abner@usace.army.mil PPQ’s and/or PPIRS received after the proposal receipt date will not be considered timely and will not be included in the Offeror’s proposal.

2.1.1.1 Joint Venture Submission Requirements. Offerors submitting proposals as a Joint Venture (JV) shall obtain a DUNS number and be registered in the System for Award Management (SAM) as the offering Joint Venture. The Offeror must provide up to five (5) “recent”, “relevant” projects performed by the JV that reflect the JV’s ability to perform the work required in this solicitation as required by Paragraph 2.1.1 subparagraphs (a) and (b).

2.1.1.2 If the Offeror cannot provide a sufficient number of projects as the JV to meet the requirement, the Offeror must provide those “recent”, “relevant” projects that it has performed as the JV, and then supplement the record with additional “recent”, “relevant” projects performed by each JV member in their individual capacities. In such instance, each JV member must satisfy the requirement, to include any performed as the JV.

2.1.1.3 If the JV has no “recent”, “relevant” projects performed by the JV, then each member of the JV must provide up to five (5) “recent”, “relevant” projects performed by the JV member that reflect the JV member’s ability to perform the work required in this solicitation as required by Paragraph 2.1.1 subparagraphs (a) and (b).

2.1.2 Verification: The Government reserves the right to verify the past performance record of cited projects or other recent projects not submitted by reviewing the Past Performance Information Retrieval System (PPIRS), or other Government appraisal systems or to interview owner or references. The Government may check any or all cited references to verify supplied information. An Offeror will be afforded the opportunity to reply to or explain adverse performance information which the Offeror has not previously had an opportunity to address.

2.1.3 Key Personnel and Key Subcontractors: Key Personnel and Key Subcontractor experience and past performance information is not a submittal requirement for this factor under this TAB. If their information is submitted, it will not be evaluated. Company past performance information and/or effort demonstrated by another corporate entity other than the offering entity signed on the SF 33 will not be considered in the evaluation.

2.2 VOLUME I TAB-B: Technical Approach. Do not include cost information in the technical approach narratives. In a narrative form, as a minimum, submit your company’s technical approach to performing the Technical Provisions (TPs) listed below. Your technical approach is not required for all TPs identified in Section C of the Solicitation. However, this is no indication that they are not important to the RFP and are to be included in the performance of the contract. Technical approach narratives may be enhanced with charts, tables, or any logical means of conveying the proposed technical approach the Offeror will use to accomplish a TP.

Broad general statements that merely mimic a TP, repeat, paraphrase, or promise general performance are not sufficient. For this source selection, a technical approach for the TP’s listed below are to be discussed:

The FMP will be a tool used by the prime contractor and the Government to jointly plan all necessary maintenance activities on a weekly, monthly, quarterly, and annual basis. Throughout the life of the project, the FMP will be revised as needed to reflect changes in priorities, funding, etc.

Considering all of the project facilities (buildings, structures, site utilities, recreation sites, roads, parking lots, perimeter boundary structures, etc.), discuss your technical approach to preparing the FMP to meet the requirements of this solicitation. You are not required to submit a comprehensive FMP for the source selection but as a minimum your technical approach is to:

1. Provide an example of assessment tools and/or reports used to conduct facility inspections for the FMP.

2. Discuss your technical approach for assessing and determining the facilities condition and for determining the need for repair and replacement.

Discuss the corporate lines of authorities and the delegations of authority that will be assigned the key personnel. If the Offeror is a Joint Venture, discuss the Joint Venture’s executive team’s role and how it intends to manage this contract at the home office level.

4. Provide a simple organizational chart, to illustrate the management technical approach narrative. The Offeror may use foldout(s) not to exceed 11” x 17”. Do not use individual names but job titles on the chart. Clearly show which management positions are located at the home office and which management positions will be located on-site and at which Government provided facility. Ensure the organization chart is consistent with the technical approach narrative. For all positions on the chart, clearly illustrate if the job is performed by the Offeror’s own organization or if the effort will be performed by a subcontractor. Clearly show the lines of authorities discussed in the technical approach narratives.

5. Identify the Cost Accounting System that will be used for the cost reimbursable portion of this requirement (TPs 6-16) and provide the date of the latest audit and the cognizant Defense Contract Audit Agency (DCAA) office.
