E. Minimum Proposal Acceptance Period.

1. “Acceptance Period” as used in this provision, means the number of calendar days available to the Government for awarding a contract from the date specified in this solicitation for receipt of offers.

2. The Government requires a minimum acceptance period of 300 calendar days from solicitation due date.

3. In the space provided on the front page, Block 12 of the SF 33, the contractor shall insert the number of days (not less than 300 days specified above) the proposal is valid. Offerors may specify a longer acceptance period than the Government’s minimum requirement.

II. General Instructions

A. The selection of a source for award purposes will be conducted utilizing negotiated source selection procedures as delineated in FAR Part 15.3, “Source Selection” and supplemented by the Defense Federal Acquisition Regulation Supplement (DFARS) and the Army Federal Acquisition Regulation Supplement (AFARS). Offers will be evaluated using the criteria under Section M, “Evaluation Factors for Award.”

B. The Offer. The submission of the documentation specified below will constitute the Offeror’s acceptance of the terms and conditions of the RFP; concurrence with the PWS; and contract type.

C. Phased Evaluation Approach. The Government will evaluate proposals in two phases and progressively reduce the number being considered for contract award. The purpose of this procedure is to reduce the time and cost of the source selection, both for the Government and for competition Offerors.

1. For evaluation purposes, the Phase I submission will consist of the following elements:

-Volume I, General -Volume II, Technical:

--Subfactor 1, Management and Organizational Approach and --Subfactor 2, Sample Tasks Concepts

-Volume III, Cost/Price -Volume IV, Past Performance -Volume V, Small Business Participation

2. During Phase I, the Government will evaluate in accordance with the evaluation criteria listed in Section M, “Evaluation Factors for Award.” After this phase of the evaluation, the Government will determine which proposals stand a reasonable chance for award. Any proposal deemed not to stand a reasonable chance for award following this preliminary evaluation, will be removed from further consideration and the Offeror so notified.

3. The decision to eliminate any proposal through this procedure will not constitute the establishment of a competitive range as described in FAR 15.306(c), and it will not obligate the Government to conduct discussions or to solicit or entertain proposal revisions. A comparative analysis will not occur during the Phase I evaluation.

4. Phase II: Oral Presentations. Those Offerors not eliminated in the Phase I evaluation shall be notified and invited to the Oral Presentation portion of this evaluation. The evaluations conducted in Phase I shall carry forward into Phase II. No additional written submissions will be allowed. Therefore, the Phase II submission will consist of:

-Volume II, Technical --Subfactor 3, Management Team Integration --Subfactor 4, Sample Tasks Creative Review

D. Instructions outlined in Section III below, prescribe the format for the proposal and describe the approach for the development and presentation of proposal data. These instructions are designed to ensure the submission of necessary information to provide for the understanding and comprehensive evaluation of proposals.

E. If an Offeror believes that the requirements in these instructions contain an error, an ambiguity, omission or are otherwise deemed unsound, the Offeror shall immediately notify the KO in writing with supporting rationale. The Offerors are reminded that the Government reserves the right to award this effort based on the initial proposal, as received, without discussions.

F. In accordance with FAR Subpart 4.8, Government Contract Files, the Government will retain one copy of all unsuccessful proposals. Unless the Offeror requests, otherwise, the Government will destroy extra copies of such unsuccessful proposals.

G. All referenced documents for this solicitation are available on the Federal Business Opportunities (FBO) website at https://www.fbo.gov. Potential Offerors are encouraged to subscribe for real-time e-mail notifications when information has been posted to the website for this solicitation.

H. Debriefings. The KO will notify Offerors who are not selected for award. Upon such notification, unsuccessful Offerors may request to receive a debriefing in accordance with the requirements of FAR 15.505, “Pre-Award Debriefings of Offerors” and FAR 15.506 “Post-Award Debriefings of Offerors.”

I. Offerors are advised that the Government intends to use a non-government consulting firm as advisors during the source selection process. The consulting firm is expressly prohibited from competing on this acquisition or assisting other third parties in regards to this acquisition. The consulting firm is required to execute a nondisclosure agreement with each Offeror that states they will protect the proposal information from unauthorized use or disclosure for as long as it remains proprietary, and refrain from using the information for any purpose other than that for which it was furnished. Each Offeror shall contact the consulting company below to effect execution of such an agreement prior to submission of proposals. Each Offeror shall submit a copy of the signed agreement with its proposal to:

Jones Lundin Beals, Inc.

Attn: David Beals 500 N Michigan Ave., Ste. 600 Chicago, IL 60611-3775

J. Due to the anticipated expense and effort associated with proposing on this acquisition, prospective Offerors are requested to carefully review Sections L & M of this RFP and make a realistic self-assessment of their potential success. Offerors will NOT be compensated for the expense of proposing on this acquisition.

K. This evaluation will be conducted in two interrelated phases. Phase I will consist of evaluation of the written proposals. Phase II will consist Oral Presentations to be held thirty days after the Offerors are notified of the Oral Presentation dates.

C. Volume III, Factor 2, Cost/Price Proposal. The following information provides information and the requirements of the Cost/Price Proposal.

1. General. When a Cost Reimbursement Contract is anticipated the contractor is required to provide sufficient quality and detail to enable the government Price/Cost Analyst (PCA) to perform cost and profit analysis or cost realism analysis. The basic principles to keep in mind while preparing your cost/price proposal are:

a) Show the basis for each cost element estimate and explain the logic, methodology, and data used to determine the estimate. The basis of the Offeror's estimate serves as the credible thread in convincing the reader that the calculations have been researched and is not frivolous.

b) Identify the sources of the basic data supporting your estimates, and show that the estimate is based on current, complete, and accurate data.

c) Clearly identify the facts/judgments used in your estimation, so that facts can be verified and judgment factors can be evaluated.

d) Cost elements must be comparable with and consistent with your statement of work and technical proposal. After contract award, you will be required to claim reimbursement for cost incurred based on reports showing cost incurred by each cost element.

2. All information relating to the proposed cost/price must be included in both hard copy and electronic format.

Electronic versions of the Cost/Price proposal shall be submitted in MS Office Excel format only, and shall NOT be read only or password protected. All formulas, lookup tables, and links shall be intact, and no links shall exist to files not included with the submission. Spreadsheets shall not contain hidden worksheets. PDF or flat files will not be considered adequate. Failure to comply with these formatting requirements may result in rejection of your proposal. Offeror’s shall perform a virus check prior to proposal submission.

3. Volume Organization. The Cost/Price volume shall be formatted in the following way:

a) Table of Contents

b) System Reviews. Information regarding the status of applicable system reviews should be addressed (whether there are adequate accounting systems and purchasing systems)

c) Task Order Pricing Schedule (Sample Tasks + Core Operations Price + Call Center/LEADS Price + CMRA)

d) Task Order Scenario Cost/Price Proposal

(1) Cost/Price Narrative Section

(2) Cost/Price Proposal Section

4. System Reviews.

a) Accounting System. It is anticipated that cost reimbursement type task orders will be awarded under this resulting contract. Prime contractors must have an accounting system that has been determined adequate by the Defense Contract Audit Agency (DCAA) for accumulating and reporting incurred costs under cost type contracts in order to receive cost reimbursable task orders.

(1) The Offeror shall provide evidence of an adequate accounting system as determined by the DCAA. Also, identify any deviations from your standard accounting procedures in preparing this proposal. To initiate this, the Offeror shall fill out the Pre-Award Survey of Prospective Contractor Accounting System Checklist (Attachment 5).

To aide in this aspect of the proposal, the Government also provides DCAA Pamphlet 7641.90, Information for Contractors (Attachment 6).

(2) Offerors, including Joint Ventures, without an adequate accounting system shall email the Contracting Officer to initiate an accounting system review by DCAA. This request shall be submitted immediately upon receipt of this RFP. Offerors are encouraged to initiate this process immediately. Follow the instructions below to request an accounting system review. State in request e-mail that it is the company’s request for an accounting system review.

(3) Joint Ventures. In the accounting system review email request, Joint Ventures shall:

(a) Identify which firm’s accounting system will be used for the recording costs or

(b) Indicate if a new accounting system will be created for the Joint Venture.

(4) An adequate accounting system is not an evaluation criterion. It is a regulatory requirement with a pass/fail determination. Prime contractors shall have an accounting system that has been determined adequate by the Defense Contract Audit Agency (DCAA) for accumulating and reporting incurred costs under cost type contracts. If contractors do not have an adequate accounting system, they may not be eligible to receive a cost type award.

5. Purchasing System. Prime contractors shall also state the status regarding the adequacy of their Purchasing System. The Offeror shall provide the date it was determined adequate and supporting information or a back up letter from an Administering Contracting Officer stating the adequacy for the system.

6. Task Order Cost/Price Schedule. The Government shall award the Core Operations, CMRA, and the Call Center/LEADS for twelve months as the initial task order. Therefore, the pricing schedule shall be submitted fully completed and error free for the Firm-Fixed Price Contract Line Items (CLINs), rounded to the nearest dollar.

Offerors shall provide the proposed prices for the Core Operations, CMRA, Local Support, and Call Center/Leads Operations for the Base Ordering Period, Award Term I, and Award Term II. Subtotal prices for each CLIN and the total price shall also be provided.

7. Sample Tasks Scenario Cost/Price.

a) While the Sample Tasks Concepts will not be awarded, the Government will utilize them to conduct its cost realism analysis to include a most probable cost analysis which will be a part of the Total Evaluated Price.

b) The Government has provided a Sample Cost Workbook (Attachment 3) to aide Offerors in cost proposal development. While it is not mandatory that Offerors utilize this exact workbook, it is highly encouraged that a similar format be utilized. At a minimum the cost elements described in FAR Part 15, Table 15-2 and the elements described in the workbook must be provided. Failure to provide the cost information requested may result in a proposal being determined to be noncompliant.

c) Cost Areas.

(1) See Technical Volume I for additional information required from Offeror. Offeror and any subcontractor(s) will be responsible for ensuring compliance with the Service Contract Act (SCA) for all applicable labor categories. If Offerors believe that labor categories are subject to the SCA, they shall identify such labor categories as "SCA Labor" on their proposal. Offeror shall also disclose the state and county in which the proposed SCA labor categories will be performing its effort, the Wage Determination Schedule used for its proposed SCA labor rates, and the Occupation Code and Title for each proposed SCA labor category. Wage Determinations can be located at the U.S. Department of Labor website at https://www.dol.gov/whd. While wage determinations will not be provided as a part of the solicitation, it is important to note that based upon the Contracting Officer's independent determination prior to award, an applicable DOL wage determiatnion may be incorporated into the resultant task order(s).

(2) Offeror and it(s) subcontractor(s) shall provide whatever information is necessary to help the Government understand why the proposed costs are realistic in its cost narrative. Each Offeror's cost proposal shall contain sufficient quantitative and narrative documentation necessary to adequately support and explain the costs proposed, to include subcontractor proposed costs. Offeror and its subcontractor(s) shall disclose location (contractor site) of each proposed labor categories' performance locations within its cost proposal.

(3) The Offeror shall identify all proposed subcontractors and the contract type the Offeror has with each subcontract in its cost narrative. In accordance with FAR 5.404-3(b) the prime contractor or subcontract will - (1) conduct appropriate cost or price analyses to establish the reasonableness of proposed subcontract prices; (2) Include the results of these analyses in the price proposal. Offerors shall ensure that the appropriate analysis is completed IAW the subcontractor contract type and relationship; Cost Reimbursement Contracts (CPFF, CPAF, COST, etc.)

shall be Cost Analysis, and Fixed-Price contracts shall be price analysis. IAW FAR 15.404-3, if the prime or subcontractor relied upon its approved purchasing system to establish its subcontracts, they shall state so and provide documentation of their approved purchasing system (including date of approval) within its Cost Narrative.

(4) Reference FAR 15.404-3, if the Prime Contractor is unable to obtain the required documentation from its subcontractors in order to conduct the appropriate cost or price analysis as required, the subcontractor shall provide the information directly to the Government following the submission instructions of the RFP. However, the Prime Contractor and its subcontractor in these scenarios shall provide the rationale detailing exactly why the Prime contractor is unable to conduct the required price or cost analysis as required by 15.404-3 in their Cost Narrative.

For example, if a cost analysis is required for a subcontractor and that analysis requires a breakout of the individual cost elements to a prime and a subcontractor is unable to provide their proprietary data to the prime, the prime may then do a total price analysis per FAR 15.404-1(b) and the subcontractor shall submit their proprietary cost breakdown directly to the Government.

d) In accordance with FAR 15.403-1(b), data other than certified cost or pricing data is required to support cost realism. Each Offeror’s and subcontractor’s (see item 4 above) cost proposal shall be broken out by cost element as specified in FAR 15.408, Table 15-2, and in further supporting detail as shown in the SAMPLE cost breakdown provided in the RFP. If a subcontractor submits directly to the Government (reference item 4 above), the subcontractor’s Cost Narrative and Cost Proposal shall contain all required documentation applicable by the cost volume for this RFP.

(4) NOTE: When salary surveys are used to support proposed direct labor rates, Offerors are encouraged to propose a direct labor rate for each category within the range of the 25th to 90th percentiles of the survey data. If an Offeror’s proposed direct labor rate is either higher or lower than this range:

-It must explain the plan of action for filling the position in its cost narrative -The proposed cost may be determined NOT fair and reasonable and/or NOT realistic if unsupported.

(5) In support of the proposed Indirect Expense Rates, Offeror and its subcontractor(s) shall provide documentation of the most recent Indirect Expense Rates, to include at least one of the following (a, b, or c):
