52.212-1 ADDENDUM

ADDENDUM TO FAR 52.212-1

A. GENERAL

1. This acquisition will be conducted utilizing the procedures of FAR Part 12 and FAR Subpart 13.5.

2. The Offer. The submission of the documentation specified below will constitute the offeror's acceptance of the terms and conditions of the RFP and concurrence with the Performance Work Statement and contract type.

Noncompliance with the Request for Proposal (RFP) requirements may hamper the Government's ability to properly evaluate the proposal and may result in the proposal’s elimination from further consideration for contract award.

3. The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror’s initial offer should contain the offeror’s best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary.

The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

4. All referenced documents for this solicitation are available on the System for Award Management website at https://www.sam.gov. Potential offerors are encouraged to subscribe for real-time e-mail notifications when information has been posted to the website for this solicitation.

B. SITE VISIT AND PRE-PROPOSAL CONFERENCE

1. The Government will hold a site visit conference if needed/requested at Building 2015 in the Dallas Conference Room (Room 140), at Joint Base Lewis-McChord (JBLM), Washington 98433 on Wednesday, 13 March 2024, at 10:00AM PST . Attendance is at the offeror’s expense. All interested firms may attend with a limit of three (3) attendees per firm. Please submit, in writing, the names of attendees and any questions they may have in advance by e-mail: terrance.j.bond.civ@army.mil, Attn. Terrance Bond, prior to Monday, 11 March 2024, at 10:00AM PST.

2. Offerors are urged and expected to inspect the site where the work will be performed and to satisfy themselves regarding all general and local conditions that may affect the cost of contract performance, to the extent that the information is reasonably obtainable, and to attend the pre-proposal conference. The purpose of this site visit and the conference is to eliminate any possible misunderstandings of the terms of the solicitation. Technical questions will be addressed during the pre-proposal conference. If the Government responses to technical questions affect the Performance Work Statement (PWS) requirements or any other portion of the solicitation, an amendment to the solicitation will be issued. All questions must be submitted in writing unless, the solicitation is amended in writing it will remain unchanged.

3. In no event shall failure to inspect the site constitute grounds for a claim or adjustment after contract award.

4. To gain access to JBLM-Main and JBLM-North, if you do not have a contractor’s badge, you must obtain a visitor’s pass from the Visitor’s Center immediately outside the Liberty Gate. Take exit 120 off Interstate 5 and proceed toward the Liberty Gate. Just prior to the Liberty Gate, turn right into the Visitor’s Center parking lot. At the Visitor’s Center service window, state that you need a one (1)-day pass to attend a meeting at the Mission and Installation Contracting Command, N 4th St., Building 2015, Room 140. For a one (1)-day pass, no prior arrangements are necessary and have not been made. Allow plenty of time to process through the Visitor’s Center because it can be busy. To obtain the vehicle pass, the driver of the vehicle must present a valid driver’s license with picture, proof of current vehicle insurance, and valid vehicle registration. All passengers in the vehicle must also enter the Visitor’s Center and present a photo ID. Each passenger’s name will be entered on the vehicle pass in addition to the driver’s name. At the Liberty Gate entrance, guard personnel will check the vehicle pass along with the photo IDs of the driver and all passengers.

5. Driving directions to Building 2015: Once on post, proceed to the 3rd light, make a right onto Pendleton Ave.

Once on Pendleton, proceed through three (3) traffic lights. N 4th St. will be on the left. If you pass the flashing yellow light in front of the fire station, you have gone too far. You may park on N 4th St. if space is available. There is also a parking lot on the side of Building 2015, a parking lot between Building 2015 and the other buildings in the quad, and a parking lot across Pendleton Ave. As you face the front of Building 2015, Room 140 (Dallas Conference Room) is on the first floor in the left wing.

6. If no RSVPs are received, the site visit/pre-proposal conference will be canceled. No other site visits or preproposal conferences will be scheduled or authorized.

C. SOLICITATION QUESTIONS AND COMMENTS

1. If an offeror believes that the requirements in these instructions contain an error, an ambiguity, omission, or are otherwise deemed unsound, the offeror shall notify the Government point of contact via email with supporting rationale.

2. Any other questions regarding the solicitation, its attachments, or the site visit/pre-proposal conference shall be submitted via email no later than Thursday, 21 March 2024, 2 P.M. EST.

3. All questions and comments relating to this requirement must be submitted using Attachment L2, “Question Submission Form.” To the maximum extent practicable, submit all questions and comments on one form, in one email.

D. PROPOSAL PREPARATION INSTRUCTIONS

1. Proposals shall be submitted electronically (primary method), in person, or by mail prior to the closing date and time identified on block 8 of the SF 1449, using the submission instructions in paragraph A.5 above. Offerors shall submit their proposals in Adobe Portable Document (PDF), Microsoft Word, or Microsoft Excel format. PDF files shall be searchable and shall allow the Government to copy and paste as text to another document.

2. Offerors are responsible for ensuring and confirming that the contracting office received the electronic proposal submission prior to the deadline.

3. To be considered complete, proposals shall contain the following items. Failure to submit a required item may result in an offer being ineligible for award:

a) Cover Letter

b) Signed and dated SF 1449

c) Signed and dated SF 30s, as applicable, for any amendments to the solicitation

d) Completed pricing schedule, to include providing burdened labor rates for Over and Above CLINs

e) Completed Representations and Certifications in provision 52.212-3 unless the offeror’s Reps and Certs are completed in the System for Award Management (SAM) database. Offerors shall state, in the proposal, whether the Reps and Certs are completed in SAM and provide the offerors CAGE Code and DUNS number.

f) Completed Technical Experience Forms (Attachment L1).

4. Cover Letter.

a) Submit a letter, on company letterhead, signed by an officer of the company, stating the authorized representative(s) (along with title, telephone number and other contact information such as e-mail) who can obligate your company contractually, negotiate, sign the proposal, and sign other contract actions.

b) The letter shall acknowledge an extended acceptance period of 90 calendar days from the date specified for receipt of offers.

c) The letter shall state the offeror’s DUNS number, CAGE Code, Tax-ID number, and address.

d) The letter shall identify and explain any exceptions or deviations the offeror takes with the solicitation.

Additionally, any assumptions used in the proposal preparation must be identified.

5. SF 1449. Complete the following blocks on the SF 1449:

a) 12 – Discount Terms

b) 17a – Offeror Name, Address, CAGE Code, and Telephone Number

c) 17b – If applicable

d) 30a – Signature of authorized company official

e) 30b – Printed name and title of signer

f) 30c – Date signed

6. SF 30. Acknowledge all amendments to the solicitation by completing the following blocks on the SF 30 for every amendment issued. Only the front page of the SF30 needs to be submitted with the proposal:

a) 8 – Offeror Name, Address and CAGE Code

b) 15a – Printed name and title of signer

c) 15b – Signature of authorized company official

d) 15c – Date signed

7. Pricing Schedule. Completion of the CLIN schedule will constitute the offeror’s price proposal.

a) Fill in the unit price and extended price for each CLIN. All extensions of unit prices will be subject to verification by the Government. In the event of a mathematical discrepancy between the unit price and extended price, the unit price will govern.

b) Submit prices out to a maximum of two decimal points. If prices are proposed to more than two decimal points, the Government will round the number to two decimal points.

c) Complete the CLIN Totals table at the end of the CLIN schedule. All CLIN totals will be subject to verification by the Government. In the event of a mathematical discrepancy between the stated CLIN prices and the CLIN totals, the CLIN prices will govern.

d) CLIN prices cannot be left blank. If the offeror does not intend to charge for a specific CLIN, indicate such by entering “NSP” (not separately priced) in the extended price of the CLIN.

e) The Government reserves the right to require the submission of Other Than Certified Cost or Pricing Data as deemed necessary to determine a fair and reasonable price.

8. Representations and Certifications.

a) The solicitation provides the following fill-in representations and certification:

52.209-11 Representation by Corporations Regarding Delinquent Tax Liability or a Felony Conviction Under Any Federal Law

52.212-3 Alternate I, “Offeror Representations and Certifications – Commercial Items” 52.219-28 Post-Award Small Business Program Representation 52.204-24 Representation regarding certain telecommunications and video surveillance services or equipment (NOV 2021) 52.204-26 Covered telecommunications equipment or services--representation (OCT 2020)

b) These representations and certifications shall be completed in the System for Award Management (SAM) database to the maximum extent practicable. If the representations and certifications are completed in SAM, the offeror need only state so in its proposal, and does not need to submit the representation and/or certification with the proposal.

c) If any representation or certification cannot be completed in SAM, fill in the provision provided in the solicitation and submit with the proposal.

9. Technical Capability/Experience Forms

a) Provide inspectors and technicians current licenses and/or certifications for:

• National Association of Sewer Service Companies (NASSCO) Manhole Assessment and Certification Program (MACP) Level 2

• NASSCO Pipeline Assessment and Certification Program (PACP) Level 2

b) In order to demonstrate Technical Experience, submit no more than three (3) technical experience forms (Attachment L1). If an offeror submits more than three (3) forms, the Government will only review the first three

(3) forms received.

c) Technical experience forms shall be submitted for work performed (in full or in part) within five years from the closing date of the solicitation. If a past experience is submitted that was wholly performed outside of five years form the closing date of the solicitation, the Government will not consider it as part of the evaluation.

d) Offerors shall provide enough information in the technical experience forms to demonstrate past technical experience as a prime or major subcontractor, which is the same or similar in nature, size, and complexity to the services being procured under this solicitation. The technical experience forms shall include rationale supporting offeror’s assertion of relevance. Offerors are required to explain what aspects of the past experience is deemed relevant to the proposed effort, and to what aspects of the proposed effort they relate. Demonstrate experience should include involvement in projects that contain at least some of the following elements:

• Work completed using the National Association of Sewer Service Companies (NASSCO) Manhole Assessment and Certification Program (MACP) Level 2 inspection of manholes IAW section 5 part 6 of the

PWS

• Able to determine the condition and provide specific information needed to recommend corrective action IAW all parts of section 5.0 (Stormwater Pipe Inspection) of the PWS

• Work completed using NASSCO Pipeline Assessment and Certification Program (PACP) Level 2 inspection of pipes IAW section 5 part 5 of the PWS

• Information needed to recommend corrective action IAW all parts of section 5.0 of the PWS.

e) If an offeror proposes to subcontract at least 10% of the cost of work for this requirement, the offeror may submit a technical experience form for the subcontractor. However, any forms submitted for a subcontractor will count towards the three-form limit.

52.212-2 ADDENDUM

ADDENDUM TO FAR 52.212-2

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer, conforming to the solicitation, will be most advantageous to the Government, price and other factors considered.

The following factors will be used to evaluate offers:

1) Technical Capability/Experience

2) Price

The Government intends to award a single contract to the offeror that is deemed responsible in accordance with FAR Subpart 9.1, whose proposal conforms to the solicitation, and whose proposal represents the lowest-priced offer with an Acceptable rating for the Technical Capability factor.

(b) Proposals will be evaluated for compliance with the following submission requirements, detailed in the Addendum to FAR 52.212-1, paragraph D. Proposals that do not conform to the solicitation requirements may be deemed ineligible for award:

1 – A cover letter included in the proposal, meeting the following requirements:

Submitted on company letterhead, signed by an officer of the company, stating the authorized representative(s) (along with title, telephone number and other contact information such as e-mail) who can obligate, the offeror contractually, negotiate, sign the proposal, and sign other contract actions.

Acknowledges an extended acceptance period of 90 calendar days from the date specified for receipt of offers.

States the offeror’s DUNS number, CAGE Code, Tax-ID number, and address.

Identifies and explains any exceptions or deviations the offeror takes with the solicitation. Additionally, any assumptions used in the proposal preparation were identified.

6 – Technical Capability/Experience included in the proposal

(c) The Government will evaluate the offerors’ Technical Capability/experience to which the offerors’ provided current inspections in accordance with UFGS 33 01 30.16 Inspection of Sewer Pipelines, National Association of Sewer Service Companies (NASSCO) Pipeline Assessment and Certification Program (PACP) and Manhole Assessment and Certification Program (MACP). Technical experience will be evaluated to determine the level to which the offerors’ submitted past experience (which may include past experience of proposed subcontractors) was for work of a like and similar magnitude, scope, and complexity as this solicitation. Specifically, the Government will evaluate the offerors’ past technical experience in the following areas:

• Work completed using the National Association of Sewer Service Companies (NASSCO) Manhole Assessment and Certification Program (MACP) Level 2 inspection of manholes IAW section 5 part 6 of the

PWS

• Able to determine the condition and provide specific information needed to recommend corrective action

IAW all parts of section 5.0 (Stormwater Pipe Inspection) of the PWS

• Work completed using NASSCO Pipeline Assessment and Certification Program (PACP) Level 2 inspection of pipes IAW section 5 part 5 of the PWS

• Information needed to recommend corrective action IAW all parts of section 5.0 of the PWS.

The Government will evaluate up to three (3) past technical experience submissions (Submitted on the Technical Experience Forms provided as Attachment L1) and will only evaluate past experience submissions that were performed, in whole or in part, within the past five (5) years from the closing date of the solicitation. If an offeror fails to provide an acceptable experience narrative the offeror may be ineligible for the award. The Government will determine the acceptability of offeror’ technical experience based on the following ratings:

(d) The Government will not score or rate offerors’ price proposals. Proposed prices will be evaluated for reasonableness and balance. To be eligible for award, an offeror’s technical capability must be rated “Acceptable,” the total price proposed must be determined reasonable, and all CLINs must be determined balanced, unless the Government determines that the lack of balance does not pose an unacceptable risk to the Government.

Offerors are cautioned against submitting an offer that contains unbalanced pricing. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items (including base and option periods) is significantly overstated or understated as indicated by the application of price analysis techniques. Offers that are determined to be unbalanced may be rejected if the lack of balance poses a significant risk to the Government.

Price analysis will be performed on the total proposed amount (base and option period). The existence of adequate price competition is expected to support a determination of reasonableness; however, other price analysis techniques may be used to further validate price reasonableness.

The Government will evaluate its option to extend services (FAR Clause 52.217-8) by adding one-half of the offerors’ proposed price for the option period to the total proposed amount. Thus, the offerors’ total price for the purpose of evaluation will include the 60- month contract term and one half of the last option period. Offerors will not propose a cost for the six-month period. The extension of services clause will be exercised only if necessary, utilizing the negotiated rates of the preceding period.

Evaluation of the option(s) shall not obligate the Government to exercise the option(s).

CONFIDENTIALITY AGREEMENTS OR STATEMENTS--REPRESENTATION (JAN 2017)

(a) Definition. As used in this provision-- Internal confidentiality agreement or statement, subcontract, and subcontractor, are defined in the clause at 52.203- 19, Prohibition on Requiring Certain Internal Confidentiality Agreements or Statements.

(b) In accordance with section 743 of Division E, Title VII, of the Consolidated and Further Continuing Appropriations Act, 2015 (Pub. L. 113-235) and its successor provisions in subsequent appropriations acts (and as extended in continuing resolutions), Government agencies are not permitted to use funds appropriated (or otherwise made available) for contracts with an entity that requires employees or subcontractors of such entity seeking to report waste, fraud, or abuse to sign internal confidentiality agreements or statements prohibiting or otherwise restricting such employees or subcontractors from lawfully reporting such waste, fraud, or abuse to a designated investigative or law enforcement representative of a Federal department or agency authorized to receive such information.

(c) The prohibition in paragraph (b) of this provision does not contravene requirements applicable to Standard Form 312, (Classified Information Nondisclosure Agreement), Form 4414 (Sensitive Compartmented Information Nondisclosure Agreement), or any other form issued by a Federal department or agency governing the nondisclosure of classified information.

(d) Representation. By submission of its offer, the Offeror represents that it will not require its employees or subcontractors to sign or comply with internal confidentiality agreements or statements prohibiting or otherwise restricting such employees or subcontractors from lawfully reporting waste, fraud, or abuse related to the performance of a Government contract to a designated investigative or law enforcement representative of a Federal department or agency authorized to receive such information (e.g., agency Office of the Inspector General).

( ) Paragraph (d) does not apply and the offeror has completed the individual representations and certifications in the solicitation.

(c) (1) The following representations or certifications in SAM are applicable to this solicitation as indicated:

(i) 52.203-2, Certificate of Independent Price Determination. This provision applies to solicitations when a firm-fixed-price contract or fixed-price contract with economic price adjustment is contemplated, unless—

(A) The acquisition is to be made under the simplified acquisition procedures in Part 13;

(B) The solicitation is a request for technical proposals under two-step sealed bidding procedures; or

(xv) 52.222-25, Affirmative Action Compliance. This provision applies to solicitations, other than those for construction, when the solicitation includes the clause at 52.222-26, Equal Opportunity.

(xvi) 52.222-38, Compliance with Veterans' Employment Reporting Requirements. This provision applies to solicitations when it is anticipated the contract award will exceed the simplified acquisition threshold and the contract is not for acquisition of commercial products or commercial services.
