Miscellaneous text in this section has been modified to:
1. FMTb
1.1 Objectives
The United States Army must maintain a qualitative advantage by training tactical system maintainers using Training Aids, Devices, Simulators, and Simulations (TADSS) that facilitate interaction in a dynamic, realistic manner. Providing a relevant and realistic initial and operational training environment is a critical step for achieving readiness for our warfighters. The FMT PL ID/IQ contract is key to meeting this challenge.
The Program Executive Office Simulation, Training and Instrumentation (PEO STRI) located in Orlando, Florida leads the development, acquisition, and sustainment efforts necessary to meet the Army's simulation and training requirements. PEO STRI is responsible for end-to-end lifecycle management of Army training systems in support of warfighter training at operating locations worldwide. PEO STRI customers include Army active duty, reserve, National Guard and Department of Defense (DoD) joint warfighter, as well as Foreign Military Sales (FMS) partners.
PEO STRI plans to competitively award multiple FMT PL ID/IQ contracts to streamline and standardize maintenance training system acquisition and to support procurement processes. This acquisition will utilize the FAR 15 Source Selection Process. The goal is to make The awards to all qualified Offerors.
Government reserves the right to award no contracts at all, if the Source Selection Authority (SSA) determines it is in the Government's best interest. Offerors must identify whether they are a large or small business under the NAICS code used for the solicitation. Prior to issuing a Delivery Order Proposal Request, market research will be conducted among all prime ID/IQ contract holders to determine if it is in the Government's best interest to set-aside a DO for small businesses. A modified Rule of Two will be applied based on the findings market research. If there are two qualified and competitive small businesses that demonstrate the required past performance, qualifications, and capabilities to perform the work, the DO may be set aside for small businesses. There will be no predetermined DO values limiting the small business set-aside decision.
Only U.S. companies may be considered for award. If a joint venture (JV) is formed to submit a proposal for the FMT PL ID/IQ, all members/partners of that JV must be U.S. companies. A foreign-owned or influenced company that has been approved through the Defense Security Service (DSS) as a U.foreign- S. subsidiary may also be considered as a U.S. prime on the FMT PL ID/IQ. Foreign-owned companies may participate as a subcontractor on the FMT PL ID/IQ DOs provided that the subcontractor is determined to be responsible IAW FAR 9.104.
1.2 Approach
The FMT PL ID/IQ contract will establish a flexible and responsive capability to meet our customers' training systems needs by providing a base of pre-qualified vendors who can be rapidly accessed through both competitive and noncompetitive methods, as appropriate, to provide the required products and services described in the FMT PL ID/IQ Base Statement of Work (SOW). Each DO will define the specific scope of work to be performed by the contractor.
For the base ID/IQ solicitation, offerors are advised that the Government will evaluate technical acceptability and past performance for prime offerors only, in addition to responsiveness and responsibility IAW FAR 9.1. Note: if the prime offeror is a JV, the Government will evaluate technical acceptability and past performance for all JV partners. Prime ID/IQ holders may form subcontracting teams as necessary at the base or DO level, provided that all proposed subcontractors are determined to be responsible IAW FAR 9.104-4, Subcontractor responsibility. The ordering period for FMT PL is 7 years. The ordering period is defined as the time period that DOs can be issued under this contract. The ordering period is broken out as follows: a 5-year base, plus one 2-year option, if exercised.
The Government intends to award basic ID/IQ FMT PL contracts that will allow for a variety of CLIN types, including but not limited to, Firm-Fixed Price (FFP), Cost Plus Fixed Fee (CPFF), and Cost.
Applicable contract type for all contract line item numbers (CLINs) will be specified on each individual
DO.
In accordance with FAR 52.216-19, the stated "minimum order amount" of $1,000 will be obligated via orders issued simultaneously with the ID/IQ contract awards for participating in a post-award conference.
Offerors must receive a basic contract award to be eligible to receive a DO award. The minimum amount identified on the contracts represents the only funding liabilities for the Government against the basic contracts. Subsequent DO awards are subject to availability of funds. DOs issued under FMT PL will be incrementally or fully funded in accordance with (IAW) federal appropriations law. The aggregate ceiling of the FMTPL program is $396M.
2. Proposal Preparation Instructions
This section provides general guidance for preparing proposals, as well as specific instructions on the format and content of the proposal. Offerors are required to submit one proposal with sufficient information addressing all factors to enable Government personnel to fully ascertain the offeror's capabilities to perform the requirements. The offeror's proposal must include all data and information requested by the Request for Proposal (RFP) and must be submitted IAW these instructions. Offerors are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or subfactors. Alternate proposals are not acceptable. A competitor may submit a single proposal for evaluation and consideration by the Army, either as a standalone entity or as part of a joint venture. The Army will not consider any proposals submitted by entities that elect to submit a proposal both as part of a joint venture and as a standalone entity in and of itself. THE OFFERORS ARE HEREBY ON NOTICE
THAT THE GOVERNMENT WILL PERFORM AN INITIAL ASSESSMENT OF ALL THE
PROPOSALS RECEIVED FOR COMPLIANCE IAW THE SOLICITATION REQUIREMENTS. A
FAILURE TO SUBMIT ALL THE REQUIRED DOCUMENTATION SPECIFIED IN THE
SOLICITATION MAY CONSTITUTE A BASIS FOR THE GOVERNMENT TO REJECT A
PROPOSAL AS NON-COMPLIANT AND THEREFORE UNACCEPTABLE (INELIGIBLE FOR
AWARD).
Each volume shall be written on a standalone basis so that its contents may be evaluated without cross-referencing to other volumes of the proposal. Cross-referencing within a proposal volume is permitted where its use would conserve space without impairing clarity.
The proposal shall be clear and concise and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements but rather shall provide convincing rationale to address how the offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their facilities and experience, and that the Government will base its evaluation on the information presented in the offeror's proposal. Elaborate brochures or documentation, binding, detailed artwork, or other embellishments are unnecessary and are not desired.
Offerors are advised that the costs of any response to or otherwise incurred as a result of responding to this RFP are not chargeable to this proposal effort.
In accordance with FAR Subpart 4.8 (Government Contract Files), the Government will retain one digital copy of all unsuccessful proposals. The Government will not return any proposals and will destroy any additional digital or printed copies of proposals.

Failure to submit and resolve questions on the Offeror's Small Business Subcontracting Plan will result in the Offeror's proposal to be determined non-compliant and ineligible for award. Once determined "ACCEPTABLE," the awardee's Small Business Subcontracting Plan will be incorporated and made a material part of the resultant contract award.
A plan, when incorporated in an individual contract, shall apply to that contract throughout the life of the contract. Although plans shall be effective for the life of the contract after approval by the Contracting Officer, it is incumbent upon contractors to maintain and update plans to include goals each time they win a delivery order award. Changes required to update plans are not effective until approved by the Contracting Officer. Failure to submit an acceptable plan may make the offeror's proposal un-awardable.
3.8 Organizational Conflict of Interest (OCI)
The offeror shall include an Organizational Conflict of Interest Representation in Volume I and check the appropriate box as follows:
[ ] Information concerning a conflict of interest, is provided with this proposal
[ ] No conflict of interest exists
In accordance with FAR Subpart 9.5 each offeror shall assess whether there is an organizational conflict of interest associated with the proposal it submits. If no conflict is identified, then the offeror must indicate that "No conflict of interest exists".
If the offeror identifies a potential organizational conflict of interest associated with this RFP, the offeror must submit a plan describing the potential conflict in Volume I entitled "Organizational Conflict of Interest Plan". The plan should include information concerning a conflict of interest and the actions it intends to take to resolve the conflicts of interest it finds. The offerors shall disclose any potential conflicts of interest, including those involving contracts with other Government organizations, in their proposal. The KO will use this information to determine whether resolution of those conflicts will be required.
If the offeror's proposed action to resolve an OCI is not acceptable, the KO will notify the offeror, providing the reasons why its proposed resolution is not considered acceptable and allow the offeror a reasonable opportunity to respond before making a final decision on the OCI.
Representation. By submission of its offer, the offeror represents, to the best of its knowledge and belief, that -there are no relevant facts that could give rise to an OCI, as defined in FAR Part 2.(1) or the offeror has disclosed all relevant information regarding any actual or potential conflicts of (2) interest.
If the successful offeror was aware, or should have been aware, of an OCI before award of this contract and did not fully disclose that conflict to the KO, the Government may choose to terminate the contract for default, not award any further DOs, or not exercise the option period.
3.9 Accounting System
The Offeror shall submit contact information (name, telephone number and email address) for their cognizant DCMA Administrative Contracting Officer (ACO) and cognizant DCAA supervisory auditor.
If the Offeror is not assigned to DCMA for contract administration or is not assigned to DCAA for contract audit, the Offeror will identify their cognizant federal agency or agencies (and include the individual contact information). The Offeror shall submit a copy of the most recent ACO letter regarding the status of their accounting system. If that letter is more than a year old and the Offeror has a more current DCAA audit report commenting on the status of their accounting system, a copy of that report will also be submitted. If the Offeror's accounting system was disapproved or deemed to be not adequate, the Offeror will identify all deficiencies along with steps taken, or to be taken, to correct the deficiencies and a timeline to include audit by the cognizant audit agency after corrective action has been implemented. If the Offeror's accounting system has never been audited by their cognizant federal audit agency, the Offeror will so state.
If the Offeror does not have an approved accounting system, the Offeror shall complete an SF 1408 - Pre-award Survey of Prospective Contractor Accounting System Checklist (RFP Attachment 07) and return the documentation as part of the Administrative Volume of the proposal. Within this survey, mark "X" in the appropriate column; and on Page 2, provide a narrative describing how the current accounting system supports the response to each item. Note that FAR 16.301-3 Limitation indicates that all potential awardees with a cost-reimbursable contract, must have an approved accounting system prior to contract
If an otherwise successful Offeror does not have an approved accounting system at the time of award.
award, they will not be found responsible IAW FAR 9.104-1(e) and removed from consideration.

6. Volume IV: Past Performance
6.1 General
Each offeror shall submit a Past Performance Volume containing relevant past performance information on contracts which have had at least twelve months of performance and are either active or have been completed within five years preceding the date of this solicitation. Relevancy definitions, which include both magnitude and complexity elements for both the Technical and Program Management Factors, are provided in Section M of this solicitation.
If an offeror does not have current or past relevant performance, the offeror shall so state.
In addition to the data provided in this volume, the Government may use the Contractor Performance Assessment Reporting System (CPARS) and/or systems used by Government departments and agencies, questionnaires tailored to the circumstances of this acquisition, Defense Contract Management Agency (DCMA) channels, interviews with program managers and KOs, and other sources known to the Government, including commercial sources to assess past performance for same or similar services as compared to the NAICS used for this solicitation.
6.2 Specific Content
All past performance submitted in response to this solicitation shall have been performed as a prime contractor, subcontractor, or JV partner.
An ID/IQ contract itself may not be submitted as an example of past performance. Each Delivery Order submitted shall be counted separately as one past performance example.
"Prime" contractor means the contractor has privity-of-contract with the Government or with the owner of a project or job and has the full responsibility for its completion. The prime is responsible for all contractual obligations under a mutually binding legal relationship. When the Government awards a contract to a contractor, the contractor is considered the "prime" contractor. For example, "prime" contractors are identified as such on the cover page of contracts or delivery/task orders such as:
SF 1449 -Solicitation/Contract/Order for Commercial Items - (Block 17a identifies the prime contractor)
SF 26 -Award/Contract - (Block 7 identifies the prime contractor)
SF 33 -Solicitation, Offer, and Award - (Block 15A identifies the prime contractor)
Department of Defense (DD) Form 1155 - Order for Supplies or Services (Block 9 identifies the prime contractor)
Optional Form 307- Contract Award (Block 7 identifies the prime contractor)
GSA Form 300 -Order for Supplies and Services (Block 6 identifies the prime contractor)
"Subcontractor" means the contractor has privity-of-contract with a prime contractor. When a prime contractor awards a contract to a contractor, the contractor is considered a subcontractor.
If the offeror represents the combining of two or more companies, a JV for the purpose of this If previous experience does not exist for the JV, solicitation, the JV will be evaluated as a single offeror.
each JV partner shall submit at least one project for past performance evaluation. The project will be evaluated based on each the partner's role in cited past work and in the proposed JV role for FMT. The total number of contracts submitted may not exceed three.
As discussed in Paragraph 1.1 above, only U. S. companies will be considered for award as a prime FMT PL contract holder. If a JV is formed to submit a proposal for FMT PL, all members/partners of that JV must be U.S. companies. If a foreign-influenced company has been approved through the DSS as a U.S.
subsidiary, then they are considered a U.S. company and may be a U.S. prime on FMTPL. However, for past performance to be considered relevant, the contract reference must have been performed by the U.S.
Company submitting the proposal. A foreign parent company is not the offeror, so the foreign parent company's past performance will not be considered relevant to what the U.S. subsidiary is proposing to
do. In addition, for past performance to be considered relevant for the prime offeror, it is the Government's intention to only evaluate the prime offeror submitting the proposal and not its parent /affiliate companies. Prime Offerors must submit at least one example of past performance for consideration which they themselves performed. Offerors shall not exceed the maximum of three (3) past performance reference submissions total for the Past Performance Factor.
By the posting date of this solicitation, if a company has acquired another company, or been acquired by another company, the transferor and transferee companies may claim credit for the past performance projects under the following condition: In the event of a Government approved novation of a U.S.
Federal contract from one contractor to another, the transferor contractor…
